1) Brief Business History:
Wyant Data Systems, Inc. (WDS) is a Colorado small-business corporation founded in
December 1995. Startup of the company was sponsored under the Department of
Energy (DOE) - Rocky Flats Local Impacts Initiative (RFLII), which attempts to
assimilate former employees of the Department of Energy’s Rocky Flats Environmental
Technology Site (RFETS) into the business environment. The unique experience of the
founders in government settings results in WDS bringing an unparalleled level of service
to our Government clients.
The company was founded by Rick Wyant and Scott Lee on the premise that a small
group of tightly-knit, highly-skilled professionals can deliver a more cost-effective
product – the first time, every time. That idea remains intrinsic to the success of our
business. A key approach to our service is taking the time to first understand the
customer's requirements. We then create a solution that brings exactly the "Right
Resource at the Right Time" to meet those requirements. This approach provides the
customer with the "Best Value" in an IT Solution.
WDS has the organizational experience, methodologies, commitment, and capabilities
required to ensure our clients success. The WDS Executive leadership team has over
150 years of collective experience providing IT support in governmental environments.
In the approximately twenty-five years since the company was established, we have not
been involved in any buyouts, takeovers, IPO’s, bankruptcies, litigations, or claims. We
are proud of our record in providing exceptional service to our clients and achieving
financial success when other companies have encountered difficulties with customer
support and financial viability.

Senior consulting and product development. Provide both project and staff
augmentation resources to fit customer needs. Federal and State government is our
focus. Sole source for much of our LANMAS support business. Utilization of contract
vehicles for both. Repeat customers are key to our success.

Anywhere in the United States. See current contracts for details. Employees are also
located around the United States.
5) Companies marketing primarily how are sales generated (a brief description of
your marketing approach)?
Staying close to our existing customers and leveraging the relationship to obtain
additional work. Monitoring Federal and State procurement sites including the Colorado
Staff Augmentation system. Referral’s are also a big portion of our sales opportunity or
leads process.
- Who is primarily responsible for generating sales? Primarily how are new clients
generated?
Company Principals, Senior VP’s & Directors. Most of the leads are obtained through
the company principals working at client sites or acting as account managers. All of the
Senior VP’s follow-up on leads and take responsibility for generating proposals.
6) How do overall sales breakdown by percentage (any internal reports that
indicate distribution of work helpful)
Sales reports provided. All of sales for the past year are considered Public Sector, so
not sure how to divide the sales across the following categories. Took a shot at it.

8) Where do we see the greatest areas of growth?
Staff Augmentation, IV&V Consulting, Federal Nuclear Materials accountability
9) Who are your primary vendors? Any special relationship between the company
and its vendors? Contracts?
Strong partnership with our clients has led to repeat business. No real relationship with
other vendors other than our Corp to Corp (1099) work. WDS encourages our contract
resources to maintain their own companies and helps them to grow where possible.
10) What are Wyant Data Systems, Inc.’s competitive strengths/weaknesses?
Strengths: resources, relationships
Weakness: business development outside of client base
11) Who does the company view as its primary competitors? In all markets
Staff augmentation companies, other IT businesses, Point B, Deloitte, PCG, North
Highlands. Limited competition on the federal side and the support for the LANMAS
product and site implementations.
12) What were the key components to growth?

13) Can you provide an estimate of what the dollar value of the current backlog
is?
Our LANMAS Maintenance and site support contract has the longest backlog period
and would total in excess of $8 million over the course of the next four year. Other
contracts are more cyclical and provide funding over shorter periods.

14) Describe all software used for the business? Owned?
WDS uses the standard Office 365 software suite and it is a service paid for monthly for
all of our employee’s. Applications under that service varies depends on the needs of
the employees. We also utilize SAAS for our development software (Microsoft MSDN)
licenses for all of our developers.
15) Are there other team members that have the capacity to replace owner
partners? Who?
The two VP’s have the potential to replace the owner’s role in both consulting and
running the business. WDS has started hiring resources to replace the WDS principals
in the future. Right now, they are fully billable at client sites.
How long a transition period are the sellers open to?
Six months to year.
16) Does management foresee additional capital expenditures required to
continue to growth?
We just replaced the PC’s for most of the staff for a total of $34K, so no additional
planned expenditures.
17) List the 2 or 3 greatest challenges you envision going forward for Wyant Data
Systems, Inc. and a new owner.
Continuing to generate new business outside of our current client base, managing a
diverse client base, retention key of employees to satisfy our customer base.
18) In what areas do you believe Wyant Data Systems, Inc needs improvement?
Business Development, Client diversification, back up to key personal.
19) What do you feel is critical for a potential new owner to understand about
Wyant Data Systems, Inc?
The business is based on a solid model and has a great reputation. The backlog of
work is solid and can be leveraged into additional areas with a new owner looking to
expand.
20) What do you believe the skills a new owner will need to have to be
successful?
Public sector experience, DOE / NNSA experience including clearances for FOCI
requirements, full time business development staff, vision for how WDS will complement
their company or plans for the future

Technology Assessments & Architecture Assessment & Verification (AA&V)
WDS) is experienced in providing technology assessments as well as Architecture Assessment and Validation
(AA&V) services for project implementations. AA&V efforts can be performed as part of a standard IV&V
project, or as an independent activity to support the project proposal evaluation or implementation process WDS
recently performed an AA&V engagement for the State of Colorado HAVA Statewide ColoradO Registration and
Election (SCORE) II project.
Security Planning/Policy Development
WDS has expert project managers who are experienced in security planning and policy development, who can help

Public Sector Services
All WDS service offerings are provided through our Federal and State Services Practice Areas. We recognize that doing

State of Colorado IV&V Services
WDS is one of seven (7) vendors on the IV&V Master Task Order Contract with the State of Colorado. Agencies issue
task orders through the State Office of Information Technology (OIT) and the vendors on the agreement respond.
WDS provides a single blended rate for all IV&V Services. The standard IV&V checklist used as a basis for most task
order statements of work.
GSA Schedule 70 Services
The WDS executive management team has extensive experience working with the Federal Government. WDS takes
pride in being awarded the General Services Administration (GSA) Schedule 70 contract for IT services. The
award and other similar State awards make it possible for WDS to provide IT services to Local, State and Federal
government entities.
WDS is a GSA-approved, Small Business IT Solutions provider on the GSA Schedule 70. This contract vehicle
provides Federal Agencies with the ability to quickly acquire the IT services they need, at a favorable price that have
been previously negotiated by the GSA. This approach allows you to obtain the professional services you need, in a
significantly reduced timeframe – often days, instead of months. WDS was awarded the GSA Schedule 70
Agreement in July 2000; with options through 2005. Our Contract Agreement Number is GS35F-0557K.

Medical Benefits
WDS offers medical insurance for fulltime eligible employees. Insurance becomes effective the
1st of the month following 30 days of employment. The medical plan is a “high-deductible”
Health Savings Account (HSA). WDS contributes towards the employee’s HSA account.
Employee pays for additional family coverage. Additional details are available from the WDS
Human Resources representative.
Dental Insurance
Dental insurance is provided for fulltime eligible employees. Insurance becomes effective the 1st
of the month following 30 days of employment. WDS pays employee premiums. Employee pays
for additional family coverage. Employees may choose any dentist using this plan however,
additional costs above customary and reasonable charges will be the responsibility of the
employee.
Life Insurance/Long-Term Disability
Life Insurance/AD&D and Long Term Disability are provided through WDS insurance policies
provided to the employees. A fulltime eligible employee is eligible for Life insurance/AD&D
coverage up to the employee’s annual salary to a maximum of $50,000, and is paid for by the
employer. Employees are eligible for Life Insurance/AD&D and Long-term Disability the 1st of
the month following 30 days of service. Long-term Disability covers 60% of employee’s salary
to a maximum of $2,500/mo. There is a 30-day waiting period for Long-Term Disability.
Simple IRA
All employees are eligible for the Simple IRA after earnings of $5,000. WDS will make a dollarfor-dollar match of your Elective Deferrals each year, up to 3% of your compensation to a
maximum set by IRS code.
Holidays
All fulltime benefited employees will have 80 hours of WDS recognized holidays as listed below plus 2
floating holidays, for a combined total of 96 hours. Fulltime benefited employees assigned to one client
will observe the client’s holiday. If the two differ the employee will notify the payroll department prior to
the scheduled holiday. Under no circumstances will employees report time on a client time sheet for a
scheduled holiday, unless specifically requested by the client.

If a holiday falls on a Saturday, the holiday will be observed on the preceding Friday; if a
scheduled holiday falls on a Sunday, the holiday will be observed on the following Monday,
unless the client holiday schedule is different. For fulltime employees not working 40 hours,
holidays will only be paid to you if the holiday falls on your regularly scheduled work day.
Employees must be employed for thirty (30) days to be eligible for the Floating Holidays.
Vacation
Full-time eligible employees will accrue 3.33 hours of vacation each pay period for a total of no
more than 80 hours per year. If employee is fulltime but not working 40 hours, your vacation
hours will be prorated. Employees must complete a vacation/time off form to request
vacation. Employees may borrow up to 20 hours of vacation, however, should an employee
leave WDS, any used but unearned vacation hours will be deducted from the employee’s final
paycheck. Requests to borrow vacation must be made in writing and be approved by
supervisor. Borrowed vacation requests must be in eight-hour increments. Management
and/or client must be notified of any request for vacation to insure time off will not impact the
client and/or project.
We encourage you to use all of your earned vacation each year. The maximum vacation that you
may accumulate is 200 hours; the accrual of vacation hours will stop at that point. You may
carry over unused vacation from one calendar year to the next. However, at the end of the
calendar year if your vacation hours exceed the 120 hours, WDS will pay the employee the
appropriate number of hours to bring their vacation total to 120 hours. Special needs to exceed
the 120 hour maximum, i.e., lengthy vacation plans for the next year, will be addressed on an
individual basis. Letters requesting extensions must be approved by both the HR Director and
the current supervisor. Vacation time will not be counted in the computation of overtime.

Bus Pass/Van Pool/Parking
Eligible employees required to pay for parking on assignments (such as downtown) will be
reimbursed up to $85/month. This may also be used to cover bus passes or van pool expenses.
(All expense claims must include receipts). If a staff member chooses a parking area that
exceeds $85/month, the employee is responsible for the difference.
Mileage
Client reimbursable mileage will be paid at the rate that the client allows, i.e., for the State of
Colorado contracts will be at the approved State rate. WDS reimbursable mileage will be paid at
the rate that the IRS allows. An approved expense report is required for reimbursement.
Tolls
Toll Roads
WDS will reimburse expenses for tolls when on Company business only, i.e., travel to and from
offsite meeting, Company travel, etc. Please make sure to complete an expense report for these
charges.
Referral Bonus
WDS will pay a $500 bonus to employees who recommend someone for employment per the
following guidelines: If hired, employee must complete the terms of the contract, i.e., if contract
is for six weeks, employee completes the contract, or be an employee for at least 90 days.
Timecards
All time worked must be reported on employees’ timecards. “Non-billable” sections of the
timecard cannot be used unless specifically authorized by the WDS Engagement Manager. If, at
the end of a WDS pay period, all available vacation and sick/personal time has been used, and
additional time is shown on the time card, then this time will be classified as time-off without
pay. Please refer to the new Payroll/timecard policy.
Sick/Personal Time
Fulltime eligible employees are eligible for 40 hours of sick/personal time per calendar year,
based upon the following table: If you are hired between:
January 1st – March 31st
– 40 hours
April 1st – June 30th
– 24 hours
July 1st – September 30th – 16 hours
October 1st – December 31st – 8 hours

Employees are to contact WDS as well as the client when they will be gone due to
sickness/personal time. It is the employee’s responsibility to keep the client and WDS
informed when they will be gone due to illness/personal time. Employees must complete a
vacation/time off form to report time off. Sick/personal time may only be taken in one-hour
increments. The company may request a medical statement from the employee’s doctor when
they are absent from work for more than three working days. In the event of
resignation/termination of employment, unused sick/personal time will not be granted. For
example, if an employee puts in or is given a two weeks notice, no sick time will be granted
during that two week period. Sick/Personal days are not carried over from year to year.
Sick/personal time will not be counted in the computation of overtime.

All full-time employees working 30 hours per week are
eligible to participate in benefits. The effective date of
coverage will be the first of the month following 30 days
of continuous employment.

Enrollment
Wyant Data Systems, Inc. sponsors a Premium Only
(POP) plan that allows you to pay your portion of
Medical and Dental premiums on a pre-tax basis through
payroll deductions. Your portion of the premium will be
deducted from your paycheck on a pre-tax basis unless
you request otherwise. *Please note that if you elect pretax payroll deductions, you may not discontinue or
change your coverage elections during the plan year for
any reason other than a qualifying event. However, you
may make changes during the annual open enrollment
period.
2020 Open Enrollment
The benefits you elect during open enrollment will be
effective December 1, 2020 through November 30,
2021. Open enrollment is the one time every year that
you can make changes to your benefits without having a
qualifying event.
New Hire Enrollment
The effective date of coverage for new hires is the first of
the month following 30 days of continuous employment.

What is a Qualifying Event?
A qualifying event is a mid-year event that allows
employees to make election changes to their pre-tax
deductions when a change in a participant’s status
occurs. Election changes must be made within 30 days
of the event date. These events include:
 Marriage or divorce
 Birth, adoption or death
 Loss of coverage elsewhere
 Significant change in the availability, cost, or
benefits of your other coverage

Age-Banded Rates
The total monthly premium that United Healthcare charges is noted below, along with the Employee Per Pay Period cost.
WDS pays 100% of the employee only premium. If you would like to add coverage for your spouse or dependent
children, you are welcome to do so at your own cost. You would be responsible for the total monthly rate based on the age
of your dependents. For families that have more than 3 dependent children age 0-20, only the oldest 3 children are
charged a premium.

*Note for Mid-Year Enrollment: If you enroll in the plan
mid-year (either due to a qualifying event or as a new
hire), you can still contribute the entire maximum amount
above. However, you must remain enrolled in the HDHP
for 12 months. Consult your tax advisor for details.
Health Savings Account
(HSA)
*Please Note: You can only open the HSA if you are
enrolled in a qualified High-Deductible Health Plan.
You can also make lump sum contributions to your HSA,
and manually make the deduction on your tax return.
An HSA is an interest-bearing tax-free bank account that
you can use to pay for out-of-pocket expenses while you
are meeting your United HealthCare deductible. You
may elect the amount you wish to contribute on a pre-tax
basis from your paycheck to fund your HSA on a per pay
basis. You can change the amount you are contributing
throughout the year.
Employer HSA Contributions
Effective in 2020, Wyant Data Systems, Inc. will
contribute $145 per pay period to each eligible employee
enrolled on the High-Deductible Health Plan.
NOTE: Contributions that you make to the HSA must
be in a minimum of $1 increments.
At the end of the year, any unused funds roll over into
the new year. There is no “use it or lose it” provision. If
you leave employment at Wyant Data Systems, Inc., any
money left in your account goes with you and you can
continue to use it for out-of-pocket medical expenses.
How to Use Your HSA
You will need to set up your HSA account through
FirstBank.
FirstBank will issue you a debit card for use in paying
your medical bills and services. The HSA works like a
regular checking account in that you can’t spend the
money unless it’s in the account.
HSA Eligibility
You can open and contribute to an HSA if you meet the
following requirements:
 You are enrolled in an HDHP medical plan
 You are not covered by another health plan,
including a Flexible Spending Account at your
spouse’s employer (unless it is a limited FSA)
 You are not enrolled in Medicare or over 65
 You are not claimed as a dependent on
someone else’s tax return
Eligible Expenses
You can use the funds in your HSA for any qualified
expense after the date the HSA was established.
Expenses can also be for your dependents, even if they
are not covered under the HDHP. The list of qualified
medical expenses can be found at www.irs.gov under
Section 213(d), Publications 502 and 503.
Contribution Limits
For 2021 the total amounts that can be contributed to
your HSA (includes employer and employee
contributions) is:

If you use the money in your HSA for a non-qualified
expense, you will be subject to taxes and a penalty. After
age 65, non-qualified distributions are subject to income
tax only.

*If you are 55 years of age or older, you may make an
additional “catch-up” contribution of $1,000 per year.
Important Note: Keep your receipts for distributions out
of the HSA account. If the IRS audits you, you will need
to prove that you used your HSA money for qualified
expenses.

Dental Plan – Delta Dental
If you see dentists contracted with the Delta Dental PPO network, you will enjoy the most savings and least out-of-pocket
expenses. If you see a dentist that is not contracted, you will be balance-billed for the difference between the negotiated
rate and what the dentist charges. If you need to have major dental work done, most contracted dentists will submit a pretreatment estimate to the Dental insurance, so you will know what your out-of-pocket cost will be.

Security Normal Retirement Age. The coverage provides
you with 60% of your base salary up to a maximum of
$2,500 per month.

Inform Marci Wyant what changes you’d like to make or confirm that you’ll keep everything the same.
