The Buyer agrees to be bound by these Terms upon placing an order with PC-UK to the exclusion of any other terms (including any terms or conditions contained in, or referred to in the Buyer’s purchase order, confirmation of order or other correspondence, or implied by law, trade custom, practice or course of dealing. 1. Price and Payment: Product prices are as listed in PC-UK’s Current Trade Price Ruling for Goods, as amended from time to time at the sole discretion of PC-UK. The Buyer shall be free to re-sell the Product before title has passes to the Buyer, providing that the proceeds of sale are held on trust for PC-UK (save that the Buyer may deduct and retain any sum by which the proceeds exceed the amount owing to PC-UK). 4. Delivery: Product will be available for shipment based on factory lead times in effect at the time the order is accepted by PC-UK. Delivery of the product must take place within two (2) weeks after notification is sent to the Buyer that the Product is available for shipment. If Product does not ship during the two (2) weeks after notification due to a delay by the Buyer, payment for the Product shall become due on the date PC-UK is prepared to make delivery and PC-UK’s delivery obligations shall be deemed fulfilled and all risk of loss or damage to such Product shall thereupon pass to Buyer. In the event the Buyer delays delivery and PC-UK, in its sole discretion, agrees to such delay, PC-UK may place such product in storage either at its manufacturing location or at an off-site location. If the Product is stored, all costs incurred by PC-UK in connection with such storage, including, without limitation, costs of preparing Product for storage, placement into storage, handling, storage or, demurrage fees, inspection, preservation and insurance shall be due and payable by Buyer upon receipt by Buyer of the relevant PC-UK invoice therefore. When conditions permit and upon payment of all amounts due hereunder, PC-UK shall arrange, on behalf of Buyer, and at the cost of Buyer, for shipment to a destination mutually acceptable to PC-UK and Buyer. Buyer may not export any Product to any place outside the country of delivery to any other country without first obtaining any necessary export license or approval. Buyer shall in no event export any Product to any person anywhere in the world engaged in the design, development or manufacture of any weapon of mass destruction or delivery system. 5. Shortage or Damage: No claims for shortage in quantity of Product or damage to Product delivered will be considered unless reported to PC-UK within (i) 48 hours in the case of shipments within the United Kingdom and (ii) 14 days in the case of shipments to a destination outside of the United Kingdom. Claims for damaged Product should be made by the Buyer directly to the delivering carrier upon receipt of shipment. Shortages and / or type of damage should be noted on the freight bill and / or bill of lading at the time of delivery and a copy faxed to PC-UK. Status of the seal should also be documented as "intact" or "broken". Shortages for LTL and list shipments must be noted as such on the freight bill at the time of delivery. 6. Returns: The Buyer can only return Product following written authorization from PC-UK. Only standard Insulation Products in an undamaged condition may be returned. Accessories and specially manufactured Insulation Product are non-returnable. All returns must be in accordance with the PC-UK Returns Policy. 7. Cancellation and Changes to Order: The Buyer may cancel its order only upon written notice to and consent of PC-UK. On cancellation of an order, the Buyer shall pay to PC-UK any costs reasonably and properly incurred by PCUK in relation to such cancellation. Buyer may make changes to a product order for standard material only up to 14 days prior to shipment by PC-UK. All orders for Fabricated and Special order materials are only subject to change with the express written permission of PC-UK. 8. Limitation of Warranty and Exclusive Remedy: PC-UK warrants only that the product shall conform to PC-UK’s published specifications for the Product when shipped to Buyer. PC-UK will replace without charge goods shown by Buyer to be otherwise than as specified. PC-UK’s liability is expressly limited to such replacement unless PC-UK, at its sole discretion, elects to issue a credit to Buyer. PC-UK shall have no further liability to the Buyer. If requested by PCUK, Buyer shall return allegedly nonconforming Product to PC-UK’s manufacturing location, and if such Product is replaced, PC-UK will pay freight thereon. In no event will credit, adjustment or return of allegedly nonconforming Product be allowed when the Product has been in the possession of Buyer for more than three (3) months from the date of shipment by PC-UK. Except as provided herein, all conditions and warranties whether express or implied by statute, common law or otherwise, as to the quality or fitness for any of the Products or their correspondence with description are hereby excluded to the fullest extent permitted by law. 9. Recalls: In case of critical product faults justifying a recall of the Products, the Buyer is obliged to confer with PCUK to ensure that the Buyer’s related actions will harmonize with PC-UK’s policy in respect of product recall. The costs reasonably incurred by the Buyer for any such product recall will be reimbursed by PC-UK to the Buyer if PC-UK is liable therefore. Nothing in these Terms shall limit or exclude liability of either party for (i) death or personal injury resulting from negligence, (ii) fraud or fraudulent misrepresentation, or (iii) breach of the terms implied by section 12 of the Sale of Goods Act 1979. 11. Force Majeure: PC-UK shall not be liable, nor deemed in default hereunder, for any failure or delay in delivering the Product or in the performance of its other obligations to Buyer hereunder, caused by or arising out of (a) compliance in good faith with any applicable law or regulation or judicial claim of whatever nature and whether national, foreign or local (including the European Union); (b) all acts of God (such as, but not limited to, floods, fires, or tornadoes); (c) strikes and other labour trouble; (d) delays or non-performance by suppliers (or other third parties) of raw products, power or other needed supplies or services; (e) delays or non-performance by transporting carriers; and/or (f) any government action or inaction; or (g) any other cause, contingency, or circumstance not subject to the reasonable control of PC-UK affecting the performance of PC-UK’s obligations hereunder. PC-UK shall determine in good faith the extent to which it can reasonably control a cause, contingency, or circumstance affecting its performance obligations. 12. Retention of Title: The risk in the goods shall pass from the seller to the buyer upon delivery of such goods to the buyer. However, notwithstanding delivery and the passing of risk in the goods, title and property in the goods, including full legal and beneficial ownership, shall not pass to the buyer until the seller has received in cash or cleared funds payment in full for all goods delivered to the buyer under this and all other contracts between the seller and the buyer for which payment of the full price of the goods thereunder has not been paid. Payment of the full price of the goods shall include the amount of any interest or other sum payable under the terms of the and all other contracts between the seller and the buyer under which the goods were delivered. 13. Arbitration: The Buyer and PC-UK agrees that any dispute or controversy arising hereunder (including the validity of this provision) that cannot be resolved between them by good faith negotiations shall be finally settled under the Rules of Arbitration of the London Court of International Arbitration by one arbitrator appointed in accordance with said Rules. Any such arbitration proceeding shall take place in London in the English language. 14. General: If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provision. Any waiver by PC-UK of a breach of any term or condition of sale shall not constitute a waiver or prejudice PC-UK’s right to otherwise subsequently demand strict compliance with that or any other term or condition of this offer of sale. These Terms are subject to change by PC-UK at any time without notice and all product sold by PC-UK is subject to PC-UK’s latest published standard terms and conditions of sale. These Terms and each supply of Product by PC-UK to the Buyer and any dispute or claim arising out of or in connection with it or its subject matter of formation (including non-contractual claims) shall be governed by and construed in accordance with English law. These Terms constitute the whole agreement of the Buyer and PC-UK in relation to its subject matter and supersedes any previous agreement, representations, warranties or arrangement (whether in writing or oral) between them in relation to that matter.
