WHEREAS, the whereabouts of Donald Stehl and Anthony Jokerst are unknown
WHEREAS, Warren W. Farr, Sr . is deceased .
WHEREAS, the undersigned directors of the Corporation, being all of the
directors thereof, do consent to the taking of the following action m lieu of a meeting of the
Board of Directors, and do adopt the following resolutions by written action pursuant to
Section 405 of the Not-for-Profit Corporation Law of the State of New York'
RESOLVED, that L. B Mingledorff is hereby appointed as
President, effective immediately, and shall serve as such until his
successor shall have been duly elected or appointed and qualified,
