ID DIRECT - Maintenance AGREEMENT
Equipment Covered
Customer (as stated under Company Name), hereby orders annual repair services from ID Direct (IDD) , 1400 10th St., Plano, TX 75074. ID Direct agrees to rrepair
services on the equipment listed under the Equipment Coverage Table (page 2), subject to the terms and conditions stated hereinafter.
Terms Acceptance
The customer acknowledges that this plan is read and understood, and agrees to be bound by its terms and conditions. Futhermore, the customer agrees that his plan is
the complete and exclusive agreement between the above parties relating the subject of annual service repair service. ID Direct reserves the right to assign this plan.
Term Renewal
The term of this plan should be as long as the “Plan Period.” Thereafter, at the customer’s written request and subject to changes and acceptance by ID Direct at its sole
discretion, this plan may be renewed for additional successive “Plan Periods” at annual charges determined by ID Direct and quoted to the customer.
Services Provided
All plans are subject to a thirty (30) day waiting period on repairs from the start of the plan period.
Gold - This plan (as designated by plan type) offers depot repair services for all covered equipment. Customer is to pay shipping to ID Direct. ID Direct will pay
shipping for the return of the repaired item.
Platinum - This plan (as designated by plan type) shall include the gold service along with a loaner replacement product that is to be over-nighted directly to the
customer, after the report of the broken product.
Exclusions
Services provided by ID Direct under this plan do not include printheads, batteries, cables, and/or replacement of parts caused by:
a) Unauthorized tampering with equipment.
b) Use of equipment other than the use for which it was designed.
c) Accidents or disasters, including but not limited to fire, flood, lighning, or neglect.
d) PC or mainframe connectivity issues.
e) Software or media issues.
Limitations Of Liability
In no event shall ID Direct be liable to Customer for any indirect, special or consequential damages or lost profits arising out of or relating to this Plan, ID Direct’s
products, performance, or breach thereof, even if ID Direct has been advised of the possibility thereof. ID Direct’s liability, if any, to customer and/or their customers
hereunder shall, in no event, exceed that total amounts paid to ID Direct hereunder by the customer for a defective product. In no event shall ID Direct be liable to
customer for any damages resulting from or related to any failure or delay by ID Direct in the delivery or installation of the computer hardware, supplies or software,
or in the performance of any services under this plan.
The remedies set forth in this plan are the sole exclusive remedies available to any person for any damages of any kind and nature including incidental, consequential or
special, whether arising from warranty (including any implied warranties), contract, negligence, tort or otherwise. In the event any implied warranties (including, but
not limited to the implied warranties or merchantability and fitness for a particular purpose) are found to exist, such warranties are limited in duration to the period of
the warranties contained in this plan. Some states do not permit the exclusion of incidental or consequential damages. In those states the foregoing limitations may
not apply. The warranties contained in the plan give you specific legal rights; you may have other legal rights, which vary from state to state.
ID DIRECT IS NOT RESPONSIBLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY BREACH OF
WARRANTY, OR UNDER ANY LEAGAL THEORY, INCLUDING LOST PROFITS, DOWNTIME, GOODWILL, DAMAGE TO OR REPLACEMENT
OF EQUIPMENT AND PROPERTY, AND ANY COSTS OF RECOVERING, REPROGRAMMING, OR REPRODUCING ANY PROGRAM OR DATA
STORED IN OR USED WITH ID DIRECT PRODUCTS.
Some states do not allow the exclusion or limitation of implied warranties or liability for incidental or consequential damamges, so the above limitation may not apply to you.

Your signature indicates that you have read the terms and agreements for each ID Direct Service Plan (see page 1). When acceptable terms of payment are made and
both parties approve of this agrreement , this service plan will go into effect.
