I.
PURPOSE
The purpose of this Invitation for Bids is to obtain pricing on furnishing all labor, materials, and
equipment necessary to install a turnkey Audiovisual System to include updating the
configuration of the systems to ensure the systems are operational for the Community
Development Building, Multipurpose Room.
II.
BACKGROUND
The multipurpose room is a 1020 sq. ft. room which is used for presentations and an
Emergency Operation Center (EOC). The system shall be a fully functioning audiovisual
presentation and training systems to allow various video and data inputs to be displayed on
various visual display devices from local or remote inputs and amplifications of audio source
equipment, audio-from-video source equipment, and/or live microphones.
III.
SCOPE OF WORK/SPECIFICATIONS
Audio, Video and Media Control System – Community Development Bldg., Multipurpose Room.
The following listed technical specifications and attached hereto titled “Bidding Documents
Attachment B” describes the complete Audio, Video and Media Control System that is to be
furnished and installed (LOT B1, BID FORM)

INSTRUCTIONS
A.
Submission and Receipt of Bids
1. Sealed bids shall be received in the Chesterfield County Purchasing Department,
9901 Lori Road, Lane B. Ramsey Building, 3rd Floor, Room 303, P.O. Box 51,
Chesterfield, Virginia, 23832 until, but no later than the specified time and date of
opening as designated in the invitation, and then publicly opened and read aloud.
Bids shall be submitted in a sealed envelope with the IFB number and due date and
time written on the outside of the envelope. The time of receipt shall be determined
by the time clock stamp in the Purchasing Department. Bidders are responsible for
ensuring that their bids are stamped by Purchasing Department personnel before
the deadline. Late bids shall be rejected.

2. Bids or changes to a bid response shall not be accepted via fax or E-mail.
3. In the event that Chesterfield County government offices are not operating under
normal staffing levels or if the location for bid submission, bid opening or a pre-bid
conference is inaccessible due to inclement weather or other emergency situations
at the published time, the bid submission, bid opening or pre-bid conference will
default to the next regular business day at the same time.
4. All bids shall be signed in the space provided for a signature on the cover sheet and
returned. If the bidder is a partnership or corporation, the bidder shall show the title
of the individual signing the bid, and if the individual is not the president or vice
president of the partnership or corporation, if requested, the bidder shall submit
proof that the individual has the authority to bind the partnership or corporation.
5. Bids concerning separate bid invitations are not to be combined on the same form or
placed in the same envelope. Bids submitted in violation of this provision may not
be considered.
6. Unless otherwise specified, bidders are to complete and return the Bid Form
furnished by the County.
7. No bid shall be altered or amended after the specified time for opening.

B.
Amendments or Requests to Withdraw Bids by a Bidder Prior to Bid Opening: A
bidder may amend and/or withdraw their bid before the due date and time designated
for receipt of bids. All requests from a bidder to return their bid shall be in writing,
addressed to the Purchasing Department, and signed by a person authorized to
represent the person or firm that submitted the bid. The bidder may be contacted by
telephone to verify the authorization of the return request and the signature involved if
there is doubt as to the document’s authenticity. All amendments to the bid are to be
initialed by an individual authorized to represent the bidder.
C.
Pre-Bid Conference (Non-Mandatory): A non-mandatory pre-bid conference will be
held on December 18, 2013 at 9:00 a.m. The conference will be held at: Community
Development Building, Multipurpose Room, 9800 Government Center Parkway,
Chesterfield, VA 23832
Attendance is encouraged; however, it is not mandatory in order for your bid to be
considered for award.

V.
GENERAL TERMS AND CONDITIONS
A.
Addenda: Any changes or supplemental instructions to this solicitation shall be in the
form of written addenda. All addenda are downloadable from the Purchasing
Department web site at: www.chesterfield.gov/purchasing. Each bidder is responsible
for obtaining all addenda posted at the Purchasing Department website or by calling
(804) 748-1617. Acknowledgement of receipt of all addenda shall be in the space
provided within the solicitation or by returning a copy of each signed addendum. Failure
to do so may result in rejection of the bid. All addenda issued shall become part of the
solicitation and all resulting contract documents.
B.
Appropriation of Funds: The continuation of the terms, conditions, and provisions of a
resulting contract beyond June 30 of any year, the end of the County’s fiscal year, are
subject to approval and ratification by the Chesterfield County Board of Supervisors and
appropriation by them of the necessary money to fund said contract for each
succeeding year. In the event of non-appropriation of funds, the contract shall be
automatically terminated with no recourse for the Contractor.
C.
Assignment of Contract: The County and Contractor bind themselves and any
successors and assigns to the contract. The employees of the Contractor will perform
the work necessary to fulfill the contract. The Contractor shall not assign, sublet,
subcontract or transfer any of its interest in the contract without written consent of the
County. Nothing herein shall be construed as creating any personal liability on the part
of any officer or agent of the County, nor shall it be construed as giving any rights or
benefits hereunder to anyone other than the County and Contractor.
D.
Audit of Vendor Records: Contractor shall maintain full and accurate records with
respect to all matters covered under the contract including, without limitation,
accounting records, written policies and procedures, time records, telephone records,
reproduction cost records, travel and living expense records and any other supporting
evidence necessary to substantiate charges related to the contract. Contractor's
records shall be open to inspection and subject to audit and/or reproduction, during
normal working hours by the County and its employees, agents or authorized
representatives to the extent necessary to adequately permit evaluation and verification
of any invoices, payments or claims submitted by Contractor pursuant to this contract.
Such records subject to examination shall also include, without limitation, those
allocations as they may apply to costs associated with the contract. The County shall
have access to such records from the effective date of the contract, for the duration of
the contract, and until two (2) years after the date of final payment by the County to the
Contractor pursuant to this contract. The County's employees, agents or authorized
representatives shall have access to the Contractor's facilities, shall have access to all
necessary records, and shall be provided adequate and appropriate work space, in
order to conduct audits in compliance with this paragraph.
E.
Change Orders: Change orders must be approved by the County prior to work being

performed.
F.
Commitment to Diversity and Chesterfield Businesses: Chesterfield County is a

Chesterfield County believes that all of its citizens should benefit from this economic
growth without regard to race, color, religion or economic status. The County is
committed to increasing the opportunities for participation of minority-owned
businesses, women-owned businesses, and businesses located in Chesterfield County
to ensure diversity in its procurement and contract activities. These businesses are
encouraged to respond to all solicitations. In addition, the County strongly encourages
each Contractor and/or supplier with which the County contracts to actively solicit
minority-owned businesses, women-owned businesses, and businesses located in the
County as subcontractors/suppliers for their projects.
Upon award/completion of work, the County will require the Contractor to furnish data
regarding subcontractor/supplier activity with minority-owned businesses, womenowned businesses, and businesses located in Chesterfield County on a Certification of
Subcontractor/Supplier Activity form. The form will be provided to the Contractor by the
Purchasing Department. This information will enable the County to document the dollar
level of activity and measure the success of its purchasing and contracting efforts in this
endeavor.
Definitions:
Chesterfield Business (CB) - any private business enterprise, located within the
jurisdictional boundaries of Chesterfield County.
Minority-Owned Business (MOB) – a business that is at least 51% owned by one or
more minority individuals who are U.S. citizens or legal resident aliens, or in the case of
a corporation, partnership, or limited liability company or other entity, at least 51% of the
equity ownership interest in the corporation, partnership, or limited liability company or
other entity is owned by one or more minority individuals who are U.S. citizens or legal
resident aliens, and both the management and daily business operations are controlled
by one or more minority. (Code of Virginia 2.2-4310)
Women-Owned Business (WOB) - a business that is at least 51% owned by one or
more women who are U.S. citizens or legal resident aliens, or in the case of a
corporation, partnership, or limited liability company or other entity, at least 51% of the
equity ownership interest is owned by one or more women who are U.S. citizens or
legal resident aliens, and both the management and daily business operations are
controlled by one or more women. (Code of Virginia 2.2-4310)
G.
Contractor Background Checks: In order to preserve the integrity and security of
County government operations, contract workers may be required to undergo a criminal
background check conducted by Chesterfield County. The County will conduct these
checks for any worker it believes will have unsupervised access to County designated
Security Sensitive areas. Contract workers providing goods, services or construction in
these designated areas are required to confine themselves to the area of the work.

Based on the results of the background check, the contract worker may be disqualified
from providing work/services for Chesterfield County.
H.
Contractor’s Authorization To Transact Business: In accordance with §2.2-4311.2
of the Code of Virginia, any bidder organized as a stock or nonstock corporation, limited
liability company, business trust, or limited partnership or registered as a registered
limited liability partnership shall be authorized to transact business in the
Commonwealth as a domestic or foreign business entity if so required by Title 13.1 or
Title 50 of the Code of Virginia, or as otherwise required by law. Any bidder organized
or authorized to transact business in the Commonwealth of Virginia pursuant to Title
13.1 or Title 50 of the Code of Virginia shall include in its bid the identification number
issued to it by the State Corporation Commission. Any bidder that is not required to be
authorized to transact business in the Commonwealth as a foreign business entity
under Title 13.1 or Title 50 of the Code of Virginia, or as otherwise required by law, shall
include in its bid a statement describing why the bidder is not required to be so
authorized. This information shall be provided in the section of the Bid Form titled
“Virginia State Corporation Commission (SCC) Registration Information”. Failure to
provide the required information may result in the rejection of the bid. The Contractor
shall not allow its existence to lapse or its certificate of authority or registration to
transact business in the Commonwealth of Virginia, if so required under Title 13.1 or
Title 50 of the Code of Virginia, to be revoked or cancelled at any time during the term
of the contract. The County may void any contract with a Contractor if the Contractor
fails to remain in compliance with the provisions of this section. SEE THE BID FORM.
I.
Copyrights or Patent Rights: The bidder certifies by submission of a bid that there
has been no violation of copyrights or patent rights in manufacturing, producing, or
selling the product or services shipped or ordered as a result of this solicitation. The
Contractor shall, at his own expense, defend any and all actions or suits charging such
infringement, and will save Chesterfield County, its officers, employees, and agents
harmless from any and all liability, loss, or expense incurred by any such violation, or
alleged violation.
J.
Default: In case of failure to deliver goods or services in accordance with the contract
terms and conditions, the County may, without prejudice to any other right or remedy,
and after giving the Contractor seven (7) calendar days written notice, terminate the
employment of the Contractor and procure such goods or services from other sources.
In such event, the Contractor shall be liable to the County for any resulting additional
purchase and administrative costs. This remedy shall be in addition to any other
remedies which the County may have.
K.
Drug Free Workplace: (Code of Virginia 2.2-4312) This provision only applies to
contracts valued in excess of $10,000.
During the performance of this contract, the Contractor agrees to (i) provide a drug-free
workplace for the Contractor's employees; (ii) post in conspicuous places, available to
employees and applicants for employment, a statement notifying employees that the
unlawful manufacture, sale, distribution, dispensation, possession, or use of a controlled
substance or marijuana is prohibited in the Contractor's workplace and specifying the

actions that will be taken against employees for violations of such prohibition; (iii) state
in all solicitations or advertisements for employees placed by or on behalf of the
Contractor that the Contractor maintains a drug-free workplace; and (iv) include the
provisions of the foregoing clauses in every subcontract or purchase order of over
$10,000, so that the provisions will be binding upon each subcontractor or vendor.
For the purposes of this section, “drug-free workplace” means a site for the performance
of work done in connection with a specific contract awarded to a Contractor in
accordance with this chapter, the employees of whom are prohibited from engaging in
the unlawful manufacture, sale, distribution, dispensation, possession or use of any
controlled substance or marijuana during the performance of the contract.
L.
Employment Discrimination: (Code of Virginia 2.2-4311) This provision only applies
to contracts valued in excess of $10,000.
1. During the performance of the contract, the Contractor agrees as follows:
a. The Contractor will not discriminate against any employee or applicant for
employment because of race, religion, color, sex, national origin, age, disability,
or any other basis prohibited by state law relating to discrimination in
employment, except where there is a bona fide occupational qualification
reasonably necessary to the normal operation of the Contractor. The Contractor
agrees to post in conspicuous places, available to employees and applicants for
employment, notices setting forth the provisions of this nondiscrimination clause.
b. The Contractor, in all solicitations or advertisements for employees placed by or
on behalf of the Contractor, will state that such Contractor is an equal opportunity
employer.
c. Notices, advertisements and solicitations placed in accordance with federal law,
rule or regulation shall be deemed sufficient for the purpose of meeting the
requirements of this section.
2. The Contractor shall include the provisions of the foregoing paragraphs a, b, and c in
every subcontract or purchase order of over $10,000, so that the provisions will be
binding upon each subcontractor or vendor.
M.
Environmental Management Procedures: The Contractor shall comply with all
federal, state and local environmental laws and regulations and any additional
requirements that may be included in or attached to the solicitation. For work done for
the County, the Contractor must also meet all Chesterfield County Environmental
Management System (EMS) requirements. For questions or additional information
regarding environmental requirements for the County, please contact Chesterfield
County’s General Services – Environmental Division at (804) 717-6531. For
questions regarding environmental requirements for the Chesterfield County Public
Schools, please contact Environmental Health and Safety at (804) 318-8048.
N.
ePayables: Chesterfield County recognizes the importance of timely payments to our
vendors. Therefore, we offer our vendors the opportunity to enroll in our ePayables
program. This program allows us to make card payments to our vendors and features

an online portal to facilitate payments as well as reduce payment processing times. Our
ePayables program is mutually beneficial and is our preferred method of payment. If
you choose not to enroll in this program, payments will be made by check and mailed
through the postal service which could impact how quickly you receive payments. No
action is required for vendors already enrolled in the program. Please contact the
Accounting Department at (804) 748-1673 with questions.
O.
Faith-Based Organizations: (Code of Virginia 2.2-4343.1) Chesterfield County does
not discriminate against faith-based organizations.
P.
Finance/Interest Charges: Finance and/or interest charges imposed by the Contractor
on any invoice shall not be paid by the County.
Q.
Governing Law: Contracts shall be governed by the provisions hereof and by the laws
of the Commonwealth of Virginia, excepting the law governing conflicts of laws.
Disputes arising out of this contract shall be resolved in the Courts of the
Commonwealth of Virginia, in and for Chesterfield County.
R.
Illegal Aliens: (Code of Virginia 2.2-4311.1) The Contractor agrees that he does not,
and shall not, during the performance of the contract, knowingly employ an
unauthorized alien as defined in the federal Immigration Reform and Control Act of
1986.
S.
Indemnification: The Contractor shall hold harmless and indemnify the County, the
School Board, if applicable, and its officers, officials, employees and agents against any
and all injury, loss or damage arising out of the Contractor’s negligent or intentionally
wrongful acts or omissions.
T.
Mistakes in Bids
1. Mistakes discovered following bid opening but prior to award: If there is a significant
and obvious disparity between the prices of the lowest apparent responsive bidder
and other bidders, the low bidder may be contacted by the purchasing authority to
confirm the bid price. This does not relieve a bidder from the responsibility for the
submission of a correct bid. If the bidder then alleges a mistake in the bid and can
provide clear and convincing evidence that supports the existence of a clerical error
to the satisfaction of the purchasing authority, the bid may be withdrawn in
accordance with the withdrawal procedure provided herein.
2. Mistakes discovered after award: Bids containing mistakes by bidders shall not be
withdrawn after award of a contract or issuance of a purchase order.
U.
Modification of the Contract: The contract shall not be amended, modified, or
otherwise changed except by the written consent of the Contractor and the County
given in the same manner and form as the original signing of the contract.
V.
Negotiation: In accordance with 2-47 of the County Code, if the bid from the lowest
responsible bidder exceeds available funds, the county may negotiate with the apparent
low bidder to obtain a contract price within available funds. Such negotiation may
include, but is not necessarily limited to, adjustment of the bid price and changes in the

bid scope or requirements in order to bring the bid within the amount of available funds.
Negotiation shall be conducted by the purchasing director, or his designee, with
assistance from the user department.
W.
Payment: If the Contractor performs all of the obligations of the contract to the
satisfaction of the County, the County shall pay the Contractor for the performance of
the work in the manner and within the time specified in the contract documents, which
shall be consistent with the provisions of Section 2.2-4352 and 2.2-4354 of the Code of
Virginia.
Furthermore, the Contractor shall, within seven days after receipt of payment by the
County, take the following actions:
1. Pay the subcontractor for the proportionate share of the total payment received from
the County attributable to the work performed by the subcontractor under that
contract; or
2. Notify the County and subcontractor, in writing, of his intention to withhold all or a
part of the subcontractor's payment with the reason for nonpayment.
X.
Precedence of Terms: All Special Conditions contained in this solicitation that may be
in variance or conflict with these General Terms and Conditions shall have precedence
over these General Terms and Conditions. If no changes or deletions to General Terms
and Conditions are made in the Special Conditions, then the General Terms and
Conditions shall prevail in their entirety.
Y.
Preferences: In accordance with Section 2.2-4324 (B) of the Code of Virginia,
whenever the lowest responsive and responsible bidder is a resident of any other state
and such state under its laws allows a resident contractor of that state a percentage
preference, a like preference shall be allowed to the lowest responsive and responsible
bidder who is a resident of Virginia and is the next lowest bidder. If the lowest
responsive and responsible bidder is a resident of any other state and such state under
its laws allows a resident contractor of that state a price-matching preference, a like
preference shall be allowed to responsive and responsible bidders who are residents of
Virginia. If the lowest bidder is a resident contractor of a state with an absolute
preference, the bid shall not be considered. The Commonwealth’s Department of
General Services shall post and maintain an updated list on its website of all states with
an absolute preference for their resident contractors and those states that allow their
resident contractors a percentage preference, including the respective percentage
amounts. For purposes of compliance with this section, the County will rely upon the
accuracy of the information posted on this website. In accordance with Section 2.24324 (D) of the Code of Virginia, for the purposes of this section, a Virginia person, firm
or corporation shall be deemed to be a resident of Virginia if such person, firm or
corporation has been organized pursuant to Virginia law or maintains a principal place
of business within Virginia.
In accordance with Section 2.2-4328 of the Code of Virginia and Article 4, Section 2-47
of the County Code, in the case of a tie bid, the County may give preference to goods,
services, and construction produced in the County or provided by persons, firms or

corporations having principal places of business in the County. If such choice is not
available, preference shall then be given to goods and services produced in the
Commonwealth of Virginia pursuant to Code of Virginia 2.2-4324 or where goods are
being offered, and existing price preferences have already been taken into account,
preference shall be given to the bidder whose goods contain the greatest amount of
recycled content. If no County or Commonwealth of Virginia preference is applicable,
the tie shall be decided by lot.
Z.
Proprietary Information: Section 2.2-4342(F) of the Code of Virginia states: “Trade
secrets or proprietary information submitted by a bidder, offeror, or Contractor in
connection with a procurement transaction or prequalification application submitted
pursuant to subsection B of 2.2-4317 shall not be subject to the Virginia Freedom of
Information Act (2.2-3700 et seq.); however, the bidder, offeror, or Contractor shall (i)
invoke the protections of this section prior to or upon submission of the data or other
materials, (ii) identify the data or other materials to be protected, and (iii) state the
reasons why protection is necessary.” If the exemption from disclosure provided by
Section 2.2-4342(F) of the Code of Virginia is not properly invoked then the bids will be
subject to disclosure pursuant to applicable law.
AA.
Quality Expectation Statement: Chesterfield County, through its quality initiative, is a
recognized leader in providing quality products and services at the most effective cost
possible. Therefore, the County fully expects, requires, and shall hold all Contractors,
and all agents, staff, representatives, and subcontractors of the Contractor, responsible
for, and accountable to, the highest quality standards of professional workmanship,
products and services. In the spirit of the County’s quality initiative, the Contractor shall
be expected to become a member of the team and perform or provide all work, services
and products with a target of “zero defects – zero rework”.
BB.
References: If requested, the bidder shall provide references which substantiate past
work performance and experience in the type of work required for the contract. The
County may contact all references furnished by bidders. The right is further reserved by
the County to contact references other than, and/or in addition to, those furnished by the
bidder.

Schools, the contract shall be entered into on behalf of the Chesterfield County Public
Schools.
DD.
Sensitive Information Handling: Any information in the possession of the
County/Schools which is specific to an employee, student, citizen, County/School
business function, private business entity or other government entity which is not
generally available to the public shall be designated Sensitive Information. Contract
workers will under no circumstances remove Sensitive Information from County/Schools
facilities. Any Sensitive Information which must reside temporarily on a hard drive or
portable storage device (USB Key, CD ROM, memory card, etc.) for processing must
remain within the County/Schools facility. No Sensitive Information may be remotely
accessed by contract workers by dial in, VPN, web interface or other means without
expressed consent of the department head and the Information Security Manager
(County) or Director of Technology (Schools). Any access to County/Schools

information by contract workers from outside the County/Schools intranet shall be in
accordance with existing Information Systems Technology (IST)/Chesterfield County
Public Schools (CCPS) Technology department security policies and procedures.
Contract worker network connected computer equipment will be subject to all applicable
IST/CCPS policies and procedures. Any exception to this application of policies shall
be approved by the CCPS Department of Technology/County Information Security
Manager and Chief Information Officer or designees.
EE.
Taxes: Chesterfield County is exempt from payment of Federal Excise Tax and State
and Local Sales and Use Tax on all tangible personal property purchased or leased by
Chesterfield County for its use or consumption. Tax exemption certification will be
furnished upon request. Sales tax, however, is paid by Chesterfield County on
materials and supplies that are installed by a Contractor and become a part of real
property. Contractors are not exempt from paying taxes on these materials and
supplies, as they are considered to be a cost of doing business and should be
considered in pricing when preparing a bid.
FF.
Termination: It shall be the sole right of the County to terminate the contract upon
written notification to the Contractor.
GG.
Termination for Breach or Non-Performance: If the Contractor fails to perform the
work promptly and diligently, or if the Contractor breaches the Contract in any other
way, the County may:
1. after providing the Contractor with 15 days written notice, supply any workmen,
equipment or materials necessary to ensure that the work is performed promptly and
diligently. The County may deduct the cost of supplying additional workmen,
equipment or materials from payments due to the Contractor;
2. terminate the contract, enter upon the premises, take possession of all equipment,
materials or appurtenances, and employ any person or persons to finish the work.
If the contract is terminated by the County, the Contractor shall not be entitled to receive
any further payment from the County until completion of the work has occurred. After
completion of the work, the County shall pay to the Contractor the amount of the unpaid
balance due to the Contractor at the time the contract was terminated minus the cost
incurred by the County to complete the work. If the cost incurred by the County to
complete the work exceeds the unpaid balance due to the Contractor, the Contractor
shall be due no money from the County and, instead, the Contractor shall pay to the
County the difference between the unpaid balance due and the County’s cost to
complete the work.
HH.
Vendor Rewards/Gift Programs: It is the policy of the County not to participate in any
rewards programs offered by vendors and not to accept any gifts or gift cards, or other
rewards from vendors for purchases made by the County. If you customarily provide, or
if you plan to provide, rewards programs, gifts or gift cards, or other rewards to your
customers for purchases made by such customers, you must identify this fact in your
bid and demonstrate in the bid how you have applied the value of such rewards to a
reduction in the price of the goods and/or services being offered to the County.

II.
Waiver of One Breach Not Waiver of Others: No waiver by the County or its agents
or employees of any breach of this contract by the Contractor shall be construed as a
waiver of any other or subsequent breach of the contract by the Contractor. All
remedies provided by this contract are cumulative, and in addition to each and every
other remedy under the law.
JJ.
Withdrawal of Bids
1. Withdrawal: Construction (Code of Virginia 2.2-4330)
A bidder for a public construction contract, other than a contract for construction or
maintenance of public highways, may withdraw his bid from consideration if the price
bid was substantially lower than the other bids due solely to a mistake in the bid,
provided the bid was submitted in good faith, and the mistake was a clerical mistake as
opposed to a judgment mistake, and was actually due to an unintentional arithmetic
error or unintentional omission of a quantity of work, labor, or material made directly in
the compilation of a bid, which unintentional arithmetic error or unintentional omission
can be clearly shown by objective evidence drawn from inspection of original work
papers, documents and materials used in the preparation of the bid sought to be
withdrawn. If a bid contains both clerical and judgment mistakes, a bidder may withdraw
his bid from consideration if the price bid would have been substantially lower than the
other bids due solely to the clerical mistake, that was an unintentional arithmetic error or
an unintentional omission of a quantity of work, labor or material made directly in the
compilation of a bid that shall be clearly shown by objective evidence drawn from
inspection of original work papers, documents and materials used in the preparation of
the bid sought to be withdrawn.
The bidder shall give notice in writing to the Director of Purchasing of his claim of right
to withdraw his bid within two business days after the conclusion of the bid opening
procedure and shall submit original work papers with such notice. The work papers,
documents and materials shall, at the bidders request, be considered as trade secrets
or proprietary information subject to compliance with the provisions of Code of Virginia
§2.2-4342(F).
Within 5 business days, the County will notify the bidder in writing of its decision. If the
County denies the withdrawal of a bid under the provisions of this section, it shall state
in such notice the reasons for its decision and award the contract to such bidder at the
bid price, provided such bidder is a responsible and responsive bidder. At the same
time that the notice is provided, the County will also return all work papers and copies
thereof to the bidder.
2. Withdrawal: Other than Construction
A bidder for a public contract may request withdrawal of his bid from consideration if the
price bid was substantially lower than the other bids due solely to a mistake therein,
provided the bid was submitted in good faith, and the mistake was a clerical mistake as
opposed to a judgment mistake, and was actually due to an unintentional arithmetic
error or unintentional omission of a quantity of work, labor, or material made directly in
the compilation of the bid which unintentional arithmetic error or unintentional omission

can be clearly shown by objective evidence drawn from inspection of work papers,
documents or materials used in the preparation of the bid sought to be withdrawn. If a
bid contains both clerical and judgment mistakes, a bidder may request withdrawal of
his bid from consideration if the price bid would have been substantially lower than the
other bids due solely to the clerical mistake, that was an unintentional arithmetic error or
an unintentional omission of a quantity of work, labor or material made directly in the
compilation of a bid which shall be clearly shown by objective evidence drawn from
inspection of work papers, documents or materials used in the preparation of the bid
sought to be withdrawn. Such notice shall be sent to the Purchasing Department prior
to award. The work papers, documents and materials shall, at the bidders request, be
considered as trade secrets or proprietary information subject to compliance with the
provisions of Code of Virginia §2.2-4342(F).
VI.
SPECIAL TERMS AND CONDITIONS
A.
Access to County Property: Access to the Community Development Building,
Multipurpose Room shall be as follows:
Coordinated by the Contractor with Ms. Jasna Elswick, Capital Projects Manager at
(804) 717-6448.
Contractor’s employees are restricted to those areas to which they have been assigned
to work and are not authorized to roam in other areas of the building. Employees will be
required to obtain County issued contract employee identification cards and display the
cards at all times while working on County property. Identification cards will be issued
by appointment only after completion of an identification card application. Upon award
of the contract, the Contractor shall contact the Office of Security Management at (804)
717-6843 to schedule an appointment.
B.
Acceptance of Goods/Services: The goods and/or services delivered under a
resulting contract shall remain the property of the Contractor until a physical inspection
is made, and thereafter accepted to the satisfaction of the County. In the event the
goods and/or services supplied to the County are found to be defective or do not
conform to specifications, the County reserves the right to cancel the order upon notice
(verbal or in writing) to the Contractor and return goods to the Contractor at the
Contractor’s expense.
C.
Acceptance Period of Bids: All bids submitted shall be binding for sixty (60) calendar
days following bid opening date. The sixty (60) calendar day acceptance period may be
extended by mutual consent of both parties.
D.
Acknowledgement of Order: The Contractor shall acknowledge receipt of the
purchase order(s) issued by the County, and upon availability, notify the Purchasing
Department of the manufacturer’s order acceptance date, factory assigned order
number and production date.
E.
Bid Bond: Each bid shall be accompanied by a bid bond from a Surety company
satisfactory to the County Attorney, or his designee, or a Certified Check, made payable

to: Treasurer, Chesterfield County, in an amount equal to five percent of the total bid
price for the Audio, Video and Media Control System in the Community Development
Building, Multipurpose Room only (LOT B1). Attorneys-in-fact who sign Bid Bonds must
file with each bond a certified and effective dated copy of their power of attorney. Each
Bid Bond and the accompanying power of attorney should bear the same date. In case
of the failure of the bidder to execute the contract within the prescribed time, the County
may, at its option consider the bidder in default, in which case the bid bond
accompanying the bid shall become the property of the County.
F.
Brand Name or Equal: In accordance with §2.2-4315 of the Code of Virginia, unless
otherwise provided in the Invitation for Bid, the name of a certain brand, make or
manufacturer shall not restrict bidders to the specific brand, make or manufacturer
named and shall be deemed to convey the general style, type, character, and quality of
the article desired. Any article that the County in its sole discretion determines to be the
equal of that specified, considering quality, workmanship, economy of operation, and
suitability for the purpose intended, shall be accepted.
Unless otherwise provided in the Invitation for Bid, no proposed equal will be considered
prior to receipt of bids. If bidding a proposed equal, the bidder is responsible to clearly
and specifically identify the article being offered and to provide sufficient descriptive
literature, catalog cuts and technical detail to enable the County to determine if the
article offered meets the requirements of the solicitation. Failure to furnish adequate
data for evaluation purposes may result in declaring a bid non-responsive. Unless the
bidder clearly indicates in the bid that the article offered is an equal, such bid will be
considered to offer the brand name referenced in the solicitation. It shall be understood
that the burden of proof for an equal article shall be and remain the sole responsibility of
the bidder. The County’s failure to object to a manufacturer will not constitute a waiver
of any of the requirements of the contract documents, and all products furnished must
conform to such requirements.
The Contractor shall be responsible for making all changes in the work necessary to
adapt and accommodate “equal” products which are submitted and accepted in lieu of
the products whose name and model numbers are specified and around which the
drawings, where applicable, were developed. The necessary changes shall be made at
the Contractor’s expense. The Contractor shall submit sufficient data concerning the
proposed equal products and resulting necessary changes to the project to the County
documenting that the proposed product(s) can be properly integrated with the project.
G.
Condition of Items: All materials used for the manufacture or construction of supplies,
materials, or equipment covered by this solicitation shall be new. Unless otherwise
provided in the solicitation, products bid must be new, the latest model, the best quality,
and the highest grade workmanship.
H.
Contractor Business License: In accordance with the Code of Virginia, Section 54.11100, Contractors that for a fixed price, commission, fee, or percentage, undertake to
bid upon, or accept, or offer to accept, orders or contracts for performing, managing, or
superintending in whole or in part, the construction, removal, repair or improvement of
any building or structure permanently annexed to real property owned, controlled, or
leased by him or another person or any other improvement to such real property, are

required to hold a business license issued by the Virginia Board for Contractors, phone
(804) 367-8511. If a Bidder/Offeror fails to obtain the required license prior to
submission of a bid/proposal, the bid/proposal shall not be considered. Bidder/Offeror
shall insert contractor license number and specialty in the space provided on the
Bid/Proposal Form.
Class of License Definitions:
Class A Contractor – perform or manage construction, removal, repair, or improvements
when (i) the total value referred to in a single contract or project is $120,000 or more, or
(ii) the total value of all such construction, removal, repair, or improvements undertaken
by such person within any 12-month period is $750,000 or more.
Class B Contractor – perform or manage construction, removal, repair, or improvements
when (i) the total value referred to in a single contract or project is $10,000 or more, but
less than $120,000, or (ii) the total value of all such construction, removal, repair or
improvements undertaken by such person within any 12-month period is $150,000 or
more, but less than $750,000.
Class C Contractor – perform or manage construction, removal, repair, or improvements
when (i) the total value referred to in a single contract or project is over $1,000 but less
than $10,000, or (ii) the total value of all such construction, removal, repair, or
improvements undertaken by such person within any 12-month period is less than
$150,000. The Board shall require a master tradesmen license as a condition of
licensure for electrical, plumbing and heating, ventilation and air conditioning
contractors.
The Contractor license shall have the appropriate specialty classification that is
predominant for the respective work.
I.
Contractor Representative: The Contractor shall provide the name and telephone
number of the project manager/supervisor for this contract in the space provided on the
Bid Form. The manager/supervisor shall be available by cellular phone during working
hours which are defined as: Monday – Friday, 7:00 am to 5:00 pm, unless otherwise
specified by the County Project Manager and agreed to by the contractor.
J.
Cooperative Procurement: This procurement is being conducted by Chesterfield
County in accordance with the provisions of 2.2-4304 Code of Virginia. Except for
contracts for architectural and engineering services or construction in excess of
$200,000 by a local public body from the contract of another local public body that is
more than a straight line distance of 75 miles from the territorial limits of the local public
body procuring the construction, if agreed to by the Contractor, other public bodies may
utilize this contract. The Contractor shall deal directly with any public body it authorizes
to use the contract. Chesterfield County, its officials and staff are not responsible for
placement of orders, invoicing, payments, contractual disputes, or any other
transactions between the Contractor and any other public bodies, and in no event shall
the County, its officials or staff be responsible for any costs, damages or injury resulting
to any party from use of a Chesterfield contract. Chesterfield County assumes no
responsibility for any notification of the availability of the contract for use by other public

bodies, but the Contractor may conduct such notification.
K.
Date of Commencement: The date of commencement shall be established in a written
Notice to Proceed issued by the County.
L.
Defective Products/Parts: The Contractor shall be responsible for the pick-up/return
of any defective products/parts. The defective item shall be replaced with the same
item, at no charge to the County, and shall ship immediately upon notification and not
wait for the defective product/part pick-up/return. All costs associated with pickup/return and delivery of replacement products/parts shall be the responsibility of the
Contractor.
M.
Definitions:
Completion of the Work - The event that occurs when (1) the work has been
completed, successfully tested and approved in accordance with the contract, (2) all
submittals required by the contract (including operation and maintenance manuals)
have been made, and (3) all punch list items and restoration work required by the
contract documents has been completed.
Consultant – Shall mean a representative designated by the County as consultant for
the project, to act as such and designated to be in charge of the work, acting directly
through duly authorized representatives of the County.
Extra Work - Shall mean work other than that required, either expressed or implied, by
the contract in its present form.
Final Acceptance - The event that occurs when the Consultant issues to the County or
the County issues to the Contractor a written statement that the Contractor has
completely performed all punch list items, has made all necessary submittals to the
County and/or Consultant and has satisfied all of the Contractor’s obligations under the
contract documents.
Final Payment - Payment by the County to the Contractor after completion of the work
so that the Contractor has received all payments due him under the terms of the
contract documents for performing and completing the work.
Inspector - The person designated and authorized by the County to carry out
instructions given by the County and to inspect the work performed and the materials
supplied by the Contractor.
N.
Descriptions: The descriptions of items in the specifications are equally as important
as the manufacturer’s model/product numbers. If the bidder finds any inconsistency
between the manufacturer’s model/product numbers and the description, the bidder
shall notify the Chesterfield County Purchasing Department prior to the submission of
the bid.
O.
Delivery Instructions/Notification: The Contractor must schedule all work in the
Community Development Building, Multipurpose Room by contacting Jasna Elswick, at
(804)717-6448, prior to an anticipated delivery. All work shall be between the hours of

7:00 am and 5:00 pm, Monday through Friday. Chesterfield County reserves the right
to refuse delivery if notification is not given.
P.
Demonstrations: By submitting a bid, the bidder certifies that the specified equipment
is in productive use and capable of demonstration in the proposed configuration. The
County reserves the right to require bidders to demonstrate the functionality of proposed
equipment to its satisfaction prior to making an award. It is anticipated that a
demonstration would be required within ten (10) calendar days of the bid opening date.
Such demonstration is intended to show that a bidder’s product(s) will perform in a
satisfactory manner and that the product(s) will meet or exceed the performance
specifications contained in the solicitation. Failure by a bidder to comply with a request
for demonstration may result in rejection of the bid.
Q.
Discrepancies: The Contractor shall immediately report to the County, in writing, any
discrepancies found between the contract documents and site conditions or any alleged
inconsistencies or ambiguities in the contract documents. The County will promptly
address such alleged inconsistencies or ambiguities in writing. Work done by the
Contractor after the discovery of such discrepancies, inconsistencies or ambiguities
shall be done at the Contractor's risk.
R.
Final Inspection: At the conclusion of the work, the Contractor shall demonstrate to
the County’s authorized representative that the work is fully operational and in
compliance with contract specifications and codes. After the final inspection is
conducted, the County shall provide the Contractor with a punch list that the Contractor
shall complete. Deficiencies will be promptly and permanently corrected prior to final
acceptance of the work, and shall be the full responsibility of the Contractor.
S.
Guarantee of Work: All materials and workmanship shall be guaranteed for a period of
twelve (12) months after final acceptance by the County and repairs necessary shall be
made by the Contractor at his expense.
T.
Inspection: All material and workmanship shall be subject to inspection, examination,
and test by the County and its project inspector at all times during construction. The
project inspector shall have authority to reject defective material and workmanship and
require its correction. Rejected workmanship shall be satisfactorily corrected and
rejected material shall be satisfactorily replaced with proper material without charge
therefore, and the Contractor shall promptly segregate and remove the rejected material
from the premises. If the Contractor fails to proceed at once with replacement of
rejected material and/or the correction of defective workmanship, the County may by
contract or otherwise, replace such material and/or correct such workmanship and
charge the cost to the Contractor, or may terminate the right of the Contractor to
proceed, the Contractor and surety being liable for any damages.
Should it be considered necessary or advisable by the County at any time before final
acceptance of the entire work to make an examination of any part of the work already
completed, by removing or tearing out portions of the work, the Contractor shall on
request promptly furnish all necessary facilities, labor and material to expose the work
to be tested to the extent required. If such work is found to be defective in any respect,
due to the fault of the Contractor, or his subcontractors, he shall defray all the expenses

of uncovering the work, of examination and testing, and of satisfactory reconstruction.
If, however, such work is found to meet the requirements of the contract, the actual cost
of the Contractor’s labor and material necessarily involved in uncovering the work, the
cost of examination and testing, and Contractor’s cost of material and labor necessary
for replacement shall be paid to the Contractor and he shall, in addition, if in the opinion
of the County completion of the work has been delayed thereby, be granted a suitable
extension of time.
U.
Installation: Contractors shall be responsible for delivering equipment inside the
building, setting in place, completing all necessary installation, and removing all
packaging and debris from the premises.
If contract carriers are used the Contractor must make appropriate arrangements to
comply with the County delivery instructions.
It is the bidder’s responsibility to ensure that equipment delivery can be accomplished to
the site. There shall be no additional cost to the County due to unanticipated difficulties
or costs of performance by the Contractor. Site visits are encouraged and may be
arranged by contacting Jasna Elswick at (804)717-6448.
V.
Insurance Requirements: The Contractor and insurance company should
carefully review the insurance requirements set forth below. The Contractor shall
furnish a copy of a certificate of insurance in accordance with the requirements
before the County will execute a contract. The Contractor shall be responsible
for maintaining current certificates of insurance on file with the County. The
certificate of insurance does not need to accompany the bid.
The Contractor shall purchase and maintain in force, at his own expense, such
insurance as will protect him and the County from claims which may arise out of or
result from the Contractor's execution of the work, whether such execution be by
himself, his employees, agents, subcontractors, or by anyone for whose acts any of
them may be liable. The insurance coverages shall be such as to fully protect the
County, the Consulting Professional (if applicable) and the general public from any and
all claims for injury and damage resulting by any actions on the part of the Contractor or
his forces as enumerated above.
The Contractor shall furnish insurance in satisfactory limits, and on forms and of
companies that are acceptable to the County’s Attorney and/or Risk Management
Director and shall require and show evidence of insurance coverages on behalf of any
subcontractors (if applicable), before entering into any agreement to sublet any part of
the work to be done under this contract.
The Contractor shall maintain during the initial term and any additional terms of this
contract the following equivalent coverage and minimum limits:
1. Commercial General Liability 1,000,000 Combined Single Limit per occurrence.
2. Automobile Liability $1,000,000 Combined Single Limit per occurrence
3. Workers’ Compensation Virginia Statutory limits

4. Employers’ Liability $100,000 each accident
If an insurance certificate is used as evidence of the required insurance the insurance
certificate:
a. Must reflect that the Commercial General Liability policy names Chesterfield
County Board of Supervisors, their officers, employees, and agents as an
additional insured by endorsement to the policy;
b. Must reflect that the policies are endorsed to require no less than 30 days notice
of cancellation or other change in coverage to the County;
c. Must have an authorized signature;

W.
Licenses, Permits, and Fees: All bids submitted shall have included in the price the
cost of any business and professional licenses, permits, or fees required by Chesterfield
County or the Commonwealth of Virginia.
X.
Materials and Workmanship: The Invitation for Bid describes the character and
features of the best possible materials and workmanship required to perform the work.
It is understood that the contract includes any and all work that may be necessary to
connect the work done with the adjoining work in a proper and workmanlike manner.
Y.
Monthly Estimates and Retainage: On the 20th day of each month, or at any other
regular time agreed upon by the County and Contractor, the Contractor shall prepare
and submit to the County a monthly estimate for partial payment. The monthly estimate
shall cover items of work for which the Contractor is entitled to be paid since the last
previous monthly estimate was submitted, including (1) the value of the work done, (2)
major items of equipment or materials delivered to the site of the project to be installed
by the Contractor, as substantiated by submitted invoices and as approved by the
inspector, and (3) materials incorporated into the work.
The County will pay to the Contractor all sums due under the monthly estimate less five
percent (5%) retainage on or before the 15th day of the month following the submission
of the monthly estimate, unless the County asserts a right to withhold some or all of the
payment under the provisions of the contract documents.
If approved in advance by the County, the Contractor will be paid for materials delivered
to and suitably stored on the job site. Payment for materials and equipment stored on
site will be conditioned upon compliance by the Contractor with procedures satisfactory
to the County to establish the County’s title to such materials and equipment or
otherwise protect the County’s interest payment will be for actual cost of materials as

evidenced by receipted invoices, less five percent (5%) retainage. The Contractor shall
make a separate accounting of these materials and shall submit an accounting of them
along with the monthly estimate for partial payment.
Z.
Operations/Maintenance Manuals: The Contractor shall provide four (4) copies of
operations/maintenance manuals for each piece of equipment with wiring diagrams,
parts list, and a copy of all warranties. Maintenance services/plans for the Audio, Video
and Media Control System for the Community Development Building, Multipurpose
Room shall be performed in accordance with the Bidding Document, Section 270000,
11.
AA.
Ordering Option: Chesterfield County may, during the first 120 days after the award,
with the mutual agreement of the Contractor, place additional orders at the same price,
terms, and conditions through the issuance of separate purchase orders. The
aggregate of such additional orders shall not exceed 100% of the quantity originally
stated in the IFB.
BB.
Performance Bond and Labor and Material Payment Bond: If the bid amount
exceeds 100,000 a labor and material payment bond and a performance bond, each in
the amount of 100% of the contract price for the Audio, Video and Media Control
System for the Community Development Building, Multipurpose Room (LOT B1) with a
corporate surety authorized to do business in the Commonwealth of Virginia and
otherwise acceptable in all respects to the County Attorney, or his designee will be
required for the faithful performance of the contract. (A sample of the contract is
included for review).
The party to whom the contract is awarded will be required to execute the contract and
obtain the labor and material payment bond and the performance bond within fifteen
calendar days from the date when the Notice of Award together with the contract is
delivered to the Contractor for execution.
Attorneys-in-fact who sign labor and material payment bonds and performance bonds
must file with each bond a certified and effective dated copy of their power of attorney.
Performance bond and the accompanying power of attorney should bear the same date
as the date of the contract.
CC.
Plans and Working Drawings (Shop Drawings): Such information as is necessary to
give a comprehensive idea of the construction contemplated, are shown on the Plans.
Contractor shall submit to the County for his approval such additional detailed shop or
working drawings as may be required for the construction of any part of the work.
Pending the approval of such drawings, any work done or materials ordered shall be at
the risk of the Contractor. Submittal of such shop drawing shall be performed in
accordance with the Bidding Document, Section 270000, Section 1.7, F.
DD.
Pre-Construction Meeting: A pre-construction meeting, to be arranged by the County,
to include representatives of the County, the Consultant (if applicable), and the
Contractor shall be mandatory prior to start of construction unless waived by the
County.

Pricing: Prices shall be stated in units of quantity as specified in the Pricing Schedule.
In case of a discrepancy in extension of prices in the bid, the unit price shall govern.

Quantities: Where definite quantities are specifically stated, the County reserves the
right to increase or decrease quantities at the unit price bid with mutual consent of all
parties.
GG.
Responsibility of Bidder: The bidder should carefully and thoroughly examine the job
site and conditions, the quality of materials and workmanship required for the work, and
review the entire Invitation for Bid document before submitting a bid. Claims, as a result
of failure to inspect the job site and all Invitation for Bid documents, will not be
considered by the County.
HH.
Samples (after bid submission): The County reserves the right to request one (1)
sample of each item for evaluation purposes. Upon request, sample(s) shall be
furnished within ten (10) calendar days after notification. Samples should be properly
labeled with the bidder’s name and Item No. If a bidder requires that a sample be
returned by the County after the evaluation, all costs associated with the return of the
item shall be the responsibility of the bidder. Bidders will be notified that the samples
are no longer needed and are ready for pickup. Samples not picked up after 30
calendar days will become property of Chesterfield County.
II.
Subcontracts: No portion of the work shall be subcontracted without prior written
consent of the County. In the event that the Contractor desires to subcontract some
part of the work specified herein, the Contractor shall furnish the County the names,
qualifications and experience of their proposed subcontractors. The Contractor shall,
however, remain fully liable and responsible for the work to be done by its
subcontractor(s) and shall assure compliance with all requirements of the contract and
compliance with applicable General Terms and Conditions (including, without limitation,
the non-discrimination and drug-free workplace provisions).
JJ.
Submittals: If requested, the bidder shall submit the following information to the
County within seven days of notification:
a. a designation of the work to be performed by the bidder with his own forces;
b. the proprietary names and the suppliers of principal items or systems of materials
and equipment proposed for the work;
c. a list of names of the subcontractors or other persons or entities proposed for the
principal portions of the work.
Prior to the award of the contract, the County will notify the bidder in writing if the
County, after due investigation, has reasonable objection to any such proposed person
or entity. If the County has reasonable objection to such proposed person or entity, the
bidder may submit an acceptable substitute person or entity.
The County may, at its discretion, accept the substitution, or may disqualify the bidder.
In the event of disqualification under this sub-paragraph, bid security will not be
forfeited.

Persons and entities proposed by the bidder and to whom the County has made no
reasonable objection under the provisions of sub-paragraph (c) must be used on the
work for which they were proposed and shall not be changed except with the written
consent of the County.
KK.
Supervision and Construction Procedures: The Contractor shall supervise and
direct the work, using their best skill and attention. The Contractor shall be solely
responsible for all construction means, methods, techniques, sequences and
procedures and for coordinating all portions of the work under the Contract. The
Contractor shall be responsible to the County for the acts and omissions of his
employees, subcontractors and their agents and employees, and other persons
performing any of the work under a contract with the Contractor.
LL.
Training: Pricing for LOT B1, Audio, Video and Media Control System for the
Community Development Building, Multipurpose Room shall include the services of
authorized manufacturer’s representative(s) onsite to provide training. Class size for
training shall be three (3) students for two (2) day sessions between the hours of 8:30
a.m. to 5:00 p.m. Scheduling for training must be coordinated with Jasna Elswick at
(804)717-6448. Costs associated with training, to include travel costs, shall to be
included with the bid pricing. Space has been provided in the Pricing Schedule.
MM.
Use of Premises and Removal of Debris: The Contractor at all times shall keep the
premises free from accumulation of waste materials or rubbish caused by the
operations. The Contractor shall maintain all access roads and walks clear of debris,
materials and equipment during the course of the work. All streets, drives, walks,
fences, trees, poles, antennae and the like where disturbed, removed or damaged shall
be replaced, returned or repaired such that the facility and its appurtenances are left in
the same condition after completion of the work as it was before operations began.
Debris shall be disposed of by the end of every working day and not stockpiled.
Beverage cans, bottles, lunch refuse, cigarette debris, etc. will not be tolerated on the
job site except by immediate and proper removal of the same on a daily basis. At the
completion of the work, the Contractor shall remove all waste materials and rubbish
from and about the project site as well as all tools, construction equipment, machinery
and surplus materials. The County does not supply trash containers for debris disposal.
NN.
Verification of Measurements: If there are any critical locations or if exact field
dimensions are necessary, the Contractor shall verify all measurements at the site
before ordering any materials, or performing any work, and shall be responsible for
correct and accurate measurements. No additional charge or compensation will be
allowed due to any difference between actual dimensions and measurements and those
indicated on any drawings. In the event that the Contractor finds any discrepancies, the
Contractor shall contact the County to obtain instructions on how to proceed.
OO.
Warranty (Initial – LOT B1, Audio, Video and Media Control System for the
Community Development Building, Multipurpose Room): The Contractor shall
provide a one (1) year warranty effective upon the final payment by the County on all
parts and labor, by replacing and/or repairing, free of charge, any defects including all
damages to surrounding work caused by such defects. Reference is made to Bidding

PP.
Warranty (Extended - Audio, Video and Media Control System for the Community
Development Building, Multipurpose Room): The extended warranty shall provide
the same coverages as Warranty stated above and will be required for four (4)
additional one year periods after the initial one year warranty has expired. Space has
been provided on the Bid Form for pricing.
QQ.
Warranty (Goods): The Contractor agrees that the goods or services furnished under
any contract resulting from this solicitation shall be covered by the most favorable
commercial warranties the Contractor gives any customer for such goods or services
and that the rights and remedies provided therein are in addition to, and do not limit
those available to the County by any other clause of this solicitation.

Worksite Damages: Any damage to existing utilities, equipment or finished surfaces
resulting from the performance of the contract shall be repaired, to the County’s
satisfaction, at the Contractor’s expense.

supervision, tooling, and miscellaneous mounting hardware and consumables to provide a

items required for a complete system if not identified in these specifications or drawings.
INTELLECTUAL PROPERTY
A.
Patents: Should patented articles, methods, materials apparatus, etc., be used in this work,
the Contractor shall acquire the right to use same. The Contractor shall hold the Owner
harmless for any delay, action, suit, or cost growing out of the patent rights for any device
on this project.
B.
Copyrights: Should copyrighted software be used in this work, the Contractor shall acquire
for the Owner the right to use same. The Contractor shall hold the Owner harmless for any
delay, action, suit, or cost growing out of the copyrights for any software on this project.
C.
License to Use: All software required for the complete operation of the system as specified
herein shall be delivered with each machine/component it is installed on, including the
right to make back up copies.
D.
All software written specifically for this Project shall become the property of the Owner
and the source code shall be provided in both paper and machine-readable formats.

PROJECT DESCRIPTION
A.
In general, the work of this project shall include installation of audiovisual system for the
Community Development Building multipurpose room at Chesterfield County Government
Complex, 9901 Lori Road Chesterfield, VA 23832. The work of this project will broadly
comprise the following work as shown on construction documents prepared by R. Tech:

components/systems provided, relocated, or modified under this contract. Such work
shall include the system configurations and data entry and shall result in a fully
functional installation.

Connecting Cords, Devices and Adapters, including patch cords and custom cable

Conduit and Cabling – The work of this contract shall include all raceway, conduit,
cabling, and final connections for all Communications and Audiovisual System
components installed under this Contract. Refer to A/V drawings for conduit and cabling
that is existing or provided by others.
CODES, REGULATIONS AND STANDARDS
A.
The installation shall be in compliance with the requirements of the National Electrical
Code, Standard Building Code, OSHA, EIA/TIA, IEEE, recommendations and the rules,
regulations and requirements of the Federal Communications Commission.
B.
The installation shall comply fully with all county, city, and state laws and ordinances,
regulations and codes applicable to the installation.
C.
Local electrical and building codes may differ with national codes. Follow the most
stringent code or recommendations. Where there are instances of ambiguity, refer to
engineer for interpretation.
D.
All equipment shall be equal to or exceed the minimum requirements of NEMA, IEEE,
ASME, ANSI and Underwriters' Laboratories.
E.
Should any change in plans or specifications are required to comply with governmental
regulations, the Contractor shall notify the Owner at the time of submitting the
construction schedule.
F.
Communications Systems material and equipment shall bear the UL label except where UL

OWNER-FURNISHED PRODUCTS
A.
Owner will furnish PCs and telephone for audio conferencing. The Work includes
providing support systems to receive Owner's equipment.

Owner will arrange for and deliver Shop Drawings, Product Data, and Samples to
Contractor.
2.
Owner will arrange and pay for delivery of Owner-furnished items according to
Contractor's Construction Schedule.
3.
After delivery, Owner will inspect delivered items for damage. Contractor shall be
present for and assist in Owner's inspection.
4.
If Owner-furnished items are damaged, defective, or missing, Owner will arrange
for replacement.
5.
Owner will arrange for manufacturer's field services and for delivery of
manufacturer's warranties to Contractor.
6.
Owner will furnish Contractor the earliest possible delivery date for Ownerfurnished products.
Using Owner-furnished earliest possible delivery dates,

Contractor shall review Shop Drawings, Product Data, and Samples and return them
to RTECH noting discrepancies or anticipated problems in use of product.

Contractor is responsible for receiving, unloading, and handling Owner-furnished
items at Project site.
9.
Contractor is responsible for protecting Owner-furnished items from damage during
storage and handling, including damage from exposure to the elements.
10.
If Owner-furnished items are damaged as a result of Contractor's operations,
Contractor shall repair or replace them.
SUBMITTALS
A.
General: Schedule submittals to expedite project. Partial submittals will not be accepted.
In-complete submittals will not be accepted. Identify variations from requirements of
Contract Documents. State product and system limitations, which may be detrimental to
successful performance of the completed work. Coordinate submission of related items.
Group shop drawings and product data of related systems, components, products, and
accessories to form a single submittal. Each package shall be submitted at one (1) time for
each review. Manufacturer’s information used for submittal shall have pages with items for
approval tagged, items on pages shall be identified, and capacities and performance
parameters for review shall be clearly marked through use of an arrow or highlighting.
Provide space for Owner and Contractor review stamps. The technical data drawings shall
be in the form of instrument drawn accurately scaled drawings. FREEHAND
SKETCHES WILL NOT BE ACCEPTED. The Contractor shall not reproduce Contract
Documents or copy standard information as the basis of the Technical Data Drawings. If
departures from the technical data drawings are subsequently deemed necessary by the
Contractor, details of such departures and the reasons therefore; shall be submitted in
writing to the Owner for approval before the initiation of work.
B.
All submittals shall be clearly marked, organized, indexed, and appropriately bound to
allow a structured evaluation of the documents.
C.
The following submittals shall be submitted after Contract award in accordance with the
schedules set forth below. Unless specifically stated otherwise within these Specifications,
or as otherwise directed in writing by the Engineer, a total of three (3) copies of each
submittal shall be required:

The Schedule shall be submitted within 2 weeks of the Notice to Proceed and
shall conform to the schedule format identified in the Contract Documents.

Schedules shall identify the dates required for the procurement of long-lead

review required submittals. (As a general guideline, a minimum of two weeks
shall be included for the process and review time required for each submittal.

Detailed Materials and Equipment List
a.
The Detailed Materials and Equipment List submittal shall include full details
on all major and minor components in accordance with the requirements set
forth below.
b.
Within two weeks after the Notice to Proceed, the Contractor shall provide a
complete listing of all equipment, materials, and accessories required to meet
the requirements of the Contract Documents.
c.
In the event that the construction schedule may be impacted by the delivery of
long-lead items, the Contractor shall submit a detailed list of all such items
prior to the submission of the complete Materials and Equipment List. The
Long-Lead Items List shall clearly identify the equipment, as well as the
anticipated time needed for order and delivery. Submission of the Long-Lead
Items List shall be scheduled to allow a minimum of one (1) week for
processing and review prior to ordering equipment.
d.
As a minimum, the Materials and Equipment List shall include manufacturer,
model numbers (inclusive of options), descriptions, quantities, and
manufacturers’ catalog sheets. The fact that a particular material or
component is specified by manufacturer and model number does not waive
the Contractor’s responsibility for submitting all required information.
e.
Unless specifically stated otherwise in the Contract Documents or specific
written approval is granted by the Engineer, the Materials and Equipment List
must be complete - no partial submittals shall be accepted.
f.
The Engineers review of the Materials and Equipment List shall not be
completed until the submission and review of the complete Shop Drawings
submittal.
g.
Unless specific written authorization is granted by the Engineer, equipment
may not be ordered, purchased, installed, or fabricated until final approval of
Materials and Equipment Lists and Shop Drawings.
h.
The Owner shall not be obligated in any manner for any materials, equipment,
and accessories that do not meet the Engineer’s approval.
i.
If subsequent departures from the approved Materials and Equipment List are
required during installation, details of such departures shall be submitted to
the Engineer and Owner for approval. Requests for departure must be
submitted in writing and must fully explain the reasons for the change. Such
submissions and approvals are required prior to purchasing equipment and
commencing any related work.
Each submittal shall include only the work of one specification section. Each submittal
shall have a cover or control sheet attached to each copy which shall include the following
information:

RTECH shall review, stamp and note submittals as follows:
1.
Reviewed No Exceptions: When indicated, the product is released without comment
for procurement and installation.
2.
Reviewed Exception Noted. Resubmittal Not Required: When indicated, the
product may be released for procurement and installation provided the deficiencies
noted are corrected. In the event that the deficiencies cannot be corrected and an
alternate means is required, a resubmittal becomes necessary.
3.
Revise & Resubmit: When indicated, the product is deficient in too many areas, thus
requiring major revision. Make corrections and resubmit. Indicate resubmittal and
number on control sheet. Only three (3) copies shall be returned.
4.
"Rejected. Not in Compliance with Contract Documents. Resubmit:
When
indicated, the product is unacceptable. Reselect equipment in accordance with
contract documents. Do not resubmit the same product. Indicate resubmittal and
number on control sheet. Only three (3) copies shall be returned.
5.
Information Only: When indicated, submittal was not required for review. The
Contractor shall proceed in accordance with the Contract Documents. Copy retained
for records. Only three (3) copies shall be returned.
Shop Drawings
1.
Within two weeks of the Notice to Proceed, the Contractor shall prepare and submit
to the Engineer instrument-drawn Shop Drawings that are fully coordinated with
other disciplines. The Shop Drawing submission shall clearly demonstrate full
compliance with the Contract Documents. Because this project entails the
replacement of existing systems, all shop drawings shall clearly distinguish new
components from existing. As a minimum, Shop Drawings shall include:
a.
A title page that provides a complete list of all drawings/elements within the
submittal.
b.
Single-line drawings depicting the overall
interconnections between the various subsystems.
c.
Schematic drawings detailing individual subsystems, associated components,
and interconnections.

Equipment placement drawings that clearly depict the locations of all fieldmounted security devices installed under this Project.

Interconnection and wiring diagrams for all System components that clearly
depict point-to-point connections, terminal block arrangements, wiring, and
required signal and power connections.
f.
Equipment room drawings detailing dimensions, room layouts, equipment
locations, rack layouts, and any modifications related to power, HVAC, panel
locations, etc.
g.
Raceway drawings indicating sizes, dimensions, locations, and routing of all
new conduits, cable trays, etc., used to route security cabling.
2.
Drawings shall include all field-verified (by Contractor) conditions and dimensions
necessary for a fully functional installation.
3.
Shop Drawings shall be AutoCAD, Release 2007 or higher CAD drawings,
accurately scaled drawings. HAND DRAWINGS WILL NOT BE ACCEPTED.
4.
Unless specifically stated otherwise within the Contract Documents or written
authorization is granted by the Engineer and Owner, the Shop Drawing submittal
must be complete - no partial Shop Drawing submittals shall be accepted.
5.
The Engineer’s review of the Shop Drawings shall not be completed until the
submission and review of the complete Materials and Equipment List.
6.
Unless specific written authorization is granted by the Engineer and Owner,
equipment shall not be ordered, purchased, installed, or fabricated until final
approval of Materials and Equipment Lists and Shop Drawings.
7.
If subsequent departures from the approved Shop Drawings are required during
installation, details of such departures shall be submitted to the Engineer in writing
or on drawings explaining the reason for the change. Such submissions and
approvals shall be made prior to the procurement of related equipment or
commencing any related work.
TRAINING PLAN
A.
The intent of this requirement is to define the training requirements for any new
components/systems that are specifically installed under this Project. If, however, the work
of this project has an impact on the maintenance/operation of existing systems or
components, training shall be provided on those modified aspects of the existing system.
B.
The actual training materials are not required to be included within this submittal such materials shall be submitted under the “Training Materials” submittal described later
in this Section).
C.
The Contractor shall provide a Training Plan that describes the methodology by which
Owner personnel will be provided management, operational and maintenance training. For
additional details regarding the required level of training, refer to “Training Materials”
described later in this section.

Training schedules shall be coordinated so that personnel are familiarized with new audio
visual configurations and elements before each new or modified portion of the system
becomes operational.
E.
The Contractor shall be responsible for providing up to three (3) staff with maintenance
training, up to three (3) staff with operational training, and up to three (3) staff with system
management training. The Owner shall designate those individuals to receive the various
types/levels of training.
F.
The Training Plan shall describe the methodology by which staff will be trained on
individual components, as well as overall operation of the integrated system. For example,
the Training Plan shall clearly identify where the various elements of training are to be
conducted (i.e., in a classroom, at the operators terminal, in the field, etc.).
G.
The bidder shall include in his bid, as a minimum: One (1) sessions of operator training,
One (1) sessions of maintenance training, and One (1) sessions of management training.
The times for these training sessions must be coordinated with the Owner.
H.
Provide one day of training for the owner’s appointed personnel. This training shall be
administrated in two (2) day sessions to be scheduled by the Owner over a 90 days period.

As a minimum, the Training Plan shall include the following:

A preliminary schedule for training based upon project milestones governed by the
contract and the preliminary construction schedule. The schedules shall clearly
outline the sequence of training for operational, maintenance, and management
training, as well as the periods of time required for each type of training.

Should the Contractor choose to conduct classroom training at the site, the Training
Plan shall clearly identify the facilities and materials required to be supplied by the
Owner.
Unless the Engineer grants specific approval, all maintenance, operator, and management
training must be completed prior to Substantial Completion. Following the Contract
Award, the Engineer may require revisions to the Training Plan. All such revisions shall be
submitted within 15 days following the receipt of the Engineer’s comments.
TRAINING MATERIALS
A.
At least two (2) weeks prior to each element of training, the Contractor shall submit to the
Engineer for review and approval all materials to be used for that element of training.

configuration/modifications, password editing, system/operator audits, report

Following the Engineers approval of the submittal, the Contractor shall submit
management training materials for each individual designated to receive the training,
as well as one additional copy for the Engineer and two additional copies each for
the Owner.
Training materials shall be sufficient to support the following required elements of
operational training:
1.
Detailed instruction in new or modified audiovisual area configurations, elements,
and operating procedures.
2.
Detailed instruction on human-machine interfaces to include data entry, operator
controls, system capabilities and complete familiarization with new or modified
operator screens.
3.
Detailed instruction on data entry, retrieval, editing, deletion, storage, and archival.
4.
Training shall include instruction on modifications to user defined variables,
databases, reports, etc.
5.
Following the Engineer’s approval of the submittal, the contractor shall submit
operational training materials for each individual designated to receive training, as
well as one additional copy for the Engineer and two additional copies each for the
Owner.
Training materials shall be sufficient to support the following required elements of
maintenance training:
1.
Detailed instruction on principals of operation on individual components as well as
integrated system performance. Instruction shall include new or modified audio
visual and data system configuration, system/device capabilities and capacities,
theory of operation, etc.
2.
Set-up and adjustment procedures.
3.
Detailed instruction on diagnosis, troubleshooting, and corrective repair including
familiarization with system Shop Drawings.
4.
Training shall include instruction on the use of testing and diagnostic
hardware/software.
5.
Routine maintenance and service procedures (corrective and preventative).
6.
Maintenance training shall include an emphasis on hands-on training with installed
equipment.
7.
Following the Engineer’s approval of the submittal, the Contractor shall submit
maintenance training materials for each individual designated to receive training as

well as one additional copy for the Engineer and two additional copies each for the

Course outlines and objectives.
2.
Anticipated time required for each course.
3.
All training aids (e.g., equipment, approved Shop Drawings, view graphs, visual
aids, etc.)
4.
Complete training manuals (inclusive of all applicable materials presented in the
courses, e.g., lesson plans, text material, manufacturers’ literature, diagrams,
refresher course material, trainee tests, etc.)
5.
Descriptions and lesson plans for all hands-on training to be provided to students.
To the greatest degree possible, all management, operational, and maintenance instruction
shall be based upon hands-on training with installed and fully operational equipment.
MAINTENANCE PLAN
A.
Within thirty (30) calendar days of the Notice to Proceed, the Contractor shall submit a
Maintenance Plan that shall clearly describe the Contractor’s methodology by which he
shall maintain the Audio/Visual System components installed under this Project during the
required warranty and maintenance periods.
B.
The Maintenance Plan shall address the Contractor’s methodology by which he will
examine Audio/Visual System components and perform routine and preventative
maintenance in accordance with the manufacturers’ recommendations, but not less than
once every ninety- (90) days.
C.
During examinations/routine maintenance, cleaning and adjustments shall be made. Where
needed, components will be repaired or replaced.
D.
The Maintenance Plan shall include step-by-step instructions for the manufacturers’
recommended preventative maintenance for each component of the Audiovisual System
installed under this Project.
E.
The Maintenance Plan shall include detailed log sheets to be utilized by maintenance
personnel to document preventative and corrective maintenance. Log sheets shall be wellorganized so as to allow the maintenance personnel/Owner to identify the types of service
conducted, date/times of service, frequency of service required, identity of service
personnel, and a clear indication of those components that have been serviced and those
still pending.
F.
The Maintenance Plan shall detail the Contractor’s methodology for reporting preventative
and corrective maintenance to the Owner. Such reports shall be submitted no less than
quarterly and shall include completed maintenance log sheets as well as details concerning
the disposition of spare parts stores.

G.
The Maintenance Plan shall identify plans for the use of qualified, competent personnel for
the maintenance of the Audio/Visual System. The Maintenance Plan shall clearly identify
the resources to be utilized during the required maintenance period.
H.
The Maintenance Plan shall detail the methodology for maintaining adequate equipment
stores to support the continued operation of Audio/Visual System.
I.
The Maintenance Plan shall address the requirement to update record drawings as the result
of system changes caused by maintenance activities.

OPERATION, MAINTENANCE, AND SERVICE MANUALS
Within thirty (30) calendar days of the Notice to Proceed, four (4) copies of operations,
maintenance, and service manuals shall be submitted to the Engineer for review and
approval for all new or revised system components supplied under this Project. As a
minimum, the operations, maintenance, and service manuals shall include the following
materials:
1.
Complete operating instructions.
2.
Maintenance/service instructions complete with wiring diagrams, trouble-shooting
guides, etc.
3.
Contractor’s recommended routine/preventive maintenance procedures.
4.
Complete parts lists for all components and/or systems installed under the Project.
The parts list shall be based upon the approved Materials and Equipment List, but
shall be updated to reflect any subsequent changes made during the installation.
5.
Software licenses.
6.
Operating characteristics,
specifications.
7.
Contractor’s/Manufacturers’ warranties.
8.
Name, address, and telephone number for service for each system component.
9.
All licenses required by governmental/local agencies.
10.
All materials shall be compiled, assembled, and indexed under suitable hardcover(s) to support a structured evaluation.

SPARE PARTS AND COMPONENTS LIST
A.
Within thirty (30) calendar days of the Notice to Proceed, the Contractor shall submit to
the Engineer a complete list of manufacturers’ recommended spare parts and components
to satisfactorily maintain and service the Audiovisual System for a period of one (1) year.
B.
The spare parts and components list shall also provide a listing of all special tools and
testing equipment needed to maintain the system.
C.
The spare parts list shall be accompanied by documentation from the actual equipment
suppliers (i.e., on manufacturers’ letterhead) to confirm the materials and quantities of

equipment contained in the Spare Parts and Component List do, in fact, conform to the
manufacturer’s recommendations for the equipment/quantities under this Project.
1.13
RECORD DRAWINGS
A.
Throughout the Project, the Contractor shall be responsible for maintaining an up-to-date
set of record drawings depicting actual installed conditions and any deviations from the
approved Shop Drawings. The drawings shall be kept at job site and shall only be used as a
record set.
B.
The Contractor shall allow the Owner and Engineer free access to the record drawings at
all times.
C.
Upon completion of all the required work and prior to final acceptance of the system, the
Contractor shall submit the record drawings to the Engineer for review and approval.
D.
Following the approval of the record drawings and as a condition of final acceptance, the
Contractor shall transfer the mark-ups contained on the record drawings to AutoCAD,
Release 2007 or higher, CAD drawings for submission to the Owner, These electronic “asbuilt” drawings shall include all revisions including those associated with installation,
check-out, coordination with other trades, and acceptance tests. Drawings shall reflect a
true record of Contractor’s works for future understanding and reference by maintenance/
operational staff.

GENERAL ARRANGEMENT OF CONTRACT DRAWINGS
A.
Division 27 is composed of both these Specifications and the Audiovisual Drawings. Both
Drawings and Specifications are an integral part of the Contract Documents. Specifications
and Drawings are complementary, and as such, items called for in one shall be construed as
required by both Drawings and Specifications.
B.
Not all work required to complete the Project may be included within Division 27. The
Contractor shall be responsible for reviewing and familiarizing himself with all portions of
the Contract Documents to ensure that all work has been identified and coordinated.
Should omissions or duplications of work exist, it is the responsibility of the Contractor to
identify such issues to the Engineer at the earliest possible date and before any related
work commences.
C.
The Contract Drawings only indicate approximate locations of equipment. The Contractor
shall be responsible for determining the actual installation methods and component
locations based upon the intent of the design, Specifications and Drawings, actual site
conditions, coordination with the work of other trades, manufacturer recommendations,
ambient factors affecting equipment (e.g., environmental conditions), aesthetic
considerations, etc.
D.
The Contract Drawings are diagrammatic and do not show all components, materials,
interfaces, exact cable routing, and other considerations that may be required for proper
operation. Minor deviations from the Drawings as a result of the above conditions are
acceptable provided the intent of the design is still met. Should the Contractor desire to

deviate significantly from the Drawings, details of such departures shall be submitted in
writing to the Engineer for approval before any related work commences.

Although scaled drawings are included as part of the Contract Drawings, these drawings
have been provided for planning purposes only. The Engineer does not guarantee that these
drawings are 100% accurate with respect to scale or current/planned site conditions. As a
result, the Contractor shall be responsible for the verification of all dimensions, routing and
conditions relevant to his work.
CONFLICTS
Should there be any conflicts between Division 27 Specifications and the Communications
Drawings, between the Division 27 General Conditions and those of the Contract for
Construction, between Division 27 Specifications and Drawings and any other project
Specifications and Drawings, between these Contract Documents and any standards or
codes, or any other pertinent conflicts related to the Contractors work, such conflicts shall
be brought to the attention of the Engineer at the earliest date possible and before any
related work commences.
OMISSIONS
A.
Unless stated otherwise, the Contract Drawings and the Specification sections within
Division 27 indicate a general arrangement of components and are not to be considered as
a complete design. The Contractor shall fully engineer, furnish, install, and demonstrate an
expanded Audiovisual System to meet the intent of the design as described within the
Contract Documents.
B.
Minor items missing from the Contract Documents that are obviously needed to complete a
working installation shall be provided by the Contractor within the Contractor’s bid.
C.
Any significant omissions in the Contract Documents shall be brought to the attention of
the Engineer at the earliest possible date and before any related work commences.

QUALITY ASSURANCE
A.
Electrical Components, Devices, and Accessories: Listed and labeled as defined in
NFPA 70, Article 100, by a testing agency acceptable to authorities having jurisdiction,
and marked for intended use.

PART 2 - PRODUCTS
2.1

A.
The “Products” portion of this section is intended to establish overall functional and
performance standards for the Audiovisual System. The Contractor is responsible for
maintaining these functional and performance standards for the integrated Audiovisual
System for all portions of the Audiovisual System that include elements provided,
relocated, or modified under this Contract. Unless specifically stated otherwise in the
Contract Documents, these standards shall be applied to all elements of the
Communications/Audiovisual System and shall be used as the governing requirements for
component and system-wide performance.
B.
Should the Contractor discover conflicts between the following product requirements and
those stated elsewhere in the Contract Documents, the Contractor shall be responsible for
bringing such conflicts to the attention of the Engineer at the earliest possible date and
before any related work commences.
2.2
INTEGRATED COMMUNICATIONS SYSTEM PERFORMANCE REQUIREMENTS
A.
The Contractor shall fully integrate the various components and subsystems required by
this Project. The resulting integrated system shall incorporate the following overall system
performance requirements:

Fault-Tolerance

Audiovisual components shall be connected to alternative power sources to ensure
continued operation during primary power outages. Alternative power sources shall
include:
a.
Emergency generators.
b.
Uninterruptible power supplies (UPSs) to ensure critical system components
are not adversely affected by power fluctuations or delays in the start-up of
emergency generators.
c.
Battery backup to ensure low voltage, primary power failure and delays in the
start-up of emergency generators do not affect field-mounted devices. Unless
specified otherwise within the Contract Documents, all such devices shall be
provided with battery back up sized to support 20 minutes of full load
operation.
COMPONENT PERFORMANCE REQUIREMENTS
A.
Environmental Conditions - Unless stated elsewhere in the Contract Documents or specific
written approval is granted from the Engineer, all materials and equipment supplied by the
Contractor shall be suited for the environmental conditions (e.g., temperature, humidity,
etc.) that are to be expected at the installed location. If required to meet by the equipment
selected and if approved by the Engineer, the Contractor shall be responsible for providing
all ancillary equipment needed to ensure continuous operation of the equipment in the
installed environment.

FCC Compliance: All equipment that uses radio frequency energy shall be certified
to comply with Subpart J of Part 15 of Federal Communication Commission rules
CFR 47 for a class A computing device.
Modularity
1.
To the greatest extent possible, the Contractor shall provide components that support
additions/deletions by way of modular components (e.g., plug-in modules, standard
rack-mounted components, etc.)
2.
Wherever possible, the Contractor shall provide electronic components composed of
modular plug-in boards to support easy expansion, trouble-shooting, and
replacement.
Reliability
1.
Unless indicated otherwise, the Contractor shall provide new materials and
equipment free of defects. The Contractor shall give due consideration to reliability
when selecting components.
2.
No single component of the Communications System shall have a mean time
between failure (MTBF) of less than 10,000 hours.
3.
Unless stated otherwise or specific written approval, all materials and equipment
required by this Contract shall be rated for continuous duty.
Maintainability
1.
The Contractor shall give due consideration to maintainability when installing the
Audio Visual System. Components shall not be installed without adequate access
for service. However, the required access for service shall not compromise the
Communications integrity of the installation.
2.
Components shall be installed so that they may be accessed and serviced using
standard, commercially available tools.
3.
Wherever possible, service points shall be installed to allow maintenance personnel
to locate problems and to facilitate routine maintenance and adjustments. As a
general guideline, service points shall be provided at sufficient intervals to allow
qualified maintenance personnel to identify the source of problems within 20
minutes.
4.
The Contractor shall submit for approval and install adequate access panels for all
equipment to be installed above finished, non-removable ceilings.
Spare Capacity
1.
The Contractor shall incorporate spare capacity in the Audiovisual System to
support future expansion. As a minimum, the work shall support the following
expansion capabilities:

Power supplies, transformers, and other power-related equipment shall be
sized for a minimum of 50% spare capacity.
All conduits shall be sized in accordance with applicable standards. The
Contractor shall reserve an additional 50% spare capacity in all

Communications conduits to support additional cables to be installed at a later
date.

Spike and Surge Suppression
1.
The Contractor shall provide all grounding treatments and spike/surge suppression
devices to protect Audiovisual System components from the potential damage
resulting from lightning strikes and other atmospheric discharges, local electrical
transformers and machinery, and power grid surges/brownouts.
2.
Audio Visual System components shall be protected from spikes/surges associated
with both power and data lines.
3.
All high voltage (HV) power lines that directly feed Audio/Visual System
components shall be protected by high performance, industrial grade power line

Individual low voltage (LV) lines, such as data communication lines, shall also be

DURING CONSTRUCTION
A.
Oversee cleaning and ensure that building and grounds are maintained free from
accumulations of waste materials and rubbish. Do not allow same to accumulate and
become an unsightly or hazardous condition.

Do not allow dust to accumulate.

Retain stored items in an orderly arrangement, allowing maximum access, not impeding
traffic or drainage, and providing required protection of materials.

Remove grease, dust, dirt, stains, labels, fingerprints and other foreign materials from

PREPARATION
A.
The Contractor’s work area, storage areas, and staging areas shall be in accordance with
the appropriate sections of the General Conditions of the Contract for Construction.
B.
Prior to installation, the Contractor shall coordinate with other trades to ensure that the
locations of audio/visual devices do not interfere with, nor are they interfered by, the work
of others.
3.6
COMMUNICATIONS/AUDIOVISUAL REQUIREMENTS
A.

The bidder shall include in his bid all equipment and personnel required to maintain
current levels of communications/Audiovisual throughout the construction period. The
Owner reserves the right of approval over all methods of Communications/Audiovisual
proposed by the Contractor.
DELIVERY, STORAGE, AND HANDLING
A.
Delivery, storage, and handling of materials shall be conducted in accordance with the
requirements of the General Conditions of the Contract for Construction.
B.
Delivery: The Contractor shall deliver system components properly packaged in factoryfabricated containers.
C.
Handling: The Contractor shall handle system components carefully to avoid breakage,
impact, denting and scoring finishes. The Contractor shall not install damaged equipment
and shall replace and dispose of damaged units at no expense to the Owner.
3.8
SEQUENCING AND SCHEDULING
A.
Work shall be scheduled and sequenced in accordance with the requirements of the
General Conditions of the Contract for Construction.
B.
The Contractor shall be responsible for coordinating closely with the Engineer and other
trades to ensure work is performed within the time requirements set forth in the General
Conditions of the Contract for Construction and the approved construction schedule.
3.9
MATERIAL AND WORKMANSHIP
A.
Unless specifically stated otherwise within the Contract Documents or written approval is
granted by the Engineer, all components are to be new and of current production. Materials
provided shall be free of defects and in full compliance with the Contract Documents.
B.
Existing equipment (that may be identified only by location and current usage) shall be
relocated for reuse. Existing equipment that is removed and not used in this Contract
remains the property of the owner and shall be tagged to indicate its function (current
operational location or system element number), condition, and type or model number. The

Contractor is responsible for the handling and packing of removed equipment so as to
protect the equipment for future use.

Unless specifically stated otherwise, references within the Contract Documents to
materials, equipment, or systems by trade name, manufacturer, model number, or patented
process shall be regarded as establishing a standard of performance and quality and shall
not be construed as limiting competition. In such cases, the Contractor may submit equal or
better products provided all requirements of the Specifications are met. All substitutions
shall be subject to the Engineers approval.
D.
The Contractor shall be required to submit a complete list of proposed materials to be used
for this contract (refer to “Submittal”). If specifically required by the Contract Documents
or at the request of the Engineer, the Contractor shall be required to submit additional
information on proposed materials/equipment, such as operations manuals, wiring
diagrams, maintenance manuals, etc.
E.
The Contractor shall be responsible for coordinating all aspects of his work with all
associated trades.
F.
Methods of installation shall be clearly described and/or depicted within the Contractors
submittals. All such methods of installation are subject to approval by the Engineer. The
Contractor shall closely coordinate with the Engineer to ensure that the installation
techniques are selected to minimize effects on the surroundings and to retain the aesthetic
qualities of the facility.
G.
Work shall be conducted in a professional manner by individuals qualified in their trades.
The whole installation is to be left in a clean, satisfactory, and working order to be taken
over by the Owner. The Owner and Engineer reserve the right to reject installations should
the workmanship not meet the requirements specified herein. The Contractor shall, at his
own expense, correct all rejected works.
H.
All equipment shall be installed plumb and level, and secured and/or supported in an
approved manner and in accordance with all applicable codes.
I.
All exposed materials shall be cleaned and restored to original condition.
J.
Cabinets, racks, and other enclosures shall be thoroughly cleaned and vacuumed prior to
and after the installation of electrical/electronic components.
K.
Following installation and prior to Final Acceptance, the Contractor shall make final
adjustments and alignments for all system components in accordance with manufacturers’
recommendations.
3.10
FINAL INSPECTION, TESTING, AND ACCEPTANCE
A.
Final inspection and acceptance of work related to Division 27 shall be subject to the
provisions contained in the General Conditions of the Contract for Construction.
B.
In accordance with the final acceptance testing provisions set forth above, “Submittals Test Plan”, at the end of the Operational Tests the Contractor shall notify the Engineer that

the system has been successfully tested and is ready for final acceptance testing. At that
time, the Engineer shall attend up to One (1) consecutive business days to witness the final
acceptance testing. In the event that portions of the testing fail or are found to be
incomplete, all additional services (time and expenses) required of the Engineer to
complete acceptance testing shall be deducted from the Contractors final payment for the
project.
C.
Demonstrations/tests must be conducted to the satisfaction of the Engineer as a condition
of final acceptance.
D.
Final inspection shall follow acceptance testing and the completion of all punchlist items.
E.
Final acceptance shall be granted in accordance with the provisions set forward in the
General Conditions of the Contract for Construction.
3.11
WARRANTY
A.
The Contractor shall warrant all work, materials, anchor equipment installed under this
contract against defect, unless resulting from negligence by the Owner, for a period of one
(1) year from the date of Substantial Completion. If defects occur during the warranty
period, the Contractor shall replace and/or repair, free of charge, all defects, including all
damages to surrounding work caused by such defects.
B.
With respect to manufacturers’ warranties, the Contractor shall serve as the liaison between
the Owner and the manufacturers during the warranty period. As such, the Contractor shall
be responsible for providing all coordination with the manufacturers to ensure that
warranty services are performed to the Owner’s satisfaction.
C.
Unless specifically allowed, in writing, by the Owner/Engineer, the required warranty
period shall not start until Substantial Completion is awarded by the Owner.
3.12
MAINTENANCE SERVICE
A.
Prior to and during the Warranty Period (i.e., prior to Final Acceptance), the Contractor
shall provide preventative and corrective maintenance services for all equipment and
software supplied under this Project. Qualified maintenance personnel shall respond onsite, if required, in no more than four (4) hours from the maintenance call. This service
shall include all labor, material, travel expenses, and incidentals at no additional cost to the
Owner.
B.
During the one-year Warranty Period, the Contractor shall maintain complete logs of all
maintenance activities including service calls, preventive maintenance, component failures,
etc., in accordance with the approved Maintenance Plan. The maintenance logs shall be
kept on-site or shall be made available to the Owner upon request. At the end of the oneyear Warranty Period, the maintenance logs shall become the property of the Owner.
C.
At the end of the one-year Warranty Period, the Contractor shall submit to the Client
recommended modifications to the maintenance procedures and the spare parts lists based
upon actual experience with the system.

3.13
MEASUREMENT AND PAYMENT
A.
Final measurement and payment shall be subject to the provisions provided elsewhere in the
Contract Documents.
B.
The components of the Audiovisual System shall be measured by the actual number
installed as determined from field inspection by the Engineer. Costs for such components shall
include all material, labor, equipment, tools, and incidentals required for a complete installation
of the components as required by these Contract Documents. Those components that
include work specified within other Divisions of these Specifications shall not be considered as
complete until all required work is finished.
C.
Components not identified, as individually measured components shall not be measured
separately for payment. Such components shall be included as incidental to the appropriate bid
item and shall include all work required to provide a fully functional Communications System.

SURFACE RACEWAY
A.
Provide surface raceway systems for power audiovisual, data network voice, video and other
low-voltage wiring. Surface raceway system shall consist of raceway bases, covers, appropriate
fittings and device mounting plates necessary for a complete installation.

Configuration: Raceways shall be one- or two-piece design with base and snap-on cover, or
three-piece design with base and two snap-on covers which snap side by side on a common
base. Base shall be dividable with a fixed barrier for up to 4 compartments. Provide raceways
from a company which can provide custom sizes if required.
C.
Fittings: Fittings shall include flat, internal and external elbows, couplings for joining raceway
sections, wire clips, blank end fittings, and device mounting brackets and plates as applicable.
Where required, provide tamper-resistant form, dividable with barriers and matching the size of
the accompanying raceway base. Provide full capacity corner elbows and tee fittings to
maintain a controlled 2 inch cable bend radius, meeting the specification for Fiber Optic and

Device Brackets and Plates: Provide in sizes to match the raceway width and with mounting
holes located to ensure proper mounting of devices in up to 4 compartments. Device plates shall

SCOPE
A.
This document defines the audio visual system and subsystem components to include
cable, termination hardware, supporting hardware and owner furnished equipment required
to provide a complete audio visual system. The intent of this document is to provide all
pertinent information to allow the bidder to bid the labor, supervision, tooling, and
miscellaneous mounting hardware and consumables to provide a complete system.
However, it is the responsibility of the contractor to include any and all items required for a
complete system if not identified in these specifications or drawings.
B.
Equivalent equipment may be substituted for the specific equipment makes and models
listed throughout this section. Bidders shall clearly describe the product for which the
substitution is requested, including all data necessary to demonstrate acceptability. Failure
to provide this information may result in the bid being declared non responsive.
1.4
PROJECT DESCRIPTION
A.
General: The project consists of a 1020 sq ft multipurpose room which is used for
presentations and an Emergency Operation Center (EOC). The systems shall be fully
functioning audiovisual presentation/training systems to allow various video and data
inputs to be displayed on various visual display devices from local or remote inputs and

amplification of audio source equipment, audio-from-video source equipment, and/or live
microphones.

The room is located on the first level of the Community Development Building. The room
is dividable in two via a removable partition (A & B). It has existing floor boxes (See
drawing AV.100) each configured with existing voice/data and power requirements.
Contractor shall provide two presentation lecterns. These new lecterns shall accommodate
the new computers (furnished by Owner, installed by contractor), optional document
cameras, touch monitor, touch panels, gooseneck microphones as well as all required
switching and routing equipment as shown on construction drawings. The Contractor shall
consult with the owner for lectern finishes, work surface and cutout options for touch
monitor, touch panel, etc prior to purchase and installation. Contractor shall install all
equipment in the lecterns and shall provide termination through a multi-way cabling
assembly. This cable shall be captive to the lectern and should be of sufficient length to
plug into a new contractor furnished and installed wall panel at each lectern. Contractor
shall furnish and install two ceiling mount projectors. Two projector screens with low
voltage controller shall replace the existing projector screens. The room “A” system shall
feature a fully integrated audio and optional videoconferencing system in addition to the
presentation/training system. Program audio and video shall be routed to a
videoconferencing codec, as well as to in-room visual display devices in both rooms “A”
and “B”. The two new PTZ cameras shall be placed strategically in room “A” so that when
the partition between the two rooms is removed the camera views cover both rooms
regardless whether the presenter is at the lectern in room “A” or “B”. The audio system
shall be comprised of a new dual channel amplifier, ceiling mount speakers, gooseneck
microphones, wireless microphones and ceiling mounted microphones. Speakers will be
broken down into 2 zones, one zone for each room. Zone 1 will consist of two (2) ceilingmounted speakers in room “A” and zone 2 will consist of two (2) ceiling-mounted speakers
located room “B”. The control system shall provide capability for each room to function as
stand-alone systems or as one room when partition is opened with system control
accomplished via local touchscreen at both lecterns and control panels. Additionally
control shall be provided via Crestron eControl to permit the Owner to access the control
functions via PC’s on the Ethernet network. This control shall mirror the touchscreen
panels.

Installer Qualifications: Engage an experienced Installer who is a factory-authorized sales
and service representative to perform the work of this Section. Audiovisual installer shall
have personnel certified by Crestron as a programmer on staff. The following items must

WARRANTY
A.

The Contractor shall warrant the audio-video system(s) to be free of defects in materials
and workmanship for not less than one year from the date of final acceptance. Defects
occurring in materials or labor within one-year warranty shall be rectified by replacement
or repair. Within this warranty period answers to service calls and/or requests for
information shall be provided to the Owner within a 48-hour period and repair or
replacement of any faulty item shall be completed within 72 hours, without charge,
including parts and labor.
C.
This warranty shall not void specific warranties provided by the equipment manufacturers
for greater periods of time. It also shall not void any rights of the Owner guaranteed by
law.
D.
The Contractor shall provide Owner with exact starting and ending dates of the warranty,
as well as the name and telephone number of the firm’s primary contact for service work.

DELIVERY, STORAGE, AND HANDLING
A.

Equipment that is of the type that would be pre-assembled in the Installer’s shop is exempt

EXAMINATION

paragraph 3.4 “Examination” of these specifications
INSTALLATION
A.
Installation shall be subjected to the provisions provided herein and sections 270000,
271500, 275100, of these specifications.
B.
General: Installation shall include the delivery; unloading; setting in place; fastening to
walls, floors, ceilings, counters, and other structures where required; interconnecting
wiring of the system components, equipment alignment and adjustments, and all other
work whether or not expressly required herein which is necessary to result in a complete
operational system. Install system in accordance with NFPA 70 and any other National,
State, and/or Local applicable codes. Install equipment in accordance with manufacturer's
written instructions.

During installation, and up to the date of final acceptance, the Contractor shall be under
obligation to protect his finished and unfinished work against damage and loss. In the event

A.
The purpose of grounding is to provide safe and reliable power distribution. In the case of
sensitive electronic equipment, it is also necessary that the grounding system provide a
stable and low-impedance connection to earth in order to control electromagnetic
interference (EMI) and Radio Frequency Interference (RFI). The Contractor is expected to
follow good engineering practice with regard to grounding. Safety, reliability, and control
of EMI/RFI shall be expected.

3.4
FIELD QUALITY CONTROL
A.
Field Quality Control shall be subjected to the provisions provided herein and sections
270000 “Final Inspection, Testing, and Acceptance” of these specifications.
B.
Pretesting: Upon completing installation of the system, align, adjust, and balance the
system and perform complete pretesting. Determine, through pretesting, the conformance
of the system to the requirements of the Drawings and Specifications. Correct deficiencies
observed in pretesting. Replace malfunctioning or damaged items with new and retest until
satisfactory performance and conditions are achieved.
C.
Field Services: Provide services of a factory-authorized service representative to supervise
the field assembly and connection of components and the pretesting, testing, and
adjustment of the systems.
D.
Testing: Upon completion of pretesting, notify the Consultant a minimum of 10 days in
advance of acceptance test performance. Schedule and conduct tests in his presence.
Provide a written record of test results.

system to these Specifications. Perform tests that include originating program
at microphone outlets, all preamplifier program inputs, and all other inputs.
Observe sound reproduction for proper volume levels and freedom from
noise.
b.
Signal-To-Noise Ratio Test: Measure the ratio of signal to noise of the
complete system at normal gain settings. Disconnect input at the connector
and replace it in the circuit with a signal generator using a 1,000-Hz signal.
Replace all other inputs the corresponding connectors with dummy loads,
each signal equal in impedance to the microphone it replaces. Measure the
ratio of signal to noise. The minimum acceptance ratio is 60 dB.
c.
Distortion Test: Load power amplifiers with resistors matching nominal
impedance of output terminals used in system in place of actual loudspeaker
loads. Adjust gain controls for optimal signal-to-noise and full output. Apply
250, 500, 1000, 2000, and 4000 Hz sine-wave signal from an oscillator having

less than 0.1% THD to each mic and line-level input at level required to
produce full amplifier output. Distortion must measure less than 1%.

Make observations to verify that components, controls, wires, and terminals
are properly identified and labeled. Provide a list of final tap settings of
speaker line matching transformers, if applicable.
e.
Absolute Impedance: Set any speaker level controls at zero attenuation.
Measure absolute impedance value of each speaker line at 250, 500, 1,000,
2,000, and 4,000 Hz without the amplifier connected but with all speakers
connected. Impedance must not be below the rated load impedance of
respective amplifier. Check resistance of lines to all speakers and microphone
receptacles for open and short circuits.
Video:
a.
Signal level, distortion, hum and noise:
1)
Utilizing a NTSC video signal generator, vector scope, waveform
analyzer with the video signal set at 1 Volt P-P and 75% saturation
check that the video performance specifications as stated previously are
met at all display devices from all source inputs.
2)
Utilizing a personal computer with XVGA color graphics capability,
check that the video performance specifications are met at the display
devices from all source inputs.
3)
Adjust all video equipment to produce the best image possible
according to manufacture specifications.
4)
Test each projected image at the specified image size for optical defects
utilizing a registration test pattern. There shall be no noticeable
barreling or chromatic aberrations due to the projection or lens optical
components.
E.
Grounding system test: Measure and record the DC resistance between the technical
ground in any equipment rack and the main building ground. Resistance should be 0.1
Ohms or less.
F.
Retesting: Rectify deficiencies indicated by tests and completely retest work affected by
such deficiencies at Contractor's expense. Verify by the system test that the total system
meets the Specifications and complies with applicable standards. Provide a written record
of all retest results.
3.5
COMMISSIONING
A.
Commissioning, shall be subjected to the provisions provided herein and sections 270000
“Final Inspection, Testing, and Acceptance” of these specifications.
B.
Test all audio and video systems for compliance with the performance standards.
C.
Check all control functions, from all controlling devices to all controlled devices, for
proper operation.

Adjust, balance, and align all equipment for optimum quality and to meet the
manufacturer’s published specifications. Establish and mark normal settings for all level

Upon approval or the Contractor’s test report, and at the time set by the Consultant,
demonstrate that the final system adjustments and tests meet the performance
requirements. Provide all labor, materials, tools and measurement equipment for these tests
and adjustments.
F.
The Contractor is responsible for all costs incurred to satisfy criteria requirements.

ADJUSTING AND CLEANING
A.
Touch-Up Work: The Contractor shall provide corrective actions for all scratched and
marred surfaces to match original finishes and shall remove dirt and construction debris to
the Engineer’s satisfaction.
B.
Cleaning: As a condition of final acceptance, all enclosures shall be vacuumed clean of all
debris.
3.12
WARRANTY
A.
Warranty services for the audio visual systems shall be performed in accordance with
Section 270000 of these Specifications and the General Conditions of the Contract for
Construction.
B.
The Contractor shall warrant the audio-video system(s) to be free of defects in materials
and workmanship for not less than one year from the date of final acceptance. Defects
occurring in materials or labor within one-year warranty shall be rectified by replacement
or repair. Within this warranty period answers to service calls and/or requests for
information shall be provided to the Owner within a 48-hour period and repair or
replacement of any faulty item shall be completed within 72 hours, without charge,
including parts and labor.
C.
This warranty shall not void specific warranties provided by the equipment manufacturers
for greater periods of time. It also shall not void any rights of the Owner guaranteed by
law.
D.
The Contractor shall provide Owner with exact starting and ending dates of the warranty,
as well as the name and telephone number of the firm’s primary contact for service work.

SAMPLE CONTRACT
THIS AGREEMENT, made and entered into this «day» day of «month», «year», between THE
COUNTY OF CHESTERFIELD AND CHESTERFIELD COUNTY SCHOOL BOARD, as party of the first
part (hereinafter called the Owner), and «Company», «Address1», «City», «State» «PostalCode», party
of the second part (hereinafter called the Contractor).
WITNESSETH: In consideration for the mutual covenants hereinafter stated, the parties agree for
themselves, their personal representatives, successors, assigns, as follows:
1.
The Contractor promises and agrees:
A.
To furnish all materials, equipment, tools, skill, and labor of every description
necessary or reasonably incidental to carrying forth and completing in a good and workmanlike manner in
accordance with the highest industry standards and in strict conformity with the Plans and Specifications
entitled IFB #«number» - «subject» which are incorporated herein by reference.
B.
To commence work under this contract not later than «commence» days following
the date to be specified in the written "Notice to Proceed" by the Owner, and to fully complete all work
hereunder within «complete» calendar days from and including said date.
2.
The Owner promises and agrees:
A.
To pay the Contractor for said work when completed in accordance with the
provisions of these Contract Documents, the Contract Sum as set forth in said Proposal amounting to
«dollars» («amount»), subject to additions and accepted by the County and School Board or its
authorized representatives.
3.
During the performance of this contract, the contractor agrees as follows:
A.
The Contractor will not discriminate against any employee or applicant for
employment because of race, religion, color, sex, national origin, age, disability, or any other basis
prohibited by state law relating to discrimination in employment, except where there is a bona fide
occupational qualification reasonably necessary to the normal operation of the Contractor. The
Contractor agrees to post in conspicuous places, available to employees and applicants for employment,
notices setting forth the provisions of this nondiscrimination clause.
B.
The contractor, in all solicitations or advertisements for employees placed by or on
behalf of the contractor, will state that such contractor is an equal opportunity employer.
C.
Notices, advertisements and solicitations placed in accordance with federal law,
rule or regulation shall be deemed sufficient for the purpose of meeting the requirements of this section.
D.
The contractor shall include the provisions of Section 3, the foregoing paragraphs
A, B, and C in every subcontract or purchase order of over $10,000 so that the provisions will be binding
upon each subcontractor or vendor.
4.
During the performance of this contract, the contractor agrees to:
A.
Provide a drug-free workplace for the contractor’s employees.
B.
Post in conspicuous places, available to employees and applicants for employment,
a statement notifying employees that the unlawful manufacture, sale, distribution, dispensation,
possession, or use of a controlled substance or marijuana is prohibited in the contractor’s workplace and
specifying the actions that will be taken against employees for violations of such prohibition.
C.
State in all solicitations or advertisements for employees placed by or on behalf of
the contractor that the contractor maintains a drug-free workplace.
D.
Include the provisions of the foregoing clauses in every subcontract or purchase
order over $10,000, so that the provisions will be binding upon each subcontractor or vendor.
For the purposes of this section, “drug-free workplace” means a site for the performance of work done in
connection with a specific contract awarded to a contractor in accordance with this chapter, the
employees of whom are prohibited from engaging in the unlawful manufacture, sale, distribution,
dispensation, possession or use of any controlled substance or marijuana during the performance of the
contract.
5.
It is further understood and agreed between the parties hereto as follows:
A.
The said work is to be done in accordance with the laws of the State of Virginia,
excepting the law governing conflicts of laws, to the entire satisfaction of the Owner, subject at all times to
the inspection and approval of the Owner. Disputes arising out of this contract shall be resolved in the
Courts of the Commonwealth of Virginia, in and for Chesterfield County.
B.
The decision of said County and School Board upon any questions connected with
the execution of this agreement or any failure or delay in the prosecution of the work by said Contractor
shall be final and conclusive.
C.
The Owner and Contractor respectively bind themselves, their partners,
successors, assigns and legal representatives to the other party hereto and to partners, successors,
assigns and legal representatives of such other party in respect to covenants, agreements and obligations
contained in the Contract Documents. Neither party to the Contract shall assign the Contract as a whole
without written consent of the other. If either party attempts to make such an assignment without such
consent, that party shall nevertheless remain legally responsible for all obligations under the Contract.
D.
If at any time after the execution of this Contract and the Performance Bond, the
Owner shall deem the Surety or Sureties then upon said bond to be unsatisfactory, or if for any reason
said bond shall cease to be adequate security for the performance of the work, the Contractor shall at his
expense, within five (5) days after receipt of written notice to do so, furnish an additional bond or bonds in
such form and amount and with such surety or sureties as shall be satisfactory to the Owner. In such
event no further payment to the Contractor shall be deemed to be due under this Contract until such new
or additional security for the faithful performance of the work shall be furnished in manner and form
satisfactory to the Owner.
6.
The contractor's records, which shall include but not be limited to accounting records,
written policies and procedures, subcontract files (including proposals of successful and unsuccessful
bidders), original estimates, estimating worksheets, correspondence, change order files (including
documentation covering negotiated settlements), and any other supporting evidence necessary to
substantiate charges related to the Contract (all the foregoing hereinafter referred to as "records") shall be
open to inspection and subject to audit and/or reproduction, during normal working hours, by the Owner's
agent or its authorized representative to the extent necessary to adequately permit evaluation and
verification of any invoices, payments, change orders or claims submitted by the Contractor or any of its
payees pursuant to the execution of the Contract. Such records subject to examination shall also include,
but not be limited to, those records necessary to evaluate and verify direct and indirect costs (including
overhead allocations) as they may apply to costs associated with the Contract.
For the purpose of such audits, inspections, examinations and evaluations, the Owner's agent or
authorized representative shall have access to said records from the effective date of the Contract, for the
duration of the Work, and until three (3) years after the date of final payment by the Owner to the
Contractor pursuant to the Contract.
The Owner's agent or its authorized representative shall have access to the Contractor's facilities, shall
have access to all necessary records, and shall be provided adequate and appropriate work space, in
order to conduct audits as required. The Owner's agent or its authorized representative shall give any
auditee reasonable advance notice of intended audits.
The Contractor shall require all subcontractors, insurance agents, and material suppliers (payees) to
comply with the provisions of set forth by insertion of the requirements hereof in a written contract
agreement between the Contractor and payee. Failure to obtain such written contracts, which include
such provisions, shall be reason to exclude some or all of the related payees' costs from amounts payable
to the Contractor pursuant to the Contract.
7.
It is further understood and agreed as follows:
A.
The undersigned Contractor/Vendor will indemnify and hold the County of
Chesterfield, Virginia (the "County") and the School Board of the County of Chesterfield, Virginia (the
"School Board"), and its officers, agents, and employees harmless from and against all claims, damages,
and losses arising out of or resulting from the Contractor/Vendor's providing or failure to provide any
construction, product, goods, or services required, including but not limited to any such claim, damage,
loss or expense, that is attributable to bodily injury, sickness, disease or death, or to injury to or
destruction of tangible property, including the loss of use resulting therefrom, or to economic loss;
provided, however, that the Contractor/Vendor's indemnification obligation under this agreement shall be
limited to claims, damages, losses, and expenses to the extent caused by any act or omission of the
Contractor/Vendor, or any subcontractor (a "Subcontractor") performing work required by the
Contractor/Vendor's contract with the School Board, or anyone directly or indirectly employed by any of
them or anyone for whose acts the Contractor/Vendor or his Subcontractor may be liable.
B.
The Contractor/Vendor's indemnification obligation hereunder with respect to any
and all claims against the County and School Board or any of its officers, agents or employees, by any
employee or statutory employee of the Contractor/Vendor, or any Subcontractor, anyone directly or
indirectly employed by any of them, or anyone for whose acts the Contractor/Vendor or Subcontractor
may be liable, shall not be limited in any way by any limitation on the amount or type of damages,
compensation or benefits payable by or for the Contractor/Vendor or any Subcontractor under Worker's
Compensation Acts, Disability Benefit Acts or other Employee Benefit Acts unless otherwise provided by
law.
C.
When a consulting architect (the "Architect") has been retained by the County and
School Board, the Contractor/Vendor's indemnification obligation hereunder shall not extend to the liability
of the Architect, his agent or employees arising out of (1) the preparation or approval of maps, drawings,
opinions, reports, surveys, change orders, designs or specifications, or (2) the giving of or the failure to
give directions or instructions by the Architect, his agents or employees provided such giving or failure to
give is the primary cause of the injury or damage.
8.
Vendor/Supplier/Contractor will be responsible for complying with all federal, state and
local environmental regulations relating to transportation, handling, storage, spillage and any other aspect
of providing the services specified herein, as applicable.
9.
Chesterfield County does not discriminate against faith-based organizations in accordance
with the Code of Virginia, §2.2-4343.1.
10.
Seller/Contractor agrees that he does not, and shall not during the performance of this
contract knowingly employ an unauthorized alien as defined in the federal Immigration Reform and
Control Act of 1986, in accordance with the Code of Virginia, §2.2-4311.1.
