INTERLOCAL AGREEMENT FOR PROVISION
OF COMMUNITY HEALTH CARE SERVICES
BETWEEN
SKAGIT COUNTY PUBLIC HOSPITAL DISTRICT NO.1
AND
THE CITY OF MOUNT VERNON
This interlocal agreement ("Agreement") is made this ~y
of December, 2014, by
and between Skagit County Public Hospital District No.1, doing business as Skagit Regional
Health ("SRH") and the City of Mount Vernon, a Washington municipal corporation ("City").
I. RECITALS
WHEREAS, SRH is authorized to own and operate hospitals and other healthcare
facilities and to provide hospital services and other healthcare services for residence of its district
by RCW 70.44.030; and
WHEREAS, SRH is empowered to contract with communities, corporations, individuals
for services provided by said district and to enter into any contract with the United States
government or any state, municipality or other hospital district or any department of those
governing bodies for the carrying out of any of the powers authorized by Chapter 70.44 RCW as
set forth in RCW 70.44.060; and
WHEREAS, pursuant to RCW 70.44.240 SRH may contract or join with any legal entity
to provide any hospital or other healthcare facilities or hospital services or other healthcare
services and may appropriate funds and services to a legal entity carrying out contractual
activities;
WHEREAS, the City is authorized by law and operates a fully professional fire
department including provision of paramedic and EMT services, whose services are an important
component of community healthcare services, including the operation of medical emergency
response equipment; and
WHEREAS, SRH wishes to assist the City fire department in its efforts to provide high
quality emergency response personnel and equipment for the benefit of the healthcare of the
community;

It is hereby agreed between the parties as follows:
1.
Supplemental Funding. SRH hereby agrees to, no later than forty-five (45) days
after mutual acceptance hereof, provide funds to the City a one-time payment in the amount of
ONE HUNDRED TWENTY-SEVEN THOUSAND THREE HUNDRED NINETY-SEVEN &
70/100 DOLLARS ($127,397.70) subject to the following terms and conditions:
a.
The City agrees to utilize the foregoing funds to provide paramedic/EMT
services within the City.
b.
The City shall incorporate the use of the foregoing funds in its budget or
through budget amendment to fund operations as described above.
c.
The City agrees to indemnify and hold harmless SRH from any and all
liability for personal injury and property damage related to the use of the foregoing funds. The
City further agrees to waive its immunity under the Washington industrial insurance act solely to
carry out its foregoing indemnity obligation in favor of SRH and for no other third person or
entity. This Paragraph shall not constitute a waiver of any legal claim or defense the City would
otherwise be entitled to assert against any third party nor create a relationship or legal duty to
any third party to serve as the basis for exemption under the Public Duty Doctrine.
2.
Integration. This Agreement constitutes of full understanding between the parties
and any and all foregoing discussions, negotiations and oral agreements shall not be considered
in interpreting the scope and effect of this agreement.
3.
Interlocal Cooperation Act Provisions. This agreement shall terminate once all
the foregoing funds are spent by the City, except for the provisions of paragraph I (c) and
paragraph 4, which shall endure for seven years thereafter. The parties shall not acquire any
personal or real property nor shall any governing board or entity be created to carry out this
agreement.
4.
Miscellaneous. The parties agree that this Agreement shall be construed pursuant to the
laws of the state of Washington. Venue for any suit shall be solely held in Skagit County
Superior Court. The prevailing party in any action between the parties shall be entitled to its
costs and attorneys' fees, including those incurred at trial or on appeal. This agreement may be
signed in counterparts in which case the counterpart signature pages shall comprise a single,
fully executed document. This Agreement may not be assigned by either party.
