COBRA CORP MINIMUM ADVERTISED PRICING (MAP) POLICY
December 2015
PURPOSE
Cobra Electronics Corporation (“Cobra”) has determined that its interests are best served through the adoption of a
minimum advertised price (“MAP”) policy. The purpose of the MAP policy is to maintain the outstanding
reputation of the Cobra brand, trademarks and products.
TRADEMARKS AND REGISTRATIONS
Cobra maintains ownership of all brands, trademarks, logos, images, registrations and all other intellectual property
and proprietary information for all Cobra products.
POLICY COVERAGE
Authorized Cobra re-sellers who choose to advertise Cobra products must do so at or above the manufacturer’s
minimum advertised price as established solely by Cobra. This MAP policy applies to all forms of re-seller
advertising, including but not limited to mailings, catalogs, flyers, posters, coupons, mailers, inserts, newspapers,
magazines, mail order catalogs, television, radio, public signage, displays at consumer exhibitions and shows, and
any and all other forms of advertising media, including without limitation, social media, the Internet and any other
electronic network.
Any price information relating to Cobra products on an Internet website that can be accessed directly through any
transfer protocol is considered to be advertising for purposes of this policy. A “transfer protocol” includes but is not
limited to the use of phrases such as “contact us for pricing” or “see cart for pricing.” In-store advertising within the
retailer’s physical retail location and electronic mail sent in direct response to a consumer inquiry are not considered
to be advertising.
Direct or indirect attempts to circumvent this MAP policy will be considered a violation of this policy. Such
attempts may include, but are not limited to:




Rebates, volume incentives or other discounting
Gifts, premiums or services associated with other products or services
Bundling of Cobra products with other products or services
Other promotional activities designed to advertise a lower price than the minimum advertised price
Cobra will not discuss any conditions of acceptance related to this MAP policy, as it is non-negotiable, and will not
be altered for any re-seller. Cobra neither solicits, nor will it accept, any assurance of compliance with this MAP
policy. Nothing in this MAP policy or in any other contract or agreement with Escort shall constitute an agreement
between Cobra and reseller that the reseller will comply with this MAP policy.
MAP applies only to minimum advertised prices and does not apply to the price at which the products are actually
sold, or to advertised prices higher than the minimum resale prices unilaterally established by Cobra from time to
time.
POLICY VIOLATIONS
Any advertisement below the MAP for an applicable Product is a violation of the MAP policy.

In the event a re-seller chooses not to follow the MAP policy, Cobra reserves the right to cease supplying products,
or to take any other actions commensurate with a MAP policy violation, to any re-seller whose advertising of the
product (or to any re-seller who sells to a re-seller whose advertising of the product) contains a price lower than the
MAP set forth by Cobra.
In addition to the above, failure to adhere to the MAP policy will be a factor taken into consideration in the
determination of the acceptance of re-seller’s ability to maintain its account in good standing and authorized reseller status.
PROMOTIONAL ACTIVITY
All authorized Cobra re-sellers are permitted to run any promotional program which Cobra offers direct to
consumers. The program must be substantially equivalent to Cobra’s offer and implemented in a time period
consistent with Cobra’s offer. The costs associated with such promotional programs, (free shipping, trade-in offers,
or any other promotional program) are the responsibility of the re-seller.
Additionally, authorized re-sellers who offer free shipping on all products (or on all products priced at or above a
certain price point) may include Cobra products in the free shipping offer. All costs associated with the free
shipping offer are the responsibility of the re-seller.
POLICY MODIFICATIONS
Cobra reserves the right at any time to modify, suspend, or discontinue the MAP policy in whole or in part or
designate promotional periods during which the terms of the policy change or designate periods of time during
which the policy is not applicable. Additionally, Cobra may designate close out models for exclusion from the MAP
policy. Any policy modifications shall be made available to all authorized re-sellers.

COBRA SALES PERSONNEL HAVE NO AUTHORITY TO MODIFY OR GRANT EXCEPTIONS TO THIS
POLICY.
All questions or comments regarding this MAP policy are to be directed to the policy administrator, Larry Clark, email – lclark@ _______.com ; 513/870-8425. The policy administrator(s) shall be solely responsible for
determining whether a violation of the policy has occurred, communicating decisions to re-sellers regarding the
policy and receiving any communication regarding sanctions imposed under this policy.
COMMUNICATION OF MAP
All authorized dealers of Cobra products shall be responsible for delivering a copy of this Policy to each authorized
retailer or seller of Cobra products.

2016 Cobra-Select Retailer Program
Retailer Merchandising Guidelines
The Cobra brand will be working with its direct and indirect sales team & channel partners to connect the
authorized retailers of its brands and product categories directly to consumers through a set of improved
Omni-channel technologies and direct to retail center communication processes, in order to direct
consumers to the best-informed and most capable retail centers in their area. The Cobra Brand will be
employing more mobile responsive technology, national store locators, buy-now functionality for select
online retailers, and the Cobra-Select Direct B2B communication program, complete with online
training & product info, marketing & sales newsletter, dynamic content, promotional calendars, and go-to
market updates for upcoming product releases. In order for this initiative to be truly effective, it is
essential that we register and categorize our retail centers so this technology and program can reach its
full potential for converting qualified consumers at the point of sale. The following are guidelines and
policies to drive this program through 2016.
The Cobra-Select Retailer Merchandising Guidelines
Cobra-Select Retailers will endeavor to deliver on the following for consumers:










Maintain a well-kept and prominent virtual or physical display with full utilization of Cobra Product materials
where appropriate.
Provide Cobra an opportunity to train and qualify sales associates, or call center support staff, to assist consumers
of Products in their shopping or ownership experience.
Support the appropriate level of Products inventory and mix in stock according to category guidelines at all times.
Support the Products seasonal, promotional and introduction calendar outline by the Cobra.
Shall not display, market, advertise or otherwise participate with Products, including closeouts, in any online
auctions or 3rd party marketplaces (e.g. eBay, Amazon.com, NewEgg.com, Best Buy.com, Walmart.com, Jet.com,
Rakuten.com/Buy.com, etc.) or otherwise directly or indirectly be involved with any arrangement whereby a
third-party will conduct the Internet sales or fulfill orders for the Cobra-Select Retailer, without the prior written
consent of Escort, Inc. which it may be granted or denied in Escort’s sole discretion.
Shall not display, market, advertise or otherwise participate with Products in any online website, including those
websites exclusively controlled by the Cobra-Select Retailer, without the prior written consent of Escort, which
may be requested and granted, at Cobra’s sole discretion, through the Cobra-Select Retailer Application process.
When advertising Products in any and all media utilize current Cobra trademarks, Cobra imagery, up to date
written and visual content with the exact name and model number of the Product.
Shall not give to any end users the impression or any reason to believe that they have reached Cobra’s official
website. Framing of any part of Cobra’s websites is strictly prohibited and a retailer, reseller or distributor’s
website must present a look and feel distinctly unique from that of Cobra’s website.
Shall not practice any form of redistribution of Products, or brand materials, and, except as previously disclosed
to Cobra’s, in writing on the Cobra’s Retailer Application, does not operate, manage or control any other physical
or online business enterprise engaged in the promotion, marketing or sale of Products.
Shall not use any Cobra name(s), trademarks, logo(s), or Product name(s), in the retailer, reseller or distributor’s
URL address or domain name or any manner that otherwise does not comply with this Policy and any other
applicable policies of Cobra nor shall the Cobra Select Retailer reassign, transfer, or alter any of Cobra’s

trademarks, trade names and copyrighted materials for the sole purposes of the promotion, sale and service of the
Products.
Shall not misrepresent or assign any warranties not originally offered to consumers through the official Cobra
Product warranties as then set forth at www.cobra.com .
Will not return defective Products or open boxed consumer returns directly to Cobra or its authorized Distributor
without a written authorization from Cobra or its Distributor.
Will promptly provide Cobra and/or its Distributor the first opportunity to repurchase all Products sold at original
invoice, if the Cobra Select Retailer ceases representation of the, Products for any reason voluntarily or through
notice of termination.
