FOREWORD
It gives us great pleasure to present the sixth edition of the Sweden-India
Business Guide. Since its publication, the Guide has proven a valuable
tool for those who wish to learn more about Swedish companies in India,
and Indian companies in Sweden.
We are encouraged to see the number of companies presented in the
Guide increasing every year. It is obvious that Swedish companies see
India as an important place for establishment and expansion. Swedish
companies are doing well in India, and they plan to invest and expand
further. It is very positive to note that not only do Swedish companies see
India as a market, but also as a base for manufacturing, and that many
companies now locate R&D facilities in India. Swedish technology and
creativity will be brought to India, and adapted to local conditions.
Indian investment in Sweden is also on the rise with a steady and
sustained pace of investments over the past 5 years. This trend will not
only continue but is expected to accelerate as Swedish technology,

know-how and innovations are a complement to the global ambitions of
Indian companies.
The theme of this year’s Guide is innovation. The photos published in the
Guide are all winning entries from a photo competition held last year, called
“Swedish Innovations – Indian Interpretations.” Innovation and creativity are
concepts that have long driven Swedish economic and entrepreneurial
development. With an ever increasing presence in India, Swedish companies
stand ready to share the fruits of its research, technological know how and
product development for mutual benefit.

India Business Climate Report
Growing India offers multiple business prospects for Swedish industry!
In keeping with the realization of the Swedish Industry that India continues to
offer a huge potential market, the fourth annual Business Climate Survey was
conducted by the Swedish Chamber of Commerce India together with the
Swedish Trade Council and the Embassy of Sweden.
The purpose of the survey is to monitor the business confidence levels of Swedish
companies in India with regards to their own as well as India’s future role in the
Asian region. The survey also gathered the joint experience and knowledge of
Swedish companies in order to facilitate future establishments. The results of the
survey will serve as a basis for deciding on focal issues and how to improve the
existing climate for the Swedish business community.
Method
A majority of the major Swedish companies present in India, as well as a
considerable number of medium and small - sized companies from different
business sectors, participated in the survey. The survey was distributed
electronically to 137 companies and of them 78 took part in the survey resulting in
a response rate of almost 60%. The companies taking part in the survey represent
approximately 90% of Swedish companies’ turnover and 85% of Swedish
companies’ employees in India. The information provided by the companies
is strictly confidential and no data related to the individual companies will be
published.
The number of Swedish companies in India has almost doubled during last
5 years
The amount of Swedish companies has almost doubled in India over the last
five years, even though there was a steady inflow during the period from 1996 –
2005. This goes hand in hand with other statistics, which show an average of one
to two companies setting up a registered subsidiary per month in India. This trend
is expected to remain constant or grow positively in the next 5 years.

Engineering is still the dominant sector representing many of the large companies.
However, companies in all other sectors are fast increasing their presence in
India. The majority of the respondent companies deal with marketing/sales, by
far the most important role of Swedish companies in India. More than half of
the respondent companies established businesses in India due to business to
business/market demand. The two most preferred cities for HQ are Delhi and
Mumbai, and most companies establish themselves as their own legal entity
(subsidiary).
Swedish companies employ half a million people in India!
Swedish companies create, directly and indirectly, a large amount of job
opportunities in India. In this year’s survey, the estimated number of employment
opportunities is 575,000. In Indian terms, this would be 5.75 lakh. These
employment opportunities reflect positively on Swedish business in India. With all
sectors aiming to grow, this number is expected to increase rapidly.
The projected growth rates show that Swedish companies would like to double the
number of employees by the year 2014. The majority of this growth is estimated to
be done in the next two years. This amply demonstrates that Swedish companies
are eager to grow and expand in India.
Swedish business rank India highly
On a scale 1 to 10 (10 being very favorable), the average of the business climate
in India is rated as high as 7.5. This indicates a very positive attitude among
Swedish companies of the present business climate. This is also at par with the
business climate in India in 2010 with the same average ratings. When asked
about the company plans for the coming three years, 96% of the companies
were positive to increase activities in India. Only 1% of them are gradually
reducing activities in India. However, no companies considered to leave India.
The respondent companies are on average, overwhelmingly positive, with the
average rate of 7.7. This reflects a positive and forward-looking disposition of

Swedish companies in India with over 70% of the companies across the board
looking to increase activities such as capital investments. Over 75% of the
companies are planning on accelerated or moderate increase of employees.
Over 95% of the companies also foresee an accelerated or moderate rise in
revenues, but there will also be an accelerated or moderate increase in costs
according to 89% of the respondents.
For the period of 2009-2011, the value of capital investments made was more
than 1 billion SEK. The projected capital investment for 2011-2013 is expected
to almost triple to 2.7 billion SEK. This reflects the Swedish companies’ willingness
to invest in India and the high rate of growth. Almost half of the responding
companies plan an accelerated capital investment.
The education level is looked upon favorably with general education and postgraduate education viewed very highly in particular. The quality of the English
language is viewed as the main asset.
Business challenges
The companies stress the lack of proper infrastructure in India, and its adverse
impact on growth. Infrastructural issues such as electricity/power supply, air quality,
and water supply are considered poor, with water/garbage management being
exceptionally poor in ratings. Despite these infrastructure issues, the ratings on
availability of land and work remain decent.
Over half of all respondent companies, felt that their blue collar workforce was
not skilled enough. With some calls for vocational training and in-house training,
this is an issue which must be dealt with for India to grow. It is also important
for the white collar workers to improve their educational level according to the
respondent companies.
Bureaucracy and corruption in India were viewed most unfavorably by respondent
companies. These low rates reflect the same dissatisfaction for these factors
among the media and general population in India.

Despite these unfavorable factors in India, respondent companies view their
overall satisfaction as high, having an average of 7. The companies are growing
and expanding, and despite all the challenges, India remains an enjoyable and
exciting prospect for future business.
Useful advice for incoming companies
Swedish companies impart their advice to those companies who are keen to
enter the Indian market. It is important to carry out a thorough market research
before entering to understand local conditions across the country and adapt
to them. It is of great importance to view India as many countries with different
cultures rather than one huge homogenous entity. An entering player needs
to prove that it has a long-term commitment to the country by investing and
by developing a strategic approach. Building appropriate competencies in the
local market to foster the confidence of your customers is crucial when entering
India. Many companies stress the importance of exercising patience when
doing business in India, like in many other countries. Therefore, a well-developed
strategic plan with both short-term and long-term goals is extremely important
to finally be successful in this huge, diverse, and fast-growing country as India.

PROCEDURES & RULES FOR STARTING UP BUSINESS IN SWEDEN
There are 6 options for foreign companies to set up operations in Sweden:
1. Limited Company (private or public)
2. Branch Office
3. Sole Trader
4. Trading Partnership
5. Limited Partnership
6. Economic Association
Limited Company (Aktiebolag)
A limited company is set up by one or more persons or legal entities. It is to be
represented by a Board of Directors and, in certain cases, a Managing Director.
These persons have extensive responsibilities and in certain circumstances of
severe misconduct, these persons can be personally liable for the company’s
debts. Unless the company has very limited operations (there are tie breaker rules)
an approved or an authorized public accountant must accept appointment as
Company Auditor before it is possible to register a limited company. An annual
report prepared according to Swedish GAAP must be filed with the Swedish
Companies Registration Office (Bolagsverket) for every financial year.
The share capital for a company classified as private must be a minimum of SEK
50,000 and SEK 500,000 for a company classified as public.
Registration of a limited company takes approximately one month. It is also a
normal procedure to buy a company “off the shelf” and transform it during a
general meeting of the shareholders. This can be done in one day, but it usually
takes a couple of days to get all necessary documents in place.

PROCEDURES & RULES FOR STARTING UP BUSINESS IN SWEDEN
Branch Office (Filial)
If a foreign company intends to run a business in Sweden without registering a
limited company, it normally needs to register a branch office. A branch office
will have its own organizational number and VAT registration number. A foreign
company can only have one branch office in Sweden.
The branch office is not a separate legal body. It operates under Swedish law.
No share capital is required since assets and debts belong to the foreign mother
company.
A branch office has separate book keeping from the foreign mother company.
An annual report for the branch office is to be filed with Bolagsverket together
with the annual report of the foreign mother company. The annual report is to
be audited and authorised by an approved accountant. Appointment of a
Managing Director is imperative and this person is required to be based within
the European Union or one of its partner countries. Registration of a branch office
normally takes 4-6 weeks.
Sweden operates a “one point of contact” policy for incorporation of
companies. All required documents can be found and filed at Bolagsverket
(www.bolagsverket.se).
Sole Trader (Enskild näringsidkare)
Business activities carried out by a sole trader can be regarded as a form of
business enterprise, but not as a legal entity. The business is run and represented
by one person. The owner of the one man business uses his own personal identity
number as the registration number of the business. There is no economic dividing
line between the individual and the enterprise. The individual is personally
responsible for all agreements entered into, and hence is financially unprotected.

PROCEDURES & RULES FOR STARTING UP BUSINESS IN SWEDEN
Trading Partnership (Handelsbolag)
A trading partnership is a business run by two or more partners. It does not require
starting capital or an auditor. Partners assume joint and unlimited financial
responsibility for the liabilities of the partnership.
Limited Partnership (Kommanditbolag)
A limited partnership is very similar to a trading partnership. The major difference
is that in a limited partnership, there is at least one partner with limited liability and
one partner with unlimited liability. The limited partner has a liability limited to a
certain predefined amount.
Economic Association (Ekonomisk förening)
An economic association is a legal entity, set up by a minimum of three physical
persons or legal entities. Every member needs to pay a certain contributed
capital and an annual membership fee, but there are no minimum levels. All
members have the same voting right. An authorized or approved accountant is
not compulsory in small associations.

Sweden comes under the Schengen countries and a business visa application
follows the same procedure.
The VFS Swedish Visa Application Centre accepts visa applications from all
country nationals who wish to travel to Sweden at:

EKN, The Swedish Export Credits Guarantee Board
With the support from EKN, Swedish companies and financing banks can offer

European Business Group
The European Business Group India (EBGI) based in New Delhi, has been
recognized by the Indian Government and the European Commission as the
industry lobby representing the interest of European companies in India.
EBGI is supported by the European Union and represents 27 Member States of

OPEN TRADE GATE SWEDEN
Open Trade Gate Sweden is a one-stop information centre for exporters in
developing countries. The overall goals are to increase market access for
developing countries and to strengthen the capacity to export to Sweden.
Open Trade Gate Sweden provides information on trade rules, regulations
and requirements for the Swedish and European Union markets. The service
is free of charge. Open Trade Gate Sweden forms part of the National Board
of Trade, Sweden’s governmental agency for international trade and trade
