Effect-Fire
Delivery of Goods
The operation of an effect fire system or an effect fire burner is permitted exclusively with BIOFLUID supplied by THE FLAME
or distilled water.
Regular cleaning at a max. interval of 150 hours is mandatory. Obvious dirt should be removed immediately.
Service Life: Halogen spotlight, nebulizer, transformer, and fan: max. 3,000 h.
Cost per hour 0.30 c - 0.40 c, incl. wearing parts, water, and electricity
The product must be inspected immediately for damage in the presence of the carrier as otherwise a statutory exclusion
of liability of the carrier applies.
For designs in high-alloy stainless steel 4571 (e.g., for cruise ships, islands, pool areas, chlorine vapor, salt, etc.), only the
shell is designed in stainless steel - the burner itself and its internal parts cannot be designed as high-alloy and will have
a reduced life of 1 year.
The legal guarantee in this case is reduced to 1 year from date of invoice. This is explicitly accepted by the client/buyer
with payment of the invoice.
Curbside delivery included - Unloading on site from trucks on pallet, however, no further transport.
In the event that this inspection does not take place and damages due to improper handling are found, a liability and
damages exclusion for the supplier is deemed to be agreed.
The risk is transferred to the client from the curbside.
The seller assumes no costs for a second delivery.
Burner must always be installed at a distance from surrounding walls and be ventilated from the bottom to the top.
Supply air = cold air.
Additional tests, documents or reports etc. required by authorities are always a service of the client and are not included
in the offer/order.
No or very little heating effect
Fluidmatic
When operating a fire effect system with Fluidmatic supply of the effect burner(s) with BIOFLUID or distilled water takes
place through an external fuel source (tank or osmosis installation). Filling takes place through gravity via a conduit
system. It must be noted that the level difference between the biofluid tank, bottom edge, and the effect burner top
must be at least 80 cm.
The empty pipes, including draw, must be prepared by the client.
All electrical and water connections are responsibility of the client and must be performed by a certified expert.

General Terms and Conditions
§ 5 Delivery Time, Receipt of Goods

Insofar as “merchants” are mentioned in the following, the term must be understood within the parameters of this General
Terms and Conditions document as the following:
a) Merchants in the sense of commercial law, operating within the parameters of their trade.
b) Legal persons under public law and public law separate estate (compare § 24 section 1 General Terms and Conditions Law)
c) We only deliver based on the terms set out in this document.
d) Our offers subject to confirmation. Agreements that have been made verbally with our field sales representatives re quire written confirmation to be made valid.
§ 2 Area of applicability and Data Protection

For all deliveries and services, including any consulting and information in connection with these are subject exclusively
to our General Terms and Conditions. Any contradicting terms or terms that deviate from our Terms and Conditions
are not recognized by us unless we have expressly agreed to their validity in writing. For merchants, these also apply
for all future contract relationships.
Merchants recognize the binding quality of our General Terms and Conditions by receiving our deliveries and services.
In anything else, all agreements including additional work must be made in writing, insofar as they deviate from our
General Terms and Conditions or receive any insurances on our part.
Customer data will be saved.
Terms of delivery, or delivery dates, are only binding with written agreement.
We can, in particular with larger contracts, make partial deliveries in an amount that is reasonable for the customer.
The delivery of catalogue products ordered takes place, as a rule, within the hours, or weeks, stated in the catalogue.
We will deliver custom-made products within 5-8 weeks.
Terms and dates are always considered approximate provided, in an individual case, no special agreements were made
in writing. In case the time period determined by the circa terms, or dates, is exceeded, the customer is entitled to
withdraw from the contract after a reasonable grace period of a minimum of 20 business days, to be determined by
us. The same applies for binding terms, or dates, with the proviso that the reasonable grace period to be determined
is a minimum of 10 workdays. With fixed deliveries, the settling of a grace period is not required.
A liability for damages is excluded, or limited, with respect to non-merchants, to intent and gross negligence, of the
bodies, or agents. The withdrawal must, in any case, be made in writing.
If the transgression is limited to one part of the delivery, then the right to withdrawal is also limited to the part in question, when, by objective assessment, it is determined that the rest of the contract is not affected by such a limitation
to the right to withdrawal. Deliveries and services, which remain uncompleted, or are delayed, because of circumstances beyond our control, entitle us to make the delivery later, or to cancel the contract, in whole or in part, accordingly,
without thereby entitling the customer to a claim for damages. In those cases of a delay in delivery that is unreasonable for the customer, he/she is also entitled to withdraw, excluding claims for damages. In any case, the adherence to
terms, or dates, assumes the final clarification of all technical details and, if applicable, the timely fulfilment of the
specifications to be imparted by the customer, approvals, etc. and creation of the necessary requirements, as well as,
if applicable, the receipt of the contractually agreed upon payment.
§ 3 Offers, Occurrence of the Contract

We retain property and copyright rights for all catalogues and all other sales documents; they may not be transferred
to a third party. Our offers are subject to confirmation and are unbinding. The documents associated with the offers
such as images, drawings, weight or measurement specifications, other technical data as well as referenced Ö-Norm,
DIN-, VDE or other company or inter-company norms, only characterize the contract object and do not represent any
assured characteristics.
The catalogue is subject to confirmation. A customer’s order is a binding offer for the customer. We can, within 14 days,
decide to accept this order by sending an order confirmation or by sending the customer the product within this time
period.
§ 4 Prices, payment terms
1. If a written price agreement has been made, the prices specified in the newest catalogues and prices lists that are valid
on the day of the order. Catalogues and price lists can be viewed at our place of business or can be requested from us.
2. All prices from Jenbach.
3. Our bills are, without exception due to be paid on the day indicated on the invoice (30 days after the invoice was made).
For any payment within 14 calendar days from the billing date, we will guarantee a 2 % discount; checks and money
orders will only be accepted conditionally. Payment will only be considered successful when the full amount has been
credited to our account. We do not accept change in our payments.
4. From the due-date of our invoices, we can demand of our merchants from claims receivable to pay interest of 3 % p.a.
over the bank discount rate. The same interest can be demanded of our non-merchant customers from the date of
delayed payment. The customer and we retain the right to adjust damages due to delay in individual cases. In addition,
we can charge € 6 for every payment reminder and warning.
5. Discounts, rebates granted, or payment targets are not guaranteed or invalid if the customer is in default with the
payment of previous deliveries, is involved in a court or out-of-course case, or if a bankruptcy petition has been filed
against him/her. In these cases, we are entitled to adjust the discounts according and to demand all open and de ferred invoices immediately. In these cases, delivery will only be made for goods that have been paid for by cash.
6. Offsetting rights are only available to the customer if his/her counterclaims have been legally established, in agree ment with us, or recognized by us. Retention rights of the client only exist for counterclaims from the same contract
relationship.

Freight damages are only replaced when they are immediately noted on the bill of lading upon delivery of the goods,
and the bill of lading is not signed with “Goods properly and completely received”. The freight damage must also be
verified within 3 business days with mandatory proof (see § 8 Item 3 and § 7).
§ 7 Reservation of Title, Return Delivery

We reserve the proprietary rights on goods delivered, until payment of all our outstanding accounts from the delivery
agreement, towards merchants and also until payment of all our outstanding accounts from the existing business
relationship with the customer and, in fact, including expenses and interest incurred (current account retention and
refinancing exchange).
If the realizable value of our existing securities exceeds our demands by more than 20% as a whole we are obligated,
upon the customer’s request, to release securities at our discretion.
The customer must immediately inform us in writing in the event of seizure, or other third party interventions, and must
inform the creditor of the existing reservation of proprietary rights. A chattel mortgage is impermissible.
In case of breach of contract by the customer, in particular for default of payment, we are entitled to take back the
goods purchased. The taking back of goods purchased by us does not constitute a withdrawal from the contract, unless we expressly declared this in writing, or there are mandatory rules from the consumer credit law applicable to the
contract. The seizure of the goods purchased by us always constitutes a withdrawal from the contract. If we take goods
back from merchants we can sell these on the open market for the best possible price if we threatened the sale of
these goods with reasonable notice. The liquidation proceeds less reasonable sales costs, a minimum 20% of the value
of the goods, will be credited to the customer’s liabilities.
Taking back or return delivery of catalogue products for delivery by the customer must be free delivery.
If the product is, in the meantime, used or damaged, the actual product residual value is taken into account. A return
delivery can then only be considered if the goods fully meet the condition it/they were delivered in.
The return of special sizes can only be taken into account subject to applicability.
If we are entitled to the return of goods then the customer is obligated to permit one of our employees to inventory
the existing goods subject to retention of proprietary rights. Additional requirements for the delivery of appliances.

9. The goods remain our property; processing or alterations are always made for us as the manufacturer, however with out any obligation for us. Should the (joint) ownership by us cease through combining then it is already agreed that the
buyer’s (joint) ownership of the product transfers over to us pro rata (invoice value).The buyer will hold the (joint)owner ship for us free of charge.
Goods, for which we have (joint) ownership rights, are described as products subject to propriety rights in the following.
10.The buyer is not entitled to the sale of products with propriety rights without prior, written approval. Pledging or chattel
mortgages are impermissible.
As a precaution, the buyer will already fully assign the claims which result from resale, or another legal basis (insu rances, tort), with regard to the products subject to proprietary rights, to us. We revocable authorize the buyer to
collect in his/her own name the rights assigned to us, for our account. Upon request the buyer will refer to our right of
property and notify us immediately. Costs and damages are carried by the buyer.
11.In the event the buyer’s behaviour is in breach of the contract, in particular for default of payment, were are entitled to
take back the products subject to propriety rights at the cost of the buyer, or if applicable, demand the assignment of
the buyer’s right to these goods to a third party. Here the taking back, as well as the seizure of the goods subject to
propriety rights, insofar as the instalment purchase law does not apply, does not constitute a cancelation of the con tract. In the event of a violation of the preceding obligations described by the buyer, the buyer must, in each and every
case of non-compliance, pay a penalty in the amount of 20% of the invoice value of the object of purchase, regardless
of our rights to compensation of damages.
§ 8 Transfer of risk, Shipping

In every case the products are delivered, or sent, at the customer’s risk. The dispatch route and means of transport
are, when not otherwise agreed upon, our choice. For the rest, the risk transfers to the customer, upon handing over
of the goods to a carrier or freight carrier, at the latest however, upon leaving our storage facility or, (in the case of a
third-party deal), the storage facility of our suppliers. At the customer’s request, we will arrange transport insurance
at his/her expense.
If the shipment is delayed due to circumstances, for which the customer is responsible the risk transfers to the customer from the date of notification of readiness for shipment.
Delivered objects, even if they display minor defects, are to be received by the customer, regardless of his/her rights
according to § 7.

The warranty rights of merchants assume that the merchants have met their due duty of inspection, and duty to provide information, promptly and properly. Used appliances will be sold ”as seen”. Non-commercial customers must inspect the delivered goods as soon as possible after their arrival for completeness, defects, wrong delivery, transport
damages, and the lack of any of the warranted features. Notifications must be sent to us within 14 days after the
arrival of the goods via registered letter.
Insofar as a defect in the goods purchased exists, for which we are responsible, we are entitled and obligated to, at our
discretion, remedy the defect or deliver a replacement.
If we are not ready to, or incapable of, remedying the defect/deliver(ing) a replacement, should this, in particular, be
delayed beyond reasonable time periods, for reasons for which we are responsible, or should the remedying of the
defect/delivery of a replacement go wrong in some other way, then the customer is entitled, at his discretion, to demand a change (cancelling of the contract), or a corresponding lowering of the purchase price (reduction).
Insofar as nothing different arises below, further claims by the customer, regardless of the legal grounds, are excluded.
We are therefore not liable for damages that did not originate on the delivery item. In particular, we are not liable for
lost profit, or other financial losses of the customer.
The preceding exemption from liability does not apply to the extent that the cause of damage rests on intention or
gross negligence. Furthermore, it does not apply if the customer asserts a claim for compensation for non-fulfilment
due to the lack of a warranted feature. The obligation to pay compensation is limited to the foreseeable damage.
If we negligently violate a cardinal duty, or an essential contractual obligation, or a debt becomes a burden upon conclusion of the contract, our obligation to pay compensation is limited to contractually typical and foreseeable damages.

7. We deliver functional goods. We will only assume a guarantee for the usability of the goods for the customer’s in tended purpose with an express, written warrant.
8. We are available, to the customer, to provide information, and advice, regarding the use of our goods, to the best of
our knowledge. However, we are only liable, according to measures in the preceding paragraphs, if a special fee was
agreed upon for these services.
9. The defects liability period is 6 months, calculated from transfer of risk. The period is a period of limitation and applies
to claims in tort.
10.The defects liability period applies only to new products and for manufacturing, and material defects, is 6 months from
the delivery date. We must be promptly notified, in writing, of defects of this sort, and the parts concerned must be
sent to us upon request. If the technical, maintenance, and operations manuals distributed by the supplier are not
used, or implemented, in accordance with the Ö-Norm/DIN, or if changes are made to the products, parts exchanged,
or expendable materials are used, which do not conform to the original specifications, any warranty no longer applies.
For delivered parts that are subject to a natural wear and tear because of their nature, or due to the type of application,
any warranty does apply.
§ 10 Joint Liability

Insofar as our liability for compensation for damages is excluded, or limited, according to § 7 Para. 4 through Para. 7,
this applies to all other claims, including claims from the manufacturer’s liability. 2. Para. 1 does not apply to claims
pursuant to the Product Liability Act, and for cases of inability, or impossibility.
Insofar as our liability is excluded, or limited, this also applies to the personal liability of our employees and contractors, our representatives, and other subcontractors.
The statute of limitations of the claims between us and the customer is determined by § 7 Para. 9 insofar as claims
that are not from manufacturer’s liability are concerned.
§ 11 Reservation
1. We reserve the right, during the period of validity of the catalogue, to remove, or replace products from the program,
and carry out technical and visual changes.
§ 12 Place of Fulfilment and Place of Jurisdiction
1. The place of business of the company commissioned for the delivery, Rainer Biemann, shall be deemed the place of
fulfilment and for merchants, as the place of jurisdiction.
§ 13 Foreign Countries
1. Austrian law applies also for deliveries to foreign countries. The validity of the EU Sales Law is eliminated. W I T H O U T
