ThisCiscoCertificationandConfidentialityAgreement(the“Agreement”)isenteredinto
betweenyouandCiscoSystems,Inc.(“Cisco”)asofthedateofyouracceptance(the“Effective
Date”).

1.1
“Certification(s)”meansanyinthesetofprofessionalcertificationprogramsofferedby
Cisco.
1.2
“CiscoCertified”meansanindividualwhohassuccessfullymettherequirementsfor
CertificationassetforthinSection3.
1.3
“Program(s)”meanstheCertificationprogramsofferedbyCiscounderthisAgreement.
1.4
“TestingDeliveryPartner”meanstheentityengagedbyCiscotoadministerthe
applicableexamination.

2.1
CONFIDENTIALITYANDINTELLECTUALPROPERTYOWNERSHIP
Confidentiality.Ciscomakesexamsavailabletoyousolelytotestyourknowledgeofthe
examsubjectmatterforwhichyouseekCertification.Youareexpresslyprohibitedfrom
disclosing,publishing,reproducing,ortransmittinganyexamandanyrelated
informationincluding,withoutlimitation,questions,answers,worksheets,
computations,drawings,diagrams,lengthornumberofexamsegmentsorquestions,
changestoanexampriortoCisco’sannouncementofsuchchanges,orany
communication,includingoralcommunication,regardingorrelatedtotheexam(known
collectivelyas“ConfidentialInformation”),inwholeorinpart,inanyformorbyany
means,oralorwritten,electronicormechanical,foranypurpose.Confidential
Informationincludesthecontentsoftheexam,whichmaynotbedisclosedasset
forthabove,includingtoanyCiscoemployeenotaffiliatedwiththeCiscoCertification
program.AdisclosureofConfidentialInformationbyanymeansinviolationofthis
AgreementunderminestheintegrityandsecurityoftheProgramandwillsubjectyouto
CertificationrevocationassetforthinSection3.3below.

IntellectualPropertyOwnership.Ciscoretainsallrights,titleandinterestinandtoall
Certifications,Programs,ConfidentialInformationandrelatedinformation,content,
data,exams,materials,andallcopyrights,patentrights,trademarkrightsandother
proprietaryrightstherein(collectively“CiscoProprietaryInformation”).Allrightsin
CiscoProprietaryInformationareexpresslyreservedtoCisco.Ciscomaypursueall
availableremediestoprotectCiscoProprietaryInformation,whichmayinclude
prosecutiontothemaximumextentpossibleunderapplicablelawsandtoseek,tothe
fullestextentofapplicablelaw,civilandcriminalpenalties.
CERTIFICATION
3.1
CertificationRequirements.TobecomeCiscoCertified,youmustmeettheminimum
requirementsoftherelevantProgram,includingachievingpassingscoresonrequired
examinationsinaccordancewithCisco’stestingguidelines.Ifyoumeetthese
requirementsyouwillreceiveacertificatefromCiscosignifyingyouraccomplishment.
Programrequirementsforcertificationandre-CertificationareavailableontheCisco
websiteatwww.cisco.com/go/certifications.Uponcertification,youarefurther
requiredtoadheretotheCiscoCertificationsTrademarkAgreement(the“Trademark
Agreement”),locatedat

mark_Agreement.pdforotherwisemadeavailableuponrequest.
3.2
ProgramChanges.Ciscomay,initssolediscretion,changetheProgramwithoutnotice.
Suchchangesmayinclude,withoutlimitation,addingordeletingavailableCertifications
andmodifyingcertificationrequirements,recommendedtrainingcourses,testing
objectives,outlinesandexams.YouagreetomeettheProgramrequirements,as
changed,asaconditionofobtainingandmaintainingyourCertification.
3.3
CertificationRevocation.Ciscomay,initssolediscretion,revokeanyandall
Certificationsyoumayhaveearned,andpermanentlybanyoufromearningfuture
Certifications,orapplyanyotheractionsetforthunderSection4.2,underanyofthe
followingcircumstances:

Ifyoufailtocomplywithanycontinuingeducationorrecertification
requirements;
If,atanytime,youthreatentoharm,bullyorinanywayharassanyCiscoor
TestingDeliveryPartneremployeeorcontractor(whetherverballyorinwriting,
includingthroughelectroniccommunicationsorexternalwebpostings).Forthe
avoidanceofdoubt,to“harass”underthissectionincludes,withoutlimitation,
anyrepeatedcommunicationstoCiscoorTestingDeliveryPartneremployeesor
contractorsinwhichyoucontinuetodisputeresultsofanyexamafteryouhave
beeninformedthatnofurtherchangeswillbemadetoyourexamresults;
IfyoubreachthetermsandconditionsofthisAgreementortheTrademark
Agreement;
IfCiscodetermines,initssolediscretionpursuanttoSection4.2,thatyouhave
undertakenorparticipatedin,orattemptedtoundertakeorparticipatein,Exam
Misconduct;
IfyouviolatetheCandidateConductPolicyassetforthinSection4.1below;

IfyouhavebeenconvictedofacrimethatCiscodeems,initssolediscretion,in
anywayharmsoraffectsCisco’sortheProgram’sreputation,goodwillor
security;or
IfyouhavelostorsettledacivilcaseinwhichCiscoistheplaintiffandtheclaim
arosefromanyallegeddamagetoCisco,itsbrand,goodwillorreputation.
IfyoufailtopromptlynotifyCiscoofanymattersthatcanaffectyourabilityto
fulfillanyapplicableCertificationrequirements.
3.4
EmployerNotification.SomeofCisco’spartnerprogramsrequirethatpartnersemploya
minimumnumberofCiscoCertifiedemployees.Forthisreason,therevocationofany
Certificationmayresultinlossofpartnerbenefitstothatpartner.IfCiscorevokesyour
Certification,or,inCisco’sreasonablediscretion,hasabasistorevokeyourCertification
pursuanttothisAgreement,thenCiscohastherighttonotifyyouremployerand
respondtoanyinquirybyyouremployeraboutchangesinyourCertificationstatus.
3.5
CertificationofMinors.Ifyouareundertheageof13yearsold,youarenoteligiblefor
testingorCertification.Ifyouare13yearsoldthrough17yearsold,orotherwiseunder
theageinwhichyoumayenterintoagreementsinthejurisdictionwhereyouare
enteringintothisAgreement,youmaybeeligible(additionalrestrictionsorlimitations
mayapply]forCertificationbutmusthavethisAgreement(orapermissiondocument
providedseparatelyattheapplicabletestcenter)countersignedbyyourparentorlegal
guardiananddeliveronecopyviaemailorfirstclassmailattheaddressprovidedbelow
(theforegoingisreferredtoasthe“ParentPermission”).Foranypersonparticipatingat
alocationthatrequiresbylawalowerminimumageforentryintosuchprograms,then
theminimumagelimitforthatpersonwillbethestatedminimumrequiredage.Cisco
reservestherighttoimposeadditionalrestrictionstocomplywithlocaldataprotection
laws.

EXAMINATIONS
4.1
CandidateConductPolicy.Ciscohasestablishedrulestominimizeanyunfair
advantagethatmaybegainedbyacandidate’smisconductrelatedtotheexamination
process.Misconductmay,atanytime,resultinapplicationofthesanctionsspecifiedin
Section4.2.YoushalladheretoallProgramrulesandshallnotatanytime,whetherfor
yourbenefitorthebenefitofothers,engageinanyactiontosubvert,orattemptto
subvert,theexaminationprocess(“ExamMisconduct”)includingbutnotlimitedto:

Disseminatingactualexamcontentinwholeorinpartbyanymeans,including,
butnotlimitedto,webpostings,formalorinformaltestpreparationor
discussiongroups,chatrooms,reconstructionthroughmemorization,study
guides,oranyothermethodaswellasprovidingexamcontentorinformationto
anypersonnotexpresslyauthorizedbyCiscotoreceivesuchcontentor
information(includingbutnotlimitedtoaCiscoemployeewhoisnotpartof
Programstaff).
•
Seekingand/orobtainingunauthorizedaccesstoexaminationmaterials.
•
Usingfalsifiedoralteredcertificates,scorereports,orotherdocumentsor
electronicmediatomisrepresentCertificationstatus.

ExceptasauthorizedbytheTestingDeliveryPartnersorCisco,possessioninthe
testingareaofanymaterialsorequipmentincludingbutnotlimitedtocellular
phones,hand-heldcomputers/personaldigitalassistants(PDAs),laptop
computers,pagersorotherelectronicdevices,watches,wallets,backpacks,
briefcases,purses,hats,carkeys,bags,vests,coats,books,notes,paperor
documentsandanywritingmaterials.
•
Providingfalsifiedinformation,documentationorstatementsasameansofa
falseidentity,falseaddressorsolicitationofsomeonetotakeatestonanother's
behalf.
•
Intentionallyorotherwiserepeatedlycausingadisturbanceofanykindina
testingfacility.
•
Removingorattemptingtoremoveexammaterial(inanyformat)fromthe
testingarea.
•
Tamperingwiththeoperationofthetestingfacilitycomputerorattemptingto
useitforanyuseotherthantakingaCiscocertificationexamination.
•
ViolatingtheCiscoexamretakepolicydescribedontheCertificationExam

•
Giving,receiving,orobtainingunauthorizedassistanceduringtheexaminationor
attemptingtodoso.
•
Makingnotesofanykindwhileinthesecureareasofthetestcenterexcepton
thewritingmaterialsprovidedatthetestcenterforthispurpose.
•
FailingtoadheretoanyCiscoorTestDeliveryPartner’spolicy,procedure,rule,
orinstruction.
•
Alteringormisrepresentingexaminationscores.
•
Sharingcandidateregistrationaccountinformationwiththirdparties.
•
Usingcomputerscriptstoregisterforexams.
•
Allowinganotherperson,oranorganizationinwhichyouarenotactively
involved,touseyourcertificationcredentialstoobtainemploymentor
promotions.
UsingCiscosupportservicesfalsely,fraudulentlyorotherwisewithout
authorization(including,butnotlimitedto,providingCCIEcredentialstoanother
personororganizationorobtainingCiscoproductunderafalsewarrantyclaim)
(theforegoingisreferredtoas“ServiceAbuse”).
ViolationsoftheCandidateConductPolicy.IfCisco,initssolediscretion,determines
thatyouhaveviolatedtheCandidateConductPolicysetforthinSection4.1,youwill
receivewrittennoticeoftheviolation(s)andsanctions.Itwillbeyoursoleresponsibility
toensurethatCiscohasyourcurrentpostaladdressandemailaddressandanynoticeby
Ciscowillbeeffectivetothelastpostaladdressand/oremailaddressyouprovidedto
Cisco.SanctionsavailableunderthisAgreement,eitherforviolationsoftheCandidate
ConductPolicyunderSection4.1orCertificationrevocationunderSection3.3include,
butarenotlimitedto,cancellationofyourexamscore,atemporaryorpermanentban
onfutureCiscoexaminations,andthecancellationofpreviouslyearnedCisco
Certifications.UponanyCertificationrevocationunderSection3.3,oranyother

cancellationofyourCiscoCertification,youmustimmediatelyrefrainfromfurtheruseof
suchCertificationstatus(e.g.,holdingyourselfoutasCertified).IfyourCisco
Certificationissuspendedforwhateverreason,youmaynotusesuchCertificationstatus
duringtheperiodofsuspension.
AccuracyandIntegrityofExaminationProcess.Followingcompletionofyourexam,you
willbeprovidedaPreliminaryScoreReportindicatinganexamscorewhichwillbe
reviewed,alongwithotherinformationinyourexamrecord,beforeanofficialscoreis
issued.Youmayviewyourofficialexamscoreatwww.pearsonvue.com/authenticate
within72hoursofyourexamappointment.Ciscoand/ortheTestingDeliveryPartner
willreviewyourexamrecordforscoringaccuracy,forevidenceofpossiblemisconduct,
andforresponsepatternsthatmaysuggestthatyourscoresdonotrepresentavalid
measureofyourknowledgeorcompetenceassampledbytheexamination
(measurementerror).Ciscoreservestherighttoinvalidateyourexamscoreand
certificationresultifreviewofyourexamrecordrevealsscoringinaccuracies
(attributabletoCiscoortheTestingDeliveryPartner)orresponsepatternsindicativeof
possiblemisconductormeasurementerror.IfCiscodeterminesthatyourexamscoreis
invalid,youwillbeadvisedofoptionsforretakingtheexamination,providedhowever,if
Ciscoreasonablydeterminesthatyourresponsepatternsareindicativeofpossible
misconduct,thenCiscomayinvalidateyourscoreandconsideryouractionsasa
violationofSection4.1(CandidateConductPolicy).
Appeals.IntheeventthatsanctionsareimposedpursuanttoSection4.2,oryourexam
scoreisinvalidatedpursuanttoSection4.3,youwillhavethirty(30)calendardaysfrom
thedateofyournotificationlettertofileanappeal.Ifyoubelieveyouhavevalid
groundsforanappeal,pleasecontactCiscowithintheappealsperiodat

CandidateAppealsSubmissionFormandsubmititasinstructed.Incomplete
submissionswillnotbeconsiderednorwillrequestsbereceivedafterthethirty(30)

theallowabletime,thesubmissionfollowsrequiredguidelinesforconsiderationandthe
originalsanctionandinvalidationdecisionisupheldbyCisco,suchappealandthe

TERMANDTERMINATION
5.1
Term.TheAgreementcommenceswhenyoufirstacceptthisAgreementandshall
remainineffectuntilterminatedassetforthbelow.
5.2
TerminationforConvenience.EitheryouorCiscomayterminatethisAgreementatany
time,withorwithoutcause,uponthirty(30)dayswrittennoticetotheother.
5.3
TerminationByCisco.Ciscomay,initssolediscretion,terminatethisAgreementatany
timeifyoubreachanyofthematerialtermsofthisAgreement,orifyouviolateorfailto
meetanyProgramrequirements.

Noticeoftermination.Allnoticesofterminationmustbemadeinaccordancewiththe
noticerequirementssetforthinSection9.6below.Ciscowillprovideyouwrittennotice
ofterminationatyourlastknownaddress.TerminationnoticessentbyCiscoare
effectiveasofthedatesetforthinthenotice.Writtennoticesofterminationdirectedto
CiscoareeffectiveuponreceiptbyCisco.Cisco,withoutwaivingitsrighttoimmediately
terminatethisAgreement,mayprovideyouwiththirty(30)daysnoticetocorrectany
defaultifthisAgreementisterminatedforbreachunderSection5.3.IfCiscopermits
suchacureperiod,yourfailuretocureanydefaultwithinthecureperiodshall
automaticallycausetheterminationofthisAgreementwithoutfurthernotice.
5.5
EffectofTermination.UpontheterminationofthisAgreementorCisco’srevocationof
yourCertification,youshallimmediatelyceasetorepresentyourselfasCiscoCertified.

LIMITATIONOFLIABILITY
INNOEVENTSHALLCISCOBELIABLEFORANYINDIRECT,SPECIAL,INCIDENTAL,OR
CONSEQUENTIALDAMAGES,INCLUDINGLOSTPROFITS,OFANYKINDREGARDLESSOFTHE
FORMOFACTION,WHETHERINCONTRACT,TORT(INCLUDINGNEGLIGENCE),STRICT
LIABILITY,OROTHERWISE,EVENIFCISCOHASBEENADVISEDOFTHEPOSSIBILITYOFSUCH
DAMAGES.THISLIMITATIONWILLAPPLYNOTWITHSTANDINGANYFAILUREOFESSENTIAL
PURPOSEOFANYLIMITEDREMEDYPROVIDEDHEREIN.CISCO’SMAXIMUMLIABILITY
UNDERTHISAGREEMENTSHALLNOTEXCEEDTHEEXAMFEEYOUPAIDTOCISCOFOR
YOURMOSTRECENTEXAM.

PRIVACYANDDELIVERYOFCERTIFICATIONINFORMATIONTOTHIRDPARTIES
Youacknowledgethatyourpersonalinformationincludes,withoutlimitation,your
photograph,signature,biometricdataoranyotherpersonallyidentifyingdatacollected
fromyoubyCiscooritsauthorizedagents,andyouagreetoallowCiscoand/oritsagents
togatherandstorethisinformation.Yourpersonalinformationmaybesharedoutside
Ciscoanditsauthorizedthirdpartyvendorsunderthefollowingconditionsandyou
consenttosuchdisclosurebyyourexecutionofthisAgreement:
• VerificationofCertification.Ciscooftenreceivesrequestsfromthirdparties,
particularlyemployers,toverifyanindividual’sCertificationstatus.Ciscomay,
buthasnoobligationto,providesuchinformationaboutyourCertification
statustoothers.Ciscoprovidessuchinformationasacourtesytoyou,andyou
agreethatCiscohasnoliabilityforprovidingthisinformation.Suchrequests
maycomedirectlyfromathirdpartyorfromyou.InformationCiscoprovides
mayinclude,butisnotlimitedto,yourfullname,Ciscoidentificationnumber,
certification(s),certificationdate(s)andcertificationexpirationdate(s).
•
DataSharing.Asaglobalcompany,Ciscomayalsoshareyourpersonal
informationwithotherCiscoofficesorCiscosubsidiariesinthecountryinwhich
youresideandinothercountries.Inaddition,Ciscousesconsultantsandthird
partyvendors,suchastestingcentersandTestingDeliveryPartners,andmay
shareyourpersonalinformationwithsuchconsultantsandvendors,ifnecessary,
fordeliveryoradministrationofthePrograms.AllpartieswithwhichCisco
sharesyourpersonalinformationareboundbyconfidentialityanddatatransfer
agreements.

LimitedDisclosure.Inadditiontotheotherpermitteddisclosuresstatedherein,
Ciscomayshareyourinformationinthefollowingways:(a)tocomplywiththe
laworlegalprocess(suchasrespondingtosubpoenasorcourtorders),(b)to
exerciseourlegalrightsordefendagainstlegalclaimsrelatedtothisAgreement,
(c)toinvestigate,prevent,ortakeactionregardingillegalactivities,suspectedor
potentialfraud,andbrandprotectionmatters(suchasuseofCisco'strademark
withoutalicense),(d)situationsinvolvingpotentialthreatstothephysicalsafety
ofanyperson.WhenCiscoisrequiredbylawtoreleaseconfidential
information,thepersonconcernedshall,unlessprohibitedbylaworCisco
determinesnotappropriate,benotifiedasprovidedhereinastowhat
informationwasorwillbeprovided.AdditionalinformationregardingCisco’s

Toshareyourpersonalinformationintheabovesituations,Ciscomaytransferyour

ASSIGNMENTS
Youmaynotassignanyrights,licensesorobligationsreceivedunderthisAgreementto
anyone.AnyattemptedassignmentinviolationofthisAgreementisnullandvoidand
withouteffect.
9
MISCELLANEOUS
9.1
WaiverandModification.Youwaiveanyrighttochallengethevalidityand
enforceabilityofthisAgreementonthegroundsthatitwastransmittedandenteredinto
electronically.YouagreethatenteringintotheAgreementelectronicallyisequivalentto
signingtheAgreement.Failurebyeitherofustoenforceanyprovisionofthis
Agreementwillnotbedeemedawaiveroffutureenforcementofthatoranyother
provision.Anywaiver,amendmentorothermodificationofanyprovisionofthis
AgreementwillbeeffectiveonlyifinwritingandsignedbybothyouandCisco.
9.2
Severability.IfacourtofcompetentjurisdictionfindsanyprovisionofthisAgreementto
beunenforceable,thatprovisionoftheAgreementwillbeenforcedtothemaximum
extentpermissiblesoastoaffecttheintentoftheprovision,andtheremainderofthis
Agreementwillcontinueinfullforceandeffect.
9.3
Survival.Sections2(ConfidentialityandIntellectualPropertyOwnership),3.3
(CertificationRevocation),3.4(EmployerNotification),4.2(ViolationsoftheCandidate
ConductPolicy),5.5(EffectofTermination),6(LimitationofLiability),7(Privacyand
DeliveryofCertificationInformationtoThirdParties),and9(Miscellaneous)willsurvive
terminationofthisAgreement.

ControllingLawandJurisdiction.Ifyouresideinacountrythatisnotamemberofthe
EuropeanUnion,thisAgreementandanyactionrelatedtheretoshallbegoverned,
controlled,interpretedanddefinedbyandunderthelawsoftheStateofCaliforniaand
theUnitedStates,withoutregardtoitsconflictsoflawsprovisions.Unlessotherwise
waivedbyCiscoatitssolediscretion,theexclusivejurisdictionandvenueofanyaction
arisingoutoforrelatingtothisAgreementshallbetheSuperiorCourtofCaliforniafor
theCountyofSantaClaraortheUnitedStatesDistrictCourtfortheNorthernDistrictof
California.BothyouandCiscosubmittotheexclusivejurisdictionandvenueofsuch
courtsforthepurposeofanysuchaction,andspecificallydisclaimtheUnitedNations
ConventiononContractsfortheInternationalSaleofGoods.Ifyouresideinacountry
thatisamemberoftheEuropeanUnion,thisAgreementandanyactionrelatedthereto
shallbegoverned,controlled,interpretedanddefinedbyandunderthelawsofEngland.
BothyouandCiscoaccepttheexclusivejurisdictionoftheEnglishcourts,providedthat
Ciscoshallatalltimeshavetherighttocommenceproceedingsinanyothercourtor
