GMFamilyDiscountOffers
GeneralMotorsLLC(“GM”)agreestonotifyitsemployees,retireesand/orcertainsuppliersandcontractors(the“GM
Family”)throughitsintranetwebsiteofthediscountofferongoodsorservicesavailablefromCompany(identified
below)inconsiderationofCompany'sagreementtothefollowingtermsandconditions(the“Agreement”),asevidenced
bysigningbelow.
1.PlacementorRemovalofLinktoCompanyWebsitefromGMIntranetWebsite.
CompanyacknowledgesthatGMhastheright,insolediscretion,todeterminewhichcompanies’discountoffersare:(i)
postedonitsintranetwebsite;or(ii)removedfromitsintranetwebsite;withnoliabilitytoCompanyfordoingso.
2.EligibleGMFamilymembers.
CompanyagreestomakeitsdiscountofferavailabletoGMFamilymemberslocatedintheU.S.Ifthediscountofferis
onlyavailableinaparticulargeographicarea,Companyagreestoconspicuouslyidentify,withinthediscountoffer,the
geographicareacoveredbythediscountoffer.
3.Company'sDiscountOffer.
Companyagreestoprovide,uponrequestbyGM,substantiationofanyadvertisingclaimsmadeinitsdiscountofferto
theGMFamily,includingsubstantiationofalldiscounts.Appropriatesubstantiationofadiscountincludesevidencethat
theidenticalproductorserviceiscurrentlybeingofferedtothegeneralpublicintherelevantgeographicareaona
regularbasisatahighertotalprice(includingS&H,subscriptionfees,etc.).Anydiscountsbasedonthemanufacturer’s
suggestedretailpricemustbeclearlydescribedassuch.Inaddition,CompanyagreestoonlymakeavailabletotheGM
Familydiscountoffersthat,ataminimum,satisfythefollowinggeneralcriteria:

Natureofthediscountoffershouldbeeasytounderstand,withallcosts,includingbutnotlimitedtoS&Hand
subscriptionfees,identified.Anydisclosuresordisclaimersappearingintheoffershouldbeclearand
conspicuous.
•
Thediscountoffermustincludeaclearlydefinedeffectivedateandexpirationdate.
•
CompanymustprovideclearcontactinformationtoGMFamilymemberstorespondtocustomerquestions,
includingahelpdeskorotherformofcustomerassistancetorespondtoandaddresscustomersatisfactionor
warrantyissuesrelatedtothegoodsorservicescoveredbyCompany'sdiscountoffer.
4.PersonalDataHandlingProvisionsandCompany'sPrivacyStatement.
CompanyagreestomakeavailabletotheGMFamilyaprivacystatementthatdescribesCompany’sprivacypracticesin
placetoprotectthePersonalInformationitmayobtainfromoraboutGMFamilymembersortheirrelatives.Company
agreestomakethisprivacystatementeasilyaccessibleeitherthroughCompany’swebsiteortelephoneservices.
PersonalInformationshallinclude,butnotbelimitedto:a)firstandlastname;(b)homeaddressorotherphysical
address,includingstreetnameandnameofcityortown;(c)emailaddressorotheronlinecontactdata(e.g.,instant
messaginguseridentifier);(d)telephonenumber;(e)socialsecuritynumber(SSN);(f)driver’slicensenumber(g)
InternetProtocoladdress;(h)persistentidentifier(e.g.,auniquecustomernumberinacookie);(i)vehicleidentification
number(VIN)and(j)anyotherdatathatiscombinedwithanyoftheabove.
Companyagreesthatitsprivacystatementwilldescribethefollowing:

ThePersonalInformationthatCompanywillcollectfromGMFamilymembers
•
Company’suseofthePersonalInformation
•
withwhomCompanywillsharePersonalInformationandpurposesforsharing
•
choicesGMFamilymembershavewithregardtotheirPersonalInformation
•
•
howGMFamilymembersmayaccess,correct,ordeletetheirPersonalInformation
howGMFamilymembersmaycontactCompanytoaddressanyconcernsabouttheirPersonalInformation
•
howCompanywillprotectandsafeguardGMFamilymembers’PersonalInformation
CompanyagreesthatitmustobtainGMFamilymembers’written/expressconsenttousetheirPersonalInformationfor
anypurposeotherthanthatforwhichCompanyoriginallycollectedthePersonalInformation.
Companyagreestomaintaintechnical,administrative,andphysicalsecuritypracticesandprocedurestosafeguard
againstthedestruction,loss,alteration,orunauthorizeddisclosureofPersonalInformation.Inaddition,Company
agreestomaintainprocedurestodetectunauthorizedaccessofPersonalInformationandnotifyGMFamilymembersof
anysecuritybreachesasdefinedbyanyapplicablelaw.
IfCompanyobtainscreditcardinformationfromGMFamilymembers,Companyagreesthatitwillcomplywithall
applicablepaymentcardindustry(PCI)guidelinesandincludeinitsprivacystatementthesafeguardsthatCompanyhas
inplacetoprotectthesecurityofsuchinformation.
5.NoGMEndorsement.
GMdoesnotendorsetheCompany,northegoodsorservicesofferedbyCompanytotheGMFamily.Companyshallnot
makeanyrepresentations,orincludeinanyadvertisements,publicationsorothercommunicationsastatementofany
typeorkindwhichsuggestsinanymannerthatGMendorsesthegoodsorservicesofferedtoGMFamilymembers.
Furthermore,Companyshallnotissueanypressreleaseorotherwisemakeanypublicannouncementwithrespectto
GMorofGM'sagreementtonotifytheGMFamilyofdiscountoffersfromCompanyforgoodsorservices,unlessan
authorizedrepresentativeofGM,intheirsolediscretion,providespriorwrittenconsent.
6.NoGMSupport.
CompanyacknowledgesthatGMwillnotprovidesupportofanykindtoCompanywithrespecttoCompany'sbusiness
orCompany'seffortstopromoteorsellitsgoodsorservicestotheGMFamily,otherthantonotifyGMFamilymembers
throughitsintranetwebsiteofthediscountofferongoodsorservicesavailablefromCompanyassetoutherein.
Consistentwiththisunderstanding,CompanyacknowledgesthatGMwillnotincurnorberesponsibleforcosts,
expenses,chargesorfeesofanykindortyperelatedtoorassociatedinanymannerwithCompany'sofferofadiscount
totheGMFamilyorCompany'sprovisionofgoodsorservicestotheGMFamily.
7.Company'sWebsite.
CompanyrepresentstoGMthat:(a)Company'swebsitecomplieswithapplicablelawandthetermsofthepersonaldata
handlingprovisionsincludedinSection4above;and(b)GMFamilymemberswhoaccessCompany'swebsitewillreceive
notice,throughaninterstitiallocatedonCompany'swebsite,iftheyareabouttolinkfromCompany'swebsiteandgoto
athirdpartywebsitewhichisnotsubjecttoCompany’sprivacystatement.
8.CompliancewithLaws.
CompanyrepresentsandwarrantstoGMthatCompany'sdiscountoffercomplieswith,andthatCompanywillcomply
withallapplicablefederal,stateandlocallawswhichareapplicabletoCompany'sdiscountoffer,andprovisionofgoods
orservicestotheGMFamily.
9.Indemnification.
CompanyagreestoindemnifyandsaveGMharmlessofandfromanyandallclaims,demands,losses,damages,costs,
suits,expenses,orliabilitywhatsoever(includinginjuriesordeathtopersons)arisingfromorinconnectionwithanyact
oromissionofCompany,itsemployees,servants,agents,orrepresentativesrelatedtothegoodsorservicesofferedto
anyGMFamilymember,orfailurebyCompanytoadheretothetermsandconditionssetforthherein,including,butnot
limitedtouseofGMFamilymemberpersonaldatainviolationofSection4hereof.
10.Termination.
CompanyacknowledgesthatGMreservestherighttoterminatethearrangementwithCompanythatissetoutinthis
documentatanytimeuponnoticetoCompanyandwithnoliabilitytoCompanyfordoingso.Notwithstandingsuch
termination,Company'sobligationsunderSection9hereof(togetherwithanyotherprovisionwhichaccordingtoits
termsshouldcontinueineffect)shallcontinueineffectandsurvivetheterminationofthearrangementsetoutherein.
11.ApplicableLaw.
ThisdocumentisgovernedbyandconstruedinaccordancewiththelawsoftheStateofMichigan.
12.RelationshipoftheParties.
NothinginthisdocumentmakesCompanythepartner,agentorlegalrepresentativeofGMandCompanyisnotgranted
anyexpressorimpliedrightorauthorityunderthisdocumenttobindGMinanymannerwhatsoever.
13.NoAssignment.
CompanymaynotassignthisdocumentorthebenefitsorliabilitiesunderitwithoutGM'spriorwrittenapproval.
14.EntireAgreement.
CompanyacknowledgesbysigningbelowthatthisdocumentembodiestheentireAgreementbetweentheCompany
andGMandsupersedesanyandallpriorunderstandingsbetweenthem.
