SWIFT ADVERTISING TERMS AND CONDITIONS
1. With this form, the advertiser requests S.W.I.F.T. SCRL, a Belgian
company with registered office at Avenue Adèle 1, 1310 La Hulpe
(“SWIFT”), to book advertisement space in the advertising
options selected above, and SWIFT agrees to reserve such space,
subject to compliance with these terms and conditions.

fees or charges due for or in connection with the Advertising, will
always (even retroactively) be borne by the Exhibiting Company.
For the Swiss customer, all fees will be increased by 8% Swiss VAT.
For non-Swiss customer, standard EU VAT rules will be applicable.
2. The deadlines for the advertiser to book advertisement space
and submit the advertising materials (“the Materials”) are
indicated in the advertising package, issued by SWIFT.
SWIFT invoices its customers in EUR.
3. Technical specifications apply to the Materials for each
advertising options and will be communicated to the advertiser by
e-mail once the booking is confirmed.
4. SWIFT will only publish advertisements:
• which were booked with this form and within the booking deadline
indicated in the advertising package.
• whose Materials were submitted within the submission deadline,
Materials not submitted within the submission deadline will not be
published nor refunded.
• whose Materials comply with the technical specifications,
always provided there is space available in the selected publication
at the time of booking.
5. SWIFT reserves the right to refuse to publish, at any time,
Materials which do not comply with Article 4 or which, in its sole
discretion, appear to contain illegal, offending or harmful content.
6. Where the Materials do not meet the technical specifications,
the advertiser grants SWIFT the right to rework them to enable
publication. SWIFT will use its best efforts to reproduce the
Materials as closely as possible to the version in which they were
supplied, but does not guarantee it can fully match the same font,
colour or other design aspects. In any event, the reworked material
will be sent to the advertiser for approval prior to publication.
7. Invoices, interest rate, taxes
Invoices will be raised and sent by the Sibos registration office.
Payments must be made within thirty (30) days. Please note that
the 30 days starts from the date of the SWIFT invoice. Payment
shall be in full and without any deduction, set-off or counter-claim
whatsoever. The invoice number should always be quoted on the
payment. Any amount outstanding on the due date will bear an
interest charge at a rate corresponding to the ‘ECB reference rate’
raised by seven (7) points, and rounded at the superior half-point.
For the purposes of this provision, the ‘ECB reference rate’ means
the interest rate applied by the European Central Bank to its most
recent main refinancing operation carried out before the first
calendar day of the half-year in question.
Fees and charges are net of any local taxes applicable in the country
of the Exhibiting Company, such as, but not limited to, VAT, GST,
withholding tax of any nature whatsoever. All present and future
taxes, as well as fines and/or penalties and/or interest assessed
8. Only advertisements cancelled within the booking deadline
will be reimbursed. Advertisements cancelled after the booking
deadline will not be reimbursed nor published. When SWIFT cannot
cancel publication without additional cost, SWIFT reserves the right
to publish the advertisement notwithstanding the cancellation.
The contract may be cancelled by the advertiser giving the
company at least 6 months’ written notice prior to campaign
commencement date. Notice is elected upon the company’s receipt
of the written notice. The levels of cancellation charges charged to
the advertiser are as follow for written notice received prior to the
campaign commencement date:
less than 6 months but more than 4: 70% Less than 4 months: 100%
9. The advertiser warrants that the Materials are free from any
viruses or other technical defects, do not infringe any thirdparty rights nor any applicable legislation, including on fair,
truthful and comparative advertising, and agrees to indemnify
SWIFT for any damages caused by publication of the Materials.
10. The advertiser will be responsible for obtaining the relevant
titles, licences, permits, authorisations and consents relating
to licensing, copyright or the appearance of any person in the
advertisement.
11. In the event of a printing error, inadvertent publication, or any
other damage caused to the advertiser, SWIFT’s liability will be
limited to the price of the corresponding advertisement and will be
exonerated for any damages exceeding this amount.
12. The advertising opportunities booked at Palexpo, or in the city,
are subject to SWIFT’s pre-approval.
13. SWIFT will apply the Right of first refusal (ROFR) for any
Exhibiting Company which already booked a specific advertising
space the previous year. The ROFR is a contractual right that
gives its holder the option to enter a business transaction with
the owner of something, according to specified terms, before the
owner is entitled to enter into that transaction with a third party.
This ROFR will be valid until Friday 1st of April. After this deadline,
SWIFT has the right to sell the advertising space to a third party on
its discretion.
14. Any advertising space booked without SWIFT’s consent shall
not include the ‘Sibos official trademark logo. SWIFT reserves all
rights on the ‘Sibos’ logo and its trademarks and trade names.
15. Belgian law applies to these terms and conditions. Disputes will
be submitted to the jurisdiction of the Brussels courts.
