DEBTORS PURSUANT TO THE PROPOSED PLAN, (B) CURE
AMOUNTS, IF ANY, AND (C) PROCEDURES IN CONNECTION THEREWITH
NOTICE IS HEREBY GIVEN as follows:
1.
On April 6, 2016, the United States Bankruptcy Court for the District of Delaware
(the “Bankruptcy Court”) entered an order (Docket No. 248) (the “Disclosure Statement
Order”): (a) authorizing Paragon Offshore plc and its affiliated debtors and debtors in
possession (collectively, the “Debtors”) to solicit votes to accept or reject the Second Amended
Joint Chapter 11 Plan of Paragon Offshore plc and Its Affiliated Debtors, filed on April 19,
2016 (Docket No. 318) (as may be further amended, supplemented, or modified, the “Proposed
Plan”) 2; (b) approving the Disclosure Statement for the Second Amended Joint Chapter 11 Plan
of Paragon Offshore plc and Its Affiliated Debtors, which was filed on April 19, 2016 (Docket
No. 319) (the “Disclosure Statement”) as containing “adequate information” pursuant to section
1125 of the Bankruptcy Code; (c) approving the solicitation materials and documents to be
included in the solicitation packages; and (d) approving procedures for soliciting, receiving, and
tabulating votes on the Proposed Plan and for filing objections to the Proposed Plan.

A hearing to consider confirmation of the Proposed Plan has been scheduled for
June 21, 2016 at 10:00 a.m. (prevailing Eastern Time), before the Honorable Christopher S.
Sontchi, United States Bankruptcy Judge, in the Bankruptcy Court, located at 824 Market Street,
Fifth Floor, Wilmington, Delaware 19801.

Attached as Exhibit 1 is a List of Executory Contracts and Unexpired Leases to
Be Assumed by the Debtors on the Effective Date (the “Assumption Schedule”).
Contemporaneously herewith, the Debtors have also filed the Assumption Schedule with the
Bankruptcy Court as Exhibit G to the Plan Supplement.3

You are receiving this notice because the Debtors’ records reflect that you
are a party to a contract that is listed on the Assumption Schedule. Therefore, you are
advised to review carefully the information contained in this notice and the related
provisions of the Proposed Plan, including the Assumption Schedule.

The Debtors intend to assume all of their executory contracts and unexpired leases
in accordance with section 8.1 of the Proposed Plan and sections 365 and 1123 of the
Bankruptcy Code. Section 365(b)(1)(A) of the Bankruptcy Code requires that the Debtors cure
or provide adequate assurance that they will promptly cure any defaults under their executory
contracts and unexpired leases at the time of assumption.

The Debtors are authorized to pay, and have been paying, their trade obligations
in the ordinary course of business pursuant to the Final Order Authorizing Debtors to Pay
Prepetition Claims of General Unsecured Creditors in the Ordinary Course of Business
Pursuant to Sections 105(a), 362(d), 363(b), and 503(b)(9) of the Bankruptcy Code and
Bankruptcy Rules 6003 and 6004 (Docket No. 135). Moreover, the legal, equitable, and
contractual rights of the holders of General Unsecured Claims are unaltered by the Proposed
Plan. Except to the extent that a holder of a General Unsecured Claim agrees to different
treatment, on and after the Effective Date, the Debtors or Reorganized Debtors, as applicable,
shall continue to pay or dispute each General Unsecured Claim in the ordinary course of business
as if the Chapter 11 Cases had never been commenced. Additionally, any postpetition amounts
due and owing under any executory contract or unexpired lease listed on the Assumption
Schedule will be paid in the ordinary course of business. As a result, the Debtors have
determined that the Cure Amount (i.e., the amount necessary to cure a monetary default by the
Debtors) applicable to each of the Debtors’ executory contracts and unexpired leases is zero
dollars ($0.00).

To the extent that a non-Debtor party objects to (a) the assumption of such
party’s contract or lease (including adequate assurance of future performance thereunder),

(b) the applicable Cure Amount, (c) or any other matter pertaining to assumption, such
party must file and serve an objection (each, an “Objection”) and such Objection must:
(i) be in writing, filed with the Clerk of the United States Bankruptcy Court for the District
of Delaware together with proof of service thereof; (ii) set forth the name of the objecting
party, the nature of such party’s dispute to such assumption or over the applicable Cure
Amount, and the amount such party believes to be the correct Cure Amount; (iii) state the
legal and factual basis for such dispute; and (iv) be served upon the following parties so as
to be actually received by no later than 4:00 p.m. (prevailing Eastern Time) on Monday,
June 6, 2016:

If no Objection is timely received, the non-Debtor party to an executory
contract or unexpired lease shall be deemed to have consented to the assumption of such
contract or lease and the Cure Amount proposed by the Debtors and shall be forever
barred, estopped, and enjoined from challenging the validity of such assumption or such
Cure Amount thereafter.
9.
If a timely Objection is filed and served in accordance with this notice and cannot
be otherwise resolved by the parties, the Bankruptcy Court may hear such Objection at a date set
by the Bankruptcy Court.
UNLESS AN OBJECTION IS TIMELY SERVED AND FILED IN ACCORDANCE
WITH THIS NOTICE, IT MAY NOT BE CONSIDERED BY THE BANKRUPTCY
COURT.
10.
Absent any pending dispute, any monetary amounts required to cure any existing
defaults arising under the executory contract(s) and unexpired lease(s) identified in the
Assumption Schedule will be satisfied, pursuant to section 365(b)(1) of the Bankruptcy Code, by
the Debtors or Reorganized Debtors, as applicable, upon assumption thereof. In the event of a

dispute, however, payment of the cure amount, if any, would be made following the entry of a
Final Order(s) resolving the dispute and approving the assumption.
