The trustees confirm that the annual report and financial statements of the company comply with the current statutory requirements, the requirements of the company's governing document and the provisions of the Statement of Recommended Practice (SORP) "Accounting and Reporting by Charities" issued in March 2005. Structure, governance and management Constitution The company was incorporated on 8 April 2008 and registered as a charity on 24 April 2008. Method of appointment or election of trustees The management of the company is the responsibility of the trustees who are elected under the terms of the Memorandum of Association. New trustees are invited to meet the other trustees and key employees at the centre, they are briefed on the organisation, current plans and the financial status of the charity. New trustees are advised of their legal obligations under charity law and are encouraged to attend appropriate external training events where these will facilitate the undertaking of their role. Organisational structure and decision making The Kench Hill Charity is governed by the Board of Trustees, which meets termly (3 times a year). It is responsible for the management of the Kench Hill Centre and strategic direction and management of the "activities" of The Kench Hill Charity. Management of the centre is delegated to the Head of Centre, currently Ms Sandi Bain. All staff are employed by The Hackney Learning Trust and seconded to The Kench Hill Charity. The Head of Centre is responsible for managing the budget agreed by the board of trustees, for implementing curriculum development and management of the premises in accordance with health and safety legislation and guidelines. Risk management The trustees have assessed the major risks to which the charity is exposed, in particular those related to the operations and finances of the charity, and are satisfied that systems and procedures are in place to mitigate exposure to the major risks. Objectives and strategies for achieving objectives Policies and objectives The Kench Hill Charity seeks to deliver life-changing experiences for young people and adults by providing educational and recreational activities that inspire personal development, self-confidence, independent life skills and that promote healthy lifestyles in a safe, supportive environment with good quality affordable accommodation for groups which do not have access to other facilities. We have referred to the guidance contained in the Charity Commission's general guidance on public benefit when reviewing our aims and objectives and in planning our future activities. In particular the trustees consider how planned activities will contribute to the aims and objectives they have set. Increase voluntary donations through local fund-raising and appeals. 2. Generate income to supplant the local authority grant which has been reduced. 3. Develop a sensory garden with play equipment suitable for children with additional needs and a secure safe area for toddlers. 4. Complete the new eco-classroom building (The Straw Hall). 5. Reduce energy consumption and costs by improving insulation to Main building and Warden's accomodation and generating electricity from solar panels on the new building. Activities, achievements and performance Going concern After making appropriate enquiries, the trustees have a reasonable expectation that the company has adequate resources to continue in operational existence for the foreseeable future. For this reason they continue to adopt the going concern basis in preparing the financial statements. Further details regarding the adoption of the going concern basis can be found in the Accounting Policies. Review of activities 2014-15 has seen further growth by The Kench Hill Charity. The number of visitors benefiting from the facility and occupancy rates continued to rise. The number of days occupied is now at maximum optimum level, with just a short period of unoccupied days in winter allowing for routine maintenance and refurbishment. Achievements Key activities in the year in pursuance of the above stated objectives: 1. The charity received donations from the White Stuff Foundation and helped raise additional funds through cake and jam sales; Tenterden Rotary Club funded transport for families with special needs; plus individual donations. An Open Day attracted 50 local people. 2. A fund-raising appeal to parents generated donations to the Friends of Kench Hill voluntary group to provide bursaries to school students. 3. The construction of the sensory garden was completed with a new play house. 4. The eco-classroom construction work took place throughout the year – the newly named Straw Hall is near completion with minor works and landscaping still ongoing. 5. Solar panels installed on Straw Hall will provide an income from the Feed-In Tariff and reduce electricity costs in the main building. Further achievements: • Gold Award from Kent Wildlife Trust for Wild Gardens. • Hostel of the Year (South-East region) awarded by Outdoor Lads, representing LGBT community. • Links with local school (Homewood Secondary) and businesses including providing work experience for local students. Page 3 The Kench Hill Charity (A company limited by guarantee) Trustees' report (continued) for the year ended 31 March 2015 Public benefit delivered by the charity (statistics) School groups 1,120 pupils visited for residential curriculum-linked study. Of these, 939 from Hackney schools, plus 181 pupils from other inner London and European schools. (15% increase on 2013-14.) School journey grant Total value of grants awarded for direct benefit of Hackney pupils was £28,265. 331 Hackney pupils (ie 35% of all those attending) were awarded individual grants of up to £150 towards the cost of a residential curriculum-linked trip. Average grant subsidy was £85 per pupil. A fund-raising appeal to parents was initiated this year to provide an alternative source of funding for the school journey grant since the local authority grant was withdrawn in September 2014. Money raised will be collated by the Friends of Kench Hill voluntary group, for distribution to eligible pupils by Kench Hill Charity. Three Short Breaks were run for families of children with special needs, attended by 61 individuals. We are grateful to The White Stuff Foundation for donations which support this programme. 50 individuals from families with children with special needs had a free day trip to the seaside with a BBQ and games at Kench Hill, with coach transport funded by Tenterden Rotary Club. The day was organised in partnership with Hackney ARK. Avoid the necessity of realizing fixed assets held for the use of the charity. Honour liabilities and expenditure commitments in the event of a reduction in income. The board's assessment is that reserves of 4 months expenditure are required to meet each of these needs. The level of reserves is monitored and reviewed by the board on an annual basis. The current level of free reserves is considered adequate by the board to meet the foreseeable liabilities of the charity as they fall due. Results for the year In the year under review the charity balanced income and expenditure, and attracted new funds which enabled an expansion of charitable benefits, especially to families of children with special needs. The charity achieved a surplus for the year of £7,434 on unrestricted funds and £23,124 on restricted funds. The surplus on the restricted funds arose as a result of the receipt of a grant in the year to fund capital expenditure which was fully utilised in the year. The asset acquired (solar panels) will be subject to depreciation which will be shown as expenditure in the accounts for the years ended 31 March 2016 onwards. As at 31 March 2015 the charity had total restricted and unrestricted funds of £347,491 (2014: £316,933). Plans for the future Future developments - Increase visitor numbers through larger capacity by use of the new ‘Straw Hall’ and develop income generating activities from it. - Increase regular fund-raising activities eg special events. - Broaden the scope of services offered to a wider section of the community eg social services/health sectors. - Conserve Georgian features of the main house ie wooden panelling in lounge and corridors. Page 5 The Kench Hill Charity (A company limited by guarantee) Trustees' report (continued) for the year ended 31 March 2015 Statement of trustees' responsibilities The trustees (who are also directors of The Kench Hill Charity for the purposes of company law) are responsible for preparing the trustees' report and the financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). Company law requires the trustees to prepare financial statements for each financial year. Under company law the trustees must not approve the financial statements unless they are satisfied that they give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing these financial statements, the trustees are required to: select suitable accounting policies and then apply them consistently; observe the methods and principles in the Charities SORP; make judgments and accounting estimates that are reasonable and prudent; state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements; prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in operation. The trustees are responsible for keeping adequate accounting records that are sufficient to show and explain the charitable company's transactions and disclose with reasonable accuracy at any time the financial position of the charitable company and enable them to ensure that the financial statements comply with the Companies Act 2006. They are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. In preparing this report, the trustees have taken advantage of the small companies exemptions provided by section 415A of the Companies Act 2006. This report is made solely to the company's trustees, as a body, in accordance with section 145 of the Charities Act 2011 and regulations made under section 154 of that Act. My work has been undertaken so that I might state to the company's trustees those matters I am required to state to them in an independent examiner's report and for no other purpose. To the fullest extent permitted by law, I do not accept or assume responsibility to anyone other than the company and the company's trustees, as a body, for my work or for this report. Respective responsibilities of trustees and examiner The trustees, who are also the directors of the company for the purposes of company law, are responsible for the preparation of the financial statements. The trustees consider that an audit is not required for this year under section 144(2) of the Charities Act 2011 (the Act) and that an independent examination is needed. The company's gross income exceeded £250,000 and I am qualified to undertake the examination by being a qualified member of the Institute of Chartered Accountants in England and Wales.. Having satisfied myself that the company is not subject to audit under charity or company law and is eligible for independent examination, it is my responsibility to: examine the financial statements under section 145 of the Act; follow the procedures laid down in the general directions given by the Charity Commission under section 145(5)(b) of the Act; and state whether particular matters have come to my attention. Basis of independent examiner's report My examination was carried out in accordance with the general directions given by the Charity Commission. An examination includes a review of the accounting records kept by the company and a comparison of the financial statements presented with those records. It also includes consideration of any unusual items or disclosures in the financial statements, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the financial statements present a 'true and fair view' and the report is limited to those matters set out in the statement below. Accounting policies 1.1 Basis of preparation of financial statements The financial statements have been prepared under the historical cost convention and in accordance with the Financial Reporting Standard for Smaller Entities (effective April 2008). The financial statements have been prepared in accordance with the Statement of Recommended Practice (SORP), 'Accounting and Reporting by Charities' published in March 2005, applicable accounting standards and the Companies Act 2006. 1.2 Company status The company is a company limited by guarantee. The members of the company are the trustees named on page 1. In the event of the company being wound up, the liability in respect of the guarantee is limited to £10 per member of the company. 1.3 Fund accounting General funds are unrestricted funds which are available for use at the discretion of the trustees in furtherance of the general objectives of the company and which have not been designated for other purposes. Restricted funds are funds which are to be used in accordance with specific restrictions imposed by donors or which have been raised by the company for particular purposes. The costs of raising and administering such funds are charged against the specific fund. The aim and use of each restricted fund is set out in the notes to the financial statements. 1.4 Incoming resources All incoming resources are included in the statement of financial activities when the company has entitlement to the funds, certainty of receipt and the amount can be measured with sufficient reliability. 1.5 Resources expended Expenditure is accounted for on an accruals basis and has been included under expense categories that aggregate all costs for allocation to activities. Where costs cannot be directly attributed to particular activities they have been allocated on a basis consistent with the use of the resources. Support costs are those costs incurred directly in support of expenditure on the objects of the company and include project management carried out at headquarters. Governance costs are those incurred in connection with administration of the company and compliance with constitutional and statutory requirements. The company is not, and is not required to be, registered for Value Added Tax (VAT), consequently all expenditure is stated gross of any irrecoverable VAT incurred. 1.6 Tangible fixed assets and depreciation All assets costing more than £1,000 are capitalised. Tangible fixed assets are stated at cost less depreciation. Related party transactions The Kench Hill Centre is owned by the London Borough of Hackney. The charity has a licence to occupy the premises. Staffing of the centre is provided by employees of The Hackney Learning Trust which makes a charge for educational services provided to the charity. The Hackney Learning Trust is a department within Hackney Council's Children & Young People's Service. One of the trustees, Ms S Bain, is an employee of the Hackney Learning Trust. In the year the charity has benefited from unrestricted and restricted grants made by the London Borough of Hackney.
