By signing a Damascus Community Bank VISA Business Check Card Application, the Company requesting this debit card service agrees to be bound by this agreement, including the fees and charges set forth herein, as they may be adjusted from time to time. 1. Definitions. For purposes of this Agreement, certain terms used throughout this Agreement shall have the following meanings: a. Company shall refer to the business entity (such as, for example, a sole proprietorship, partnership, limited liability company or corporation) identified as the Company on the first page of this application, and which has executed this application, and its successors and assigns; and such term shall include any all owners and/or principals of the business entity. ® b. Card means a VISA BUSINESS CHECK CARD that the Bank issues subject to the terms and conditions of this Agreement. c. Electronic funds transfer means the movement of funds originated other than by deposit slip, withdrawal slip or check. (In other words, a movement of funds that does not use a paper order). Electronic funds transfers can be performed through the use of ATMs, POS terminals, by telephone, and by other electronic means. d. Authorized User means an officer, employee, agent, partner, manager, member, or other individual authorized by the Company to use a ® VISA BUSINESS CHECK CARD related to the Company's account(s), who completes an application. e. ATM means an automated teller machine. f. POS terminal means a point-of-sale terminal where debit card purchases may be made. g. PIN means personal identification number. h. Transaction means an electronic funds transfer. i. We, us, our, and Bank mean Damascus Community Bank. j. You, your, yours, and Cardholder mean the Company representative and applicant that has signed the application. k. Unless the context clearly requires otherwise, a singular term includes the plural and vice versa, and a word of one gender includes the other. ® 2. Application. In order to receive a VISA BUSINESS CHECK CARD, it is necessary for an authorized officer of the Company and assigned Authorized User to complete, sign and return to the Bank a Damascus Community Bank VISA Business Check Card Application. If approved for a Card, the Authorized User will receive a Card and, if applicable, PIN by separate mailings. 3. Issuance of Cards. The Bank will issue a Card in the name of the Company and in the name of the Authorized User as designated in the Application with respect to the Company’s business account(s). A separate PIN will be selected for each Card issued. The Bank may impose a limit on the number of Cards issued per account. All Cards must be signed by the Authorized User. All Cards remain the property of the Bank and must be surrendered to the Bank upon demand. The Company acknowledges that the Bank is providing such service to the Company as an accommodation only and, except as otherwise provided by law, the Bank is not responsible in any way for the manner in which the Cards are utilized. Each reissued card may incur a fee, not to exclude a lost, stolen, damaged or expiring card. This fee is payable whether or not the card is used. The personalized VISA Business Check Card may be mailed directly to you. Notify the Bank if the card is not received within two weeks. Permission is given to Damascus Community Bank to conduct inquiries including obtaining reports from consumer reporting agencies in connection with this request to be associated as an Authorized User for the Company with a deposit account at the bank. 4. Use of Cards. The Company represents and warrants, on behalf of itself and its Authorized Users, that the Cards will only be used for business purposes. The Company and Authorized User understand that the Card shall not be treated as a consumer card under any provision of federal or state law or regulation, including but not limited to Regulation E, and that the rights and protections provided under such laws and regulation to consumers shall not be applicable to the Card, the Company and the Authorized Users. Authorized Users may use the Card to make withdrawals, transfers, and balance inquiries at ATMs, if available, or purchases at POS terminals using a PIN. In order for an Authorized User to be able to use the Card to make POS Transactions, the Authorized User must present the Card at an establishment that displays the service mark of a network of which the Bank is a member. In order to complete a POS Transaction the Authorized User will be required to provide a correct PIN or a signature. When a PIN is entered at an ATM or POS terminal and Transaction is effected, the Bank is authorized and entitled to treat such Transaction as if it were a written order of the Company bearing an authorized genuine signature. The use of the PIN to gain access will be treated as if the transaction had been submitted with your genuine signature. For transactions where neither a pin number nor a signature is required, insertion of a Card into an ATM or POS terminal shall be deemed to constitute the authorization and direction by the Authorized User of such Transaction. The four digit number or word you select, your PIN, will be the code the ATM or POS terminal will use to identify you when you complete online debit transactions. This code will be known only to you. No one at the bank will have knowledge of your selection. You should select a PIN that will be easy for you to remember, but not easy for others to guess. A PIN will be assigned and mailed if a number is not selected. You agree to not keep your PIN with your Card or write your PIN on the card, carrier or any paper you will carry with the Card. You understand that the Company and the Authorized Users are responsible for maintaining the security of your PIN and that the Company may be liable for Transactions by persons with unauthorized access to Cards. A card may be used only by the Authorized User to whom it is issued, and is nontransferable. The Company agrees to advise the Bank if an Authorized User ceases to be such. It is agreed that all transactions made through the use of this Card are subject to the rules, regulations, and charges governing the Company’s commercial account(s) identified on the cover page of this Application and to any other agreements between us. A currency conversion fee or single-currency international fee for transaction completed in foreign countries will occur as a separate transaction. 5. Limitations on Debit Card Use. The daily withdrawal limit at participating ATMs and the daily purchase limits are provided on the Application and may be revised by the Company from time to time on forms provided by the Bank. These daily limits are applicable to each Card during any calendar day (12.00AM to 11:59PM). The amounts of the debit transactions are limited to the available balance in the Company accounts (including any monies available under an overdraft line of credit tied to the Company checking account, if applicable) requested on the Application. It is agreed that the card(s) will not be used for illegal gambling or other illegal purposes. Display of a payment card logo by, by example, an online merchant, does not necessarily mean that transactions are lawful in all jurisdictions in which the cardholder may be located. ® ® This VISA Business Check Card also allows you to conduct transactions on the STAR and CIRRUS debit networks, which will generally require the use of the PIN. Some merchants are authorized to accept non-VISA debit transactions without requiring you to enter your PIN. If you choose to sign to authorize a debit transaction, the transaction will be routed as a VISA transaction. Liability and Promise to Pay. The Company agrees that it will be unconditionally liable for all debits effectuated by use of the Cards, without limitation, whether authorized or unauthorized, whether utilized by Authorized Users or some other person, and whether arising from Cards lost or stolen. [All Authorized Users shall be deemed third party beneficiaries of the accommodation extended hereunder and of the terms and conditions of this Agreement. Accordingly, such Authorized Users shall be jointly and severally liable with Company for any debits effectuated under the Card issued to such Authorized User, whether authorized or unauthorized, and whether arising from lost or stolen Cards.] The Company will adopt security measures by taking reasonable precautions to safeguard the issued Cards and PINs from unauthorized persons or use. It is understood that the VISA Business Check Card is the property of Damascus Community Bank and will be returned upon request. The Company agrees to immediately notify the Bank if a card has been lost, stolen or used by any person other than an Authorized User. Please note that VISA Business Check Card Transactions are not subject to any of the consumer protections afforded under the federal Electronic Funds Transfer Act (Regulation E). The Company is liable for all transactions completed by an Authorized User or any person with an interest in or authorization to transact business on the account, whether the transaction or amount is expressly authorized. VISA Zero Liability may apply to VISA Business Check Card Transactions completed through the VISA network that were unauthorized. In evaluating the claim, the Bank will consider whether gross negligence on your part has contributed to the transactions in question. Your liability may be increased, if based on substantial evidence, it is reasonably determined that you were negligent or fraudulent in the handling of the card. Provisional credit will be proved within 5 business days from receipt of notification. If you are asked to provide written confirmation of the unauthorized VISA transaction and the Bank does not receive such written confirmation, your account may not be credited. Unauthorized transactions exclude all transactions by any person with an authority to transact business on the account. Damascus Community Bank has no liability for inability to perform its obligations under the Agreement due to any thing outside the control of the Bank, its agents or subcontractors. The Bank will not be liable for any disclosure to any third party arising out of a Transaction instruction, including but not limited to network or merchant data compromises. The Bank will not be liable for any consequential or incidental damages resulting from the unauthorized use of any Card. 7. Statements and Disputed Debits. Each month the Company will receive an account statement (“Monthly Statement”) showing, among other things, all debits made by use of the Cards. The Company agrees to review its Monthly Statement as soon as it gets it. If a receipt or Monthly Statement shows an unauthorized Transaction, or if it shows any other problem or error, the Company must notify the Bank immediately, but in no event no later than 21 calendar days after the date of the Monthly Statement on which the unauthorized Transaction, problem or error (“Dispute”) first appears or when the Company first discovers the unauthorized Transaction, problem or error, whichever is earlier. Disputes regarding any Card debit Transactions shall be communicated by calling and/or in writing to the Bank to the contact information provided in the Commercial Deposit Account Agreement. Communications shall include the Authorized User’s and the Company’s names, the respective Card numbers, the dollar amount of any Dispute, the reference number and description of the Dispute. If the Company does not notify the Bank of a Dispute, as provided above, the Company is absolutely barred from bringing any action against the Bank that is in any way related to the Dispute. Even if the Company notifies the Bank of a Dispute, the Company will still be liable for unauthorized Transactions, as specifically provided in Paragraph 6 above. With respect to any and all purchases made with a Card, Company agrees to resolve all matters including but not limited to damages, loss of merchandise, warranties and failure to render services with the respective merchant. The Bank may assist and guide the Company in resolving the problem but bears no responsibility for any losses. Customer bears responsibility for chargeback related fees for disputed transactions. The Bank is under no obligation to reverse disputed items until final credit is received for such Dispute. 8. Canceled, Lost or Stolen Cards. The Company may cancel a Card at any time for any reason. The Company should notify the Bank of its intention to cancel a Card. Once canceled, the Card should be cut in half and disposed of in a safe manner. If any Card is believed to be lost or stolen or in the possession of an unauthorized person, the Company must immediately notify the Bank of that fact and the Bank will deactivate the Card. The Company must notify the Bank by calling 800.500.1044 or 301.253.1000, or in writing to 26500 Ridge Road, P. O. Box 1, Damascus, MD 20872. Until the Bank is notified of a canceled, lost or stolen Card and has a reasonable time to respond, which the parties agree shall be no less than one business day, the Company agrees that it will be liable for the full amount of all transactions involving the use of a Company Card. The Company understands that it could lose all the money in its account (plus the maximum overdraft line of credit if applicable.) 9. Termination. The Bank shall have the right, at its sole discretion, to terminate this Agreement and the Company’s privileges hereunder. The Bank may add or discontinue services or make any changes to this agreement provided notification is received as required by law. Upon a zero, or less, account balance, or unsatisfactory account or card use, or illegal transactions, privileges may be rescinded immediately and will be reactivated only upon customer request and Bank approval. The Bank may, without liability or advance notice, revoke or limit all cards issued under this Agreement. Termination will not affect liability incurred by the cardholder prior to termination. Upon demand, the card will be surrendered promptly to the Bank. Cards not activated within 6 months may be closed. The Card may be closed after 12 months of no valid transaction completion. 10. Return of Cards. All Cards shall be deemed canceled effective upon termination of this Agreement and Company shall instruct the Authorized Users to cut in half all Cards, and return them to the Bank. Company shall remain liable for all debits or other charges incurred or arising by virtue of the use of a Card prior to the termination date. Any damaged card must be returned to the Bank for a replacement. 11. Amendments and Change in Terms. The Bank may from time to time amend the terms of this Agreement to the extent allowed by applicable federal and state law. The Bank will notify Company by mail, or if agreed, electronically, of such amendments, and subject to the requirements of applicable law, any amendment to this Agreement will become effective at the time stated in such notice. 12. Refusal to Honor Cards. The Bank is not responsible for the refusal of anyone to honor the Cards. 13. Other Agreements. This Agreement is subject to the provisions of the Commercial Deposit Account Agreement, including any and all related account applications and other account opening and authorizing documents and/or resolutions on file with the Bank and they are hereby incorporated by reference into this Agreement. In the event that there are inconsistencies between this Agreement and any other account document, the terms of this Agreement shall control to the extent necessary. If any provision of this Agreement is determined to be unlawful or unenforceable for any reason, the remainder of this Agreement will remain enforceable. 14. Governing Law. This Agreement and all Transactions hereunder shall be construed as contracts subject to applicable federal law and the laws of the State where Company opened the account. If state and federal laws are inconsistent, federal law governs. v.09.2013 Commercial Electronic Product Information The following is important information that applies to electronic transactions that may be available with your commercial deposit account. BUSINESS DAYS. Our business days are Monday, Tuesday, Wednesday, Thursday, and Friday. Holidays are not included. TYPES OF TRANSFERS. You may authorize certain direct deposits to your checking or savings account. You may authorize certain bills and other payments to be deducted from your checking or savings accounts. A merchant may convert your check in payment for merchandise or services into an electronic funds transfer from your account. You may use your VISA Business Check Card to: Make deposits to your checking and savings accounts. Withdraw cash from your checking and savings accounts. Obtain balance information on your deposit accounts. Transfer funds between your checking and savings accounts. Pay for purchases from your checking account at places that have agreed to accept the card or code. This VISA Card also allows you to conduct transactions on the STAR® and CIRRUS® debit networks, which will generally require the use of the PIN. Some merchants are authorized to accept non‐VISA debit transactions without requiring you to enter your PIN. If you choose to sign to authorize a debit transaction, the transaction will be routed as a VISA transaction. Provisions of the Agreement and disclosure that specifically relate to VISA transactions are inapplicable to non‐VISA debit transactions. Some of these services may not be available at all terminals. Funds transfers completed through our telephone and online banking services before 6:00p.m. each business day will be processed by us the same business day. ELECTRONIC CHECK CONVERSION. You may authorize a merchant or other payee to make a one‐time electronic payment from your checking account using information from your check to pay for purchases pay bills. LIMITATIONS ON DOLLAR AMOUNTS OF TRANSFERS. You can buy up to $3,500.00 worth of goods or services each day by using the VISA Business Check Card in our point‐of‐sale transfer service, unless Application provides custom limits. You can withdraw up to $500.00 from ATM terminals using your VISA Business Check Card each day, unless Application provides custom limits . LIMITATIONS ON FREQUENCY OF TRANSFERS. Federal regulations restrict the number of third party transfers to six per statement cycle month on savings and money market accounts. FEES. You will be charged $1.50 for each transfer that you make using an automated teller machine not owned by us. There is a $1.00 charge for each balance inquiry at machines we do not own. We do not charge for any POS transactions. If you conduct a transaction involving only U.S. dollars with the ATM/Debit card in a country outside of the United States of America, Puerto Rico or the U.S. Virgin Islands, there will be a transaction fee of .8% of the transaction amount that will appear on your monthly statement. If you conduct a transaction involving multiple currencies with the ATM/Debit card in a country outside of the United States of America, Puerto Rico or the U.S. Virgin Islands, there will be a transaction fee of 1% of the transaction amount that will appear on your monthly statement. If you use your card in a foreign country and/or to make a purchase in a foreign currency, you will be charged a currency conversion fee of 1% of the transaction amount. Expedited card order ‐ $75.00. You will be charged $10.00 per card for the issuance of replacement access cards. You will be charged $10.00 per card in excess of two. No more than five cards per account. When you use an ATM not owned by us, you may be charged a fee by the ATM operator or any network used (and you may be charged a fee for a balance inquiry even if you do not complete a fund transfer). DOCUMENTATION. Terminal Transfers. You can get a receipt at the time you make any transfer that exceeds $15.00 to or from your account using automated teller machines or point‐of‐sale terminals. ATM SECURITY. As issuers of Automated Teller Machine (ATM) access devices we are providing a list of safety precautions regarding the use of ATMs. Be aware of your surroundings, particularly during the hours of darkness. Be accompanied by another person. Refrain from displaying cash by placing in a pocket as soon as transaction is completed. Count cash in a secure environment. If anything suspicious is noticed, cancel transaction, place access device in a pocket and leave. Use another ATM or return at a later time.
