Solicitation
The San Diego Convention Center Corporation (“Corporation”) is soliciting proposals
from qualified licensed California contractors (“Respondents”) to replace Lighting
Dimmer system at the of the Convention Center East Building. Respondents must
demonstrate the ability to perform the work described in the Scope of Services set forth
in this Solicitation and have significant experience successfully performing comparable
work.
Corporation is not required to engage in a public bidding process to solicit proposals,
quotes, information or statements of qualification. This process is not subject to protest
or appeal.
Neither the Respondent nor its agents, lobbyists, attorneys or other parties representing
the interests of the Respondent shall contact members of the San Diego Convention
Center Board of Directors, the San Diego City Council, or the San Diego Unified Port
District with regard to this project or process. Any such contact shall be grounds for
automatic disqualification of the potential Respondent and its response submittal.
This solicitation is not an offer or commitment to purchase any goods or services
or to award or enter into a contract.

Scope of Services for this Solicitation
Corporation desires to engage the services of a qualified licensed California Contractor
to provide all new materials and labor to Replace Lighting Dimmer systems in the East
Building rooms 20 through 33 for the Corporation. The awarded Respondent
(“Contractor”) shall provide the Services as described herein and in accordance with
recognized industry standards and regulations for general contracting services.
Project Description:
Background: Due to heavy use and obsolescence, Thirteen Rooms Lighting dimmer
systems in the East Building require immediate replacement with all new equipment.
Respondents will be responsible for any modifications necessary to ensure successful
replacement and installation of the dampers.
There will be a facility walkthrough on August 28, 2014 at 1:00 PM (PST) to field
verify the equipment location and the Conditions.
Scope of Services:
Contractor shall provide all new materials and equipment, labor, and any modifications
necessary to the facility to replace lighting Dimmer systems in twelve rooms. The
Services shall be provided by Contractor's qualified workforce. The Services shall be

provided in a manner that demonstrates highest degrees of customer service, quality
control and professional collaboration.

VI. Manufacturer's Services:
A. Four (4) sets of B size drawings for approval submitted within 2- 6 weeks of receipt of order.
B. Two (2) year limited warranty on parts and workmanship.
C. Unison DRd dimmer racks and associated dimmer modules include an eight (8) year warranty on parts
and workmanship.
D. The services of a factory engineer to energize system and instruct (train) user personnel. Such services
to be supplied on 7 day notice.
E. Production requires 1 - 6 weeks for delivery of equipment after receipt of written approval and release.
F. Must maintain production (inventory) of factory parts for ten (10) years
G.
Two (2) sets of Operation Manuals (one hard copy, one CD) VII, Notes and Clarifications:
A. Quotation must include all labor and materials: cabling, interconnecting cables, and back boxes unless
specifically listed.
B. (A) D20 modules with fluorescent loads require two wire ballasts (Advance Mark X recommended).
C. (A) D20 modules with fluorescent loads wired in conjunction with DRd-FLO require four wire ballasts.
D. Overcurrent protection of sense circuitry is to be installed in compliance with local NEC & electrical
codes
E. Unison wall stations quoted should be with standard legends.
F. Unison Light-Designer software and training need to be included.
G. User modifications to the Unison Paradigm configuration must be available (Paradigm Architectural
Control Processor (P-ACP) and from the Local Access web interface).
H, Control-Designer software may be used to create user defined Touchscreen pages prior to system
commissioning.

Limit but provide minor facility modifications necessary for the dimmer
replacements including any electrical and controls work;

Remove existing Dimmer in a manner to minimize the number of hours the
facility is without service;

Recycling of materials is preferred. Recycling by the Contractor shall be
reported as follows: For the material recycled, reused, or salvaged from the
project, the amount, the date removed from the jobsite, the receiving party, the
transportation cost, the amount of any money paid or received for the recycled or
salvaged material, and the next total cost or savings of salvage or recycling each
material. Provide manifests, weight tickets, receipts, and invoices;

Provide all material and labor to install fully operational and functional dampers
systems;

Install per manufacturer’s requirements;

Verify electrical connections, voltage, phase, and ampacity, damper and control
systems prior to start-up;

Inspect for compliance and applicable UL certification;

Provide instruction to Corporation staff on proper operation and care of the
dampers systems;

Any additional services required to complete the work.

The work during some time periods may be suspended due to building activities,
during which no mechanical work can be performed and all units must be
operational. The target to complete this project is November & December of
2014.

Performance verification (system commissioning) will be scheduled as the
system is completed.

A four year (48 month) warranty will be included in the quote


Provide two (2) year warranty on all parts and labor costs including the repair or
replacement of defects in material or workmanship.
Standards of Personnel & Conduct:
Contractor shall provide identification badges and standardized uniform dress to its
technical personnel.
Personnel shall present an alert, well-groomed and efficient appearance and be
courteous at all times. Personnel shall exhibit good professional judgment and
common sense and shall uphold the highest professional standards in the course of
performing their duties.
Contractor shall maintain a safe working environment at all times while on Corporation
premise.
Employee Identification and Building Access:
Corporation shall issue identification badges, which shall be worn by Contractor’s
employees when present in or around the Center. When performing the Services, all
employees of Contractor shall wear uniforms that bear the company name and/or logo.
Access to the Center and its surrounding premises shall be as directed by the
Corporation’s Designated Representative. Corporation and its employees shall not
have access to, nor shall they enter, certain areas of the Center designated as
restricted.
Independent Contractor:
Contractor is deemed to be an independent contractor for all purposes regarding its
operation for Corporation.
Payment:
Payments will be based on a mutually agreed Payment Schedule (“Schedule”). All
payments are less 10% retention. Ten (10%) percent Retention shall be paid upon
completion of all punch-list items and system acceptance.
Contract Term:

Services shall commence upon execution of a Contract or Purchase Order. Target
date for the work is November/December 2014.
The Services must be performed in accordance with the scope of work, terms and
conditions of a written contract. Terms and Conditions are attached as Exhibit 1.
Response Requirements and Content
Prior to submitting a response, the Respondent must carefully review this Solicitation
and any addenda subsequently issued. The Respondent is responsible for seeking any
clarification or information needed to respond. The Respondent is solely responsible
for any deficiencies in the response submitted.
The Respondent must review the terms and conditions set forth in the specimen
contract attached hereto and, in the submittal, specifically identify any provisions the
Respondent finds unacceptable or desires to negotiate.
The Respondent is solely responsible for all costs, direct or indirect, incurred
responding to this Solicitation. SDCCC will incur no obligation or liability in connection
with the submittal of a response.
A responsive submittal must include responses to the following sections and specific

additional services or material not identified in this Solicitation or deviations from the
Scope of Work in this Solicitation which Respondent believes will enhance the specified
Services or more successfully achieve the outcome sought by this Solicitation. Any
alternates or deviations must be separately listed and described; however, the submittal

also must be responsive to the Scope of Work described in this Solicitation.
Proprietary Information.
Certain documents in SDCCC’s possession are subject
inspection and copying pursuant to the California Public Records Act [Cal. Govt. Code
§6250, et. seq.]; however, the law does not require disclosure of proprietary information
which constitutes a trade secret under California law. SDCCC will attempt to protect
legitimate proprietary information included in any submittal, but shall not be liable for
the disclosure of any proprietary information.
Proprietary information included with a response submittal must be separately bound
and clearly labeled with the words "Confidential Proprietary Information." Appropriate
reference to this separately bound information must be made in the body of the
submittal. Marking the entire submittal as proprietary will result in it being
rejected and returned to the Respondent participant unread.
Response Submittal Procedures
Clarifications. Requests for clarification of this Solicitation must be directed to Bill
Broderick, Procurement and Contracting Manager, and submitted in writing, by E-mail
to Bill.Broderick@visitsandiego.com prior to August 29, 2014, 4:00 PM (PST).
Facility Walkthrough. A pre-proposal conference and facility walkthrough is scheduled
for August 28, 1:00PM (PST); check in at the Security Office on the back loading docks.
Between loading dock 31-60 and 1 – 30 there are several doors set at an angle. You
should enter through these doors. Go one set of stairs and turn left. To your left are two
doors and then a window for the Security Office. (See direction attachment)
Addenda. Any material changes to this Solicitation resulting from either a request for
clarification or a business decision of SDCCC will be issued in written form in the same
manner this Solicitation was advertised. All changes in such addenda shall supersede
or supplement this Solicitation. Respondents are solely responsible for determining
whether any addenda have been issued prior to submittal of a response.

Submittal Deadline. Submittals must be received by 4:00 PM (PST) on September 12,
2014 4:00PM(PST).
Submittal Methods. Submittals may be sent by U.S. or private delivery mail service or
by personal delivery to SDCCC’s Administration Offices. Submittal by E-mail, in PDF
format, will be accepted provided the signed original SDCCC Solicitation Response
Submittal Cover Sheet is received within twenty-four (24) hours after the submittal
deadline. Proposals received after the submittal deadline may be rejected.
Withdrawal of Submittal. A Respondent may withdraw its proposal by written request at
any time prior to the submittal deadline. SDCCC will destroy, not return, the submittal
package.
Selection Process
This Solicitation is seeking to identify the entities most qualified to provide the Services.
SDCCC, in its sole discretion, will determine which Respondents are most qualified to
provide the Services, based on the information in the response submittals and input
from references provided. These Respondents may be asked to interview with SDCCC
representatives and respond to questions regarding the submittal response. SDCCC
may elect to negotiate with one or more of the best-qualified Respondents. SDCCC, in
its sole discretion, will make its final selection of the Respondent whose experience,
expertise, reputation, capabilities, past performance and cost is determined to be most
advantageous to SDCCC.
SDCCC’s decision is final and is not subject to any form of administrative review,
appeal or protest.
Contracting Process
Neither this Solicitation nor the selection of a Respondent will create a binding
commitment on SDCCC. Upon completion of the selection process, SDCCC will award
a contract to the party whom it elects to provide the Services in this Solicitation. A
binding commitment will only occur when a contract between SDCCC and the
successful Respondent has been fully executed.
Disclaimers
SDCCC anticipates a single or multiple contractors will be selected as a result of this
Solicitation; SDCCC further reserves the right, in its sole discretion, to reject any or all
response submittals, waive any informalities in this process or the submittal
requirements; and/or cancel, in whole or in part, this Solicitation.

The awarded Contractor shall comply with the City of San Diego Living Wage
Ordinance (San Diego Municipal Code Division 42), unless granted an exemption by
the City’s Administration Department. Failure to comply with the Living Wage Ordinance
and/or failure to cure any noncompliance shall be grounds for termination of the
Contract. Rules Implementing the Living Wage Ordinance may be found at

Prevailing Wage
Respondents shall provide pricing for the Work based on California prevailing wage
rates. Awarded Contractor acknowledges it is familiar with and shall comply with, and
shall require all of its subcontractors to comply with, state prevailing wage law, Chapter
1 of Part 7 of Division 2 of the California Labor Code, commencing with Section 1720,
and California Code of Regulations, Chapter 8, Subchapter 3, commencing with
Section 16000. This requirement is in addition to the requirement to pay Living Wage
pursuant to Section W above.
For each classification of work, Contractor must determine both Prevailing Wage and
Living Wage rates and pay the higher of the two (2) rates.

3.3

3.4
Method of Payment. Contractor shall submit itemized monthly invoices to San Diego

spent during the previous month. Invoices approved by Corporation shall be paid within thirty
(30) days of receipt. Corporation shall promptly notify Contractor of any disputed or disallowed

3.5
Billing Records. Contractor shall maintain full and complete records of the time spent
providing the Work and receipts for all expenses billed to the Corporation. Such records shall be
retained for not less than three (3) years following expiration or termination of this Contract and
provided to Corporation within five (5) business days following a written request.
3.6
Funding Contingency. Corporation’s fiscal year is the period between July 1 of each
calendar year and June 30 of the succeeding calendar year. Corporation’s continued
obligation to make payments under this Contract, beyond the current fiscal year, is contingent
upon the availability of sufficient funding in each subsequent fiscal year(s).
SECTION 4.
GENERAL PROVISIONS
4.1
Standard Care; Licenses. Contractor shall perform the Work in a skillful and competent
manner. Contractor shall be responsible to Corporation for any errors or omissions in its
performance of the Work. Contractor represents and warrants to Corporation that it has in
effect, and shall retain, throughout the Term hereof, all licenses, permits, qualifications and
approvals of whatever nature are required to practice its profession in California.
4.2
General Standards; Site Examination. All Work shall be performed as described in this
Contract and in accordance with industry standards for the type of facility and Work being
performed. Contractor has satisfied itself as to the nature and location of the Work, the kind and
type of equipment, facilities and materials needed to perform the Work, and all other matters
which may in any way affect the Work. Contractor agrees that the Maximum Compensation is
based on its examination of the site and that it will make
no

compensation if the conditions encountered differ from those anticipated by such examination.
4.3
Project Managers. The parties’ respective designated representatives shall be the dayto-day contact persons during the performance of the Work. Contractor’s Project Manager
shall be _________. Corporation’s Project Manager shall be its [Insert Title]. All submittals required
of Contractor shall be delivered to Corporation’s Project Manager. Corporation’s Project
Manager may not: (a) award, renew, terminate or cancel contracts; (b) agree to, or sign any
modifications to the contract; (c) obligate the Corporation for payment outside the scope or
the contract; or (d) negotiate prices or change orders directly with the Contractor.
4.3
Injury to Persons; Damage to the Center or Corporation’s Equipment. Contractor shall be
solely liable for any death or bodily injury, or any damage to the Center, its contents, or
Corporation’s equipment, caused by Contractor, its agents and employees, in connection with
providing the Work. Contractor shall, at its own expense, promptly cause any damage to be
repaired and/or replace anything irreparably damaged.
4.4
Shutdown of Building Systems. Contractor shall identify any requirements for shutdown of
building systems, including but not limited to the life safety system, within the Progress Schedule.
Said shutdown of building systems must also be specifically approved by the Corporation
twenty-four (24) hours prior to such shutdowns.
4.5
Materials.
Contractor must have all materials available prior to start of construction.
DELIVERY INSTRUCTIONS MUST BE COORDINATED WITH CORPORATION’S PROJECT MANAGER PRIOR
TO ANY ON-SITE DELIVERIES. All on-site storage/delivery sites must be approved by the Corporation
in writing.
Where a specific manufacturer, trade name or material is specified or indicated, it is to
establish a standard of quality and shall not be construed as limiting competition. If the Contractor
desires to use a manufacturer, trade name or material other than specified, it shall request
approval of such substitution in writing to the Corporation's Project Manager, no later than five (5)
days prior delivery of such materials. Items found acceptable will be approved by a duly
authorized addendum issued by the Corporation's Procurement Manager. Corporation reserves
the right to reject or accept substituted materials submitted, at its sole discretion.
4.6
Regulations. Corporation shall obtain any required building permits. Contractor agrees to
comply with all other laws, ordinances, codes and regulations now or hereafter in effect
promulgated by any Federal, California or local governmental agency relating to the
performance of work herein.
Contractor agrees to indemnify Corporation from liability or penalty which might be imposed by
reason of an asserted violation of such laws, ordinances, codes or regulations (excluding building
permits which shall be the sole responsibility of Corporation). On completion of the Work,
Contractor shall submit to Corporation original Certificates of Inspection and Acceptance.
4.7
Safety. Contractor agrees to protect its Work (in progress and completed) and be
responsible under all circumstances for its condition until Corporation's acceptance of the entire
project and to protect Corporation's facility, property, employees and the public from damage or
injury. Contractor shall abide by all standards of the Occupational Safety & Health Administration
which are applicable to the work being performed as well as all safety rules issued by Corporation
from time to time.
4.8
Inspection and Acceptance. Corporation shall have access to and the right to inspect all
material, equipment and work during the course of performance of the Work. Contractor shall
replace, without charge, any material or correct any workmanship found by Corporation not to
conform to the requirements of this Contract unless Corporation consents to accept such material
or workmanship with an appropriate reduction in the price.

4.9
Warranties. The parties shall have all rights, duties and remedies provided by the Uniform
Commercial Code in connection with the Work provided hereunder. For all warranty and/or repair
work, Corporation will be the final arbiter of the acceptance of all repair work and reserves the
right to reject any repairs due to aesthetic or other concerns. Contractor warrants that the Work to
be performed shall be free from all defects in design and workmanship, shall meet all requirements
of this Contract, and shall be suitable for the purpose intended. Contractor shall immediately
remedy and cure any such defect or defects in the Work, at Contractor’s sole cost and expense
for a period of three (3) years from the date of Corporation’s acceptance of the Work.
4.10
Title to the Work. The title to all Work completed or in the progress at the site and all
materials, for which Corporation has paid Contractor, shall be in Corporation. Title and risk of loss of
all other materials, equipment and tools delivered to the site shall be and remain in Contractor.
4.11
Electrical Power and Water. Corporation shall provide Contractor with convenient
access to electrical power and cold water required to perform the Work. The electrical outlets
and water sources used by Contractor shall be those designated or approved by Corporation.
4.12
Site Supervision. Contractor shall ensure that a superintendent is present and supervising
Contractor’s employees at all times when Work is being performed.
4.13 Apprentices. Apprentices of any crafts or trade may be employed, and when required by
California Labor Code, Article 3, Section 1777.5, provided they are properly indentured to the
Contractor in full compliance with provisions of the stated Labor Code. The prime Contractor
shall bear the responsibility of compliance with Labor Code Section 1777.5 and for all
apprenticeship occupations and agrees to comply with that section.
4.14
Prevailing Wage Requirement. Contractor shall comply and require all subcontractors to
comply with the prevailing wage law of the State of California set forth in California Labor Code
Section 1770.
4.15
Hours of Work. It is Contractor’s responsibility to be fully aware of and comply with State
law pertaining to legal days worked as provided in California Labor Code, Article 3, §§1810 et
seq. Hours and days may be adjusted as schedule of events allows and with adequate
advance approval to the Corporation.
4.16
Employee Identification. Contractor shall issue identification badges which shall be worn
by Contractor’s employees when present in or around the Center. The badges shall have, at a
minimum, the employee’s picture, name and Contractor’s name. When performing the Work,
all employees of Contractor shall wear uniforms that bear the company name and/or logo.
4.17
Building Access. Contractor shall be provided access to the Center in connection with
performing the Work. Access to the Center and its surrounding premises shall be as directed by
the Corporation’s Project Manager. Contractor and its employees shall not have access to, nor
shall they enter, certain areas of the Center designated as restricted.
4.18
Drug Free Workplace Policy. Contractor shall advise all of its employees of Corporation’s
DRUG FREE WORKPLACE POLICY which states:
“The unlawful manufacture, distribution, dispensing, possession, or
use of a controlled substance is prohibited at the San Diego
Convention Center and the Civic.”
Contractor’s employees must agree to the terms of this policy as a condition of employment
and be advised that violations of this policy shall result in appropriate disciplinary action, up to
and including termination, and that an employee convicted of a violation of a criminal drug
statute, occurring in the workplace, is required to notify his/her supervisor of the conviction, in

writing, no later than five (5) calendar days after such conviction.
4.19
Equal Employment Opportunity. Contractor shall not discriminate against any employee
or applicant for employment on any basis prohibited by law. Contractor shall provide equal
opportunity in all employment practices.
In the event Contractor has fifteen (15) or more employees, Contractor agrees to be bound by
the City of San Diego Equal Employment Opportunity Ordinance (Municipal Code Chapter II,
Article 2, Division 27), setting forth the City of San Diego Equal Employment Opportunity (“EEO”)
Program, which is applicable to this Contract and administered by Corporation.
Contractor shall comply with all state and federal Wage and Hour laws and all California and
Federal laws and regulations governing employment and conditions of employment.
Contractor shall comply with the California Workers' Compensation Act as applicable to its
employees.
4.20
Indemnification. Contractor shall indemnify, hold harmless and defend the Corporation,
City of San Diego, San Diego Unified Port District, and their respective members, officers,
directors, agents and employees from and against any and all liabilities, damages, actions,
costs, losses, claims and expenses (including reasonable attorneys fees), arising out of, caused
by or resulting from, in whole or in part, any act, omission, negligence, fault or violation of law or
ordinance, associated with Contractor’s performance of this Contract, and any transactions
arising out of or related to this Contract or performance of the Work herein. The effect and
application of this indemnification provision shall survive the termination or expiration of this
Contract.
4.21
Insurance Provided by Contractor. Unless more specific insurance requirements are set
forth in an attachment hereto, Contractor shall, at its sole cost and expense, procure and
maintain, throughout the term of this Contract, all insurance required by law and good business
practices.
4.22
Independent Contractor Status.
Contractor is and shall remain an independent
contractor. Neither Contractor nor its agents or employees shall act as officers, agents, or
employees of Corporation. Contractor has no authority to assume or create any commitment or
obligation on behalf of Corporation, or to bind Corporation in any manner.
4.23
No Benefits. Contractor shall have no claim against the Corporation for any employee
benefits, including without limitation, any vacation pay, sick leave, retirement benefits, social
security, workers’ compensation, unemployment insurance, hospitalization, health, life, disability
or any other employee benefits of any kind that the Corporation provides to its employee.
4.24
Payment of Taxes. Contractor hereby represents and warrants to the Corporation that
Contractor is an independent contractor for Federal, state and local tax purposes. Further,
Contractor hereby agrees that Contractor is solely and exclusively responsible for payment of
any and all Federal, state and local taxes and withholdings with respect to any compensation
earned as a result of this Contract, including, without limitation, any taxes imposed by the Self
Employment Contribution Act.
4.25
Ownership of Materials and Documents. Any and all materials or documents prepared
by Contractor and all work product resulting from the Work shall be the sole property of the
Corporation from the moment of preparation. Contractor shall promptly deliver such materials,
documents and/or work product to Corporation upon its request. Contractor shall have the
right to retain duplicate copies of such materials, documents and work product for its own file,
however Contractor shall not use the same for purposes unrelated to providing the Work, except
when authorized in writing by Corporation.
4.26

Proprietary Information. All information provided by

Corporation or acquired by Contractor during the course of performance of this Contract
(including, but not limited to, material described in Section 1 above, and other information
relating to Corporation’s business activities, transactions or practices) shall be deemed
Corporation’s proprietary information. Such proprietary information shall not be disclosed to any
other person or entity, directly or indirectly, except as authorized by Corporation. Contractor
shall not use any such proprietary information for any purpose unrelated to the Work provided
pursuant to this Contract. This provision shall survive the termination or expiration of this
Contract.
4.27 Conflict of Interest. During the term of this Contract, Contractor shall not perform work of
any kind for any person or entity that would conflict with the Work provided herein, without the
prior written consent of the Corporation. By executing this Contract, Contractor warrants and
represents that it does not, nor shall it, represent any client whose interests are adverse or hostile
to, or incompatible with, Corporation’s objectives related to this Contract. Corporation shall
have the right to terminate this Contract effective immediately, upon determining such a
conflict of interest exists.
4.28
Assignment and Subcontracting. This is an agreement for professional work and neither
party shall assign the Contract, nor shall Contractor subcontract with anyone to provide the
Work. Claims for money due or to become due to Contractor from Corporation pursuant to this
Contract may be assigned to a bank, trust company, or other financial institutions, or to a Trustee
in Bankruptcy. Notice of any such assignment or transfer shall be furnished promptly to
Corporation.
4.29
Modifications and Amendments. No amendment or modification of this Contract shall
be valid or binding unless made in writing and signed on behalf of each party by a duly
authorized representative.
4.30
Applicable Law. This Contract is made and entered into in the State of California and its
interpretation and enforcement and the construction of its terms shall be governed by California
law.
4.31
Notices. Any notice required by this Contract shall be deemed to have been sufficiently
communicated when (1) personally delivered or (2) on the second (2 nd) business day after
mailing by overnight delivery, postage prepaid:

Corporation and Contractor, and supersedes all prior negotiations, representations, agreements,
arrangements or understandings, either oral or written, between or among the parties hereto,
relating to the subject matter of this Contract.
