DISTANCE LEARNING AGREEMENT

AGREEMENT
1.
The University Court of The University of Glasgow, incorporated under the
Universities (Scotland) Act 1889 and having their Principal Office at University
Avenue, Glasgow, G12 8QQ (“University of Glasgow ”); and
2. Students name *****
IT IS HEREBY AGREED as follows:1
Definitions and Interpretation
1.1 Unless the context otherwise requires:
Academic Year
means the period spanning two calendar
years which commences in September of the
first calendar year and ends in September of
the consecutive calendar year;
Agreement
means this document including the Schedule
annexed and executed as relative hereto as
the same may by written agreement among
the parties be varied or extended from time
to time;
Fees
means such annual fees, additional fees and
other fees and charges as are prescribed by
University of Glasgow from time to time and
set out in the University Calendar;
Intellectual Property Rights
means copyright works, patents, discoveries,
improvements,
inventions,
trademarks,
designs, information, data, formulae,
specifications, results of tests and field trials,
diagrams, expertise, techniques, technology,
know-how, and other intellectual property of
any nature whatsoever, including applications
and the right to apply for registration of any
of the foregoing rights;
Background Intellectual Property means all and any Intellectual Property
(excluding Foreground Intellectual Property)
created or developed or otherwise in
existence prior to the commencement of this
Agreement;
Foreground Intellectual Property means all and any Intellectual Property
created or developed by the University in the
course of and relating to this Agreement;
Register
means the Research Student entering into a
contract with University of Glasgow to
become a member of University of Glasgow
in accordance with the procedures and
regulations contained in the University
Calendar.
Supervisor
means a suitably qualified or experienced
member of staff of the University of Glasgow
who shall be appointed to oversee the work
of the Research Student and to provide
training for the Research Student.
University Calendar
means the published regulations of the
University of Glasgow.
1.2 All references to clauses and schedules are references to clauses in or schedules
to this document unless the context otherwise requires;
1.3 The expression "the parties" shall mean the parties to this Agreement;
1.4 References to the words “includes” or “including” shall be construed without
limitation to the generality of the preceding words;
1.5 Where there is any conflict or inconsistency between this document and the
schedule the former shall prevail;
1.6 Headings are for convenience only and shall be ignored in interpreting this
Agreement;
1.7 Words importing the singular shall include the plural and vice versa and words
importing the masculine gender shall include the feminine and vice versa;
1.8 Reference to any statute, statutory provision or statutory instrument includes a
reference to that statute, statutory provision or statutory instrument together
with all the rules and regulations made under them as from time to time
amended, consolidated or re-enacted.

Administration
2.1 The Research Student may offer her/himself for a Degree on the basis of the
research undertaken in the area of ************
2.2 The Research Student shall be based mainly at *******
2.3 The Research Student will pursue his / her course of research for a period of not
less than 3 years full-time or 5 years part-time.

Registration and Fees
3.1 In each Academic Year the Research Student shall be required to register at the
University of Glasgow.
3.2 The Research Student shall comply at all times with all laws, regulations, codes
of practice and directions issued by any competent authorities, which shall
include without limitation the University of Glasgow, which are applicable to (a)
the research being carried out by the student; (b) the attendance of compulsory
seminars / workshops; and (c) the student’s presence in or on land or buildings
owned, occupied or under the control of University of Glasgow.
3.3 In each Academic Year the Research Student shall pay Fees to University of
Glasgow.

Supervision and Progress Review
4.1 University of Glasgow shall each appoint Supervisor(s), who shall have sufficient
expertise in the area of the project to provide adequate guidance to the Student
for the duration of the project. As at the date of this Agreement, the appointed
Supervisors are:

4.2 In the event that a supervisor is unable to continue in the supervisory role, the
University of Glasgow will seek to nominate an alternative supervisor.
4.3 As a Distance Learning doctoral student, it is a normal requirement that you visit
the University of Glasgow, and meet with your supervisor(s) in person at least once
every year as a full time student (once every second year if you are a part time
student). As with students resident at Glasgow, you will be required to undertake an
Annual Progress Review. This may be arranged via tele-conferencing or Skype. It is
standard practice for PhD students registered on a Distance Learning Programme to
attend a viva voce examination at the University of Glasgow.
4.4 In addition, the Supervisor(s) and student will remain in regular email contact
throughout the entire period of study.
4.5 University of Glasgow shall provide or make available to the Research Student
such resources as it in its sole discretion, having regard always to the funding
constraints within which it operates, deems reasonably necessary for the
Research Student to carry out the research.

Thesis and Examination
5.1 The Research Student shall submit a thesis for examination and shall thereafter
present her/himself for examination at the University of Glasgow in accordance
with the provisions of the relevant regulations.
6
Standards
6.1 The quality assurance framework and quality assurance standards of the
University of Glasgow shall apply to the Research Student at all times.

Thesis Copies
7.1 Three copies of the thesis shall be submitted in accordance with the University
Calendar. These copies can be soft-bound but must conform to the standards
required outlined in the University Calendar.
7.2 If approved, one hard bound copy of the thesis and one electronic copy shall be
deposited with the University library.

Graduation
8.1 In the event that the Research Student satisfies all of the conditions set out in
the University Calendar and is successful in the examination, the University of
Glasgow shall confer upon her/him the Degree. The Research Student shall be
entitled to graduate at a graduation ceremony at the University of Glasgow.

Intellectual Property Rights
9.1 Any Background Intellectual Property shall at all times remain the sole and
exclusive property of the Party to whom that Background Intellectual Property
belonged prior to the commencement of this agreement.
Any Foreground Intellectual Property shall be the sole and exclusive property
of the Party creating or developing it.
Any intellectual property developed by the student will be owned by the
student unless otherwise specified by the terms of any funding associated with
the studentship.

Term of Agreement
10.1 Notwithstanding the date or dates hereof, this Agreement shall be effective
from XXX until the earlier of (a) the date on which the Research Student
graduates; and (b) the date of termination of the Research Student’s research
by any one of the parties to this Agreement.
11
General
11.1 This Agreement shall not be varied other than in writing, signed by the duly
authorised representatives of the University of Glasgow and by the Research
Student.
11.2 Nothing in this Agreement shall create, nor is intended to create a partnership
or joint venture between any of the parties.
11.3 This Agreement constitutes the entire agreement between the parties in
respect of the subject matter and supersedes all other agreements,
statements, representations or warranties made by or between the parties.
11.4 This Agreement shall be governed by and construed in all respects in
accordance with the Laws of Scotland and in the event of a dispute, the parties
hereby submit to the non-exclusive jurisdiction of the Scottish courts.
