Experience
Ron McFall is a partner of the firm who is a leading expert in cooperative law. Ron
has represented agricultural, consumer and worker cooperatives his entire career. In
that role, Ron regularly provides cooperative and securities advice to a variety of
producer and member-owned organizations in the food processing, agribusiness,
consumer and renewable energy sectors. In particular, Ron has extensive experience
in securities offerings seeking equity investment for commodity processing and
renewable energy facilities owned by cooperatives and other producer-owned
organizations. Ron has represented cooperative clients both in registered offerings
and offerings exempt from registration under federal and state securities laws. In
recent years, Ron has represented numerous cooperatives and other producer-owned
businesses in a wide range of restructuring and merger and acquisition transactions.
Such transactions typically require an effort to the balance the interests of
cooperative members in their roles as both agricultural producers and owners of the
cooperative and present complex issues related to cooperative governance, securities
compliance and cooperative tax status.
Representative Work

Represented Midwest Grain Processors LLC in its sale of a 60 percent interest in
its ethanol business to Global Ethanol, LLC for $100 million.

