Experience

Guy Kroesche joined the firm in 1998 as a partner and practices in the Real Estate and

Corporate groups. His practice focuses on real estate – acquisition, entitlement, finance, leasing, joint venture, and development matters; finance - secured and unsecured lending, and loan workouts; health care – real estate, development, affiliation, contract and compliance matters; and corporate transactions – acquisition, disposition, organization, affiliation and contract matters. In addition to his legal practice, Guy has long been involved in local arts, education and community activities; regularly advises nonprofit organizations on organization, transaction, expansion, fundraising, contract, board membership, employment, legislative and administrative matters; and is active in space planning and development in downtown

Guy started his legal career in Los Angeles, California with O'Melveny & Myers LLP. He travels to, and works regularly in, Los Angeles and Las Vegas, being licensed in Utah,

Representative Work

 Acquisition, entitlement, development and leasing of a medical health care campus in Salt Lake County, Utah, with an approximate value of $750 million, which involved environmental, title, access, land exchange, municipal, ground lease/land bank, cost-sharing, zoning and related issues.

 Representation of financial institution as a participant and, through the acquisition of the position of the lead bank from the Federal Deposit Insurance

Corporation (as receiver), as the lead lender in $70 million (approximate) loan for a failed retail, residential, office and commercial venture, in lien and participation issues, loan and guarantor litigation, and related matters.

Approximately 42 lenders situated throughout the United States were involved in lien priority and title disputes, valuation and collateral questions, title insurance, public financing, and related loan matters.

 Acquisition, entitlement and development of site for future warehouse and distribution center for health care provider and supply chain organization, involving access, cost-sharing, open space, wetlands and phasing issues.

 Development and documentation of a medical center/ambulatory care complex as part of a joint venture (approximate value $500 million), involving the ground lease of property, a site development agreement, a joint development

The project also involved ongoing litigation surrounding project, inclusion of lands not yet platted, cost sharing for future developers, political and bureaucratic issues involved in dealing with political subdivision of the State of Utah, and related matters.

 Land exchange involving approximately 50 acres in Utah County, Utah with an approximate value of $50 million, excluding the costs of planning, development and construction of future medical facility and related improvements, but involving the valuation of properties, water rights, land development, entitlement and access matters.

 Loan workout, refinancing and related matters involving the financing of various hotel facilities and properties, with an approximate value of $25 million, as well as liens, cross collateralization, and subordinated lender issues.

 Sale of parcel within health care campus to physician group, involving health care compliance issues; use restrictions related to site location, right of first refusal to repurchase; put; and option to purchase.

 Acquisition, entitlement and development of medical campus property in Park City, Utah, involving annexation, open space, entitlement, lien, easement, housing allocations, land exchanges, and related legal, municipal and political issues.

 Acquisition, entitlement and development of approximate 36-acre campus in Salt Lake County, Utah for future corporate, management and operational headquarters for international company, involving legislative, municipal, entitlement, access, cost-sharing, wetlands, artifacts, Indian burial grounds, transportation, parking, zoning, transit-oriented development, and related matters.

 Lien, collateral and legal opinion matters related to multi-state refinancing of credit facilities, involving real property interests in California, Utah and Nevada.

 Negotiation, acquisition and entitlement of commercial properties for national furniture and consumer goods manufacturer and distributor.

 Negotiation and documentation of right of entry, acquisition and easement properties for private landowners with federal, state and municipal entities.

 Acquisition, entitlement and development of future educational property in Salt Lake County, Utah, involving municipal, development, public approval, master plan and zoning amendments, nonprofit, and related local, state and federal issues and regulatory proceedings and approvals, including, notably, an Act of Congress in order to consummate the transaction, which legislative process was initiated in 2002 and finalized in late 2010.
