INTEREST RATE
Fixed at 22.125% p.a.
PRINCIPAL PAYMENTS
Payable in two equal installments. The first on January 28,
2005 and the final payment at maturity on January 28,
2006
INTEREST PAYMENTS
The first interest payment will become due and payable
after four (4) months on May 28, 2004. Thereafter, interest
will be paid quarterly on August 28, November 28,
February 28, and May 28, until maturity on January 28,
2006. The final interest payment will cover the period
November 28, 2005 to January 28, 2006, and will be paid
on January 28, 2006.

Will not qualify as a liquid asset.
BUSINESS DAY
In the event that a payment day occurs on a day other than
a business day, such payments will be made on the
