Cisco Unified Workspace Licensing Program
This document sets forth the terms and conditions for your use and receipt of the
products and services purchased under the of Cisco Unified Workspace Licensing
Program ("Terms")
Related Information and Documents: This document should be read in conjunction with the following documents

All capitalized terms in this document have the meaning ascribed to them in this document.
Direct Sale from Cisco. If you are purchasing Cisco Unified Workspace licenses directly from Cisco, these Terms
are incorporated into and are in addition to the terms of your Master Purchase Agreement (MPA) or equivalent
purchase or software license agreement executed between you and Cisco. By ordering and purchasing Cisco
Unified Workspace Licensing you are agreeing to these Terms. In the event of a conflict between this document
and your MPA or equivalent agreement, these Terms shall apply to any software obtained through Cisco Unified
Workspace Licensing.
Sale via Cisco Authorized Reseller. If you are purchasing Cisco Unified Workspace licenses through a Cisco
authorized reseller, this document is a supplement to your Cisco End User License Agreement. The contract, if
any, governing your purchase of Cisco Unified Workspace licenses will be between you and your Cisco authorized
reseller.
Cisco shall provide Cisco Unified Workspace licenses as described below for up to the number of Users as
specified by you and detailed on the purchase order for which Cisco has been paid the appropriate fee.
Cisco Unified Workspace Licensing Editions. Cisco Unified Workspace Licensing is available in different
editions, with different software applications and clients included in the different editions. All the software you
receive as part of your per User license fee is included in The Cisco Unified Communications Licensing Product
Solution Overview found at http://www.cisco.com/c/en/us/products/collateral/unified-communications/unifiedcommunications-licensing/product_solution_overview0900aecd806cc7a4.html.

Standard Edition: Includes call control, voice messaging, and unified clients, as well as cloud and onpremises versions of Instant Messaging and Presence (IM and P);

Professional Edition: Includes all features included in the Standard Edition, plus WebEx Conferencing
applications (cloud and on-premises), personal multiparty video conferencing (4-party), session
management, and contact center capabilities. Additional terms applicable to your use of the WebEx
Conferencing applications as set forth at: http://www.webex.com/terms-of-service.html.
Note:
Some software applications include features that are not enabled by Cisco Unified Workspace Licensing.
The features that are included in Cisco Unified Workspace Licensing can be found at
http://cisco.com/go/workspace_licensing. Additional features should be purchased separately.

Per User Fee. You purchase Cisco Unified Workspace Licensing on a per User basis, with each User incurring a
separate fee. A "User" is defined as a person with a profile or a public space device (e.g. a lobby, conference
room, kitchen phone) administered by Cisco Unified Communications Manager software. A Cisco Unified
Workspace Licensing User can use all applications associated with the Cisco Unified Workspace Licensing Edition
that such User purchased (set forth above). Each User is licensed to use up to 10 endpoints that are assigned to
their profile. Endpoints can include but are not limited to desktop phones, soft clients, Jabber mobile and tablet
clients, and desktop video endpoints. The per User license fee paid includes all elements of the edition purchased.
Features are not licensed or priced separately.
Some functionality in software products included in Cisco Unified Workspace Licensing, that are enabled and
licensed on a per port basis under other licensing programs, may be provided in a ratio other than a 1:1 per
port/per User ratio. See http://cisco.com/go/workspace_licensing for applicable ratios for affected products.
Minimum Purchase. Your initial purchase of Cisco Unified Workspace Licensing may be subject to a minimum
User purchase. See http://cisco.com/go/workspace_licensing for applicable details. There is no minimum User
license purchase for incremental or add-on purchase
Application and Client Software. Application and client application software, as well as rights to use (RTUs) or
user licenses, as applicable, for all the Cisco Unified Communications software products included in the applicable
edition are included in Cisco Unified Workspace Licensing. Cisco’s standard End User License Agreement, which
can be found at http://www.cisco.com/go/eula, applies to all of the software included the Cisco Unified
Communication software products.
Cluster. A "Cluster" is a physical and logical aggregation of one or more physical servers each running Cisco
Unified Communications Manager. Cisco Unified Workspace User Licenses may be allocated by Cluster.
No Hardware. Cisco Unified Workspace Licensing does not include hardware. Any hardware required to utilize
application software must be purchased separately, e.g. servers, phones, and video cameras.
Cisco Software Support Services. Cisco Unified Workspace Licensing requires a one-year Cisco Software
Support Services contract, which entitles you to receive technical support and to upgrade client and application
software covered under the applicable Cisco Unified Workspace License. See: http://www.cisco.com/go/swss for a
description and requirements of Cisco Software Support Services.
You must ensure that you have Cisco Software Support Services on all Users.
Cisco End of Life Policy. Cisco reserves the right to end the product or service life of any components in the
Cisco Unified Workspace Licensing consistent with Cisco’s End of Life Policy which may be found at:

Cisco Responsibilities
1.
Provide you with a reasonable number of physical copies of the client and application software, and applicable
documentation, or access to a reasonable number of electronic copies.
2.
Provide you with the means necessary to enable software key codes or whatever licensing each specific
application requires in order to deploy or enable it.
Customer Responsibilities
Cisco Unified Workspace Licensing requires that you will:
1.
Order the proper SKU for your purchase; for example, you will order an initial start-up kit only for your initial
Cisco Unified Workspace Licensing purchase and you will order add-on SKUs only for incremental purchases.
2.
Download no more than the number of copies of software reasonably required to deploy the applications
corresponding to the applicable number of Cisco Unified Workspace User licenses you have purchased.
