Article 1:
Name of organization
Section 1:
The name of the organization shall be The Madison Public Schools
Music Association, Inc. AKA Madison Music & Arts AKA MMA. This association
is established both as a nonprofit corporation and exempt from federal Income
tax as of January 31, 1997.
Section 2:
The official mailing address of the organization shall be 170
Ridgedale Avenue, Madison, NJ 07940.
Article 2: The goals of the Madison Music & Arts are:
Section 1.
To create a meaningful relationship between the parents, students,
music and arts faculty and the public.
Section 2:
To provide support to the students, faculty, and all visual and
performing arts programs of the Madison Public Schools, kindergarten through
twelfth grade.
Section 3:
To provide assistance and encouragement to further enhance the
music and arts education of the students.
Article 3: Membership
Section 1:
The music, theater, and visual arts department faculty are
automatically members of the Association.
Section 2:
Any interested person is eligible for membership.
Section 3:
Dues, in the amount determined by the Officers, shall be solicited
from each member or family.
Article 4: Fiscal Year
Section 1:
The fiscal year shall run from July 1st to June 30th.
Section 2:
Financial records and reports shall be reviewed once every other
year. The person charged with the review shall not be an officer of MMA.

Article 5: Officers
Section 1:
Officers of the association shall be parents or guardians of students
grades K-12 currently participating in any of the curricular or extra-curricular
programs of the visual and performing arts departments.
Section 2:
Officers of the association will be:
President
Vice-President
Secretary
Treasurer
Section 3:
June 30th.
The term of the officers is the same as the fiscal year, July 1 st –

Attendance at a majority of the general membership meetings shall
be required of each officer.
Section 5:
Special meetings of the Officers shall be held upon the call of the
President or the K-12 Supervisor of Visual and Performing Arts.
Section 6:
Three out of four officers of the association shall constitute a
quorum. The President shall always be one of the three participants.
Section 7:
New officers will be recruited by an existing member of the
organization and nominated by an existing officer of MMA. A vote on the new
officer will take place at the next regularly scheduled general membership
meeting and all members in attendance are eligible to vote. An officer will be
considered approved if a majority vote in favor is achieved.
Section 8:
Resignations shall be effective upon receipt of this request in
writing to the President or any of the officers.
Section 9:
At-large Board members may be nominated and approved by the
Officers as part of succession planning. At-large members will vote on grant
requests.
Article 6:
Finances
Section 1:
MMA dues and fundraising monies shall be deposited in MMA
general fund except as follows:
a. Cash that has been restricted for a specific use by donor restriction or
MMA Board resolution shall be segregated in a separate bank account
and presented as restricted cash in MMA’s Statement of Net Assets.

b. MMA annually shall grant $1,000 to be spent at the discretion of the
District Supervisor of Visual and Performing Arts on less costly needs that
come up at the last minute or otherwise need quick turnaround. A liability
shall be recognized in MMA’s Statement of Net Assets and drawn down
during the fiscal year as this money is spent.
c. A liability shall be recognized in MMA’s Statement of Net Assets for The
Madison High School Marching Dodgers Colorguard Scholarship Fund.
This is not a fundraising program of MMA, but MMA has agreed to hold
the money raised for these scholarships and to pay the recipients each
year until all money raised has been spent.
d. A liability shall be recognized in MMA’s Statement of Net Assets for the
net proceeds of the Summer Arts Program. MMA has agreed to assist
District music and arts faculty in administering their Summer Arts
Program, including processing the program’s cash receipts and payments.
This is not a fundraising program of MMA, but the faculty makes a
donation to MMA in recognition of this assistance. The families of
students participating in this summer music and arts education program
pay tuition, and faculty salaries and other related costs are paid from the
proceeds. The program is designed to break even over time.
Article 7: Meetings
Section 1:
General meetings of the association shall be held as needed, as
scheduled by the officers.
Section 2:
President.
Special meetings of the membership shall be held as called by the

Article 8: Dissolution of the Association
Section 1:
Upon dissolution of the association, proceeds from membership
and from fundraisers will be distributed back to the music departments of the
respective schools in the Madison school district prorated according to each
school’s enrollment.
Article 9:
Bylaws
Section 1:
The bylaws will be posted on the MMA homepage of the school
district website. The will also be distributed to any member upon request.

Section 2:
The bylaws shall be reviewed no less than every three years.
Section 3:
Changes to the by-laws may be proposed by any member of the
organization. The suggested change must be presented for consideration at a
regularly scheduled general meeting amended by a majority vote of the members
present at any general meeting.
