Cooperation Center's Company Counseling, Managing, Assessing,
and Departure Methods

Article I
The University Innovative Incubation Industry-University Cooperation
Center (the Center) drafts these methods to promote companies' business
performance and to manage the University campus.
Article II
There are three phases of counseling: pre-incubation, incubation, and
post-incubation in this method. Counseling process is shown in
Attachment 1.
Article III
Counseling includes:
i.
Integration counseling
ii. Cooperation start-up application
iii. Technology transfer/authorization
iv. Business support
v. Administration services
vi. Intellectual property rights
vii. Promotion support
viii. Assistance for government grant
ix. Market information support
x. Assistance for financing application
xi. Assistance setting up strategic alliance
xii. Other previously agreed matters
Article IV
Counseling process:
i.
The University Innovative Incubation Industry-University
Cooperation Center (the Center) will arrange appropriate teachers
to pair up with enterprise partners for initial counseling. The
company will draft up an operation proposal, which will be
reviewed before entering the Park.
ii. The Center will suggest case studies or general counselors, or hire
an advisor based on the previously mentioned proposal. General
advisors are hired by the Center, and case advisors are selected by
the enterprise.
iii. Administration services other than professional counseling are
provided by the Center Case Study Manager.
iv. Case Study Manager should draft up counseling reports every 6
months for the Center Director to review.
Innovative Incubation Promotion Committee shall form if
necessary to improve the IU operation.
Article V
The Innovative Incubation Promotion Committee is convened by the
Vice-Principal, and is formed by the General Director, R & D Director,
the Center Director, Accounting Director, and one to three
industry-University cooperation expert(s).
Article VI
Free counseling includes:
i.
Common technology introduction or development
ii. Common enterprise administrative management
iii. Common database system search
iv. Promotional seminars, symposiums (excludes company or product
commercials)
v. Administration support
vi. Other previously agreed terms
Paid counseling includes:
i.
Profession training
ii. Business planning
iii. Legal advice services
iv. IU cooperation development or technology improvement services
v. Regular advisory services
vi. Equipment inspection
vii. Other case intrust services
Article VII
Management in this method includes management of employees and
venue of company partners on campus, public utilities, and operating
performance.
Management of employees and venue include:
i.
The enterprise should provide the Center with a list of company
employees coming on campus, and ask them to follow all campus
rules.
ii. Company employees on campus should always wear employment
ID.
iii. Any design of extra construction on campus shall be agreed upon
by the University.
iv. All standard utilities of the venue are signed by the company to
borrow, and return with receipt when the company leaves.
v. The company has the right to test-sell products and have event
research at the venue.
vi. The company's venue on campus cannot be registered as a branch
of this company.
vii. Any hazardous waste or pollution caused by the company should
be disposed of by the company according to legal regulations.
viii. The company shall not affect its neighborhood or the environment
with its raw material, production process, products, or wastes, or
the noises and smell during production.
Management of public utilities is divided into self-services and
paid sign-up's. Please find your conscience and use the utilities
according to instructions for our self-services. For public utilities
for a fee, we accumulate the fees and charge every month. If there's
a sign-up overlap, whoever signed up first gets to use it. Case
Manager is available for mediation if necessary.
Operating performance management refers to the companies'
procedure reports for the Center every 3 months.
Article VIII Assessment in this method includes the following, which are evaluated
by the Innovative Incubation Promotion Committee:
i.
Whether the operated content matches that from the proposal
ii. Operating performance
iii. Payment fidelity for paid services
iv. Fidelity on borrowed items
v. Violation of law
vi. Loyalty to contract
vii. Identified departure conditions
Article IX
Process of assessment:
i.
The Center will host a Innovative Incubation Promotion
Committee general meeting once 6 months, and review based on
reports written by counselors. Presence of enterprise
representatives may be required if necessary.
ii. Results of assessment will be reference of the Center's future
executions.
iii. Results and suggestions of assessment will be notified to each
enterprise by letter.
Article X
Departure is classified into two situations:
i. Course completion:
a. Completion of cooperation time.
b. Technology successfully transferred or products officially
produced in mass quantities.
ii. Forced departure:
a. Overdue payment(s) of over 3 months.
b. Company employees committed to crime or matters that affect the
school's reputation.
c. Violation of contract.
d. Significant matters that influence the cooperating relationship
between the company and the school.
Article XI
Companies that are eligible for course completion should send
application to the Center.
Enterprises that are departing shall return the space, all properties, and
clear out all debts within 30 days after notification, and are given Course
Completion or Departure Agreement by the University as completion of
departure. Any unfinished tasks will be forcefully handled according to
contract, and any loss for the University will be billed to the company.
Article XII
This Method will be enabled after passing the school administration
meeting and signed by the Principal.
