Ms. Baker is a government affairs advisor in the firm’s Washington,
D.C. office. She focuses her practice on federal tax matters affecting
businesses and individuals, including tax policy, tax administration,
and technical tax issues. Prior to joining K&L Gates, Ms. Baker served
on the Senate Committee on Finance for 6 years as a Georgetown
Government Affairs Fellow/IRS Detailee. In that position, she worked
on major tax bills; managed committee hearings; oversaw IRS policies,
programs, and initiatives; and worked on tax reform measures. She
also served in the Internal Revenue Service for more than 25 years in
a variety of technical and management positions. In 2010, Ms. Baker
was featured in Tax Analysts as a congressional staffer influencing

Ms. Meer is a partner in the Washington, D.C. office and a member
of the Investment Management practice group. She provides

investment companies, including hedge and private equity funds and
funds of funds. She presently serves on the Washington, D.C.
Education Committee for 100 Women in Hedge Funds and is an
Editorial Advisory Board Member for Money Manager’s Compliance

Kara Ward is an associate in the firm’s Washington, D.C. office. She
concentrates her practice on federal policy, focusing on financial
services, with an emphasis on the housing finance market, and
particular experience with respect to insurance, consumer financial
services, payment systems and community economic development.
She provides policy analysis and strategic advice to a variety of
financial services companies and trade groups on matters that impact
their business and also engages in advocacy with the Congress and
Executive Branch agencies in order to advance her clients’ objectives.

Mr. Morley, a partner in the Washington, D.C. office, assists clients
in responding to investigations by law enforcement authorities and
regulatory agencies, and counsels them on complying with the

Mr. Nolan, a partner in the New York office, specializes in
domestic and cross-border securitization, structured finance,
structured products and derivatives. He has broad familiarity with
synthetic, cash-flow and market value CDOs, large loan CLOs,
mortgage-backed and asset-backed securities and asset-backed
commercial paper programs as well as servicing retained wholeloan sales. Mr. Nolan has represented issuers, underwriters,
servicers, bond insurers and others in a wide variety of whole-loan

Mr. Crimmins is a partner in the New York and Washington, D.C.
offices who represents clients in enforcement investigations and
litigation conducted by the Securities and Exchange Commission
and other financial services regulators, as well as in private securities
litigation. He also leads internal investigations and counsels on
regulatory compliance, corporate governance and other SEC-related
issues. Mr. Crimmins practiced with the SEC for 14 years, eight of
which were in senior management. As the Deputy Chief Litigation
Counsel of the SEC’s Enforcement Division in Washington, D.C.
from 1993 until 2001, he was one of 11 members of the Senior
Executive Service at division headquarters. Mr. Crimmins co-managed
a unit of 25 first-chair trial attorneys representing the SEC in hundreds
of securities cases in the federal courts and in administrative
proceedings. He also consulted on SEC investigations, participated
actively in settlement negotiations, and served as an adviser to
attorneys in SEC regional offices. Mr. Crimmins joined the SEC
as a trial attorney in 1987 and continued to litigate and try cases
for the agency after his promotion to senior management in 1993.

Mr. Eisenberg is a partner in the firm’s Washington, D.C. office.
He focuses on representing financial institutions and individuals
in enforcement matters, litigation, and internal investigations. After
working in the SEC’s Office of General Counsel, Mr. Eisenberg
spent roughly half his career in private practice and half in senior
in-house positions. He served as General Counsel for UBS Wealth
Management Americas, where he headed the legal department
responsible for regulatory relationships, litigation, and legal issues
involving the broker-dealer and its affiliated bank. Before that, he
was General Counsel for Merrill Lynch Global Markets & Investment
Banking Litigation and Co-Head of Merrill Lynch Global Litigation,
Employment, and Regulatory Affairs. During more than sixteen

individuals in class actions, arbitrations, and dozens of government

Ms. Hastings, a partner in the Washington, D.C. office,
concentrates her practice on securities enforcement, civil litigation,
and internal investigations. She represents public and private
companies, broker-dealers, investment companies and their
advisors, corporate officers and directors, and accountants in
enforcement proceedings before the U.S. Securities and Exchange
Commission and other securities regulatory bodies. Ms. Hastings

Mr. Brooks is Managing Director and Associate General Counsel
for AXA Equitable Life Insurance U.S., where he has been working
to improve the efficiency and functioning of the company’s
Insurance Practice Group, and has also recently taken on
oversight of the Government Relations Practice Group. Under
his legal guidance and leadership, the company has improved its
competitive position in the marketplace and enjoyed substantial
additional revenues through modification of inforce products
and introduction of several new and groundbreaking financial
products. Previously as First Deputy Superintendent and Acting
Superintendent for the New York State Department of Financial
Services, Mr. Brooks served as second-in-command of one of
the United States’ oldest and most influential financial regulatory
agencies. Overseeing a workforce of more than 1,000, Mr. Brooks
served as a key advisor to the Superintendent. His leadership
facilitated the largest regulatory insurance settlement in U.S.
history—the $2 Billion damages dispute arising from the WTC
attack. As Deputy Attorney General for Operations at the New York
State Office of Attorney General, Mr. Brooks demonstrated both
his legal and operations management expertise, transforming the
massive legal operation and ensuring both operational excellence
and business continuity after 9/11. Mr. Brooks’ early career in
litigation included serving as Counsel, Employment Litigation
for the Metropolitan Life Insurance Company and as Associate,
Commercial Litigation for a New York law firm.

Ms. Sheinberg is a Principal in the Legal and Compliance
Department of The Carlyle Group. At Carlyle, Ms. Sheinberg
focuses on Carlyle’s Global Market Strategies Business (GMS)
which encompasses the firm’s hedge funds, mutual funds,
business development companies and certain CLOs and carry
funds. In her role, Ms. Sheinberg handles issues relating to
Carlyle’s SEC-registered investment advisers, registered
investment companies, commodity pool operators, commodity
trading advisers and Carlyle’s affiliated broker-dealer, with
which she is licensed. In addition to implementing the legal and
compliance program generally across GMS, Ms. Sheinberg also
serves as the Chief Compliance Officer of Carlyle Quantitative
Strategies Investment Management L.L.C., Carlyle’s first
internally launched hedge fund adviser that implements a
quantitative trading strategy, and Director of Compliance of
Vermillion Asset Management, LLC, which advises hedge funds
focused on trading physical commodities and commodity
derivatives. Ms. Sheinberg received a J.D. from Brooklyn Law
School. She received a Bachelor of General Studies degree from
