Please find attached background materials forthe Facilities Master Planning and
Oversight meeting to be held on November 18, 2015.
Per request of the committee~ an update on the information technology (IT) task force
meeting results to determine the strategic execution plan (SEP) for bond-funded IT
projects will be provided. Background materials regarding the IT SEP are included.
KPMG will also present the results of the bond program performance audit for
Propositions A, AA and Measure J for fiscal year 2014-15. A summary of the audit
results are included in your board package materials. Draft copies of the audit report are
being finalized. Per your discretion, I would ask you to consider a vote to recommend
that the full board approve the acceptance of the audit report, scheduled for FPD2 on
the board report for the meeting on December 9, 2015.
Additionally, the agenda will include an opportunity for the Program Management
Office (PMO) to continue to provide follow-up responses to the October 21, 2015
discussion of the 2015-16 cQmmittee goals and to review a matrix of work remaining on
the bond program. Background materials related to those items is included in the board
package.

Dear Mr. Rodriguez,
OpTerra Energy Services, Inc. ("OpTerra ES") hereby submits this Appeal of the District's Denial (dated 15
October 2015 but received on 4 November 20U) ofOpTeira ES-s Protest (dated 6 October 2015) Conceramg
Procurement Number CS-01 M5-V-RFP, for Energy Infrastructure Improvements (the "RFP"). pursuant to the
Appeal Procedure set forth in Attachment 23 to the RFP.
Basis for the Appeal
OpTerraES reiterates the points it made in its Protest and believes that the Denial of the Protest is clearly in error.
The selection process^ which the Denial seeks to justify is not consistent with the RFP itself; nor is it the objective
process required by California Education Code §81703 and the Guidelines promulgated by the Chancellor's office.
Rather, the Denial describes a wholly subjective process in which the District makes a determination on the basis of
undisclosed criteria not set forth in the RFP,
Facts and Information in Support of Appeal
1. Ih.ejlBest Value'' Process reqinres clear, obieclive criteria for the contractaward,
Education Code §8170Ka)'defmes best value as "a value determined by objective criteria ...." Section 81703 goes
on to state that an RFP must include all significant factors that the community college district will consider, and the

that the award will be made on a best value basis However, the Denial indicates that, although the RFP clearly
states what that best value basis consists of, and the weighting or scoring that would be givento eachofthe
objective criteria, the District reserved to itself to make an award using discretionary criteria that were not'included
in the scoring matrix and were no. disclosed with weighting factors in-the RFP. Op-Terr, ES contends that the
process which the District followed, as described in the Denial, is not consistent with the requirements of the
Education Code, the Chancellor's guidelines, or the terms of the RFP itself. If the process described inthe RFP had
been followed properly, me award would have been made to OpTeira ES on the basis of receiving the highest score
based on the objective criteria.
2. The District erroneously concluded Ihat OpTerra l':S's proposa] would excetid thejinuccrbudget
The Denial attempts to justify its award to Southland by contending that the District "determined that OpTerra's
proposal would place the project significantly over budget from inception and greatly jeopardize the District

ability to design and constmct the project...." This statement ignores the structure of the RFP itself, which broke
pricing proposals down into three categories:
A Lump Sum amount for all Design, Approvals, Open Book Bidding, and Establishing GMP services;
A Lump Sum amount for daily General Conditions for the Construction Phase calculated using the
projected Project Construction Duration for the Project; and
A percentage markup to cover all overhead and profit ("Fee") for the Construction Phase.
This method for evaluating price is consistent with the Chancellor's guidelines, which state that "consideration of
price... can evaluate (he Design-Build Entity's .. . cost of developing plans, specifications and product information
...." IfOpTerra ES had been given the opportunity, as contemplated by the RFP, to address the District's concern
about constructability within the overall construction budget (presented in the RFP), OpTerra BS would have shown
that, based on our knowledge of the campus, existing central plant design and the design measures we were
proposing to use, we would be able to complete this project well within the established budget. OpTerra ES believes
that our final project cost would be less than Southland's.
Remedy Sought
OpTerra ES requests that the Chancellor take the following actions:

Stay all further action on this procurement pending resolution of this appeal; and
Immediately forward this appeal to the Facilities Master Plannmg and Oversight Committee for a
hearing.
OpTerra ES reserves all rights to supplement its protest arguments and assert additional grounds for protest once it
receives further access to the contract file to which it is entitled.

The District is in receipt of the above referenced protest to this design-build procurement. The
Chancellor has referred this matter to me for response pursuant to the LACCD Bond Program
Protest Procedure (Attachment 23 to the Request for Proposals ("RFP")) for this procurement.
Summary and Basis for OpTerra's Protest
I.
Opterra's two page protest letter basically contends that: The RFP established clear, objective
criteria for the contract award", "the District did not follow its own criteria " because the
District made an 'after-the-fact, unannounced change to the scoring criteria '" and "the District,
in effect ignored the maximum score of allocated to price and gave 'extra credit'for a low
price

OpTerra's protest letter correctly notes that this design-build award is to be made on a "Best
Value" determination based on the criteria set forth in the RPP documents. OpTerra's protest
letter then immediately states that "By awarding a contract to aproposer whose score was not
-best" according to the RFP 's established criteria, the District violated the terms of its own
RFP. " OpTerra then goes on to contend that the District's "arbitrary violation " should be
changed.

II.
District's Response
Regarding the contentions that the: "District did not follow its own criteria "because "the
District made an 'after-the'fact, unannounced change to the scoring criteria'" and "the District,
in effect ignored the maximum score of allocated to price and gave 'extra credit 'for a low
price"; these contentions are factually inaccurate.
The District did not make an "after-the-fact, unannounced change to the scoring criteria." Nor
did the Distnct "in effect ignore the maximum score of 125 points allocated to price or give
extra credit' for a low price." Had the District made an unannounced change to the scoring
criteria, the Program Management Office would not have acknowledged OpTe.a-s higher score
on its recommendation to award to theDish-ictor as set forth in the Board of Tmstees agenda
item submitted by D^tnct Staff to the Board. The D.i^trict didno^t (^gnore thesconng on Price"
nor did the District "give additional points to Southland on price". Southland's score could not
rise above the maximum points allocated because it received 100% of those points as the lowest
priced proposer.
The Dist-ict acknowledges that OpTerra received the "highest" score/points under section 4.2 of
the RFP, entitled "Scoring" (ie., 488 points for OpTerra, versus 468 points for Southland, a 20
point differential). And, the District did follow the scoring criteria as set forth in section 4.2 of
the RFP document. There was no "after the fact scoring change" or "extra credit" given.
However, what OpTerra's protest appears to indicate is that OpTerra misconstmes the basis for
the award. Nowhere in the RPP does it say that the award will be based solely on the "highest
score" or the "best scorer which appears to be the gist for OpTerra's protest' In fact, section 4.2
of the RFP is entitled "Scohng". However, section 4.3, is entitled "Final Selection Process", and
section 4.3 does not mention scoring at all. It says:
"Following submission of the Proposals, the following may also occur, at the District's
discretion:
.
Discussions, and/or Negotiations may take place. These are closed to the public. The
Rules for Discussions and Negotiations are set forth elsewhere in this RPP and in
Attachment 21 to the RFP

Finalists may or may not be asked to submit one or more "Best and Final Offers" to the
District and subject to the Rules for Best and Final Offers set forth elsewhere in this RFP.
The process and conditions for Best and Final Offers are found in Section 6.2 of the RFP;
.
The award of the contract will be made on a "Best Value" determination based on
established criteria set forth in the RFP Documents."
The foregoing Final Selection Process criteria, as well as other text throughout the RFP
documents, indicate that for this procurement, the District did not establish a "numeric value"
(i.e., "highest score/best score") selection process, but rather a "qualitative value" selection
process, as permitted by Education Code section 81703.

The RFP clearly states, on several occasions, that:
"The Proposals will be scored, evaluated, and a successful Design
Build Entity ("DBE") will be identified for award of the Design Build
contract using a "Best Value" method of selection."
This text straightforwardly states that: (1) Proposals will be scored; (2) the Proposals will then be
evaluated; and (3) a DBE will be identified .. . using a Best Value" method of selection.
The District's RFP did not elect solely a "numeric value" for rating the proposals. As mentioned
above, if it had done so, the RFP would state that the award had to be made to the proposer
scoring the highest/most points. Rather, the RFP repeatedly states that the evaluation of the
proposals would be made on a "best value/qualitative basis."
This is completely consistent with the stated overall selection process of: "The Proposals will be
scored, evaluated, and a successfal Design Build Entity ("DBE") will be identified for award of
the Design Build contract using a "Best Value" method of selection."
OpTerra's contention that "the contract must be awarded to the proposer who scores the
"most/best/highest points", would also render meaningless the RFP's overall stated selection
process and deprive the District of the other discretionary factors the District identified in the
RFP that it would rely on in evaluating proposals.
For example, if the District was required to award to the proposer that garnered the "highest
and/or most and/or best points", the District would be precluded from negotiating or bargaining
or requesting one or more best and final offers from the proposers, as the statutes and the RFP
Documents clearly state that the District has, and did reserve, the right and discretion to do so.
Education Code section 81701 (a) states that:
"Best value" means a value determined by objective criteria and may include,
but need not be limited to, price, features, functions, life-cycle costs, and other
criteria deemed appropriate by the community college district."
The District has always deemed projected construction budgets as an appropriate factor worthy
of evaluation and consideration in the selection of an intended awardee. This is especially tme
on design-build awards where, as the RFP documents state, the awardee must, in essence, do two
things: (1) design the project according to the established Project Criteria; and (2) design and
construct the project within the projected construction budget. These two "goal posts", and
requirements, are stated throughout the RFP documents, and even as stated in the Board Agenda
item for this procurement. If the District determines that an awardee cannot deliver an overall
price for design and construction within the projected project budget, the District is under no
obligation to let the awardee build it. This is because the Board of Trustees has fiduciary duties
to spend the tax payer's dollars wisely and in the most cost effective and efficient way possible.

And while placing a numeric calculation on such a factor is normally difficult, as each project
varies in complexity and scope, it is not a factor that can be ignored or disregarded. The
Legislature has deferred such decisions and discretion to the local public entity which it has
decided is in the best position to determine the "best/qualitative value" of proposals it receives
for projects it intends to build.
And while the_chteria in the RFP selection process here did include scoring as an initial indicator
of the proposals, it was never intended, nor was it stated to be, the sole or determinative factor
for evaluating the proposals from a "qualitative/best value" standpoint.
Consistent with this discretion afforded to the District, the District's RFP also reserved other
determining factors by which to evaluate the proposals. Section 6 is entitled "Other Terms and
Conditions of the RFP Process". Section 6.1 states that "The District expressly reserves the
unqualified right to undertake any of the following if advantageous to the District..."
6.1.1 [The District may] Accept or reject any or all of the submitted proposals to
theRFP...
6.1.10 [The District may] Decline to enter into a contract with any Proposer.
6.2.3 ... The District will, in the exercise of its discretion, be the sole judge in
the determination of the quality and appropriateness of the Proposal. "The
District's decision will be final.. .
6.2.23 Award of the Design-Build contract is subject to the availability of funds.
In the event that funds are not available. District shall have the right,
without liability to any proposer, to decline to execute the Design-Build
contract...
Under provisions 6.1.1 and 6.1.10, the District has the discretion to award to any of the qualified
finalists or none of them,
Under provision 6.2.3, the District has the discretion to judge the quality and appropriateness of
each proposal.
In its review of the proposals from an overall cost/budget standpoint, the District determined that
OpTerra's ProP°sal would place the project significantly over budget from inception and greatly
jeopardize the District's ability to design and construct the project for the public, whereas
Southland's proposal would provide the District with an opportunity to achieve the projected
budget. Given the very close "point scoring differential" (which was not detenninative for the
reasons expressed above),it was well_within the District's discretion to determine that potentially
committing an additional $790,621.00 of tax payer dollars up front, ifOpTerra was selected, was
not in the tax payers best interest for this project.

Basis for the Protest
OpTerra ES will show that Southland Indusfries should not have received the award of the Design-Build Agreement
solicited under the RFP, because the award was not made in accordance with the clear terms of the RFP. Section 4.3
of the RFP unambfguously states that "The award of the contract wilt be made on a 'Best Value' determination
based on established criteria set forth in the RFP Documents." By awarding the contract to a proposer whose score
was not "best" according to the RFP's established criteria the District violated the terms of its own RFP. OpTen-a
ES protests this arbitrary violation of the RFP's terms by the District.
Facts and Information in Support of Protest
I. The RFP established clear. objective criteria for the contract award.
Section 43 of the RFP unambiguously states that "The award of the contract will be made on a 'Best Value
determination based on established criteria set forth in the RFP Documents.

The determination criteria established for the award are set forth in Section 4.2 of the RPP, as follows:
4.2.1 Proposal

The scoring for the Proposal will be based on a maximum of 325 points available.
4.2.2 Interview

Proposers shall also attend an Interview / Presentation meeting with the Selection Panel. The scoring for the
Interview / Presentation will be based on a maximum of 150 points available. The RuJes for Presentations and
Interviews are found in the RFP and in Attachment 20 to the RFP.

4.2.3 Price

Proposer'^s Price that was submitted in a separate sealed envelope will be opened after the Interview

The resolution of the Board of Trustees of the District, as recorded in Corn. No. FPD3, states that Southland
was 468 - twenty points^lower than the highest score of 488. The background to the resolution states" :The'DBE
with the lowest price and second highest score represents the best value to the District."

change the "best value" scormgcritena before making an award, all the proposers should have'beeng7ven"an equal
opportunity to revise their proposals in light of the new criteria.

Key Performance Indicator (KPI) criteria
• Criteria used for each KPI presented in the September 30, 2015
presentation can be found in the Backup Slides beginning on
Slide 40 of that presentation.
• Poor Scoring KPIs
– Time to Execute Change Orders: Currently the KPI holder is
penalized if over 10 percent of all open change orders are not
executed within the 90-day timeframe, regardless of whether they
have processed 90 percent of other change orders within the
designated time frame.
– Construction Schedule: A contributor to the scores are legacy
projects that experienced unforeseen conditions, contractor default,
or DSA review/approval delay.

Measurement & Demand Response (M&DR): Energy “hogs” and Prop 39

• M&DR
– Completed in June 2015
– Energy consumption data being captured and will be analyzed to identify poorly
performing buildings (10,000 SF+)
– 12 months of data required to set a baseline to establish trends and/or make
recommendations based on those trends
• Prop 39
– Five-year program for K-12 & CC to implement energy efficiency projects, while
creating jobs in the community
– California Community College Chancellor’s Office distributes Prop 39 funds
based on full-time equivalent students (FTES)
– 2013 thru 2016: $9.35 million allocated to LACCD
• 35 Projects funded by Prop 39; several more in development
– Projects will create 42.38 direct job-years in the local community
– Utilities savings of $560K per year; savings back to college operations budgets

The foiiowing resolution is presented by Trustees Veres, Park, and Santiago:
WHEREAS, Ii1eLos Angeles Community College District adopted and voters approved in
2008 Measure J, which induded a list of proposed projects; and
WHEREAS, The Measure J project list induded potential satellite campus sites for Los
Angeles Mission College. Los _ Angeles Valley College, West Los Angeles
College, East Los Angeles Coliege, the Health Careers Academy at County
General Hospita!, and the Firestone factory building in the city of South Gate;
and
WHEREAS, The District and colleges identified potentia! sateitite campus sites at
Sunland/Tujunga (Los Angeles Mission Coi!ege), Burbank (Los Angeles Valley
College)^ LAX (West Los Angeles Cofiege), and the Health Careers Academy at
County General Hospital (East Los Angeles College); and
WHEREAS, The Los Angeles Community College District (LACCD) based the feasibility of
developing each of the satellite projects on the funding and enrollment at'the
time; and
WHEREAS, A subsequent Districtwide evaEuation of the available operations and
maintenance funding and projected student enroflment needed'to support the
need for all planned bond construction projects that a sufficient reduction in state
funding and projected student enrollment determined that it would be in the best
interest of the District and the voters who approved Measure J to evaluate the
continuation of development of the satellite projects; and
WHEREAS,
The Board of Trustees of the LACCD established the Ad Hoc Committee on
Assets Management to evaluate the best course of action related to the satellite
projects; now, therefore, be it;
RESOLVED, That the Ad Hoc Committee on Assets Management determined that it is best,
at this point, to suspend further development of planned satellite projects,
inctuding Sunland/Tujunga (Los Angeles Mission' College), Burbank'(Los
Angeles Valley College), LAX_ (West Los Angeles Coflege); and the Health
Careers Academy at "County Genera! (East Los Angeles'College); and be it
further
RESOLVED, That the funding for those projects be transferred into the District bond
contingency fund; and be it further
