Potsdam Hotel Associates, LLC Project
On Wednesday, October 16, 2013 at 1:00 PM local time, at the Village of Potsdam Offices, Civic
Center Building, Community Meeting Room, Potsdam, New York, the St. Lawrence County Industrial
Development Agency (the ‘SLCIDA”) will conduct a public hearing regarding the above-referenced
project. Attached is a copy of the Notice of Public Hearing describing the project and the financial
assistance contemplated by the SLCIDA. The Notice of Public Hearing has been submitted to the
Advance for publication on October 6, 2013; and to the Journal and Daily Courier Observer for
publication on Friday, October 4, 2013.
You are welcome to attend such hearing at which time you will have an opportunity to review the
project application and present your views, both orally and in writing, with respect to the project.
Written statements provided to the SLCIDA regarding the project will also become part of the record of
public hearing. Written statements should be addressed to: SLCIDA, 19 Commerce Lane, Suite 1,
Canton, New York 13617, and must be received by the SLCIDA no later than 1:00 PM on October 18,
2013 to be included in the record of public hearing.

NOTICE OF PUBLIC HEARING
NOTICE IS HEREBY GIVEN that a public hearing pursuant to Section 859-a of Article 18-A of
the New York General Municipal Law (the “Act”) will be held by the St. Lawrence County
Industrial Development Agency (the “SLCIDA”) on the 16th day of October, 2013 at 1:00 PM,
local time, at the Village of Potsdam Offices, Civic Center Building, Community Meeting Room, 2 Park
Street, Potsdam, New York 13676 in connection with the following matter:
POTSDAM HOTEL ASSOCIATES, LLC, on its own behalf, (the “Company”), has submitted
an application (the “Application”) to the SLCIDA requesting the SLCIDA’s assistance with a
certain project (the “Project”) consisting of: : (i) the acquisition by the SLCIDA of a leasehold
interest to approximately 3.44 acres of real property located at 167 & 169 Market Street, Village
of Potsdam, New York (the “Village”), such real property being more particularly described as
TMID No’s 64.042-1-7.1 and 64.042-1-6.11 (as may be merged, and collectively herein, the
“Land”), (ii) the construction and operation on the Land of a 97-room structure (collectively, the
“Improvements”), (iii) the acquisition in and around the Land and Improvements and of certain
items of equipment and other tangible personal property and equipment (the “Equipment” and,
collectively with the Land and the Improvements, the “Facility”), and (iv) the lease of the
Facility to the Company pursuant to a straight-lease transaction as defined within the Act
SLCIDA is contemplating providing financial assistance to the Company with respect to the
Project (the “Financial Assistance”) in the form of: (1) an exemption from all state and local
sales and use taxes with respect to the qualifying personal property included in or incorporated
into the Facility or used in the acquisition, renovation, reconstruction or equipping of the
Facility, and (2) an exemption from all mortgage recording taxes imposed on the Facility by the
State of New York or any political subdivision thereof.
A representative of the SLCIDA will be at the above-stated time and place to present a copy of
the Company’s Application (including a cost-benefit analysis) and hear and accept written and
oral comments from all persons with views in favor of or opposed to or otherwise relevant to the
proposed Financial Assistance.
