St. Lawrence County Industrial Development Agency Civic Development Corporation Mission Statement Reviewed and Reaffirmed in Public Session on February 27, 2013 The St. Lawrence County Industrial Development Agency Civic Development Corporation (SLCIDACDC) was established on April 13, 2010 as a not-for-profit local development corporation. Created by St. Lawrence County, the SLCIDA-CDC helps to support the operations of not-for-profit corporations within the County to increase employment opportunities for the residents of the County, and provide financing through the issuance of tax-exempt and taxable bonds to projects of not-forprofit corporations, which is essential to the continued development, construction, improvement and operation of projects by not-for-profit corporations. Performance Goals To provide assistance to the numerous hospitals, colleges and other civic facilities that operate within the County through the issuance by St. Lawrence County of tax exempt civic facility bonds Ensure a transparent and accountable operation with responsibly-managed SLCIDA-CDC assets 2012 Performance (January 2012 – December 2012) Compliance with Public Authority Law is ongoing. The SLCIDA-CDC adopted its Procurement Lobbying Law Policy and Procedures, and its Policy Prohibiting Loans and Credit to Officers, Directors and Employees. Additionally, the Corporation reviewed and reaffirmed policies regarding Property Disposition, Investment, and Procurement, along with reviewing its performance for 2011. Site visits to SLCIDA-CDC business customer locations were conducted throughout January as part of the SLCIDA-CDC’s annual report process. The SLCIDA-CDC appointed Thomas Plastino as its Chief Financial Officer in March 2012. A public hearing was held on March 27 regarding the $19,490,000 Clarkson University project. This is a continuation of Clarkson’s 2011 project (renovation of Moore House, renovation of 10 units in Woodstock Village and completion of the University’s NAB Lab). The project is expected to create 150 construction jobs. Financing was completed in April 2012. The SLCIDA-CDC authorized $87,000 in loan financing through its Civic Development Fund to the Ogdensburg Bridge & Port Authority’s Port Improvements Project. SLCIDA-CDC’s Annual Meeting was held July 11, 2012. The board re-elected Brian Staples as Chairman, Ernest LaBaff as Vice-Chairman, Lynn Blevins as Secretary. Additionally, it reappointed Patrick Kelly as its Chief Executive Officer, Tom Plastino as its Chief Financial Officer and retained Andrew Silver of Silver and Collins, Attorneys at Law, as Legal Counsel. The SLCIDA-CDC revised its local Freedom of Information Law guidelines to ensure better uniformity of the policy as it pertains to the IDACDC, the IDALDC the IDA and the SLCLDC. Our Freedom of Information Law guidelines are located on our website at: http://www.slcida.com/contact-us/public-access-to-records.html SLCIDA-CDC authorized a 3-year audit services contract with Pinto, Mucenski, Hooper, VanHouse and Company. The SLCIDA-CDC accepted a tentative 2013 budget, which will be made available for public comment at the County Clerk’s Office. A final budget must be approved between 60 and 90 days before the beginning of the new Fiscal Year. SLCIDA-CDC authorized the issuance and sale of series 2012 revenue bonds relative to the St. Lawrence University project. The University intends to use the proceeds of the bond, together with certain other funds, to refund the DASNY Series 2008 Bonds and lock in a favorable, fixed rate. ANS: The board of the St. Lawrence County Industrial Development Agency Civic Development Corporation appoints its Chief Executive Officer and Chief Financial Officer. The Chief Executive Officer appoints management and staff. 4. Briefly describe the role of the Board and the role of management in the implementation of the mission. ANS: The Board, with assistance of management, works to develop the authority’s mission, and evaluate the authority’s goals and performance. Management ensures that the Board’s mission and goals are carried out in a manner which achieves the intended public purpose - a process involving program evaluation, reporting, feedback and recommendation. 5.
