Dining Advisory Board
Article I – Name
The name of this body shall be the Dining Advisory Board (DAB).
Article II – Purpose
The purpose of DAB is to represent the interests of the students of the University of
Wisconsin-Stevens Point in the governance of the University’s Dining Services. DAB works
in alliance with the University Dining Services to oversee the programs, policies, contracts
and budgets of the University’s Dining Services in a student friendly, health conscious,
educational, fiscally responsible and environmentally sustainable manner.
Article III – Responsibilities
The responsibilities of the DAB will include, but not be limited to:
- Gather input and advocate for user issues in the University Dining Services’ community.
- Propose educational programming for the University Dining Services.
- Provide input on budget and policies of the University’s Dining Services.
- To offer input on new and revised contracts and contract bids of University Dining Services.
Article IV - Chairperson
Section 1
The presiding officer of the board shall be a chairperson, nominated by the Board and elected by
a 2/3 vote of eligible voting members when a quorum is present. The chairperson must be a
student of UWSP possessing a cumulative GPA of at least 2.00.
Section 2
The chairperson maintains the responsibility of insuring that the body complies with the openmeeting statutes of the state of Wisconsin.
Section 3
If, for any reason, the Board deems the chairperson's actions unsatisfactory, the chairperson can
be recalled by a 3/4 vote of the total membership. A written vote is required. A chairperson
cannot be recalled for any reason that violates the UWSP Affirmative Action policy.
Section 4
In the case of the chairperson's absence, the chairperson must designate a DAB student member
to chair the meeting. All members of the Board should be notified of the chairperson's absence,
and the identity of the temporary designee. The chairperson must provide the designee with an
outline to follow in conjunction with the agenda.
Section 5
In the event the chairperson of the DAB cannot fulfill his/her term, a new chairperson shall be
selected through the election procedures mandated within this constitution.

Section 6
The chairperson's term of office will begin on the first day of summer break to the last day of the
spring semester. At the last meeting of the academic year, a chairperson shall be elected through
the election procedures mandated within this document. The incumbent chair may serve for
consecutive terms with a vote of affirmation by the board.
Section 7
The chairperson is responsible for ensuring that an audio recorder is present and operational at
each DAB meeting. The Chair or designee will operate the recorder and ensure that all recordings
are archived with the University Dining Services for 3 years in addition to the current year.
Section 8
The Chair shall be a non-voting member of the committee and shall not be permitted to occupy a
representative seat while acting as Chair.
Section 9
The Chair shall meet with the advisor to set the meeting agendas on a regular basis.
Section 10
The Chair may not hold two concurrent shared governance leadership positions.
Article V - Secretary
Section 1
An elected secretary shall record and transcribe minutes of the board.
Section 2
The secretary shall be a current board member elected by a 2/3 vote of eligible voting members
when quorum is present.
Article VI – Election of Officers
Section 1
During the 10th week of the spring semester nominations for Chairperson and Secretary for the
next academic year shall begin to be taken. Nominations will continue for two weeks at which
time an election shall take place.
Section 2
Officers need to nominated by the Board and elected by a 2/3 vote of eligible voting members
when a quorum is present. Both the Chairperson and Secretary must be a student of UWSP
possessing a cumulative GPA of at least 2.00.
Article VII – Membership
Section 1
Membership in the Dining Advisory Board is open without regard to age, race, creed or religion,
color, handicap, socioeconomic status, national origin, ancestry, sexual orientation or political
affiliation. All members will be in good academic standing (cumulative GPA of 2.0 or above).

Section 2
Voting Members:
o One Student Government Association representative as appointed by SGA
o One Residence Hall Association representative as appointed by RHA
o One University Centers Advisory and Policy Board representative as appointed by
UCAPB
o One cultural diversity student representative as appointed by the Director of
Multicultural Affairs.
o One health representative as appointed by SHAC.
o One nontraditional student representative as appointed by the Alliance for NonTraditional Students
o One residence hall student at large approved by a 2/3 vote of the existing board.
o One student member at large approved by a 2/3 vote of the existing board.
o One staff member appointed by the Conference and Reservation Office.
o One at large faculty/staff member as appointed by the Faculty Senate Chair.
Non-Voting Members/Non-chairing/Advisor:
o Director of University Dining Services or designee.
Article VIII – Appointment of Members
Section 1
All areas being represented are responsible to fill the seats of the DAB. The procedure of filling
these seats is left to the discretion of the areas being represented. It is recommended that each
represented area adopt an open membership policy when selecting its representative.
Section 2
All new members will be appointed by the first meeting of the fall semester.
Section 3
Term of office for each member of the DAB shall be from the 1st day of the fall semester to the
last day of the spring semester.
Section 4
Vacancies occurring during the term of office shall be filled by appointees selected by the
represented groups. If a board member intends to be absent, a proxy may be sent from the
group which they represent, so long as the chairperson is notified before the meeting.
Article IX - Meetings
Section 1
Meeting times will be determined by the DAB chairperson with the consent of the Board.
Section 2
The chairperson may call an emergency meeting of the DAB. The chairperson of the DAB is
responsible for notifying all board members regarding the emergency meeting. There must be a
quorum present to vote on an issue.

Section 3
All meetings shall be conducted in accordance with the Wisconsin Open Meeting Law.
Section 4
Any document distributed to the Board regarding agenda items must be approved by that
representative's sponsoring organization. If the document is not approved, it must contain the
author's name of that document, as well as a statement clearly indicating that the document has
not been approved. Any document not meeting these standards cannot be distributed at the
meetings and will not be taken into consideration during discussion.
Article X: Amendments to the Constitution
Section 1
Amendments to the DAB constitution must be presented in final form and then voted on at the
following meeting. Amendments to the bylaws shall be adopted by a 3/4 majority of the total
voting membership. (Proxy votes prohibited.)
Section 2
When an amendment is passed, the constitution must be revised, dated, and distributed to all
members by the elected secretary. Minutes should reflect the change, but should not be the only
record of the change.
Section 3
The chairperson shall convene an ad hoc constitutional review committee once every two years
in the spring semester and submit changes for the committee’s approval by the second to last
meeting of the spring semester. Constitutional revisions are required, at a minimum, every 2
years in the spring semester.
Article XI: Quorum
Quorum for the DAB will be 50% + 1 of the voting members. If quorum is not met, the chairperson,
with consent of the board, may determine whether to proceed with an informal meeting of the
group.
Article XII: Jurisdiction
Section 1
The DAB will send all policy, policy changes, and recommendations concerning the University
Dining Services to the Director of the University Dining Services to implement all changes. If the
Director of Dining Services does not implement an action, they will present their decision and
reasoning to the DAB.
Section 2
If the Director of the University Dining Services does not implement the actions of the DAB, the
DAB may seek an appeal to the Vice Chancellor of Student Affairs. If the action is approved at the
appeal level, the University Dining Services must implement the action.
Article XIII: Parliamentary Jurisdiction

The rules of order for this board shall be governed by Robert's Rules of Order (current edition). The
chairperson is to use these procedures to enhance the efficiency and effectiveness of this board.
Article XIV: Policy Decisions
All policy decisions to be implemented are to be distributed to all members, areas directly affected,
the Director of the University Dining Services, and to the Vice Chancellor for Student Affairs.
All DAB policies will be maintained and updated by the Director of University Dining Services or by
someone designated by the Director.
Necessary expenditures of DAB shall be completely financed through University Dining Services
funds. Expenditures are to be pre-authorized by the DAB chairperson and the DAB advisor.
