MINUTES OF REGULAR MEETING BOARD OF TRUSTEES ST. LOUIS COMMUNITY COLLEGE THURSDAY, SEPTEMBER 26, 2013 The Regular Meeting of the Board of Trustees of St. Louis Community College was held on Thursday, September 27, 2013 at the Harrison Education Center, 3140 Cass Ave., St. Louis, MO, pursuant to notice and in accordance with R.S. MO 610.020 as amended. 1. Call to Order/Roll Call Dr. Craig Larson, Chair, called the meeting to order at 7:10 p.m. The following members of the Board of Trustees were present: Dr. Craig Larson, Chair; Ms. Libby Fitzgerald, Vice Chair; Dr. Doris Graham, Trustee; Ms. Melissa Hattman, Trustee; Ms. Hattie Jackson, Trustee, and Ms. Joan McGivney, Trustee. Also present were Dr. Donna Dare, Acting Chancellor; Mr. Marc Fried, Legal Counsel, and Ms. Rebecca Garrison, Associate for Board Relations 2. Public Hearing for Setting the Tax Rate On motion by Ms. Jackson and seconded by Dr. Graham, Dr. Larson recessed the regular meeting, and a Public Hearing was held in accordance with Section 67.110, Revised Statutes of Missouri (1998), which requires each political subdivision to hold a public hearing, after appropriate public notice prior to fixing its property tax rates for the fiscal year. Dr. Larson noted that the appropriate notice for the hearing had been published and asked if there were any citizens who wished to be heard concerning the proposed tax rate. No one having asked to be heard, Dr. Larson asked for a motion to adjourn the hearing. On motion by Ms. Hattman and seconded by Dr. Graham, the Board voted unanimously to adjourn the public hearing and the regular Board meeting was reconvened. 3. Approval of Resolution Setting the Tax Rate for 2013 On motion by Ms. Jackson and seconded by Ms. Hattman, the Board unanimously adopted a Resolution to set the tax rate for the district for the tax year 2013 at 22 cents per one hundred dollars assessed valuation, for the General Fund of the College in the form attached hereto and by this reference incorporated herein in Exhibit A. 4. Welcome to Guests Dr. Larson welcomed guests attending the meeting. 5. Resolution of Appreciation Dr. Larson presented a Resolution of appreciation to adjunct instructor Aurora Hill, attached hereto and by this reference incorporated herein in Exhibit A. 6. Citizens Desiring to Address the Board Regarding Agenda Items None. 7. Adoption of Agenda/Revisions to Agenda On motion by Ms. Jackson, and seconded by Ms. Fitzgerald, the Board unanimously adopted the agenda. 8. Approval of the August 15, 2013 Minutes On motion by Dr. Graham, and seconded by Ms. Hattman, the Board unanimously approved the August 15, 2013 meeting minutes. 9. Approval of Resolution Re October 17, 2013 Executive Session of the Board of Trustees On motion by Ms. Fitzgerald and seconded by Dr. Graham, the Board unanimously approved, by a roll-call vote, the resolution scheduling an executive session on October 17, 2013, all as more fully set forth in Exhibit A attached hereto and by this reference incorporated herein. 10. Recognition of Student, Staff and Trustee Accomplishments Mr. DeLancey Smith, Director of Communications, read statements of congratulations for students and staff on their recent awards and accomplishments. 11. Informational Presentations Dr. Charles Burkhardt, Physics Professor at Florissant Valley, presented on his sabbatical leave and answered questions from the Board. 2 Ms. Khouloud Hawasli, Manager of Electronic Communication and Systems Integration, presented on the room scheduling project and answered questions from the Board. Ms. Marissa Cope, Mr. Thomas Dieckmann, Dr. Tracy Hall, Dr. Andrew Langrehr and Ms. Lita Pener, gave an accreditation report and answered questions from the Board. Ms. McGivney advised the Board that she would have more to report on the Board Policy review at the next meeting. 12. Approval of ACCT Voting Delegates Ms. Fitzgerald nominated Dr. Graham and Ms. Hattman to represent the College as voting delegates at the upcoming ACCT Leadership Congress. On motion by Ms. Fitzgerald and seconded by Ms. McGivney, the Board unanimously approved Dr. Graham and Ms. Hattman to serve as voting delegates from STLCC. 13. Change of Board Meeting Locations On motion by Ms. McGivney and seconded by Ms. Hattman, the Board unanimously approved changing the location of the October 17, 2013 Board Meeting to the Cosand Center, and changing the location of the January 16, 2014 Board Meeting to the Forest Park Campus. 14. Approval of Conducting an Operation and Liability Analysis Following discussion, on motion by Ms. Fitzgerald, seconded by Ms. Hattman, with a friendly amendment from Ms. McGivney, the Board voted unanimously to bring in an outside consultant to conduct an Operation and Liability Analysis, to cover a thorough assessment of our compliance with federal and state laws. The development of the Safety and Security Advisory Council will be tabled until after the analysis is conducted. 15. Approval of Various Working Conditions Where Applicable for College Employees On motion by Ms. Fitzgerald, and seconded by Dr. Graham, the Board unanimously approved various salary and working conditions where applicable for 3 College Employee Groups, all as more fully set forth in Exhibit A attached hereto and by this reference incorporated herein. 16. Approval of Consent Items Consent items are approved by a single motion and vote unless otherwise noted below. 16.1 Consent Item Motion and Vote On motion by Ms. McGivney, and seconded by Dr. Graham, the consent agenda items were unanimously approved. 16.2 Instruction and Student Services No items. 16.3 HUMAN RESOURCES Human Resource Recommendations The Board, by consent, approved the following resolution regarding human resource recommendations: RESOLVED, that the Board hereby ratifies and/or approves personnel actions for certificated, physical plant and classified staff in accordance with established policies of the District, all as more fully set forth in Exhibit B attached to these minutes and by this reference incorporated herein; and FURTHER RESOLVED, that, where appropriate, the Chancellor of the District or her designee is hereby authorized and directed to execute for and on behalf of the District, the appropriate contract or amendment to contract for the affected personnel. 16.4 BID AWARDS Acceptance of Bids/Ratification of Contracts The Board, by consent, approved the following resolution: RESOLVED, that the Board of Trustees hereby accepts the bids and/or ratifies the contracts set forth in Exhibit C attached hereto and by this 4 reference incorporated herein, to the lowest responsible bidder for the amounts indicated thereon and all in accordance with District specifications specified in the contract numbers indicated; said funds to be paid from the funds set forth in each item of Exhibit C; and FURTHER RESOLVED, that the appropriate officer of the Board or the District be and hereby is authorized and directed to execute an appropriate contract in each instance. 16.5 FINANCE Financial Reports Financial reports will appear on a quarterly basis, in February, May, August and November. 16.6 CONTRACTS AND/OR AGREEMENTS Contracts and/or Agreements The Board was requested to approve the acceptance or renewal of various contracts, agreements and resolutions. The Board, by consent, approved the following resolution regarding the acceptance or renewal of various contracts, agreements and resolutions between the District and various agencies, corporations and individuals located throughout the District: RESOLVED, that the contracts, agreements and resolutions set forth in Exhibit D attached hereto and by this reference incorporated herein, are adopted and approved; and FURTHER RESOLVED, that the appropriate Officer of the Board of the District be and hereby is authorized and directed to execute an appropriate contract in each instance. 16.7 ACCEPTANCE OF EXTERNAL FUNDS Acceptance of External Funds 5 The Board, by consent, approved the following resolution regarding the acceptance of grants, contracts and equipment donations: RESOLVED, that the Board of Trustees does hereby accept the grants, contracts, gifts and equipment donations for the College, all as more fully set forth in Exhibit E attached hereto and by this reference incorporated herein; and FURTHER RESOLVED, that the Chancellor be and hereby is authorized and directed to express appreciation, where appropriate, for and on behalf of the District; and FURTHER RESOLVED, that with respect to federal grants for work-study programs, the Agency involved will be billed for matching funds and for Social Security; and FURTHER RESOLVED, that the appropriate Officer of the Board or District be and hereby is authorized and directed to execute contracts with said agencies in each instance. 16.8 INSURANCE No items. 17. COMMUNICATIONS 17.1 Chancellor’s Report Dr. Dare gave the following report: Fall semester is in full swing, and we appreciate the support of the Board of Trustees as we continue to advance the work of the college in meeting the learning needs of our students. With the opening of the fall semester, all campuses were able to be reminded of the strategic priorities of the college and were asked to focus on our mission, vision, and values as we address the needs of our community. We thank you as the representatives of the communities we serve and want you to know that we appreciate your help in identifying our priorities and in addressing our challenges in meeting those priorities. 6 At the invitation of the Missouri Department of Higher Education, the college had the opportunity for a team to participate in the Missouri Completion Academy on September 11-12. Along with eight other institutions, our nine member team (Dr. Marcia Pfeiffer, Dr. Tracy Hall, Dr. Andrew Langrehr, Kelli Burns, and four faculty members – Debbie Char, Tim Layton, Dennis White, and Dr. Sophia Pierroutsakos) worked together to develop our efforts in supporting statewide strategies for addressing the state and national completion agenda: • Guided Pathways to Success (highly akin to Academic Pathways) • Accelerated and Block Scheduling • Gateway Course Co-Requisites (similar to efforts currently underway in English) We benefited greatly from the input from and dialogue with our faculty representatives and our administrative representatives. We also learned from our many colleagues across the state who participated in the academy. On September 16-17, the college participated in a site visit for two substantive change requests that we submitted to the HLC. One purpose of the visit was a review of our college for expansion of online programs offered by the college. The HLC actually requested this review of our status for offering online programming as result of the expansion of the number of courses we currently offer online. The second purpose of the visit was to approve the BJC Learning Institute as an official “additional location” as defined by the HLC. We should have the results of the site visit in approximately 8 weeks. As you are aware, the college is engaged in a review (or audit) of several of its key functions – specifically, financial aid, admissions and registration, and technology services. Two of those three audits are well underway, with the third to begin in November. Our consultants are looking at efficiencies and effectiveness of those three areas of service to our students, and we will continue to work with them as they do their good work of assisting us to make improvements in these critical areas of service. We hope to be able to have a report to the board at least for admissions and registration by your December meeting. And, finally, we were very pleased with the participation in our 2nd annual golf outing to raise scholarships for our students. Twenty-five (25) teams participated in this event this year, and Rodney Gee and Dr. Larson did an 7 outstanding job of focusing on our students and engaging our golfers in understanding how much we value their partnership and their support of our students through our Foundation. 17.2 For the Good of the College Report Dr. Larson gave the following report: The St. Louis Community College Board of Trustees is announcing tonight that Dr. Myrtle E. B. Dorsey has requested and the Board has approved granting her personal leave through June 30, 2014. Other details relating to Dr. Dorsey’s status with the College are being finalized. I speak for the entire Board in expressing our appreciation of Dr. Dorsey’s contributions to St. Louis Community College and our wish for her future success. We will be hiring an interim chancellor within the next few weeks to serve through June 2015 or until a permanent chancellor is named. However, effective immediately, Dr. Donna Dare, vice Chancellor for Academic and Student Affairs, has agreed to serve as acting chancellor. With this great depth in leadership at St. Louis Community College, and with our strong faculty and staff, we are sure that the college will continue to serve the public as one of the area’s greatest assets, educationally, economically, and culturally, and will remain full committed to moving ahead toward fulfilling the college’s mission, vision and values as we continue to focus on helping all our students succeed and achieve their goals. On Tuesday the Board held its third Coffee, Community and Conversation event. The event, titled “Growing the Workforce in North County,” was attended by 46 people and allowed us to showcase our programs and garner input from officials in North County. I want to thank Dr. Marcia Pfeiffer and her staff for hosting the event. Our next forum will be held during the Spring semester at the Meramec Campus. The Foundation held its Second Annual Golf Tournament supporting student scholarships this week. There were 17 to 25 teams of 4 and many more sponsors. 8 Following his report, Dr. Larson advised Faculty and Staff that three candidates for interim chancellor will be on campus October 9 and 10 and meet and greets will be held at Forest Park, Meramec and Florissant Valley. 17.3 Citizens Desiring to Address the Board Regarding Other Concerns Mr. Doug Hurst, JCD-NEA, distributed a membership report and made comments to the Board regarding an article that appeared in the St. Louis American. 17.4 Board Member Comments Ms. McGivney announced that she and Ms. Jackson attended the meeting of House Interim Committee on Education on the Meramec Campus last week. 18. Add: Additional Compensation/ Administrative/ Professional Staff: Richard Banahan; FP; Chief of Police; P13; $73,271.85; effective 08/17/13 – 12/31/13 Delete: The words “Access Office Area” from recommended placement of security cameras at the Meramec campus. #5 Resolution of Appreciation – Ms. Aurora Hill RESOLUTION OF APPRECIATION Aurora Hill WHEREAS, on April 18, 2013, Adjunct Instructor Aurora Hill, while teaching a class in the communications building at the Meramec campus, quickly determined that a student was in distress, and; WHEREAS, Instructor Hill, with no concern for her own personal safety, ran toward the student’s screams and found the strength to pull an assailant away from the student and into the hallway, holding him until the campus police arrived, and; WHEREAS, Instructor Hill’s quick thinking and heroic actions saved the life of a student, Ms. Blythe Grupe, and; WHEREAS, the Board of Trustees has established a scholarship in Instructor Hill’s honor to help students who are transitioning to the Community College; NOW THEREFORE BE IT RESOLVED, that the Board of Trustees expresses sincere and heartfelt appreciation to Instructor Aurora Hill for her quick actions, bravery and unselfish efforts on behalf of the student, and; BE IT FURTHER RESOLVED, this expression of gratitude and appreciation be a part of the record of the Board of Trustees this twenty-sixth day of September, 2013. ___________________________ Craig H. Funding This purchase will be funded from current operating budgets. 9 Recommendation for Ratification/Purchasing Board ratification is requested for the sole source use of professional coordinator services including recruitment, intake, assessment, case management, and business outreach for job search assistance from the UNITED AUTO WORKERS – LABOR EMPLOYMENT AND TRAINING CORPORATION (UAW-LETC), in an amount estimated at $961,145.00, for a period of three (3) years, which began October 1, 2012 and ends September 30, 2015. Description These services will be provided to the college’s Workforce Solutions Group on behalf of the MoManufacturing WINS consortium of nine community and technical colleges providing training under the Department of Labor Trade Adjustment Act Community College Career Training Grant. St. Louis Community College is the lead institution for the consortium. The UAW-LETC will provide these services to a minimum of 875 low-skilled and dislocated workers. The UAW was to be a co-awardee of the grant; however, subsequent to the award, the granting agency determined that the UAW is a contractor to the grant. The UAW has been classified as a sole source provider by the Missouri Office of Administration due to their long history of being the exclusive provider of professional coordinator services specific to the auto industry on behalf of the Missouri Division of Workforce Development’s Rapid Response and Dislocated Workers Programs. 10 Services Coordinator Services Estimated Fees $1098.46 per person Participants 875 minimum Estimated Total Fees $961,145.00 Funding Expenditures for this service will be funded by the Department of Labor, Trade Adjustment Assistance Community College and Career Training Grant to the MoManufacturingWINS consortium. Recommendation for Ratification/Change Orders Forest Park Plaza Deck Repair 1. Board ratification is requested for an emergency repair contract with Bade Roofing Company, Inc. to waterproof the Northeast quadrant of the exposed Forest Park Plaza concrete deck in an amount of $19,651.00. 2. Board ratification is requested of a consulting agreement with David Mason & Associates to provide structural design services for Northeast and Northwest quadrants plaza deck repairs at the Forest Park campus with a negotiated fee not-to-exceed $28,970.00. 3. Board approval is requested for ratification of change order #5 in the amount of $83,351.00 to the scope of work and value of the C. Rallo contract to repair the Forest Park Plaza Deck due to the additional structural issues on the north portion of the plaza, and approval of additional surface repairs estimated at $56,000. 11 Description: Design of additional repair of the concrete structural deck at Forest Park is continuing and bid specifications will be produced for work to be completed spring 2014. These contracts and change orders provide a waterproof roofing membrane, consulting engineering and design services of repair to the Northeast and Northwest quadrants of the plaza deck and change orders to the contract to complete the Northwest quadrant of the plaza deck. 1. Bid – S4 6249, Waterproofing Concrete Deck, FP This contract will provide a waterproof roofing membrane over the exposed concrete deck to prevent water infiltration during the winter. The membrane will be firmly adhered to the deck, the perimeter of the open area and the drains to achieve a watertight seal. Description of A13-0249 DMA #01, Design and Construction Document Services for Deck Repair: College Board Policy 1.8 requires architectural and engineering consultants be selected based on competence and qualifications for the type of professional services required, and at fair and reasonable prices. This policy further requires Board ratification of consulting agreements less than $50,000.00. This agreement will provide the final structural construction documents to repair the remaining portions (northeast and northwest quadrants) of the Forest Park deck. David Mason & Associates (DMA) will design the complete replacement of a large portion of the northeast quadrant for a final construction contract to be awarded for spring construction. Additional repairs needed on the northwest quadrant will be designed by DMA who was deemed the most qualified structural engineer under our open-end agreement based on their experience submittal for concrete restoration, and past work with the College. 12 3. Recommendation for Change Order: There are four (4) additional areas requiring full removal of the deck and repair to these areas. The design for these full-depth repair areas was provided by the structural engineer and the final cost developed in negotiations with the contractor by the College with assistance by Kwame Building Group. Surface repairs will be performed on a negotiated unit cost basis based on the depth and type of repairs performed. College personnel will be on site at all times these repairs are being performed to record the type and size of repairs, and the College will be charged only for the repairs made. These surface repairs are estimated at $56,000.
