MINUTES OF REGULAR MEETING BOARD OF TRUSTEES ST. LOUIS COMMUNITY COLLEGE THURSDAY, JULY 17, 2003 The Regular Meeting of the Board of Trustees of St. Louis Community College was held on Thursday, July 17, 2003, at the Meramec Campus in SC 200, 11333 Big Bend Blvd. St. Louis, MO 63122 pursuant to notice and in accordance with Section 610.020 R.S. Mo., as amended. I. GENERAL FUNCTIONS 1. Call to Order/Roll Call Dr. Joann L. Ordinachev, President, called the meeting to order at 7:22 p.m. The following members of the Board of Trustees were present: Dr. Joann L. Ordinachev, President; Mr. Michael P. Rohrbacker , Vice President; Dr. Dolores J. Gunn, Trustee; Ms. Patricia A. Moss, Trustee, and Ms. Lisa L. Taylor, Trustee. Mr. John S. Mikolay, Trustee, was absent due to a family obligation. Also present were Dr. Henry Shannon, Chancellor; Ms. Becky Garrison, Administrative Associate to the Board; and Ms. Tina Odo, General Counsel. 2. Welcome to Guests Dr. Ordinachev and Dr. Shannon welcomed visiting teachers from Haiti. 3. Citizens Desiring to Address the Board Regarding Agenda Items None. 4. Adoption of Agenda/Revisions to Agenda On motion by Mr. Rohrbacker and seconded by Dr. Gunn, the Board unanimously adopted the agenda as revised after adding approval of salary and working conditions where applicable for full-time JCD/NEA faculty, all as more fully set forth in Exhibit A attached hereto and by this reference incorporated herein. 5. Approval of Consent Agenda Items On motion by Mr. Rohrbacker and seconded by Ms. Moss, the Board voted to unanimously approve the consent agenda items. 6. Approval of Minutes On motion by Dr. Gunn and seconded by Mr. Rohrbacker, the Board unanimously approved the June 19, 2003 Board of Trustees meeting minutes. 7. Approval of Resolution re August 28, 2003 Executive Session of the Board of Trustees On motion by Mr. Rohrbacker and seconded by Ms. Taylor, the Board unanimously approved, by a roll call vote, with Mr. Mikolay being absent, the resolution scheduling an executive session on August 28, 2003, on the Forest Park Campus, all as more fully set forth in Exhibit A attached hereto and by this reference incorporated herein. 8. Recognition of Student, Staff and Trustee Accomplishments Ms. Sharifah Sims-Williams, Coordinator of Internal Communications, read statements of congratulations for students and staff on their recent awards and accomplishments. Bob Bottger, Manager of Physical Education and Athletics, highlighted the Meramec Athletics Program. 9. Ratification of Chancellor's Quarterly Local Expense Report The Board, by consent, ratified Dr. Shannon's local travel expenses from April 1, 2003 through June 30, 2003. 10. Authorization of Trustee Travel The Board, by consent, authorized Trustees Gunn, Mikolay, Moss, Ordinachev and Rohrbacker’s travel to the National ACCT Conference. 2 11. Authorization of Chancellor Travel The Board, by consent, authorized the Chancellor’s travel to the AACC Board Meeting and Planning Retreat, the National ACCT Conference, the League for Innovation Fall Board Meeting and the RC 2000 Fall '03 meeting. 12. Nomination of Trustee to the Foundation Board On motion by Ms. Taylor and seconded by Dr. Gunn, the Board unanimously appointed Michael Rohrbacker to serve on the Foundation Board. Dr. Ordinachev then advised the Board that Dr. Gunn would remain on the Long Range Planning Committee and Ms. Taylor would continue to serve on the Board Development Committee. 13. Trustee Self-Evaluation Procedure Dr. Ordinachev asked the Trustees to complete the self-evaluation documents that were distributed at the June 19, 2003 meeting and tabled this item for discussion at a future meeting. 14. Chancellor’s Report Dr. Shannon reported on the Community College Economic Impact Study. 15. Ratification of Trustee Expenditure Report The Board, by consent, ratified an expense report for Trustee Mikolay from the Regional ACCT Conference. 16. Human Resource Recommendations The Board, by consent, approved the following Resolution regarding human resource recommendations: RESOLVED, that the Board hereby ratifies and/or approves personnel actions for certificated, physical plant and classified staff in accordance with established policies of the District, all as more fully set forth in Exhibit B attached to these minutes and by this reference incorporated herein; and FURTHER RESOLVED, that, where appropriate, the Chancellor of the District or his designee is hereby authorized and directed to execute for and on behalf of the District, the appropriate contract or amendment to contract for the affected personnel. IV. BID AWARDS 19. Acceptance of Bids/Ratification of Contracts The Board, by consent, approved the following Resolution: RESOLVED, that the Board of Trustees hereby accepts the bids and/or ratifies the contracts set forth in Exhibit C; attached hereto and by this reference incorporated herein, to the lowest responsible bidder for the amounts indicated thereon and all in accordance with District specifications specified in the contract numbers indicated; said funds to be paid from the funds set forth in each item of Exhibit C; and FURTHER RESOLVED, that the appropriate officer of the Board or the District be and hereby is authorized and directed to execute an appropriate contract in each instance. 4 V. BUSINESS & FINANCE 20. Budget A. Financial Reports Due to fiscal year-end closing, the monthly budget status reports were not available for the month of June 2003. Preliminary year-end budget status reports will be presented at the August 2003 meeting. B. Warrant Check Register – June 30, 2003 The Board, by consent, approved all expenditures made in accordance with the Warrant Check Register for the month ending June 30, 2003. C. Annual Petty Cash and Change Fund Account Report The Board, by consent, approved the annual Petty Cash and Change Fund Account Report. D. Ratification of Investments The Board, by consent, ratified investments/daily repurchase agreements made by the Treasurer of the District during the month of June, 2003, for which bids had been received in accordance with Board Policy, all as more fully set forth in Exhibit D attached hereto and by this reference incorporated herein. VI. CONTRACTS AND/OR AGREEMENTS 21. Contracts and/or Agreements The Board, by consent, approved the following Resolution regarding the acceptance or renewal of various contracts, agreements and resolutions between the District and various agencies, corporations and individuals located throughout the District. RESOLVED, that the contracts, agreements and resolutions set forth in Exhibit E attached hereto and by this reference incorporated herein, are adopted and approved; and 5 FURTHER RESOLVED, that the appropriate Officer of the Board or the District be and hereby is authorized and directed to execute an appropriate contract in each instance. VII. EXTERNAL FUNDS 22. Acceptance of External Funds The Board, by consent, approved the following Resolution regarding the acceptance of grants, contracts and equipment donations: RESOLVED, that the Board of Trustees does hereby accept the grants, contracts, gifts and equipment donations for the College, all as more fully set out in Exhibit F attached hereto and by this reference incorporated herein; and FURTHER RESOLVED, that the Chancellor be and hereby is authorized and directed to express appreciation, where appropriate, for and on behalf of the District; and FURTHER RESOLVED, that with respect to federal grants for work-study programs, the Agency involved will be billed for matching funds and for Social Security; and FURTHER RESOLVED, that the appropriate Officer of the Board or District be and hereby is authorized and directed to execute contracts with said agencies in each instance. VIII. INSURANCE RECOMMENDATION 23. The Board, by consent, approved an addendum to Property Insurance Renewal all as more fully set out in Exhibit A attached hereto and by this reference incorporated herein. IX. Board Agenda Modifications Page 2 July 17, 2003 Tab G Page No. 1 Revision ADD: 8.1 Addendum to Property Insurance Renewal (See below) Property Insurance Renewal At the June 2003 Board of Trustees meeting, authorization was given to renew the College’s property insurance policy (Agenda Item 8.1) with the property insurance plan offered by the Midwestern Higher Education Commission (MHEC) for a cost of $325,468. The Board also was advised that the premium may be lower as the renewal date approached and any new premium amount would be reported to the Board. The actual premium amount is $231,602, which reflects an 11% savings from last year’s rate. This new lower premium is as a result of the current insurance market and the aggressive bargaining of Marsh, the College’s broker. This insurance plan provides all of the coverage the College had in the past. It also includes $100,000,000 in earthquake insurance without restrictions because of the New Madrid Fault Zone. Additionally, the College will have $100,000,000 of terrorism coverage which includes both certified events (international based) and non-certified (special-interest groups/protests) which have been excluded in the past. The savings are even more significant because the College’s property value has increased by $20,000,000 from last year as a result of the new South County Education and University Center and the Forest Park Parking Garage. #7 Resolution Re August 28, 2003 Executive Session of the Board of Trustees The Board is requested to approve the following resolution: RESOLVED, that the Board of Trustees, pursuant to R.S. Mo. Description This contract was competitively bid by the State of Missouri Division of Purchasing and thereafter awarded on a cooperative basis. The State of Missouri contract will provide complete microcomputer product lines as well as accessories and supplies from HEWLETT-PACKARD, IBM, TOSHIBA, PANASONIC, MICROSOFT, DELL and GATEWAY on a “COST +5%” basis. In addition, selected items from various other manufacturers will be available. World Wide Technology, Inc. is a minority owned business enterprise. Funding Purchases will be funded from both current capital and operating budgets, as well as from external funds. Advertisements The State of Missouri managed all aspects of their bid process, including placement of all notices and advertisements. 4.1.3 Recommendation for Award/Purchasing Board approval is requested to allow the Colleges three bookstores to participate in the “Campus Referral Program” offered by GATEWAY COMPANIES, INC., and the “Campus Bookstore Student Computing Initiative Program” offered by DELL MARKETING L.P. Description These programs will allow Meramec, Forest Park and Florissant Valley Bookstores to sell Dell and Gateway brand microcomputer equipment to students, faculty and staff at discounts ranging from 5% to 20%. The bookstores will receive a 2% commission from Dell and a 4% commission from Gateway on all sales. Dell and Gateway will provide marketing communications material and because sales are transacted on-line via a personalized web site, these programs will require minimal involvement of college staff and eliminate the need for the bookstores to carry inventory. Gateway also provides the option of a 1-800# and the opportunity to shop at any of their Country Stores in St. Louis. Gateway Companies, Inc., and Dell Marketing L.P. are neither a known minority-owned nor womanowned business enterprise.
