Joint National Seminar On CORPORATE GOVERNANCE IN INDIA: EMERGING ISSUES & CHALLENGES (27-28 August, 2015) Venue: Conference Hall, School of Management, Mizoram University Organized by Department of Management, Mizoram University & Board of Studies, Institute of Chartered Accountants of India (ICAI) ABOUT THE SEMINAR Corporate governance is an integral part of the larger economic context in which firms operate including macroeconomic policies and the degree of competition in product and factor markets. It is a set of systems, processes and principles which ensure that a company is governed in the best interest of all stakeholders. It is about promoting corporate fairness, transparency and accountability. The corporate governance framework depends on legal, regulatory and institutional environment. It is about commitment to values, about ethical business conduct and about making a distinction between personal and corporate funds in the management of a company. Good corporate governance ensures that companies perform better and have a better relationship with its stakeholders It is viewed that corporate governance reforms in India are at a crossroads. While the corporate governance codes have been drafted with a deep understanding of the governance standards around the World, it is opined that there is still a need to focus on developing more appropriate solution that would evolve from within and therefore address the India-specific challenges more efficiently. It is a multilevel and multi-tiered process. It is true that the ‘corporate governance’ has no unique structure or design and is largely considered ambiguous. There is still lack of awareness about its various issues, like, quality and frequency of financial and managerial disclosure, compliance with the code of best practice, roles and responsibilities of Board of Directories, shareholders rights, etc. There have been many instances of failure and scams in the corporate sector, like collusion between companies and their accounting firms, presence of weak or ineffective internal audits, lack of required skills by managers, lack of proper disclosures, non-compliance with standards, etc. With these notion, the Department of Management, Mizoram University, Aizawl and Board of Studies, Institute of Chartered Accountants of India (ICAI) is organising a Joint National Seminar on “Corporate Governance In India: Emerging Issues & Challenges” during 27-28 August, 2015. The seminar is expected to address issues in corporate governance related to corporate culture, recent regulatory framework for trade, corporate strategies, students, etc. for presentation at the seminar. A list of sub-themes but not strictly limited is given below: 1. Corporate Governance reforms in India 2. Regulatory framework of Corporate Governance in India 3. Accounting Standards and Corporate Governance 4. Corporate Governance and Companies Act 2013 5. Goods and service tax (GST) 6. ABOUT THE DEPARTMENT Mizoram University is a thriving academic community with its lush green scenic hills, located at Tanhril in the western outskirts of Aizawl City. The University was accredited Grade ‘A’ by NAAC in 2013. At present, there are 8 schools with 30 departments under its umbrella, and affiliates 27 colleges and 1 constituent college. The Department of Management was established in the academic session 2006-07 and offers full time MBA programme since the academic session 20082009. The programme comprises of four semesters during which the students have to undertake 100 credit papers under CBCS pattern and carry out a project work during summer training on real world problem in a corporate world. The department offers specialization in four disciplines – Marketing, Finance, Human Resource, and Small Business & Entrepreneurship Development. Starting from 2014 (August), the Department has started 5 years Integrated Masters in Business Administration (IMBA) having an exit option at the end of 3 years (6th Semester) with an BBA degree. The Department also offers M. Phil and Ph. D programme. ABOUT THE ICAI The Institute of Chartered Accountants of India (ICAI) is a statutory body established by the Chartered Accountants Act, 1949 for the regulation of the profession of Chartered Accountants in India. During its more than six decades of existence, ICAI has achieved recognition as a premier accounting body not only in the country but also globally, for maintaining highest standards in technical, ethical areas and for sustaining stringent examination and education standards. ICAI is now the second largest accounting body in the world. ICAI has its Headquarters at New Delhi with 5 Regional Offices at Mumbai, Chennai, Kanpur, Kolkata and New Delhi. It presently has 147 branches spread all over the country. In addition, it has also set up 21 chapters outside India and an overseas office in Dubai. Currently, over 8,59,225 students are pursuing the Chartered Accountancy course and the total membership of ICAI is more than 2,35,771. ABOUT THE BOARD OF STUDIES, ICAI The Board of studies of ICAI is solely responsible for the administration of the Chartered Accountancy curriculum imparting theoretical education to students undergoing Chartered Accountancy course. It provides a comprehensive package of educational inputs to enable the students to prepare adequately for the examinations. In view of the large number of students scattered throughout the country as well as abroad, it aims to leverage technology and theoretical education through virtual mode for the benefit of students. It has established computer labs all over the country in which CA students are getting training in Information Technology. In order to equip students with the presentation skill and real life environment and to enhance their overall personality, the Board organizes Orientation Programme and Course on General Management and Communication Skills (GMCS). The Board of Studies of ICAI is primarily engaged in imparting education mainly through distance education mode to the students of the professional course of Chartered Accountancy. To serve the needs of students it performs several functions including preparation and continuous revision of comprehensive study materials and practice manual covering all the subjects prescribed for study by the students undergoing Chartered Accountancy Course. The Board of Studies is also conducting, on a regular basis, Seminars, All India and Regional Conferences, Residential Courses, Elocution and quiz contest for the benefit of students pursuing this course. Publication of students journal `The Chartered Accountant Student’ (4,26,866 copies every month) and its distribution. (Including preparation of regular features such as Academic update/articles/case study/quiz contest, etc. for the Newsletter) and evaluation of the responses received for such features. HOW TO REACH MIZORAM UNIVERSITY Mizoram is linked with the rest of the country by Air and Road Transport. By Air Lengpui Airport which is 1 hr drive from Aizawl is well connected by Air to Kolkata, Guwahati and Imphal Air India - Daily Flight from Aizawl to Kolkata and Guwahati are available every day, Aizawl to Imphal is available on alternate days By Jet Airways- Daily Flights to Kolkata and Guwahati are available everyday By Road NH-54 connects Aizawl with the rest of the country through Silchar. Buses and taxis are available from Silchar to Aizawl (6-8 hrs). Aizawl is also accessible by road from Shillong and Guwahati.
