SERVICE CONTRACT
BETWEEN
KING FAISAL UNIVERSITY (KFU)
AND
FOREIGN UNIVERSITY

BACKGROUND

1. Commencement Date and Term
Upon execution by both KFU and (Foreign University), this contract will take effect
from (the mutually agreed upon commencement date), subject to the right to terminate
in accordance with the terms of the contract.

3. Management
(Name and designation of person(s) responsible for fulfillment of contract in KFU in
the case of obligations to be performed by KFU) and (Name and designation of
person(s) responsible for fulfillment of contract in foreign university in the case of
obligations to be performed by foreign university) will be responsible for ensuring that
KFU and (Foreign University) perform all of their respective obligations for the
delivery and implementation of this service.

The Fee shall be exclusive of any Saudi taxes, duties, fees or other Saudi government
levies or charges which may be imposed on or in respect of the services. Such Saudi
taxes, duties, fees or other Saudi government levies or charges, if existing, shall be paid
by KFU.
5. Confidentiality
a. (Foreign University) shall treat as confidential all information which KFU
designates as being confidential.
b. KFU shall treat as confidential all information which (Foreign University)
designates as being confidential.
6. Publication
(State provisions of publications based on the results of the
service as agreed by both parties)

7. Intellectual property
a. All intellectual property owned by any party prior to the date of this agreement, or
generated outside of the scope of this agreement, shall remain the property of that
party and this agreement shall not affect such ownership nor shall it grant any rights
in that intellectual property to any other party.
b. All intellectual property arising out of, in connection with, or developed in the
course of the service/project is and shall become the shared property of (Foreign
University) and KFU

The parties will promptly share with each other details of any invention or
other intellectual property arising from the service/project, will cooperate in
the protection of this intellectual property, and will agree which party is in
the best position to manage this protection. Any costs associated with
protection of the above intellectual property will be shared by both parties.

As soon as practical after the identification and protection of any
intellectual property the parties will execute an Intellectual Property and
Commercialization Agreement defining ownership, revenue sharing and
commercialisation interests of each party. Neither party may assign, license
or otherwise deal with their interest in this intellectual property prior to the
execution of such an agreement.
8. Liability

dictated by the service/project and agreed by both parties)
9. Force Majeure
a. Neither party to this contract will be liable for any delay or failure to perform its
obligations if such failure or delay is due to Force Majeure.
b. Each party shall notify the other party as soon as practicable of any anticipated
delay due to Force Majeure. The performance of each party’s obligations under this
contract will be suspended for the period of the delay due to Force Majeure.
c. If a delay due to Force Majeure exceeds thirty (30) days, the parties shall meet
together to discuss how the effect of the Force Majeure can be mitigated.

10. Termination & Extension
KFU or (Foreign University) may terminate this contract by giving 30 days written
notice to the other party of the contract, if the other party breaches any clause of this
contract. If the breach is not remedied within this 30 day period, termination will be
complete and final. The programs and the activities that have already been approved by
both parties by the date of the written notice shall be allowed completion under the
conditions of the contract. This contract is renewable upon request and agreement of
both parties.
This contract is subject to the rules and regulations of the two institutes and the two
countries
The following appendix is considered part and parcel of this service contract and should be
initialed by both signatories.
This contract has been prepared and signed in two copies in (language or languages) and
