Re: Introduction of the Nobeah Foundation’s Afripad Project
I am writing to introduce our Foundation’s profoundly innovative work developing a holistic
educational solution, and our self-funding programme to begin deploying that solution within 36
months to a number of marginalized students across Africa that we conservatively estimate at 5
– 10 million, and to begin deploying within 36 months to a number of students worldwide that
we conservatively estimate at 25 – 50 million.
This solution includes our software platform called the UCPS which provides a number of
services with social impact, and our Education Management Solution software to run on it. We
are also developing an innovative and radically cost effective educational computer we call the
Afripad to help spread our educational solution wider and faster and in doing so make great
impact in education, and other areas supporting the project, such as renewable energy, health
care and job creation.
Executive Overview
We seek donations of up to 5 million dollars that we will use in creating a production version of
our Afripad, and seeding our self-funding programmes.
Donating such a large amount takes a lot of due diligence which can take so long that in an
evolving and competitive marketplace the delay to potential customers and suppliers kills the
viability of the project. To ensure this project is successful it must proceed in a timely fashion.
We have therefore provided way to for your organization to take the time required for due
diligence while at the same time immediately enabling us to avoid the opportunity costs and
real operational costs inherent in waiting; demonstrating your interest and support to our
product vendors and others we at Nobeah might partner with, in order to help this opportunity
come to fruition for both of our organizations. This mechanism is that we will sign a Letter of
Intent agreeing to provide Afripads at between 2000 ksh and 5000 ksh each and at no more
than 10% above cost, and with the UCPS and Education Management Software provided free
and open source, and you will provide us with a conditional Letter of Intent agreeing to provide
that funding, where the Letter of Intent will be provided conditional upon Nobeah providing
your organization with the following:
1. Letters of intent from manufacturing partners committed to creating the next prototype
of our Afripad.
2. Demonstrating Letters of Intent or MOUs for 500,000 Afripads.
3. Demonstration of our sound financial management.
4. Demonstration that we are run by an experienced management team.
This Letter of Intent itself may specify that the donor funding agreement will only be signed, and
actual funding will only be transferred conditionally based upon Nobeah providing the following:
1. The next prototype of our Afripad completed within 6 months of the Letter of Intent,
and the production version of the Afripad completed within 8 months of the date of this
letter of intent.
2. Demonstrating our partnerships are with seasoned vendors with good track records and
enough experience in their respective industries to provide confidence that our Afripad
and supporting software such as the UCPS, and the Education Management Solution can
be successfully delivered and the orders successfully fulfilled.
3. Demonstrating our partnerships with the governments required to implement the
project.
4. Letters of Intent for the 200 to 400 million dollars of customer orders we will generate
in Africa within 36 months, and 1 billion to 2 billion dollars of customer orders
worldwide within 48 months.
5. Letter of Intent from lender to provide sufficient financing to fill these customer orders.
Introduction
We have created a largely self-funding business model for our project to launch a large pilot of
our educational solution including the Afripad. In this pilot we will deploy 500,000 Afripads
initially in Kenya, and a similar number of approximately 0.5% of the population in each other
target country. Through our “Earn an Afripad Programme” we will register about 100 users for
every one of these Afripads, giving us massive reach with our programmes worldwide.
Though our currently 100% volunteer run project was designed to be able to subsist largely
through self-funding, we are also looking for seed funding to enable us to make progress more
quickly. We would like to raise this funding by partnering to offer your organization services in
the areas of our programmes matching your organization’s interest, whether that be taking part
in the Afripad pilot, distributing your content on the Afripad, conducting surveys or
disseminating information on our platform targeting up to 1 billion users in the African
continent, or funding distribution of the Afripad to the specific demographics you serve.
As our solution is still in the development and prototype stage, as mentioned above we are
looking for the letter of intent to provide a specified amount of financing that will be only be
transferred upon Nobeah providing your organization with a working prototype of the Afripad
within 6 months of the date of the letter of intent and other conditions you specify. Among
these will be the condition that Nobeah demonstrate commitments from students, schools,
local jurisdictions, or national ministries of education to deploy Afripads in 0.5% of the
population of your selected target country, a number not exceeding 10 million Afripads. And
finally, for survey and information dissemination purposes, the funding may at your discretion
also be conditional upon Nobeah demonstrating that we have registered at minimum 100
million users in our software platform out of a total potential target of 1 billion. A draft letter of
intent with these terms is attached as an addendum.
The Afripad
Targeted at about the cost of books for one year (2000-5000 KSH), the Afripad is priced to be
affordable to even the poorest rural areas, while being designed to be upgradeable to provide
performance suitable for private schools, universities, and businesses. When combined with
free or low cost e-textbooks the Afripad could address the lack of availability of learning
materials to make a revolutionary impact on learning outcomes. As a Kenyan designed solution
the Afripad is uniquely suited to the African educational environment, with batteries that can be
separately replaced while it is running, and with long battery life, as well as a modular tool-less
design with end-user replaceable parts unlike laptops or tablets.
The Afripad is also designed for many of the parts to be locally made, with a modular design that
enables parts to be user replaceable without specialized tools or expertise, so kids in villages can
repair their devices just by replacing parts. A computer that is an integral part of the learning
experience has to be continuously available. As such the Afripad is not limited to environments
in which a constant supply of electricity exists such as computer labs, and with its energy
efficiency and easy serviceability can be relied on to be available during the entire school day
and can therefore fill a fundamental role in the curriculum as a book replacement.
Our Education Management Solution
There are a great many schools with compelling business models, and a great many education
management solutions. Where Nobeah differs is firstly that our platform is completely open to
the best of breed content, processes, as well as mentoring, collaboration, and other elements.
Secondly, we provide a framework that will enable us to correlate any activity with any
outcome, and our solution will employ powerful collaborative intelligence algorithms that will
ensure the best solutions are always clearly identified. With our solution education can always
converge towards excellence.
Our Programmes for Students and Educators
Our programme to deploy our Education Management Solution to up to 10 million students has
been designed to be self-funded, helping to ensure this scale of deployment through our “Earn
an Afripad Programme” that will provide opportunity for 10 million students to invest a little
labor to pay for the extremely low cost of our Afripad computer. We will then deploy our
educational solution to all of those Afripads in all those schools. However, working with an
almost exclusively volunteer team that will be growing to about 1000 in the next 3 months, we
have had to be flexible in our timelines. We are looking for seed funding to accelerate our
progress.
The work by which the students (or their families) will “Earn an Afripad” is gathering data for
about 100 people in their social network (and a few businesses) and registering them on
thesoftware platform (the UCPS) we are building to be accessible from any device including nonsmartphones (using SMS).This will allow us to offer a service through our software platform in
which a retail business selling women’s clothing can connect with for example, “all the women
who live or work within 2 km from the store, and who might wear size 12-13 and like polka dot
dresses like the shipment we just got in stock”.
The incentive for people to allow themselves to be indexed in our software platform as part of
our “Earn an Afripad Programme” is that doing so will allow them to receive a significant
number of services. For example, the UCPS software platform is the basis for our single virtual
patient identifier in our Electronic Health Record Solution. It is part of our “Services Bank”
concept that enables individuals to more easily exchange services even where they lack
currency. The significance of this “Earn an Afripad Programme” is that 10 million children (or
their families) indexing 100 people each will in total index up to 1 billion people. This is a
significant portion of the population of the African continent that we can impact with education,
health care, and other services.

Why is the Nobeah Foundation Special?



Our comprehensive programs in education, healthcare, job creation and other areas are
designed to work together to multiply our impact.
We are not only incredibly efficient with resources but also aim to generate our own
support for our programmes once launched. Funding will however dramatically improve
the speed and increase the certainty that we will do so. Because funding is for us a
bonus, not a requirement, we will not just be a cost overhead but will actually provide a
positive increase on the impact of donor investments, viral impact per donor dollar in
areas where both our organizations are interested in making a difference.
Why will it go viral? Because our efforts are targeted at the most critical areas in any
society: education, healthcare and job creation, and because we operate without profit
our actions will inspire people. Because in addition the movement feeds itself, paying







for its own expansion, it can generate positivity without any negative drag. It has to go
viral.
Using our innovative work management processes (Discrete Distributed Work
Management Methodology or DDWMM) to manage large amounts of volunteers will
magnify the impact of your funding. Fund 5 full-time resources and we will bring on 500
resources. Fund 50 full-time resources and we will bring on 5000 resources. Few if any
other NGOs can do the same. Our intention is to create the business value to create
paying jobs for all of these people who are able to make productive contributions to
that business value.
As evidence, currently we are operating with approximately 200 personnel, despite little
funding. Having about 6000 volunteer applications thus far and about to expand from
Kenya to the ten largest countries in Africa, we intend to grow significantly in the next 312 months, our rate of growth depending on either the funding to keep our
management stable, or the rate at which we can refine our processes while dealing with
the turnover characteristic of using volunteers alone.
Our model is massively scaleable, and we have plans to scale massively so your donor
dollars will be multiplied. According to our very conservative estimates, if you assist in
funding this project which will in turn help productize our work management
methodology (the DDWMM), the UCPS software it is based on, the Services Bank to
enable individuals and businesses to more easily accept labor provided to anyone in
their network as payment so individuals can more easily trade labor for the necessities
of life, and the software we are building to dramatically improve the efficiency of each
social service we are targeting (such as in the case of education in which we are building
an Education Management Software Solution), then we will use these elements
together with our innovative business processes to create these services where needed,
including 100,000 schools, 50,000 health clinics, and perhaps 10,000 legal clinics
worldwide.
Fund the above software applications with which we will improve social services, and
support Nobeah’s Afripad and other products, and we will target the creation of on the
order of 10 million jobs worldwide (detailed estimates available upon expression of
interest).
With the above funding, and continuing to use our bootstrapping approach to develop
funding as we go, we will expand our technology projects driven largely by our own
steam. Virtually self-starting programmes like the “Earn an Afripad” programme that are
based on the above technology projects will generate tremendous amounts of funding.

the point where we will generate enough value that through distributing our renewable
energy solution, our aquaponics, education, healthcare and other solutions, we will
impact basic healthcare, as well as education, and employment for 1 billion people.

Given that the number of poor on the earth is on the order of 1 billion, this will go
significantly towards eliminating the effects of poverty globally.
Reducing poverty, lack of education, and joblessness for a billion people … whether
there are a billion poor or a hundred million poor … the numbers are too abstract to
have meaning. What does have tangible meaning is that the significant elimination of
these social ills will free a billion more people to help to solve the earth’s biggest
challenges. A billion more people to work on a cure for cancer. A billion more people to
search for an infinite source of clean renewable energy. A billion more people to elevate
humanity through art and culture. A billion more people grateful enough for their
existence to find an alternative to war and conflict.

In Kenya, by around December 2015 we plan to publicly announce our intention to support the
Government of Kenya’s laptop per child programme with a donation to students in public
primary and secondary schools of 1.2 million of our Kenyan made Afripads. This deployment,
which we anticipate beginning June 2016, will be accompanied by our powerful Education
Management Software that we will provide free of cost. This software will accommodate the
curriculum content specified by Kenya’s Ministry of Education.
On demonstrating prototypes of these computers built with our partners, on demonstrating the
great track record in the computer manufacturing business of our partners, and on
demonstrating these computers meet or exceed the performance specifications of those the
Government of Kenya has committed to purchasing for class one, we will agree to deploy these
computers free of cost to the Government of Kenya’s, on the condition that the Government of
Kenya agrees that for the same cost that the Government of Kenya planned to purchase those
1.2 million computers (approximately 268 million dollars), that we be permitted to supply
Afripads to virtually all years of students for every public school student in the country at the
same cost (5.8 million students).
Because the Afripad will be locally manufactured and takes advantage of a radically innovative
design, it will be cost effective enough to deploy to all years of students for every public school
student in the country at approximately the same cost, and so will be completely funded by the
Government of Kenya’s purchase.
However, we also intend to increase the certainty of the deal by defraying even that cost to the
Government of Kenya as much as possible, through any donor funding we receive, in addition to
our “Earn an Afripad Programme” in which we will provide opportunity for 500,000 students (or
their families) to invest a little labor to pay for the extremely low cost of our Afripad computer
(targeted at 2000 – 5000 KSH).
To support the feasibility of our plan to defray these costs we intend to supply letters of
commitment to purchase our advertising services, and letters of commitment from donors, that
together total a significant portion of the amount needed to purchase the 1.2 million
computers.
Given approval of our Afripads, a significant expenditure will be required on our part before any
payment from the government of Kenya could be expected. To purchase the components, build
the factory, and begin distribution of our pilot, we seek a loan from you that would either be
repaid when the Government of Kenya pays us, or when we receive payment for our “Earn an
Afripad Programme”.
Finally, we believe that public perception will be a good part of winning this deal. We are proud
of our efforts and the local opportunities our Afripad, Education Management Solution, and
associated programmes will provide, namely 1000 internship positions for Kenyan engineers and
computer programmers from our “One Thousand Internship Programme”, the 500,000 short
term jobs from our “Earn an Afripad Programme”, and up to 10,000 long term jobs within 12
months of funding through the following programs including our renewable energy programmes
to power the Afripad.

creating innovative designs in this industry and both the personnel and the expertise to assist in

With the Afripad, we are also developing partnerships with established companies with track
records and both the personnel and the equipment to prototype our designs quickly at little cost
to them.
Given the labor situation in Kenya and given the public interest in our project we have been
fortunate in getting applications from thousands of volunteer engineers, software developers,
and others who are interested in contributing to our project with the potential of a job in the
future to those who make tangible contributions to our progress. We have already hired a great
many of them. Engaging this good will is critical in building our brand as a company that delivers
social impact, it is also an important way of proving our potential for job creation. To
operational costs such as supporting those employees who make strong contributions to our
progress, we are looking for some initial financing as investment or as pre-payment of part of
license fees. None of this additional licensing income is considered in the financial plan, which
covers salaries through loans based on later income from sales.
To incentivize participation of hardware partners, we will define a partnership such that from
our MOU to distribute 500,000 Afripads in Kenya we will agree to manufacture 400,000 low-end
Afripads in Kenya and allow our partners to manufacture/assemble 100,000 high-end Afripads ,
all may be developed in the partner’s home country. CAD drawings and specifications of the
Afripad design will be provided upon signing a Non-Disclosure agreement.
Other proposed terms and costs to our proposed partners are below:
 Create Polished Prototype of Afripad and software (costs of your internal resources):
Prototype includes the three form factors (tablet, lappad, and laptop) that the Afripad
can convert between.
 Pre-Paid License Fees (400,000 USD over 12 months at approximately 40,000 USD per
month): Based on your sales volume of 100,000 units. Payment start date is negotiable.
The key is that it is in your interest to ensure a healthy partnership by making sure we
share some profit and have the resources to maintain our operations and fulfill our
obligations within the partnership.
 Post-Paid License Fees (1,600,000 USD at approximately 40,000 USD per month): Based
on your sales volume of 100,000 units. Again this equitable sharing of profit ensures a
healthy win-win partnership since you don’t pay these fees until you have actually made
the sales, thereby reducing your risk.
 Partner’s Gross Sales (10,000,000 USD): based on 100,000 units at $100 USD per unit.

Local Assembly
Nobeah's manufacturing plan is that the core components of the Afripad will initially be
manufactured by international electronics manufacturers with a great deal of experience and a
successful track record manufacturing the specific technology we are procuring from them. The
Afripad case however will be manufactured and the Afripad itself will be assembled in each
country where it is sold.
Local assembly is a particularly viable strategy in the case of the Afripad. Unlike laptops or
tablets the Afripad is modular and tool-less (does not need tools to assemble or disassemble)
with end-user replaceable parts. By contracting out the manufacture of key components to
proven reliable suppliers Nobeah will minimize risk in delivering the Afripad. However, there is
still financial significant benefit in assembling and doing some development locally. In Kenya
local development and manufacture will make Nobeah eligible for valuable concessions from
the governments.
Local development and manufacture is also important to sustainability, a key goal of major
donors including USAID and the European Union, two of the top ten grant-making donors for
NGOs in Kenya. Through our sister company the Nobeah Foundation, a not for profit tasked with
raising funds for free or subsidized distribution of technology from Nobeah Technologies Ltd.
focusing on the social impact delivered by local manufacture makes good business sense.
