INSTITUTE OF MANAGEMENT ACCOUNTANTS
GEORGIA STATE UNIVERSITY STUDENT CHAPTER

ARTICLE I: NAME
Section 1: The name of this organization shall be:
INSTITUTE OF MANAGEMENT ACCOUNTANTS STUDENT CHAPTER AT GEORGIA
STATE UNIVERSITY, which could also be abbreviated as IMASC @ GSU
ARTICLE II: PURPOSE
Section 1: Provide members with personal and professional development opportunities through
education, association with business professionals, certification in management accounting, and
financial management skills. Ensure that the financial community, as a respected institution,
influencing the concepts and ethical practices of management accounting and financial
management, globally recognizes IMA.
ARTICLE III: AFFILIATION
Section 1: Institute of Management Accountants Student Chapter at Georgia State University will
be operating under the sponsorship of the local IMA Atlanta Chapter and IMA National Chapter.
ARTICLE IV - ELIGIBILITY FOR MEMBERSHIP
IMA membership provides opportunities for students to associate with business professionals; to see how
they live, work, and apply their knowledge; and to learn that professionals are seriously devoted to ethical
standards and to the advancement of their profession.
Section 1: Candidates shall be eligible for membership if they:
(a)
Carry at least six undergraduate or graduate hours, or equivalent, per semester;
(b)
Have submitted an application online or in writing on a prescribed form to IMA
National
(c)
Have paid annual membership dues to IMA National
Section 2: Degree seeking graduate students at Georgia State University enrolled in The J. Mack
Robinson College of Business.
Section 3: Associate membership may be granted to GSU faculty, staff, alumni, and guests under
special circumstances; these associate members shall not be given the rights and privileges of
active GSU students.
ARTICLE V – OFFICER DESCRIPTION
Section 1: The Officers shall consist of the:
 President
 Vice-President/Committee Chairperson
 Secretary
 Vice-President of Services/Treasurer



Vice-President of Membership
Vice-President of Events
Vice-President of Communications
Section 2: The Executive Committee may nominate members for officer positions based upon
past officer service, considerable participation in chapter activities, service as a committee
chairperson, significant involvement in one or more committees, and/or demonstrated expertise in
the duties required for a particular office.
Section 3: The procedure for electing officers shall depend upon whether there are more
nominated members than available officer positions. When the number of nominated persons is
equal to the number of open positions, the officer slate shall be presented and voted on as a
whole. If there are more nominated members than open officer positions, voting will be done on
a position-by-position basis. A member who is not elected to a position may be nominated for
another position prior to the balloting for that position.
Section 4: Voting for officers shall be by secret ballot. Such ballots will be counted by the
Faculty Advisor. A simple majority is required for election. In the event no candidate receives a
majority (50% plus one) of the votes cast on a particular ballot in a position by position election,
the candidate receiving the smallest number of votes shall be dropped, and balloting shall
continue until a candidate is elected.
Section 5: The PRESIDENT SHALL:
(a) Have the responsibility for the authority over the planning and conducting of the
affairs of the Chapter; and
(b) Develop agenda for all meetings, direct the activities of the other officers, and make
special assignments.
(c) Appoint committee chairpersons in consultation with the faculty advisor and other
officers.
Section 6: The VICE-PRESIDENT/COMMITTEE CHAIRPERSON SHALL:
(a) Serve as an assistant to the President, presiding in his/her absence;
(b) Succeed the President upon his/her resignation or removal from office;
(c) Develop personnel of the committee, guide committee members, and make
specific assignments.
(d) Preside over meetings to plan the program of activities within an assigned
area of responsibility, supervise the activities of the committee, and make
progress reports to the chapter board, asking for policy decisions where
necessary.
Section 7: The SECRETARY SHALL:

Send out meeting notices, maintain the membership roster, write minutes
of board meetings.
Correspond for the board when necessary and remind the President of
unfinished or deferred items.
Section 8: The VICE-PRESIDENT OF SERVICES/TREASURER SHALL:
(a) Bill and collect all dues, fees, and other necessary assessments or collections and
contribution;
(b) Maintain current and accurate records of the financial position of the Chapter and
prepare all reports required by the National Chapter, or that the Presiding Officer
shall request be maintained by the Treasurer, in order that a complete and accurate
record of the Chapter's financial position may be ascertained all times;
(c) Report on the financial position of the Chapter upon request;
(d) Prepare the financial statements and submit them to the Faculty Advisor for approval;
(e) Work closely with the VP of Communications and VP of Events to schedule,
plan, and implement service opportunities for IMA members.
Section 9: The VICE-PRESIDENT OF MEMBERSHIP SHALL:

Have as their primary responsibility the growth of the membership of the chapter.
Identify and implement recruitment efforts in consultation with the Faculty Advisor.
Explain to potential members the purposes and objectives of IMA.
Keep an accurate and complete record of the proceedings of the Chapter meetings
and be prepared to report such information to the membership, should that officer be
ordered to do so, either by the Presiding Officer, or by the request from the floor if
such request is seconded;
(e) Maintain a complete file of all committee reports and other material designated to be
kept by said officer or order of the Presiding Officer;
(f) Work closely with the Secretary in maintaining proper attendance and
membership levels of IMA.
(g) Make sure all rosters, roles, positions, duties are outlined clearly, and will
promote IMA opportunities to the student body.
Section 10: The VICE-PRESIDENT OF EVENTS SHALL:
(a) Maintain strong relations between the University and the IMA chapter.
(b) Facilitate proper communication between IMA and the University when
scheduling, finding, reserving, and hosting events at the University level or off
campus.
(c) Designate committee members to assist in event planning, and functioning of
all aspects of the events.
Section 11: The VICE-PRESIDENT OF COMMUNICATIONS SHALL:
(a) Coordinate with all IMA members; work closely with the Secretary, VP of
Events, and the VP of Membership to distribute all agenda items to IMA
members and committee members.
(b) Keep tabs on new and upcoming events as to promote and establish IMA
membership and growth.
(c) Communicate all events via email, website, calendar etc. to keep all members
and the student body apprised of events, and opportunities within IMA.
(d) Maintain all forms of communication for internal and external purposes.
ARTICLE VI – ELECTION OF OFFICERS
Section 1: The officers-elect shall be installed following the meeting in which they are elected.
Installations shall be made in a form prescribed by the Executive Committee.
Section 2: Officers shall be elected by the membership for a one-year term. However, officers
shall continue in office for a second term ONLY if ratified by a majority vote of the executive
committee. If the executive committee fails to ratify an officer, the office shall be filled via the
normal election procedures.
ARTICLE VII – REMOVAL OF OFFICERS
Section 1: Officers shall be removed by a two-thirds (2/3) affirmative vote of the Executive
Committee as a result of events or circumstances under which the specified officer fails to
perform his/her duties at a satisfactory level. In the event of such removal, the vacant position
shall be filled by the President through appointment.
ARTICLE VIII – OFFICER TRANSITIONS
Section 1: During the transition phase of the organization, all necessary information
required by respective officers to perform their specific duties without hindrance shall be
communicated to new officer(s).
ARTICLE IX – FACULTY ADVISOR
Section 1: The FACULTY ADVISOR SHALL:

Serve as official Faculty Advisor for the Chapter;
Counsel and assist the officers and various committees;
Verify the appropriate reports for submission to the National Chapter;
Assure the continuity of the Chapter, and the liaison with the Accounting department at
Georgia State University, keeping them informed of the Chapter's activities and progress;
(e) Cast the deciding vote in case of a tie on any business.
(f) Sign all checks for the organization.
ARTICLE X – MEETINGS
Section 1: Meetings shall be held monthly and/or at the direction of the President in conjunction
with the Faculty Advisor.
ARTICLE XI - QUORUM
Section 1: A quorum constitutes 40% of the number of members in good standing of the chapter.
A quorum shall be deemed sufficient to conduct chapter business, including but not limited to
election of officers, and changes in bylaws. All actions of such quorum shall be legal and binding
upon the Chapter and its members. The Faculty Advisor is permitted to vote. Honorary and
alumni members are not permitted to vote. Members not in good standing are not permitted to
vote. Members may not vote by proxy.
Section 2: The executive committee shall consist of the Faculty Advisor, President, and other
officers and members selected by the Faculty Advisor and President. A quorum of the executive
committee requires 50% attendance. The executive committee shall have power to act in all
matters except revision of the chapter constitution and bylaws; expulsion of members; and
election of officers.
ARTICLE XII - FEES, DUES, AND OTHER FINANCES
Section 1: Chapter dues shall be assessed on a semester basis, in addition to the IMA National
Membership. The amount of dues charged will be determined by the Executive Committee and
shall thereafter be fixed for the duration of the school year. No increase in dues shall occur during
the year except in such cases as deemed necessary by a majority vote of the leadership.
Section 2: An honorary member shall not be assessed dues fees.
Section 3: For the purpose of financial reporting, the fiscal year shall begin on May 1 and end on
April 30.
ARTICLE XIII - AMENDMENTS AND ADOPTION
Section 1: These By-Laws must be approved by a two-thirds (2/3) affirmative vote of the active
membership voting. Thereafter, these By-Laws shall be considered adopted in whole, or in part as
amendments are made for adoption, by the above-mentioned two-thirds affirmative vote.
Section 2: These By-Laws may be amended, added to or stricken by a two-thirds (2/3) affirmative
vote of the active membership voting.
ARTICLE XIV - HAZING POLICY
Section 1: This organization prohibits its members, both individually and collectively, from
committing any acts of hazing as defined in the Student Code of Conduct at Georgia State
University.
ARTICLE XV – ORGANIZATION AGREEMENT
Section 1: IMASC @ GSU agrees to abide by the Georgia State University Student Code of
Conduct. Furthermore, agrees to abide by all Student Activities policies, to check the
organization’s OrgSync account, mailbox, communicate via email upon request, update the
organization’s records on OrgSync, attend a student organization orientation annually, and renew
the organization by May 1st.
