BYLAWS OF THE ALUMNI ASSOCIATION OF
THE SCHOOL OF NURSING
THE UNIVERSITY OF NORTH CAROLINA AT GREENSBORO
ARTICLE I: NAME
The name of this association shall be the Alumni Association of the School of Nursing at the University of
North Carolina at Greensboro, hereinafter referred to as the Nursing Alumni Association.
ARTICLE II: PURPOSES
The purposes of the Nursing Alumni Association are to:

Maintain communication and a network among alumni.
Affirm a sense of pride in the School of Nursing
Maintain communications between the alumni and the School of Nursing.
Involve members in active participation with the UNCG School of Nursing Alumni
Association.
Promote the School of Nursing’s programs and activities.
Connect UNCG School of Nursing Alumni with current students by invitation and through
support.
Consider annually the establishment of a scholarship benefiting current students.
Select and recognize a Distinguished Alumnus (i) annually.
Support development efforts by identifying alumni interested in philanthropy.
ARTICLE III: STATUS
This organization is a non-profit organization and does not contemplate the distribution of gains, profits or
dividends to the members.
ARTILCE IV: ALUMNI ASSOCIATION ORGANIZATION AND RESPONSIBILITIES
Section 1. Organization

The School of Nursing Alumni Association is affiliated with the University of North
Carolina at Greensboro, the UNCG School of Nursing and the UNCG Alumni Association.
The Nursing Association shall function under bylaws, policies, and procedures which are
not in conflict with any of those entities.
The School of Nursing Alumni Association is a constituent group of the UNCG Alumni
Association.
Chapters of the Alumni Association may be organized in any geographic area. Chapters
shall develop bylaws to meet the needs of their respective geographic areas. Such bylaws
shall not be in conflict with the bylaws of the Alumni Association.
Section 2. Responsibilities
Responsibilities of the Nursing Alumni Association shall be to provide information to the school for
publicizing alumni affairs, selection of honorary members, election of chapter officers, and revision of its
bylaws, policies, and procedures. The Association will coordinate regular programs, activities, and
outreach for members and current students. The Association will seek to support current and future growth
of the UNCG School of Nursing program as identified by the Dean of the School.

Section 3. Dissolution
Upon dissolution of the Nursing Alumni Association, all cash and other assets remaining after the
repayment of all debts and liabilities incurred by the Nursing Alumni Association shall be gifted to the
University of North Carolina at Greensboro School of Nursing.
ARTICLE V: MEMBERSHIP
Section 1. Definition of Membership

Membership in the Nursing Alumni Association shall consist of members, associate
members, and honorary members.
All graduates of the associate, baccalaureate, master’s or doctoral degree programs at the
University of North Carolina at Greensboro are eligible to participate in association
activities as defined by these bylaws.
Section 2. Qualifications for Membership

Active members are defined as graduates of the associate, baccalaureate, masters or
doctoral degree programs of the School of Nursing at the University of North Carolina at
Greensboro.
Associate members are defined as non-graduates of the University of North Carolina at
Greensboro and may include faculty (current, retired, and/or adjunct), staff, and friends of
the institution.
Honorary membership may be conferred upon persons whom the Nursing Alumni
Association wishes to honor because of outstanding service to the School of Nursing or the
Alumni Association. Any member of the Nursing Alumni Association may recommend an
individual for honorary membership. Majority vote of the officers and members present at
a regular or special meeting of the Alumni Association shall confer honorary membership.
Section 3. Rights, Responsibilities, and Benefits of Membership

Members of the Nursing Alumni Association shall fulfill all the requirements and
qualifications defined in this article, perform all duties designated by these bylaws, and
work toward the purposes of the Alumni Association.
New graduates are designated active members of the UNCG Alumni Association.
Affiliation with the School of Nursing Alumni Association is extended to all persons who
are graduates of School of Nursing programs or other alumni who request to be affiliated
with the organization.
All members will receive benefits pursuant to membership in the UNCG Alumni
Association and the School of Nursing Alumni Association. Members receive official
publications and program announcements, are invited to attend meetings and to participate
in activities. All active members of the School of Nursing Alumni Association shall be
eligible to vote, hold office and chair committees.
ARTICLE VI: MEETINGS
Section 1. Regular Meetings
There shall be an annual meeting of the membership. The Board of Directors shall determine the date and
site of the meeting. Officers and committees present shall present reports to the membership. All members
of the Nursing Alumni Association shall receive written notification of the meeting at least six weeks in
advance of the meeting.

Section 2. Special Meetings
Special meetings may be called by the president upon written request of 10 active members of the Nursing
Alumni Association or upon written request of a majority of the Board of Directors. Additionally, a special
meeting of the Alumni Association may be called at any time provided written notice of the date, time,
location, and purpose of the meeting has been sent to all members at least 14 days prior to the date of the
special meeting.
ARTICLE VII: ELECTIONS
Section 1. Eligibility
Any member of the Nursing Alumni Association is eligible to hold office. Members of the Board will
include officers, members-at-large, Chair of the Nominating Committee, Historian, and Honorary
members.
Section 2. Time
Officers, members-at-large of the Board of Directors, Historian and Chair of the Nominating Committee
shall be elected at the annual meeting as specified by these bylaws.
Section 3. Vote

All active members of the Nursing Alumni Association are eligible to vote.
A simple majority vote of members attending the annual meeting shall elect officers,
members at large, Historian and Chair of the Nominating Committee.
ARTICLE VIII: OFFICERS
Section 1. Titles
The officers of the Nursing Alumni Association shall be: President, President-Elect, Vice President,
Secretary, Treasurer, Historian and Chair of the Nominating Committee.
Section 2. Vacancies
The Vice President fills the vacancy of the President. Other offices are filled by appointment of the Board
of Directors until the next election.
Section 3. Terms

The length of term of all officers except the President-Elect is two years. The President
Elect shall serve a one-year term. The Historian may serve an indefinite period of time. All
terms of office shall be July 1st through June 30th.
Terms of office are staggered so that all officers and members-at-large do not end their
terms at the same time. The President –Elect, Vice President, Treasurer, two Members-atLarge, and Chair of the Nominating Committee shall be elected in the even numbered
years. The Secretary, two Members-at-Large and Historian shall be elected in the odd
numbered years.
No officer shall exceed two consecutive terms in any one office.
Section 4. Duties

The President shall be the executive officer and shall administer all business of the Alumni
Association as provided for by these bylaws. The President serves as the chief
representative of the Nursing Alumni Association to other Alumni Association chapters

outside the Greensboro area, to alumni associations of other schools of nursing, and to the
UNCG Alumni Association.

The President, with approval of the Board of Directors, shall appoint such other persons as
necessary to conduct the business of the Nursing Alumni Association.
The President – Elect shall succeed into the Presidency at the end of the term of office and
shall promote the purposes of the Nursing Alumni Association.
The Past President shall be an ex-officio member of the Board of Directors for the year
immediately following completion of presidency.
The Vice President shall perform the duties of the President in the President’s absence.
The Secretary shall serve as corresponding and recording secretary.
The Treasurer shall maintain an accounting of the funds of the Nursing Alumni
Association.
The Members-at-Large shall perform duties as delegated by the President and Board of
Directors.
The Historian shall collect, organize and be the custodian of all historical records of the
Nursing Alumni Association.
Each officer shall present a report of the past year’s activities, when appropriate, at each
meeting of the Board of Directors and at the annual meeting of the Nursing Alumni
Association.
The Chair of the Nominating Committee will serve as Chair of the Selections Committee
for the Distinguished Alumnus Award.
The Chair of the Nominating Committee will conduct the annual election of incoming
members of the Board of Directors.
ARTICLE IX: COMMITTEES
Section 1. Board of Directors
The Board of Directors shall consist of the President, President-Elect, Vice President, Secretary, Treasurer,
Historian, four Members-at-Large, Chair of the Nominating Committee, and other ex-officio members,
including the immediate past president, student and honorary members, as designated by the President and
Board of Directors. The President of the UNCG School of Nursing Association of Nursing Students and
one other student body nursing association member (on a rotating basis) will be invited to attend each
Board of Directors meeting. The Board of Directors shall transact emergency business as required between
regular meetings of the Nursing Alumni Association.

The standing committees shall be: Nominating, Bylaws, and Program Planning,
The terms of office for all committees shall be two years. Any committee member may be
reappointed or elected to a second consecutive term.
Each standing committee shall present a report of current business at each meeting of the
Board of Directors and an annual report to the membership at the annual meeting when
appropriate.
Each committee prepares policies regarding its area of responsibility for Board of Director
approval. Policies will be updated annually.

The Nominating Committee shall consist of the elected Chair and members appointed by
the Committee Chair..
Chair of the Nominating Committee shall be elected by the general membership in even
numbered years.
The Nominating Committee shall secure the consent to serve, prepare the ballot, and send
the ballot to the Board of Directors at least four (4) weeks prior to the annual meeting.

The Nominating Committee shall provide a ballot containing a brief biography of
candidates for election and conduct and report the results of the election at the annual
meeting.
The nominating Committee recommends the Distinguished Alumnus recipient through the
Board.

The Bylaws Committee shall be appointed by the president.
The Bylaws Committee shall submit amendments to the Association Bylaws.
The Committee shall consider, edit, and /or correlate such amendments as it may originate
or are referred to it.
Bylaws changes shall be approved by the Board of Directors and then by members at the
annual meeting.
Bylaws changes require a three quarters vote of members attending the annual meeting to
pass.
Section 5. Program Planning

The Program Planning Committee shall consist of at least three appointed members and
shall be chaired by the Vice President of the Alumni Board.
The Program Planning Committee members shall be appointed by the Vice President and
shall be responsible for planning all activities of the Nursing Alumni Association including
the annual meeting.
Section 6. Special Committees
Special Committees may be appointed by the Board President for some special work or purpose. A special
committee expires with the completion of the charge and the presentation of the report.
ARTICLE X: FINANCE
Section 1. Fiscal Year
The fiscal year shall be July 1st through June 30th to coincide with the University fiscal year.
Section 2: Fund Raising:
Moneys earned through fund raising projects or given by members toward a specific outcome will be
accounted for by the Treasurer. All such funds will be designated to meet purposes/responsibilities of the
Association.
Section 4. Financial Responsibilities
The Nursing Alumni Association is an independent, autonomous organization affiliated with the University
of North Carolina at Greensboro, the School of Nursing, and the UNCG Alumni Association. The Nursing
Alumni Association has control of its income, expenses, contracts, accounting system, and annual report.
ARTICLE XI: QUORUM
Section 1. Membership
A quorum at any regular or special meeting of the Nursing Alumni Association shall consist of at least
three officers and all members present.
Section 2. Board of Directors

A quorum of the Board of Directors shall consist of seven members. All members of the Board are voting
members.
ARTICLE XII: PARLIAMENTARY AUTHORITY
The rules contained in the current edition of Robert’s Rules of Order shall govern the Nursing Alumni
Association in all cases in which they are not inconsistent with these Bylaws.
ARTICLE XIII: AMENDMENTS
Section 1. Amendments with Notice
These Bylaws may be amended by a three-fourths vote of the Nursing Alumni Association members
present and voting at any meeting of the association. Proposed amendments shall be in the hands of the
Nursing Alumni Association secretary at least one month before the date of the meeting and shall be
appended to the agenda of the annual Alumni Association meeting.
Section 2. Amendments without Notice
These Bylaws may be amended by unanimous vote of the members present and voting at any scheduled
meeting without previous notice.
Section 3. Bylaws Changes
All changes from the membership shall be included in these Nursing Alumni Association Bylaws.
ARTICLE XIV DISSOLUTION
A resolution for dissolution of the Nursing Alumni Association shall be signed by a majority of members
and shall be presented at a meeting of the Nursing Alumni Association. The officers shall notify the
members and call a special meeting of the Nursing Alumni Association for the purpose of considering and
acting upon such resolution. If three-fourths of those members present and voting vote for the dissolution,
the officers shall notify the Dean of the School of Nursing and the UNCG Alumni Office and shall take
necessary steps to conclude the affairs of the Nursing Alumni Association. After payment or making
provision for payment of all debts and liabilities incurred by the Alumni Association, the officers shall
dispose of all assets of the Alumni Association exclusively for the purposes of alumni programming at the
UNCG School of Nursing.
