Areas of Practice
Gordon focuses his practice on the representation of public and private business corporations and
financial institutions, with an emphasis on business transactions, corporate finance, securities and
general corporate law.
He concentrates his practice on community banks, with significant experience in formation of de
novo institutions, holding companies and special-purpose entities; capital raising; securities law
compliance, including proxy solicitation, tender offers, trading restrictions, and reporting and
disclosure obligations; mergers and acquisitions; regulatory compliance and enforcement matters;
corporate governance and executive compensation matters; and general corporate representation.
Gordon’s practice involves substantial interaction with state and federal banking regulatory
authorities concerning bank charter and deposit insurance applications, regulatory review of mergers,
acquisitions and other corporate transactions, and regulatory enforcement actions.
Gordon’s representation of other business clients emphasizes corporate organization, ongoing general
corporate matters, mergers and acquisitions, securities law compliance and capital formation,
including private placements and SEC registered public securities offerings.
