(CFI) phosphate operations by The Mosaic Company (Mosaic) will close. Operational leadership of the assets included in this transaction will transition from CFI to Mosaic. We are confident this acquisition is a strategic step aimed at strengthening the Florida phosphate industry’s position in the global marketplace. We are enthusiastic about the growth we will experience within our market segments and the opportunities for you as a key supplier. The integration will result in a convergence of our supply management efforts and our newly combined and expanded supply base could create new opportunities for our strategic supply partners. Please keep in mind the following changes: Contracts: Unless previously or otherwise noted, existing contracts are generally not impacted as a result of the acquisition. Mosaic intends to assume assignment of contracts, leases, and purchase orders used by the former CFI phosphates locations in Central Florida. Payment Obligations: For the purpose of recognizing the transition of payment obligations, please note that any work performed or products provided prior to 6:30 AM EST on March 17, 2014 will still be payable from CF Industries, Inc. Any physical deliveries of products and/or services performed after this date and time will be payable from the appropriate Mosaic corporate entity (described below). Invoices and Purchase Orders: All purchase order and invoice processes will also continue to function as they have with the former CFI sites. However, as of the closing date and time, a new Mosaic legal entity will apply depending on the legacy CFI facility to which products will be delivered or services performed. Mosaic currently uses ISNetworld as our primary contractor information management system. In order to qualify as a contractor for Mosaic, your company’s subscription must remain in place and all required data must be posted by April 1, 2014. Failure to comply with these requirements could potentially impact your company’s ability to work with Mosaic in the future. For Existing Mosaic Vendors: If you currently supply both Mosaic and CFI, we expect to receive the best price for your products and/or services for all Mosaic facilities after the close. We also plan to harmonize key contractual terms, including terms of payment, warranty, liability or indemnification, length of contract, freight terms, or any other inconsistencies. In the coming weeks, you may be contacted by a Mosaic Sourcing Manager to discuss next steps, as we will be assessing the relationships with many of our existing suppliers.
