COMMENTS :
The SC is primarily involved in civil engineering construction and building works. The share capital of the SC
is comfortable at RM180,000,000. Incorporated in 1976, the SC has established a reputation for itself as a
reliable and efficient contractor renowned for high quality finishing and prompt completion of projects. The SC
faces low business risk in view of its steady base of suppliers and clientele base. In order to stay ahead of the
competition, the SC has placed great emphasis on the quality & safety in construction activities.
Over the years the SC has completed many high and low investment projects. The current outstanding order
book of RM1.7 billion will enable the SC easily to sustain for the next 2 to 3 years. Our research revealed that
the projects undertaken by the SC are completed in time. Even though there are some minor disputes, but they
were manageable. The SC has improved its quality of material used to meet the standard required by its
customers. Adequate manpower has enabled the SC to carry out the projects smoothly. The workability of its
projects is at an acceptable range and it has not violated any rules or regulations of Dewan Bandaraya or the
Department of Environmental while conducting its business in past or current projects. Overall, the
competencies level of the SC is Above Average.
The SC has stable sources of materials from local suppliers, subsidiaries and associate companies. The SC can
depend on at least 4 subsidiaries for its raw materials and machinery supplies as well as civil engineering
services. Availability of machinery has enabled the SC to carry out its works smoothly. The management of
the SC is in the hand of a number of experienced professional directors and managers who are conversant with
the construction industry. Training programs are also provided to strengthen self-confidence, resilience and
teamwork in its new executives. Overall the SC has maintained a fairly good control of its resources.
The total weighted performance marks of the SC is 83. The SC’s capacity in project execution is strong.
Future earning capacity is Positive and we are confident with the future performance of the SC. Overall rating

The SC was incorporated on 26 Apr 1976 as a public company in Malaysia under
name of
SUNGEI
WAY QUARRY SDN BHD. The SC changed its name
to SUNGEI
CONSTRUCTION SDN BHD on 11/06/1984. On 16/03/1996, the SC changed its

As a separate legal entity, the SC is capable of owning assets, entering into contracts,

to the extent of the equity they have taken up and the creditors cannot claim on
shareholders' personal assets even if the SC is insolvent.
The SC is principally engaged as a turnkey contractor of civil engineering and building
works. The SC is registered as a Grade 7 contractor with the Construction Industry
Development Board (CIDB). The SC is also registered with Pusat Khidmat Kontraktor (PKK)
under A Class. The registration with both Authorities are still valid. This will enable
the SC to tender projects of unlimited sum and is in line with its future plan.
The SC’s subsidiaries are actively involved in the construction of civil engineering
and building works, contracting in mechanical and electrical works, renting of machinery
and site equipment, management and renting of properties and prefabricated construction
of buildings and civil works as well as property development.
The authorized capital of the SC is RM1,000,000,000.00, divided into 1,000,000,000
shares of RM1.00 each. The issued and paid-up ordinary share capital of the SC is
RM180,000,000.

OVERALL PROJECTS PERFORMANCE
According to our survey with the project owner, the quality of material used by the
SC in the past projects was slightly below the standard. However survey in the current
project indicated that the SC has improved its quality of the materials. The SC will
reject the material supplied if quality is not according to specifications.
The workmanship of the SC was satisfactory. There are no delays in completing the
projects handled by the SC. There were only minor problems in the projects carried out
by the SC such as :PROJECT NAME

Even though there are some minor disputes, but they are manageable. Only minor liquidated
damages have been incurred on the past projects carried out by the SC. No liquidated
damages are imposed on the SC in the current projects. The workability of the SC’s
projects is at an acceptable range. We believe the SC is able to improve on its
performance in order to meet its future project schedules.
Further survey with the project owners and project consultants revealed that the SC
have not received any summons from Dewan Bandaraya and Department of Environment (DOE).

The SC has complied with all the safety requirements at the site. The SC has the highest
score for abiding by the rules and regulations.
In view of its quality of work and efficient performance, the CIDB had presented to
the SC the Group Champion of Malaysian Construction Skill Competition and Construction
IT Award on 14 Sept 2001. The SC was also awarded by Sirim, the Occupational Health
& Safety Management System Certificate - OHSAS 18001:1999 on 11 Sept 2001. Overall,
the competencies level of the SC is Above Average.

Resources are scarce and expensive in today’s business world, but they are vital to
ensure the success of a project. In Control analysis, we study the degree of command
by the SC over the resources. Project implementation can be achieved in the most
economical, efficient and effective way through the proper management of resources.

SOURCES OF MATERIALS
Materials that commonly sourced by the SC are quarry products, building materials,
sanitary ware, tiles, steel bars, cement and plywood. All the SC’s raw materials are
sourced locally. Besides the local suppliers, the SC also sources materials from its
inter-related companies especially ready-mixed concrete, cement bricks, pipes and
tubes.
Some of the SC’s subsidiaries/associates that provide supporting activities to the SC
are :1.

As materials are sourced locally, the SC does not face any foreign exchange risk compared
to the others who import a substantial amount of their materials. The effect on price
fluctuations is minimum on the SC. In addition, the SC has established good relations
with its suppliers. The SC will be able to negotiate for attractive terms and pricing
from its suppliers. The SC has a strong suppliers base as well as inter company support
and this will ensure stable sources of supplies.

All the SC’s workers are local. With a high composition of local staff, the SC will
have a better control over its work force. Immigration and social problems associated
with the foreign workers that may interrupt the progress of work can be minimized.
The SC has a team of qualified, experienced and dedicated staff to manage its
construction, engineering, marketing and financial activities. The SC provides both
internal and external training programs to its workforce. The SC has intensified its
efforts and initiatives to ensure that staff continue to benefit from comprehensive
training programs as well as to strengthen self-confidence, resilience and teamwork
in its new executives.
For the year 2000, the SC has allocated RM33,483 for in-house training programs and
RM138,518 for employing 80 external consultants for the training programs. There was
a significant increase of the SC’s external training expenditure as compared to the
previous year (1999) which stood at RM28,618 with 46 number of consultants.
The management is headed by Mr Kwan Foh Kwai (49), as Managing Director. He has 25 years
of extensive working experience in operations, site and project management and contract
works. He began his career as a contract engineer with Jabatan Kerja Raya in 1977. He
then moved to Promet Construction Sdn Bhd as a Site Manager and later joined Alam Baru
Sdn Bhd as a General Manager. His last position before joining the SC was General Manager
at Taisei (Malaysia) Sdn Bhd. Mr Kwan Foh Kwai joined the SC as an Executive Director
on 1 October 1996. He was appointed to the Managing Director of the SC on 1 June 2001.
The SC is also assisted by a number of professional managers both locals and expatriates
who have the necessary experience and expertise in the business.

management staff resigned for the year. The SC’s performance in project implementation
will not be affected as the projects are still handled by strong management team members.
MACHINERY & EQUIPMENT
Majority of the SC’s machinery and equipment are leased. Generally the SC has maintained
more than 4 years relationship with most its machinery suppliers. Some of the machinery
and equipment owned by the SC are as follows :






excavators
mobile cranes
off-read lorries
tower cranes
motor grader & rollers
compactors
The estimated market value of plant, machinery and equipment owned by the SC is
RM3,486,225. The SC’s plants and machinery are free from encumbrances and this will
enable the SC to mobilise them from one project to another project.
The SC is not expected to face any problem regarding the availability of machinery and
equipment as it is supported by its other inter-related companies which is engaged in
the same business. The SC has a wholly-owned subsidiary namely SWC machinery Sdn Bhd
engaged in the renting of machinery and site equipment. This will provide the necessary
services, as and when required by the SC. This will ensure work progresses smoothly
to meet the time schedules.
The SC’s plant and machinery and equipment are depreciated on a straight-line basis
over their estimated useful lives. The annual depreciation rates used for plant and
machinery are 10 - 20%.
The total cost of plant, machinery and equipment of the SC for the year ended 31 December
2000 is RM31,883,000. The SC has added new machinery amounting to RM155,000 and disposed
off old machinery amounting to RM484,000. The net book value for plant and machinery
of the SC is RM11,022,000. The machinery are well maintained by the SC as they are
serviced on a monthly basis and handled by the skilled workers.
