Though adequate care has been taken in the preparation of this Request for Proposal Document, the Bidder should satisfy himself that the Document is complete in all respects. Intimation of discrepancy, if any, should be sent to RNNTL/RMC at the address given in the Acknowledgement. If no intimation is received by this office, it shall be deemed that the Bidder is satisfied that the Request for Proposal (RFP) Document is complete in all respects 2. This RFP document is not an Agreement or an offer and is merely an invitation to offer. The purpose of this RFP document is to provide the interested parties with the information required by them in the formulation of their proposals. This RFP document does not purport to contain all the information each interested party may require. Neither RNNTL nor its employees or consultants/ advisors make any representation or warranty as to the accuracy, reliability or completeness of the information in this RFP and it is not possible for RNNTL to consider the investment objectives, financial situation and particular needs of each party who reads or uses this RFP. Certain prospective bidders may have a better knowledge of the Project than others. Each prospective bidder should conduct his/ her own investigation and analysis; and check the accuracy, reliability and completeness of the information in this RFP and obtain independent advice from appropriate sources 3. Neither RNNTL, nor its employees or consultants/ advisors will have any liability to any prospective bidder or any other person under the law of contract, tort, the principles of restitution or unjust enrichment or otherwise for any loss, expense or damage, which may arise from or be incurred or suffered in connection with anything contained in this RFP, any matter deemed to form this RFP, the award of the Project, the information and any other information supplied by or on behalf of RNNTL or their employees, consultants/ advisors or otherwise arising in any way from the selection process for the Project 4. RNNTL reserves the right to reject any or all of the Bids submitted in response of this RFP at any stage without assigning any reasons whatsoever 5. To provide other information as may be required by RNNTL from time to time Request for Proposal for Advertising Space Rights in 100 City Buses Background and Context Effective public transport is the need of every city. For cities that are growing at a rapid pace like Raipur, it becomes the most essential vehicle for pace of growth. The poor quality of public transport services lead to higher use of personal vehicles for transport causing over-congestion on roads and rise in air pollution levels in the cities. It is therefore imperative that effective and efficient mass public transport services are provided in the cities. Introduction: a. About Organization Raipur Nagar Nigam Transport Limited a special purpose vehicle of Raipur Municipal Corporation (RMC) formed with as object of management and monitoring of public transport services in Raipur city area. Raipur Municipal Corporation is a statutory authority constituted under M.P. Municipal Corporation Act 1956 having its head office at Gandhi Maidan, Raipur-492001. b. A bout Project: Raipur is a mission city under Jawaharlal Nehru National Urban Renewal Mission (JnNURM) and is in the process of procurement of 100 buses thereunder with the objective to operate, maintain and manage those buses and to provide City Bus Services. Out of 100 city buses 65 will be mini buses whereas 35 will be large size. c. Object of the Proposal RNNTL invites proposals from eligible bidders who meet the eligibility criteria for the role of Advertising agency at the specified places on city buses, only at the outside portion. The company is inviting reputed and established advertising agencies/ companies to manage advertising space rights in the 100 city buses run by RNNTL on various route throughout the city. The revenue generated through advertising will be that of the advertisement firm and the firm would have to pay a fixed amount to RNNTL in the form of a authorization fees on a per bus basis for the use of the advertising space. The fees as agreed is to be paid to RNNTL independent of the state and quantum of the revenue earned through the commercial use of the space. Advertising Rights Agency: The space for advertisement on the buses would be let out to an advertising agency selected by RNNTL through a competitive bidding process. The agency would enter into necessary agreement with RNNTL. Rights of Advertising Agency: i. Right to Advertise at specified space on the city buses ii. Right to market the Advertising Rights at specified places iii. Right to levy, charge, demand, appropriate, receive fee against sale / lease of such Advertising Rights in part or full Obligations of Advertising Agency: i. Would be responsible for obtaining all Clearances in discharging its obligations in terms of this Agreement. ii. Display or cause to be displayed advertisements only in the specified areas as mentioned iii. Not to display or cause to be displayed advertisement carrying information or graphic or other items relating to alcohol and tobacco products, other than as permitted under Applicable Laws. Surrogate advertisements may be permitted only if certificate of approval is submitted by the Authorisee to Company from the Ministry of Information & Broadcasting, Govt. of India for such surrogate advertisements material iv. To provide other information as may be required by RNNTL from time to time v. After the Completion of advertising assignment the bus paint should be restored to the original form if damaged. Pre-Proposal Conference A Pre-Proposal Conference shall be held in order to clarify and discuss any provisions or requirements related to the Project, this RFP document or any other related issue with the interested bidders. All interested parties shall be free to attend the Pre-proposal Conference at the Head Office Building on 16.11.2012 at 3.00 P.M. Advertising firms/ marketing agencies whose Technical Proposals will be eligible shall be considered for evaluation of their Financial Proposal. The Financial Proposal shall be in the form of amount of Authorization Fee that the advertising firms/ marketing agencies propose to pay to RNNTL per month per bus for all routes. The advertising firm/ marketing agency proposing the highest Authorization Fee shall be allotted authorization for rights of advertising on the city buses. Bidder will quote two different Authorization Fee each one for mini bus and big bus, to be paid to RNNTL per month, for 65 mini and 35 big buses. An average of the total offered price per month will be taken as the final Financial Offer by the bidder. The selected advertising firm for a particular city shall enter into an Authorization Agreement with the RNNTL for advertising on the buses under the project. Eligibility Criteria The qualification criteria for the bidders shall be as follows:i. The bidder eligible for participating in the bid process shall be an individual, a partnership firm or Indian Company incorporated under the provisions of Indian Companies Act, 1956 The bidder should be legally competent to enter into contract as per prevailing laws. ii. Minimum three year experience in leasing/ selling/ utilizing advertisement space in relevant media viz. hoardings, banners, vehicles, etc as on the Proposal Due Date iii. The bidder must have a minimum average annual turnover of Rs One Crores for last consecutive three financial years ending 31st March 2012. Contract Period: The contract period will be for one year from the date of signing of agreement and can be Extetended for six months with increase of 20% amount. Earnest Money Deposit/ Bid Security: The Proposal shall be accompanied by a Bid Security of Rs. 60000/-(Sixty Thousand) in the form of Demand Draft/ Banker Cheque in the name on Managing Director, Raipur Nagar Nigam Transport Limited payable at Raipur (C.G.) Proposal Security of unsuccessful bidder(s) shall be returned by RNNTL within a period of thirty (30) days from the date of execution of the Authorization Agreement with the Preferred Bidder. The Proposal Security of the Preferred Bidder shall be returned/ released on receipt of Performance Security from it in accordance with the provision of Authorization Agreement The Proposal Security shall be forfeited by RNNTL, at its sole discretion in the following cases: i. The bidder withdraws its proposal after Proposal Due Date and during Proposal Validity Period, including any period of extension agreed by the bidder. ii. In the case of a Preferred Bidder, if it fails to sign the Authorization Agreement or furnish the required Performance Security to RNNTL within the time specified in the Notice of Award. Performance Security The Preferred Bidder shall furnish Operation Performance Security of Rs. 15 Lacs by way of Bank Guarantee as specified in the annexure at the end of this RFP. Proposal Validity Period The Proposal shall remain valid for a period of 6 months. The Proposal Validity Period of the Preferred Bidder shall be automatically extended till the date on which the Authorization Agreement is signed with the RNNTL. Late Proposals Any Proposal received by RNNTL after the stipulated time on the Proposal Due Date will not be accepted. Project Inspection and City Visit The Bidder, at the Bidder’s own responsibility and risk can visit to examine the city where the Bus Service is Operational and its surroundings and obtain all information that may be necessary for preparing the proposal. The costs of visiting the city and the offered bus routes shall be borne by the Bidder. RNNTL shall not be liable for such costs, regardless of the outcome of the bidding process Proposal Preparation Cost Each Bidder shall be responsible for bearing all the costs and expenses associated with the preparation of its Proposal and its participation in the bidding process. RNNTL shall not be responsible or in any way liable for such costs/ expenses, regardless of the conduct or outcome of the bidding process. Amendment of RFP Document On the basis of the inputs provided by Bidders during Pre-Proposal Conference and any further discussions with any/all bidders, which RNNTL may hold at its own discretion, RNNTL may amend the RFP document. Such amendments shall be intimated in writing by RNNTL which will qualify as an ―Addendum. At any time prior to the Proposal Due Date, RNNTL may, for any reason, whether at its own initiative or in response to clarifications requested by one or more of the bidders, modify the RFP document by way of issuance of an ―Addendum. Bidder‟s Responsibilities The Bidder is expected to examine carefully the contents of all the documents provided. Failure to comply with the requirements of RFP will be at the Bidder’s own risk, and may lead to disqualification of the bid as being non-responsive. It would be deemed that prior to the submission of the Proposal, the Bidder has: i. Made a complete and careful examination of requirements and other information set forth in this RFP document ii. Examined all the relevant information as it has received from RNNTL in respect of the project iii. Made a complete and careful examination to determine the difficulties and matters incidental to the performance of its obligations under the Authorization Agreement, , including but not limited to: a) Passenger volume and forecast b) Technical and financial viability d) All other matters that might affect its performance under the Authorization Agreement Information provided by RNNTL is only for guidance and general information of the Bidder. RNNTL or its advisors, consultants, project developers, etc. do not accept any responsibility or liability for its completeness and correctness, any errors, omissions, inaccuracies or errors of judgment with respect to information or data provided in this RFP document or otherwise. Disqualification: RNNTL may, in its own sole discretion, and at any time during the evaluation process, disqualify any Applicant, if the Applicant has: i. Submitted the Proposal after the response deadline; ii. Made misleading or false representations in the forms, statements and attachments submitted as proof of the eligibility requirements; iii. Exhibited a record of poor performance such as abandoning works, not properly completing the contract, inordinately delaying completion, being involved in litigation, or financial failures, etc.; iv. Submitted a Proposal which is not accompanied by required documentation or is nonresponsive; v. Failed to provide clarifications related thereto, when sought; vi. Submitted more than one proposal. This will cause disqualification of all the Proposals submitted by such Applicant. Force Majeure: Any cause that is beyond the reasonable control of the firm / agency or RNNTL will be force majeure condition .The cause of the force majeure condition will be taken into consideration only if the tendrer within 15 days from the occurrence of such delay notifies. The RNNTL shall verify the facts and grant such extension as the facts justify. For extension due to force majeure conditions, the firm shall submit its representation along with documentary evidence for scrutiny by the RNNTL and decision of the RNNTL in this regard shall be final and binding. Subletting of work: The awarded firm shall not sublet the work at all. if so then the contract will be cancelled immediately and the EMD and security Deposit will be forfeited. Signing of contract and completion of formalities: Successful applicant will be required to sign Contract with the RNNTL on non judicial stamp paper of Rs 100/-.Cost of stamp paper and revenue stamp to be affixed on agreement shall be borne by the applicant. The RNNTL shall not reimburse these costs. Failure of the successful Applicant to sign the contract within seven days of intimation shall constitute sufficient grounds for the annulment of the award, in which event the RNNTL shall blacklist the bidder and forfeit the EMD and make the award to another Applicant or call for fresh bids. Bus Routes The company has so far identified the bus routes (mentioned below under schedule) for 65 mini and 35 big buses running on these routes for letting out advertising spaces. The buses will generally be operational on all days. This operation is under the scheme of JNNRUM and it is under PPP mode of operation. The details of the buses and the bus routes are as provided in the schedule below. The number of buses can be increased at the discretion of RNNTL as part of this contractual arrangement in the event of adding buses to the existing fleet through an appropriate and mutually agreeable amendment/addendum. Owing to the nature of the service, the bus routes are indicative only and are subject to alteration without any notice at the sole discretion of RNNTL. The Guarantor shall, without any protest or demur and merely on a demand by RNNTL, pay to RNNTL sums not exceeding in aggregate Rs. (Rupees only), within five (5) days of receipt of a written demand therefore from RNNTL stating that the Company has failed to meet its performance obligations under the Authorization Agreement. The Guarantor shall have no obligation to go into the veracity of any demand made by RNNTL and shall pay the amounts specified in the demand notwithstanding any direction to the contrary given or any dispute whatsoever raised by the Company or any other Person. 3. In order to give effect to this Guarantee, RNNTL shall be entitled to treat the Guarantor as the principal debtor. The obligations of the Guarantor shall not be affected by any variations in the terms and conditions of the Authorization Agreement or other documents or by the extension of time for performance granted to the Company or postponement/non exercise/ delayed exercise of any of its rights by RNNTL or any indulgence shown by RNNTL to the Company and the Guarantor shall not be relieved from its obligations under this Guarantee on account of any such variation, extension, postponement, non exercise, delayed exercise of any of its rights by RNNTL or any indulgence shown by RNNTL provided nothing contained herein shall enlarge the Guarantor’s obligation hereunder. 4. This Guarantee shall be absolute, unconditional and irrevocable and shall remain in full force and effect until discharged by the Guarantor of all its obligations hereunder. 5. This Guarantee shall not be affected by any change in the constitution or winding up of the Company/the Guarantor or any absorption, merger or amalgamation of the Company/the Guarantor with any other Person. 6. The Guarantor has power to issue this guarantee and discharge the obligations contemplated herein, and the undersigned is duly authorized to execute this Guarantee pursuant to the power granted under . 7. The jurisdiction in relation to this Guarantee shall be the Courts at ………………….. and Indian law shall be applicable. 8. This Guarantee shall be released or discharged only by an express release letter issued by RNNTL. 9. The Guarantor hereby agrees that without the concurrence of the Guarantor, the Parties to the Authorization Agreement shall be at liberty to vary, alter or modify the terms and conditions of the Authorization Agreement and further agrees that its liability under this Guarantee shall in no manner be affected by such variation etc. 10. The Guarantor agrees that time is the essence of this Guarantee. 11. To give effect to this Guarantee, RNNTL may act as though the Guarantor were the principal debtor to RNNTL. RNNTL shall be entitled to proceed to institute proceedings against the Guarantor notwithstanding that no legal proceedings or recovery action is commenced simultaneously or even during the course of recovery proceedings against the Company. The postponement of action against the Company shall be a matter of the sole discretion of RNNTL and the Guarantor expressly agrees to such course of action and waives any objection thereto. The Guarantor accepts that the present guarantee is the prime security to RNNTL and the realizations from the Company’s assets can be postponed by RNNTL till after the recovery of the amounts claimed or demanded from the Guarantor. 12. A certificate in writing signed by a duly authorized official of RNNTL shall be conclusive evidence against the Guarantor of the amount for the time being due to RNNTL from the Company in any action or proceeding brought on this Guarantee against the Guarantor. 13. This Guarantee shall not be wholly or partially satisfied or exhausted by any payments made to or settled with RNNTL by the Company and shall be valid and binding on the Guarantor and operative until repayment in full of all moneys due to RNNTL under the Authorization Agreement. 14. The Guarantor represents and warrants that it has the full authority to make and execute this Guarantee. The Guarantor further represents that all regulatory approvals, permits and authorisations as are necessary for the issuance of this Guarantee have been received and are in full force and effect. 15. The Guarantor represents that there is no litigation or arbitration or other proceedings pending against the Guarantor, which could reasonably be expected to have a material adverse effect or change in the Guarantor’s ability to perform its obligations under this Guarantee 16. Any demand for payment or notice under this Guarantee shall be deemed to be sufficiently given if sent by post to or left at the last known address of the Guarantor or its successors or assigns, as the case may be.
