Florida has a Documentary Stamp tax that is applicable to financing statements which either are made, executed
or delivered in Florida. PLEASE SEE THE Documentary Stamp Section.

2010 IACA Amendments – July 1, 2013 Effective Date
This is an Alternative A – “Only If” State
The Only If alternative requires that the filer provide the name shown on the debtor’s driver’s license.
Any other name would make the financing statement seriously misleading unless otherwise disclosed on a
Section 9-506(c) search.
Florida Statute/Where to File
Sec. 679.5011. Filing office.
(1) Except as otherwise provided in subsection (2), the office in which to file a financing statement to
perfect the security interest or agricultural lien is:
(a) The office of the clerk of the circuit court, if:
1. The collateral is as-extracted collateral or timber to be cut; or
2. The collateral is goods that are or are to become fixtures and the financing statement is filed as a fixture
filing.
(b) The Florida Secured Transaction Registry, in accordance with ss. 679.3011-679.3071, in all other
cases, including cases in which the collateral is goods that are or are to become fixtures and the financing
statement is not filed as a fixture filing.
(2) The office in which to file a financing statement to perfect a security interest in collateral, including fixtures,
of a transmitting utility is the office of the Secretary of State, or the filing office authorized by s. 679.527 to
accept filings for the Florida Secured Transaction Registry. The financing statement also constitutes a fixture
filing as to the collateral indicated in the financing statement which is or is to become fixtures.

Florida UCC Filing Information
Forms:
Sec. 679.521 Uniform form of written financing statement and amendment.
--The Secretary of State shall develop or approve acceptable forms for use in filing under this chapter. Such
forms must be in accord with the requirements of Florida law, including s. 201.22. The secretary may, if he or
she finds that such forms meet these requirements, approve the use of a standard national form for this purpose.
Standard Forms: IACA promulgated National forms (Rev. 7/29/98 and 5/22/03) and the Florida UCC Forms
(Rev. 12/2001)
Effective Period (679.9515): Post-effective-date financing statements -- 5 years; manufactured-home
transaction --- 30 years; A record of mortgage filed as a financing statement is effective until the mortgage is
released, terminated or satisfied; If the debtor is transmitting utility, the financing statement remains effective
until terminated.
Filing Requirements
All team members are expected to know and fully understand all of the form instructions. These form
instructions are considered to be an official part of the form, and every step must be taken to ensure our
customer's filings comply with the form instructions at all times.
Florida Financing Statement Requirement
Pursuant to Section 24, Chapter 2009-72, Laws of Florida, beginning on July 1, 2009, the fee for the
first page of an initial financing statement (UCC1) will be increased from $25.00 to $35.00.
The Basics [679.5021]:

Name and Address of the Debtor

Indicate whether the debtor is an individual or an organization;

If the financing indicates that the debtor is an organization, provide:
1. A type of organization for the debtor

Additional names must be submitted on the National Addendum form for indexing purposes.

Documentary Stamp Tax Notation and Fee. The form must state: "All documentary stamp taxes due
and payable or to become due and payable pursuant to s.201.22 F.S. have been paid." See Florida
Documentary Stamp Tax Section below.
Notes:
Although the form will not be rejected if the documentary tax information is included in the collateral box,
the Florida Secured Transaction Registry recommends that the information be included in the miscellaneous
box on the Addendum page.

General Form Requirements
The Basics:

Must indicate the file number and date of the initial financing statement [679.512]

Name of the authorizing party: secured party or debtor [679.509]

Multiple functions must be submitted on separated forms.
Additional Information [Fla Statute section 679.512]:

Debtor name must appear on the form. The FL STR recommends that the name be placed in Item 6;

Secured party name must appear on the form. If the secured party authorizes this amendment, the SP
name in item 9 will satisfy this requirement. If the amendment is debtor authorized, the secured party
name must appear on the front page of the form. The FL STR recommends that the secured party
name be placed in Item 10 Optional Filer Reference Data. The FL STR recommends that the
secured party name matches the name exactly how it appears on the original filing
(679.512(1)(b))
Notes:
The Florida Secured Transaction Registry system does not consider each secured party's interest separately
as provided by Section 679.9.510(2). If only one secured party of a filing with multiple secured parties has
authorized a filing, this filing will affect all secured parties' interests.
The filing office will also reject subsequent amendments if submitted after certain amendments have been
filed:
1. If any amendment is received after a termination has been submitted, the amendment will be
rejected.
2. If a continuation is received after an earlier continuation has been submitted, the continuation will
be rejected.
This practice contradicts FL law. Many clients may prefer to submit a correction statement to explain the
situation on the public record.

Amendment Requirements
Continuation [679.515(5)]:

Must be filed no sooner than six months before the expiration date of the financing statement.
Amendment:

An amended debtor name will be treated as a new debtor name in the system. Thus, when amending a
debtor name, include the amended debtor name and address and indicate if individual or organization.
If an organization, provide organization type, jurisdiction of organization, and organization
identification number or indication of none. [679.9516(2)(e)]

If adding a debtor name: include new debtor name and address and indicate if individual or
organization. If an organization, provide organization type, jurisdiction of organization, and
organization identification number or indication of none. [679.9516(2)(e)]

If adding/amending a secured party name: provide new secured party name and address. The FL STR
recommends that the debtor name be indicated in Box 10 with an asterisk highlighting the name.

Collateral Amendment: If an amendment adds new collateral, taxes may be due on this additional
collateral. See the Documentary Stamp Tax Section.
Assignment [679.9514]:

An assignment must provide the name of the assignor and the name and mailing address of the
assignee. If a partial assignment, check the appropriate box in box 8 and describe the assigned
collateral.

The assignment must indicate whether it is a full or partial assignment. Full or partial must be clearly
circled on the form. The Florida STR will reject if this information is not provided.

The assignment must identify, by file number, the initial financing statement to which the assignment
relates.
Termination [679.9513]:
Within 20 days after a secured party receives an authenticated demand from a debtor, the secured party shall cause
the secured party of record for a financing statement to send to the debtor a termination statement for the financing
statement or file the termination statement in the filing office if:
(a) Except in the case of a financing statement covering accounts or chattel paper that has been sold or goods that
are the subject of a consignment, there is no obligation secured by the collateral covered by the financing statement
and no commitment to make an advance, incur an obligation, or otherwise give value;
(b) The financing statement covers accounts or chattel paper that has been sold but as to which the account debtor
or other person obligated has discharged its obligation;
(c) The financing statement covers goods that were the subject of a consignment to the debtor but are not in the
debtor's possession; or
(d) The debtor did not authorize the filing of the initial financing statement.
Florida Fixture and Real Property Filing Requirements:

Financing Statement [679.5021]:


Collateral Description

Addendum page must be attached and all fields related to fixture/real property filings must be
completed:
1. Indication of whether the financing statement covers timber to be cut, as extracted collateral or
fixtures.
2. Description of the real estate
3. If the debtor does not have an interest of record in the real property, provide the name of a
record owner.
Additional FS Information [679.9516(2)(e)]:

Indicate whether the debtor is an individual or an organization;

If the financing indicates that the debtor is an organization, provide:
1. A type of organization for the debtor
2. A jurisdiction of organization for the debtor; and
3. An organizational identification number for the debtor or indicate that the debtor has none

Documentary Stamp Tax Notation and Fee. The form must state: "All documentary stamp taxes due
and payable or to become due and payable pursuant to s.201.22 F.S. have been paid." See Florida

Amendment Statement [679.512]:

File number and date of the initial financing statement

Name of the authorizing party: secured party or debtor [679.509]

Multiple functions must be submitted on separated forms.

A cover page must be submitted with the filing stating "This is intended as a fixture filing and is to be
recorded in the real estate records."

Check box (Item 1b) indicating that the amendment is to be filed in the Real Estate Records

Include the book and page number in Item 1a

Include the name of the debtor in Item 6

If the amendment is debtor authorized, the secured party name must appear on the front page of the
form. The name can be added to Item 10 Optional Filer Reference Data.
Florida Documentary Stamp Tax [FSA. § 201.22]
Florida has a documentary stamp tax levied on documents as provided under Chapter 201, Florida Statutes. The
Documentary Stamp Tax must be paid concerning all security agreements that are either made, executed or
delivered in Florida.
Instruments:

Documentary stamp tax is due on mortgages, liens, security agreements or other evidence of
indebtedness filed or recorded in Florida.
Tax Rate [F.S.A. § 201.08(b)]:

The tax rate is $.35 per $100 (or portion thereof) and is based on the amount of the indebtedness or
obligation secured, even if the indebtedness is contingent.

When a mortgage, lien, or other evidence of indebtedness is given to secure a previously unsecured
indebtedness or obligation upon which the maximum tax of $2,450 was paid, tax is due on the full
amount of the indebtedness or obligation secured, minus the $2,450 already paid.
UCC Filings [F.S.A. § 201.22]:

Florida document tax laws require that a tax be paid on UCC filings. The clerk or filing officer shall
not accept any UCC financing statement unless it contains a notation that the taxes required by
chapter 201 has been paid.

The following notation or similar language, along with the amount of tax and the certificate of
registration number (if applicable), is required to be made on each document requiring tax under this
procedure: "All documentary stamp taxes due and payable or to become due and payable pursuant to
s.201.22 F.S. have been paid." It is recommended that we use the collateral box.

Although the financing statement will not be rejected if the documentary tax information is included
in the collateral box, the Florida Secured Transaction Registry recommends that the information be
included in the miscellaneous box on the Addendum page.

If collateral amendment is submitted that adds collateral to a financing statement upon which tax was
paid, tax shall be paid on the amendment in the amount of the added collateral or indebtedness.

If the filing is exempt from the tax requirement, the language similar to the following should be
included on the form: The documentary stamp tax is not required.

The filer will be subject to the penalties provided by Chapter 201 if the tax is not paid.
Methods of Paying the Tax [F.A.C. 12B-4.001]:
Filings Made with the Secretary of State (unrecorded filings):
Payment is made directly to the Department of Revenue as follows (FL Admin Code 12B-4.001(2)):

Tax Payers with 5 Or More Transactions Per Month
1. Tax payers with 5 or more transactions per month must register with the Dept. of Revenue and
remit taxes due directly to the department. Forms and Registration can be completed on-line:

2. Registered taxpayers should use their personalized Documentary Stamp Tax Return for
Registered Taxpayers' Unrecorded Documents (Form DR-225) to remit tax. The tax shall be
remitted on the DR-225 form on a monthly, quarterly, semi-annual, or annual basis, depending on
the amount of tax due.

Tax Payers With Fewer Than 5 Transactions Per Month
1. Tax payers with less than 5 transactions per month are required to remit and report the
Documentary Stamp Tax due directly to the Department no later than the 20th day of the month
following the month in which the tax is due.
2. Nonregistered persons should use Form DR-228, Documentary Stamp Tax Return for
Nonregistered Taxpayers' Unrecorded Documents, to remit tax.
3. Such tax payers have the option of registering with the Department and filing monthly, quarterly,
or semi-annually depending on the amount of tax due. However, once the reporting frequency is
assigned, the form must be filed regardless of whether any tax is due.
Filings Made with the Clerk of the Circuit Court (recorded filings) (FL Admin Code 12B-4.001(1)(a)):

Pay the Clerk of Circuit Court directly at the time of recordation. An additional check must be sent to
the Clerk of the Circuit Court and that officer will indicate payment for the Documentary Stamp Tax.
You must submit the security agreement to be filed along with the check. The calculations for the
taxes due should be made by the filing party based on the amount of indebtedness.

CT Policy Concerning Prepayment of the Documentary Stamp Tax

The following notation or similar language, along with the amount of tax and the certificate of
registration number (if applicable), is required to be made on each document requiring tax under this
procedure: "All documentary stamp taxes due and payable or to become due and payable pursuant to
s.201.22 F.S. have been paid." It is recommended that we use the collateral box. Please consult
Documentary stamp section above.

In no event should the tax be prepaid for any customer without advising the customer of the tax owed,
and obtaining customer approval for payment of the tax. When obtained, a note indicating customer
approval should be made in the concerned file.

The procedures for prepayment of the Documentary Stamp Tax can vary if there is a long-standing
relationship with a particular customer for whom we have prepaid the tax in the past. Any variations
must be reviewed and approved by a team leader.

Unless you have an approved and established method for dealing with prepayment of the
Documentary Stamp Tax for a particular customer, the following procedures should be followed:

After a CT representative has calculated the tax, it is necessary to contact the concerned customer and
explain how the tax owed has been calculated. The customer should also calculate the tax to ensure
that they arrive at the same figure.
1. If the tax due is less than $500, the customer should be offered the option of having CT prepay the
tax as part of the filing.
2. If the tax due exceeds $500, the customer must prepay the tax.
Florida Transition Provisions
Florida Search Procedures
Searches are conducted at the privatized Florida Secured Transactions Registry (STR).
FL STR Search Procedures:

Open Drawer System [679.9519(3)]. The filing office maintains all records associated with a debtor
name or document number. This includes all lapsed, terminated and active filings.

The on-line search module contains both former Article 9 and current Article 9 documents. Images
are only available for those UCC filings filed after January 1997. In order to view images of those
documents filed before January 1997, a copy request should be submitted in writing to the Florida
Secured Transaction Registry.

Filings will continue to be listed for one year after lapse [679.922(1)]. The on-line UCC Search will
provide lapsed statements if the search type that includes the word inactive is selected.

The on-line UCC Search will provide the document number, secured party and debtor name and
address; file number, expiration date and filing history for any financing statement listed in the search
results.
FL STR Search Logic:
While the requirements for filing a UCC filing are quite precise, the rules for searching UCC records are not as
strict. When searching UCC records, the most important factor is the particular "search logic" of the UCC
database used in the particular state in question. It is the responsibility of the correspondent/fulfillment office to
understand the search logic of a particular jurisdiction and search accordingly.
Florida has not adopted the Model Administrative Rules. Currently, the FL STR on-line UCC Search Logic is
as follows:
Search by Document Number:
The exact file number must be provided. The system will only provide matches to a valid number
Search by Debtor Name:
The system will provide a list of UCC filings beginning with the name that is closest to the key entered.
The type of search selected will dictate the results provided:
Filed - All documents on record including terminated and lapsed filings plus one year filings.
Lapsed - All lapsed filings.
Actual - The exact name typed will be used to find names that are closest to the name entered. The
search results will be grouped together in the same manner as the phone directory. Corporate names
beginning with the same word will follow the individual names.
The name must be keyed with exact spelling of the debtor name as entered on the original UCC1 filing.
Actual name inquiries for individuals are made by typing the last name followed by the first name with
nothing between the names. Actual corporate inquiries are made by typing the company name exactly as
it appears on the filing.
Compact - All spaces, the common words (a, and, the), punctuation marks and accents, corporate
endings and abbreviations in the debtor name will be disregarded. All variations of names that are alike
and match the compact name will be grouped together.
Notes:

The "exact legal name" standard only applies to UCC liens that were filed after the effective date. All
pre-effective-date filings and other lien types should search DBA, FKA, tradenames, etc.
UCC DEBTOR Name Compaction and Search Rules
Prepared by the Florida Department of State
All UCC data is entered and stored on the database in upper case. No lower
case data is allowed.
Name Compaction Debtor names may be entered as personal names in
first, middle, last name, and title format or as corporate names in one
continuous string. Debtor names are stored in two separate data fields in the
debtor database record. One field contains the debtor name as it was keyed
into the database, and the other field contains the compacted debtor name
that is indexed and utilized for search purposes. The following is a description
of the rules for compacting the debtor names for the debtor name index.
Personal Name Compaction
1. The compacted personal debtor name will contain in order the last, first,
and middle name. Title is excluded from the compacted name.
2. All punctuation is converted to spaces.
3. All spaces between the names are removed. Spaces will appear only at the
end of the compacted name.
Example: Debtor name is entered as follows:
• First Name: GEORGE
• Middle Name: W.
• Last Name: BROWN
Compact name will appear in the record as “BROWNGEORGEW”. The current
database defines the compact name field as 30 characters; therefore, this
example would contain spaces after the “W” up to 30 characters.
Corporate Name Compaction
1. All punctuation is converted to spaces.
2. If after the action in rule 1, a word is created which would be altered or
removed by rules 3 or 4, the space which replaced the punctuation will be
removed.
3. The words “CO”, “CORP”, “INC”, “and “LTD” are changed to “COMPANY”,
“CORPORATION”, “INCORPORATED”, and “LIMITED” respectively.
4. If the last word in the name is one listed in #3 above, the last word is
removed.
5. The words “AN”, “AND”, “OF”, and “THE” are removed.
6. If rules #4 and #5 would remove all characters from a name, then only the
words “AN”, “AND”, “OF”, and “THE” will be removed.
7. If rule #6 would remove all characters from a name, the original name is
used.
8. All spaces between the remaining words are removed. Spaces will appear
only at the end of the compacted name.
Example: Debtor name is entered as follows:
• Corporate Name: THE D-B X-RAY COMPANY
Compact name will appear in the record as “DBXRAY”
Search Rules Name List Search
Debtor names are entered for search in the following manner:
• Personal names are entered by last name, followed by a space, first name,
followed by a space, then middle name.
• Corporate names are entered as they are spelled.
• The entire name does not have to be entered. The user may enter as little
of the key field as desired.
The name list search program will compact the name entered according to
the rules stated above. The program will then provide a list of names (with
additional information) beginning with the name whose compact key is equal
to or greater than the compacted version of the search name entered. A list

of names (currently 20) is displayed for the user to select to see the detail
record.
The user may select to move forward or backward in the name list in compact
name order. If this option is chosen, the screen will display the next or prior
list of names in compact order. 3
The last name (if next list is selected) or first name (if previous list is
selected) from the previous list must not be displayed again on the new
list screen. The user may select to view the detail record for a name listed
on the screen. If the user views a detail record from the name list, the user
has the option on the detail record display screen to move to the next or
prior detail record in name list order (as prescribed by the name list
screen). The user may move forward or backward in this manner until the
beginning or end of the database is reached. The user may select to return
to the name list screen after navigating the detail record screen in name
list order. The user must be returned to the original name list from which
the detail record display was initiated. The use of the browser “BACK”
button for this purpose is not allowed.
Department of State Judgment Lien and Federal Tax Lien Searches
The Florida Department of State allows searches of the Judgment Lien Index and Federal Tax Lien Index to be
completed on-line: http://www.sunbiz.org/corpweb/inquiry/search.html
Federal Tax Lien On-Line Inquiry
 The FTL Search allows searches by the document number and debtor name. The system will provide
exact matches to the document number. Inquiry by debtor name will result in a list of filings beginning
with the name that is closest to the key entered.

For each filing listed in the search results, the following information will be available: Filing Date,
Status, Name and Address of the Debtor and Secured Parties, Assessment Date, Document Number and
Filing History.

Images are available on-line only for those documents filed since January 1997.
Judgment Lien On-Line Inquiry
 These searches are not processed by the Corporations Division and must be completed on-line (s.
55.209(2)).

The database only contains personal property liens filed centrally in the JL index beginning October 1,
2001. Images are available for all documents.

The JL Search allows searches by the document number and debtor name. The system will provide
exact matches to the document number. Inquiry by debtor name will result in a list of filings beginning
with the name that is closest to the key entered.

For each filing listed in the search results, the following information will be available: Document
Number, Case Number, Name of Court, File Date, Date of Entry, Expiration Date, Amount Due,

1. Generally, state tax liens are effective until paid or discharged. Certain tax liens are treated as judgments and
will have the same effective period as a judgment lien.
2. Before October 1, 2001, judgment liens on personal property were filed with Clerk of the Circuit Court.
House Bill 601, passed during the 2001 legislative session, amended this law and required judgment liens on
personal property to be filed at the Department of State beginning October 1, 2001. The bill also requires
judgment liens filed locally before October 1, 2001 to be re-filed by October 1, 2003 at the Department of State
in order to maintain its effectiveness. Searches should be completed in both offices until October 1, 2003.

1. Searches from 1997 to the present can be completed on-line at the Florida Secured Transaction Registry website.
A search of documents filed before 1997 should be submitted in writing to the Florida Secured Transaction Registry.
The cost for printing documents is $1.50 per page.
2. The filing fees are considered processing fees and will not be returned if the document is rejected. If a copy of
the rejection letter is returned with the corrected filing, credit will be given for the fee previously paid.
3. Pursuant to Section 24, Chapter 2009-72, Laws of Florida, beginning on July 1, 2009, the fee for
the first page of an initial financing statement (UCC1) will be increased from $25.00 to $35.00.
