Appointment

appoints Blue Water Real Estate Limited a licensed real estate agent, REAA 2008
[“the Agent”] as the Client’s real estate agent for the sale of the property
described in the following Property Description [“the Property”] and pursuant
to this appointment the Agent is authorised to market the Property, conduct
negotiations and to prepare any Sale and Purchase Agreements, and do all
other things as may be necessary or required to give effect to a sale of the Property
and such work may be conducted by the Agent or through an authorised person
of the Agent and such parties may be referred to herein as Licensees.

4.1.12 made aware that in the event that no evidence or expert advice is provided
in support of such confirmation as referred to in clause 5.1.11 then, the Agent is
required by law to ensure that all prospective buyers are informed of any significant
potential risk associated with such suspected or hidden defects;
4.1.13given a copy of this agreement immediately after signing it;
4.1.14 acknowledges that Ray White has “For Sale” and “Sold By” sign rights and
intellectual internet publishing rights;

5.1 Agency
2.1
General Agency:
The Client appoints the Agent as general agent for the sale of the Property.
2.2
Commencement
The agency shall commence on ................. day of ................................................... 20.........
This agency will continue until cancelled by the client/s by notice in writing to the
Agent and will become effective seven days after delivery and receipt of the notice of
cancellation.
2.2.1 If during the period hereof the Property or part of it is sold by the Agent or the Client or any
other person or if at any time the Property or part of it is sold to anyone introduced by or
through the instrumentality of the Agent or to anyone introduced through the agency
of the Agent, the Client agrees to pay to the Agent the commission set out below
whether such sale is on the terms set out herein, or on any other terms acceptable
to the Client. If an exchange of the Property or part of it is effected by or through the
instrumentality of the Agent or with any person introduced through the agency of the
Agent, the Client agrees to pay the Agent a commission upon a sale notwithstanding
that the agent may be entitled to a commission from the other party to the exchange.

Commission and Expenses
Freehold Property
i) 3.95% of the first $350,000 of the sale price;
ii) plus 2% of the balance of the sale price;

iv) In addition to the commission, the Client authorises the Agent to spend up to

Property as agreed in the attached Marketing Plan (Schedule B) and the Client
agrees to reimburse the Agent for such expenses upon demand. The Client
acknowledges that it is not obliged to agree to these or any other additional expenses
but has agreed to reimburse the Agent as stated in this clause.
v) The Agent hereby warrants that it will not receive any additional individual benefits if
the auction or tender process is chosen.

You, as the Client, acknowledge that prior to signing this agreement have been:
recommended to seek legal advice;
recommended that you can, and may need to, seek technical or other advice and
information;
4.1.3 given a reasonable opportunity to obtain the advice referred to in 5.1.1 and 5.1.2 above;
4.1.4 given a copy of the approved guide relating to agency agreements published by the
Real Estate Agents Authority (residential only);
4.1.5 given a copy of the approved guide relating to sale and purchase agreements
published by the Real Estate Agents Authority (residential only). Further information on
agency agreements and contractual documents is available from the Real Estate Agents
Authority (www.reaa.govt.nz);
4.1.6 made aware of the Agent’s in-house complaints and dispute resolution procedures and
how a copy of this can be obtained;
4.1.7 informed that you may access the Real Estate Agents Authority’s complaints process
(www.reaa.govt.nz) without first using the in-house procedures and that any use of
the in-house procedures does not preclude your making a complaint to the Real
Estate Agents Authority;
4.1.8 advised and have had an explanation of the circumstances in which the Client
could be liable to full commission to more than one agent in the event a transaction is
concluded;
4.1.9 advised when this agreement comes to an end;
4.1.10 made aware of the possible methods of sales and how your chosen method could
impact on the individual benefits that the Licensees may receive;
4.1.11 made aware that where the Agent or Licensees believe that in their opinion the
Property may be subject to hidden or underlying defects and the Client confirms
that there are no such defects, the Client is to provide evidence or expert advice
confirming the same;

5.8 5.9 General
The person signing this form on behalf of the Client confirms that if not the sole
owner of the Property, he or she has the authority of all owners to sign this
agreement on their behalf.
The Client warrants and certifies that the information contained in the Property
Description Sheet is correct in all respects, not misleading by omission and that the
property is not subject to any:
defects; hazards; or requisitions or notices from any council or other territorial local
authority, other than those disclosed in the Property Description Sheet. The Client
(and if more than one, jointly and severally) indemnifies the Agent, the Licensees
and any of its employees, agents or contractors against losses, damages,
claims or other liability arising from the use of that information should that Property
Description Sheet be incorrect or misleading.
The Client consents to the Agent providing the purchaser or potential purchaser of
the Property with information that the Agent or the Licensees become aware of at any
time during the term of the agency;
relating to any actual, or in the Agent’s opinion likely, defects, hazards, requisitions
or notices from any council or other territorial local authority relating to the Property,
including those defects hazards or requisitions disclosed in the Property
Description Sheet; or
that should by law or in fairness (in the Agent’s and/or Licensees’ opinion) be
provided.
If at any time during the term of the agency:
the Client directs that the Agent or the Licensees not disclose any defect, contrary to
the terms of this agreement; or
the Client refuses or is unable to provide evidence or expert advice that the Property
is not subject to defects contrary to clause 5.1.11 and directs the Agent or the
Licensees not to disclose any suspected or hidden defect; or
the Agent or Licensees have reasonable grounds to believe that the Client may
have failed to disclose to the Agent a defect known to the Client, the Agent may
cancel this agreement by written notice.
The Client agrees to the details of any agreement for the sale and purchase of
the Property being passed to the Real Estate Institute of New Zealand, upon
such agreement becoming unconditional, for the purposes of collecting and
compiling sale statistics.
Other than in accordance with any auction authority given in clause 3, the Agent is
not authorised to sign an agreement for the sale of the property on behalf of the
Client.
Any photographs or display material may be obtained, displayed or used for
promotional purposes by the Agent as necessary and be subsequently used by the
Agent for promotional purposes for a reasonable period unless otherwise instructed.
The termination or cancellation of this agreement for any reason is without prejudice
to any other rights, powers, authorities or remedies which the Agent may have
including the right to commission and reimbursement of the agreed marketing costs.
The client acknowledges that they may be contacted by Ray White Concierge or
partner business.

6.0 Deposit
6.1 The Client agrees:
6.1.1 The Agent is entitled to receive a deposit on the Client’s behalf.
6.1.2 The Agent is entitled to deduct its commission and expenses from the deposit
upon the Agreement for Sale and Purchase becoming unconditional.
6.1.3 If the deposit is not received by the Agent, the Client will pay the Agent the
commission and expenses as set out in an invoice submitted to the Client.
7.0 7.1 7.2 Confidentiality
The parties shall not disclose or permit to be disclosed to any third party any
information contained in this agreement that is not already in the public domain,
other than in accordance with this agreement.
The Client acknowledges that disclosure of the Clients’ confidential personal information
is permitted if the disclosure is consistent with the Information Privacy Principles in
Section 6 of the Privacy Act 1993.
8.0 Notices
8.1 This agreement and any other notices under it may be served or given by hand,
fax or email. If there is more than one set of contact details for the Client, then this
agreement and any notices may be sent to any of them and notice to any person or
entity that is listed as Client shall be notice to all of them. Notices to the Client may
also be sent to the Client’s solicitor unless otherwise instructed.
8.2 This agreement and notices under it shall be deemed to have been delivered:
8.2.1 when handed over in person, or
8.2.2 if sent by fax, when transmitted from the sender’s machine, or
8.2.3 if sent by email, in accordance with the default rules in the Electronic Transactions
Act 2002.
