INTENT
The County intends to award a three (3) year contract with two (2) single year options to
renew to the three (3) bidders selected as the lowest responsible bidders whose responses
meet the County’s requirements. It is the County’s intent to increase participation of
certified small, local and emerging businesses (SLEB). In order to participate herein, a
business must satisfy the locality requirements and be certified by the County as a
small local or emerging local business by the RFQ Response Due date (see RFQ,
Section H – Calendar of Events). The County intends to open the contract annually to
allow the inclusion of newly qualified and certified SLEB cartridge vendors.

At the conclusion of the bid process, the County will provide its departments/agencies a
list of the three (3) contracted toner and ink cartridge SLEB vendors.
Department/agencies will contact vendors directly to place orders for their individual
cartridge needs based on the Bid Forms (Exhibit B) and Rate Sheets (Exhibit B-1)
submitted in response to this RFQ and the individual vendor’s reliability, product quality,
and professionalism. County departments/agencies are not required to use contracted
vendors if a lower priced option is available and all other County procurement
requirements are met.

exercised in packing, handling and shipping to ensure that the ordered

A10) Yes, bidder must provide next business day desktop delivery of stock items and
delivery within 10 days for non-stock items after an order is submitted.
Q11) Can the winning bidder use UPS or FedEx to deliver the toner and ink cartridges?
A11) Yes, the winning bidder(s) may use an outside courier service to deliver cartridges to
County departments. However, no additional charges shall be invoiced to the County if
a contractor chooses to use an independent courier.

vendors more time for delivery?

Q15) Does the County require the winning bidder to supply Hewlett Packard (HP) OEM products
only?
A15) No, once awarded the winning bidder will be allowed to supply cartridges
manufactured by companies other than HP. However, bidders must submit prices for
the listed manufactured products on Exhibit B (Bid Form-Revised). A revised Exhibit
B is attached to this Addendum.
For bid comparison purposes, the County will only accept pricing for the specified
OEM cartridges listed on Exhibit B (Bid Form – Revised).
Q16) Can the winning bidder(s) supply the County with an OEM toner or ink cartridge that is a
different brand than Hewlett Packard (HP)?
A16) Yes, during any contract term that may result from this competitive bid process the
winning bidder(s) may offer County departments OEM toner and ink cartridges
manufactured by companies other than HP.
However, the bid cost evaluation will be based on the prices submitted for the specified
OEM cartridges listed on Exhibit B (Bid Form - Revised) only.
Q17) Can the County please define what OEM means?
A17) OEM stands for “Original Equipment Manufacturer”.
The County has revised the Exhibit B (Bid Form) requirements (see below). For bid
comparison purposes, Bidders are required to submit prices on the listed OEM
cartridges only. The County will no longer accept bids on alternative or compatible
cartridges.

Bidder shall be regularly and continuously engaged in the business of providing
toner & ink cartridges for at least the last three (3) consecutive years.
If a company has two (2) years experience providing toner and ink cartridges, will that
vendor meet the County’s minimum requirements?
A21) Not at this time. However, the County intends to open the contract annually to allow
the inclusion of newly qualified and certified SLEB cartridge vendors so a bidder who
currently has two years of experience may qualify for the next RFQ process.
Q22) How can a new SLEB with less than three (3) years of experience meet the minimum vendor
qualifications?
A22) The RFQ requires that bidders have three (3) or more years of experience providing
toner and ink cartridges. Business with less than three years of experience submitting a
proposal as a prime bidder would not meet this requirement and, therefore, would not
be considered for award at this time.

Q23) How is the SLEB program helping new emerging businesses that have not been operating for
the three-year minimum?
A23) The County is interested in promoting the SLEB program. However, the County is
also interested in contracting with SLEB businesses with a proven track record of
providing the goods specified in this RFQ.
The SLEB program encourages and provides an opportunity for subcontracting on
contracts. When newer or smaller firms are not able to meet the specifications of a
listed contract, subcontracting can be a viable alternative to bidding as a prime.
Subcontracting can promote growth, opportunity and inclusion in the County’s
contracting opportunities.
Q24) Can vendors who are not awarded this contract solicit departments for business?
A24) County departments/agencies will be directed to the use of County-wide contracts to fill
their ink and toner needs.
Q25) If a vendor is not awarded this contract and that vendor would still like to solicit business
from County departments, then how would the vendor introduce their business to the
departments?
A25) County departments/agencies will be directed to the use of County-wide contracts to fill
their ink and toner needs.
Q26) Can a vendor partner with a non-SLEB for this RFQ?

A29) Bidders can request a copy of the County’s Procurement Policy and Procedures

Q30) If there is no formal bid process required for items under $25,000, then what is the purpose
of conducting a formal bid for the cartridges?
A30) The County Procurement Policy and Procedures state that a formal bid process must
be conducted if the contracted not-to-exceed amount is estimated at $100,000 or more.
The annual contract value for the purchase of cartridges is estimated at $100,000 or
more over the three (3) year contract term. As a result, the County is required to
conduct a formal bid.
Q31) Is the County departing away from the normal way of business by awarding this contract to a
pool of vendors?
A31) No.
Q32) What does the County mean by former reference in Exhibit D-2?
A32) Former references are customers that bidders may no longer work with but the
reference can provide verifiable evidence that the bidder meets the Vendor Minimum
Qualification of being regularly and continuously engaged in the business of providing
cartridges for at least the last three (3) consecutive years.
Q33) What should a bidder do if it does not have any former references?
A33) If a bidder does not have any former references, then it should submit six (6) current
references and request an exception on Exhibit I (Exceptions, Clarifications,
Amendments). Please note, the County is under no obligation to accept any exceptions
and such exception may be a basis for bid disqualification.
Q34) On what basis will the County award three (3) contracts for this RFQ?
A34) The county intends to award contracts to the three (3) bidders selected as the lowest
responsible bidders whose responses meet the County’s requirements.
Q35) Page 10, Section D (DELIVERABLES/REPORTS) - The second paragraph states:

Can the County please explain how the process of adding new products to rate sheets works?
A35) Contractors will be asked to submit revised Rate Sheets (Exhibit B-1) to the County
throughout the contract term. The County will distribute the revised Rate Sheets to
departments.
Q36) Will the lowest of the three (3) winning bidders get any preference when County Agencies
order toner or ink cartridges?
A36) No. The three winning bidders will all be certified SLEB vendors and will have an
equal opportunity to benefit from contracting with the County. There will be no
preference points given.

County agencies will be made aware of contract pricing and will make their own
decisions as to what pricing, quality, and service combination best meets their needs.
Q37) Why wouldn’t the lowest priced vendor get preference?
A37) On December 19, 2006, the Alameda County Board of Supervisors approved a
resolution to support competitive bidding among only Alameda County certified small
and emerging businesses where a sufficient ready, willing, and able pool of vendors has
been established per section 4.12.070 of the County Administrative Code.
By reason of this resolution, this RFQ has been made available to SLEB vendors only.
All three winning bidders will have an equal opportunity to benefit from contracting
with the County. The lowest priced vendor will not receive any additional preference.
The prices bid by all three (3) lowest priced, responsible vendors will be distributed to
County departments, and County departments will decide which vendor(s) they would
like to work with.
Q38) Does the County have any current contracts that are awarded to a pool of vendors?
A38) Yes. The following is a sample of the current contracts awarded to a pool of vendors:

A39) Yes, all of the County’s bid openings are open to the public.
Q40) What time does the bid opening occur?
A40) The bid opening is at 2:00 p.m. on the RFQ response due date.
Q41) Do bidders have to deliver bids in person?
A41) No. However, it is the bidder’s sole responsibility to ensure its bid is delivered before
2:00 p.m. on the RFQ response due date.
Q42) What is the ratio of OEM to Remanufactured toner and ink cartridge use within Alameda
County?
A42) Approximately eight percent (8%) of cartridges purchased by the County in calendar
year 2011 were remanufactured.
Q43) Does the County have a managed print service plan?
A43) No.

A45) The County has a separate contract for copy machines and multifunctional devices.
Q46) Do bidders have to give a price on high yield cartridges?
A46) Bidders are required to submit prices for the items listed on Exhibit B (Bid FormRevised).
Bidders should include prices for any high yield cartridges available for purchase from
its firm on the revised Exhibit B-1 (Rate Sheet) that is attached to this Addendum.
Q47) Page 20, Section Q (PRICING) - Item 5 states:

Does the price quoted by bidders need to include taxes?
A47) The submitted unit costs should include delivery, all taxes and all other charges, but
should not include sales/use tax.

A48) No. Bidders must submit the Bid Form (Exhibit B – Revised) below as is. Any
alterations to the Bid Form (Exhibit B) may result in disqualification.
Q49) Can bidders submit prices for compatible cartridges on Exhibit B?
A49) No. A revised Bid Form (Exhibit B) is included in this Addendum (see below). Bidders
must submit prices for the OEM cartridges listed only.

compatibles while others are submitting pricing for Hewlett Packard products?
A51) The County has revised its Bid Form (Exhibit B) to only allow pricing for the listed
OEM cartridges.

Q52) Can the County give an example of a compatible cartridge that is procured by the County?
A52) An example of a compatible cartridge would be a cartridge that could be used in an HP
printer but was manufactured by a company other than HP.
Q53) Can the County please give a clear definition on what a compatible toner or ink cartridge is?
A53) A compatible toner or ink cartridges are made by a third party manufacturer. The
County will only accept bids on the OEM cartridges listed on the Bid Form (Exhibit B
– Revised) attached to this Addendum.
Q54) Will Xerox, Lexmark, Innovera, Nu-jet, Canon, Dell, data products, media sciences brands
offering HP compatibles qualify as compatible products for this bid?
A54) Yes. Prices for compatible cartridges should be included on the revised Rate Sheet
(Exhibit B-1) that is attached to this Addendum. Rate Sheet prices are for
informational purposes only and will not be included in the evaluation of Cost.

A57) Without addressing the specifics of state law and the application of specific statutes to
the RFQ process, the County does not expect bidders to quote prices below cost. The
County does not ask for or receive information on the bidder cost of product or
overhead or why a bidder is submitting a price quotation. If it is clear from a price
quotation that a bidder submitted prices below cost, then the County would question
whether that bidder is a qualified candidate for a contract and whether that bidder
could realistically meet the County’s requirements.

The County of Alameda is soliciting bids from qualified vendors to furnish its requirements per the specifications, terms and conditions contained in the
above referenced RFQ number. This Bid Acknowledgement must be completed, signed by a responsible officer or employee, dated and submitted with the
bid response. Obligations assumed by such signature must be fulfilled.
1. Preparation of bids: (a) All prices and notations must be printed in ink or typewritten. No erasures permitted. Errors may be crossed out and
corrections printed in ink or typewritten adjacent and must be initialed in ink by person signing bid. (b) Quote price as specified in RFQ. No
alterations or changes or any kind shall be permitted to Exhibit B, Bid Form. Responses that do not comply shall be subject to rejection in total.
2. Failure to bid: If you are not submitting a bid but want to remain on the mailing list and receive future bids, complete, sign and return this Bid
Acknowledgement and state the reason you are not bidding.
3. Taxes and freight charges: (a) Unless otherwise required and specified in the RFQ, the prices quoted herein do not include Sales, Use or other
taxes. (b) No charge for delivery, drayage, express, parcel post packing, cartage, insurance, license fees, permits, costs of bonds, or for any
other purpose, except taxes legally payable by County, will be paid by the County unless expressly included and itemized in the bid. (c)
Amount paid for transportation of property to the County of Alameda is exempt from Federal Transportation Tax. An exemption certificate is
not required where the shipping papers show the consignee as Alameda County, as such papers may be accepted by the carrier as proof of the
exempt character of the shipment. (d) Articles sold to the County of Alameda are exempt from certain Federal excise taxes. The County will
furnish an exemption certificate.
4. Award: (a) Unless otherwise specified by the bidder or the RFQ gives notice of an all-or-none award, the County may accept any item or
group of items of any bid. (b) Bids are subject to acceptance at any time within one hundred eighty (180) days of opening, unless otherwise
specified in the RFQ. (c) A valid, written purchase order mailed, or otherwise furnished, to the successful bidder within the time for acceptance
specified results in a binding contract without further action by either party. The contract shall be interpreted, construed and given effect in all
respects according to the laws of the State of California.
5. Patent indemnity: Vendors who do business with the County shall hold the County of Alameda, its officers, agents and employees, harmless
from liability of an nature or kind, including cost and expenses, for infringement or use of any patent, copyright or other proprietary right, secret
process, patented or unpatented invention, article or appliance furnished or used in connection with the contract or purchase order.
6. Samples: Samples of items, when required, shall be furnished free of expense to the County and if not destroyed by test may upon request
(made when the sample is furnished), be returned at the bidder’s expense.
7. Rights and remedies of County for default: (a) In the event any item furnished by vendor in the performance of the contract or purchase
order should fail to conform to the specifications therefore or to the sample submitted by vendor with its bid, the County may reject the same,
and it shall thereupon become the duty of vendor to reclaim and remove the same forthwith, without expense to the County, and immediately to
replace all such rejected items with others conforming to such specifications or samples; provided that should vendor fail, neglect or refuse so to
do the County shall thereupon have the right purchase in the open market, in lieu thereof, a corresponding quantity of any such items and to
deduct from any moneys due or that may there after come due to vendor the difference between the prices named in the contract or purchase
order and the actual cost thereof to the County. In the event that vendor fails to make prompt delivery as specified for any item, the same
conditions as to the rights of the County to purchase in the open market and to reimbursement set forth above shall apply, except when delivery
is delayed by fire, strike, freight embargo, or Act of God or the government. (b)Cost of inspection or deliveries or offers for delivery, which do
not meet specifications, will be borne by the vendor. (c) The rights and remedies of the County provided above shall not be exclusive and are
in addition to any other rights and remedies provided by law or under the contract.
8. Discounts: (a) Terms of less than ten (10) days for cash discount will considered as net. (b) In connection with any discount offered, time will
be computed from date of complete, satisfactory delivery of the supplies, equipment or services specified in the RFQ, or from date correct
invoices are received by the County at the billing address specified, if the latter date is later than the date of delivery. Payment is deemed to be
made, for the purpose of earning the discount, on the date of mailing the County warrant check.
9. California Government Code Section 4552: In submitting a bid to a public purchasing body, the bidder offers and agrees that if the bid is
accepted, it will assign to the purchasing body all rights, title, and interest in and to all causes of action it may have under Section 4 of the
Clayton Act (15 U.S.C. Sec. 15) or under the Cartwright Act (Chapter 2, commencing with Section 16700, of Part 2 of Division 7 of the
Business and Professions Code), arising from purchases of goods, materials, or services by the bidder for sale to the purchasing body pursuant to
the bid. Such assignment shall be made and become effective at the time the purchasing body tenders final payment to the bidder.
10. No guarantee or warranty: The County of Alameda makes no guarantee or warranty as to the condition, completeness or safety of any
material or equipment that may be traded in on this order.

Cost shall be submitted on Exhibit B as is. Alterations or changes of any kind are strictly prohibited. Bid responses that do not comply will be subject to rejection in total. The Unit Costs
quoted below shall include delivery, all taxes and all other charges, but shall not include sales/use tax, and is the Unit Cost the County will pay for the three (3) year term of any contract that is
a result of this bid.
Below please find a list of the toner and ink cartridges most frequently purchased by the County in the 2011 calendar year. Bidders must enter the individual Unit Cost and Extended
Cost for each item listed for each of the three (3) proposed contract years. To calculate the “Extended Cost”, Bidders must multiply the “Estimated Annual Quantity” by its “Unit Cost”.
The County will assume the quoted “Unit Cost” is correct in the case of a mathematical discrepancy. Bidders must also enter the Total Three Year Cost for each item and a Three Year
Grand Total.
