General Conditions
Scope:
1.1. The following general conditions apply to the sale and delivery of new or used boats, to the extent they are not derogated by written
agreement.
1.2. In other case the Sale of Goods Act and Danish law is applied.
Terms of payment:
2.1. Unless otherwise agreed, payable in cash on delivery.
Delay in delivery:
3.1. Seller is not liable to the buyer if delivery of the purchased item is delayed because of war, earthquakes, strikes, lockouts, import
and / or export bans or other outside vendor available barriers.
3.2. However if timely delivery occurs as a result of one of the above circumstances, the delivery deadline is extended. Buyer may
withdraw from the contract if the seller fails to meet the demand from the buyer as to delivery of the boat within a reasonable time fixed
by the buyer or - if not set such a deadline - within reasonable time.
Seller's responsibility:
4.1. The seller is responsible for sales and delivery of new and used boat under the Sale of Goods Act rules.
4.2. If the seller's supplier (yard) has granted a longer guarantee for the service boat, the seller's obligations and responsibilities
regarding this warranty are subject to the same conditions as the supplier.
4.3. The boat is sold free and unencumbered.
4.4. Used boat sold as it is, unless otherwise agreed.
Buyer’s responsibility for boat in exchange
5.1. The boat in exchange is supplied free of hidden defects and in same condition as at closing. The risk of any deterioration, apart
from wear and tear due to normal use, only passes at handing over of the boat. If delivery is made, any compensation amounts will
accrue to the buyer of the boat in exchange (on the purchase agreement described as seller).
5.2. The boat in exchange is sold free and unencumbered besides outstanding debt as stated in the purchase agreement.
Limitation of liability:
6.1. Seller is not liable to the buyer for any of Buyer's incidental and consequential damages, including loss of profits or losses on the
buyer's default to a third party, unless the seller has acted grossly negligently or intentionally.
Reservation:
7.1. If the parties agree that the entire purchase price is not paid upon delivery, the seller reserves ownership of the boat until the entire
purchase price is paid.
Credit purchases:
8.1. If the purchase is made on credit, the buyer is obliged on delivery to sign separate credit purchase contract on the vendor's usual
contract form and as to registered vessel to sign ship deed and any ship mortgages.
8.2. The buyer is obliged on delivery to take out a third-party and comprehensive insurance on the boat. The sum insured should always
cover their market value.
Fee for intermediary:
9.1. If the sales contract is concluded through an intermediary, the intermediary's fees are to be paid by the seller of the boat as to a
separate agreement.
Costs and registration fees:
10.1. Buyer shall bear all costs for any records of ownership in the shipping register and the possible establishment of tonnage
certificate.
10.2. Should any changes regarding fees or similar payments payable in connection with the sale occur after signing of the purchase
agreement, then the purchase price, unless otherwise agreed, is to be regulated accordingly up or down.
