LETTER OF INTENT This Letter of Intent is made on 24 October 2014 between UNIVERSITI MALAYSIA PERLIS an institution of higher learning (hereinafter referred to as "UniMAP") established and incorporated in Malaysia under the Universities and University Colleges Act 1971 and having its registered address at 1,2,9,10 and n" Floor, Bangunan KWSP, Jalan Bukit Lagi, 01000 Kangar, Perlis and shall include its lawful representatives and permitted assigns; of the one part; and HO CHI MINH UNIVERSITYOF TRANSPORT(HCMUTRANS)having its registered address at No.2, 03 Street Van Thanh Bac Site, Ward 25, Bin Thanh Dist, HCMC,Vietnam of the other part. 2. This Letter of Intent forms the framework for cooperation between the parties to identify and achieve shared goals and objectives, and to facilitate and develop a genuine and mutually beneficial exchange process and research relationship. This Letter of Intent is non-binding and does not impose any legal or financial obligations or liabilities on either party. 3. Not in Derogation from the above-said,this is a contract as to the conduct in good faith negotiations and issuesupon which the parties hereto will in good faith, endeavourto negotiable and prepare the Agreement that would contain additional terms and conditions which are appropriate for a transaction of this kind, including but not limited to, representations and warranties provisions concerning notice(s), force Majeure, Indemnification(s), liability(s), confidentially (s), termination (s), applicablelaw (s) and other similar provision (s). 3. The agreed objectives of the Letter of Intent are: a) To initiate bilateral cooperation. 1 b) The Parties and their representatives, following the execution of this Intent, shall maintain close contacts with each other to achieve the goals and objectives of, and to develop the ideas acknowledged in this Intent. 4. The terms of this Intent shall commence from the date of the execution of this Letter of Intent until being advice in writing otherwise. 5. The Parties agree to bear their respective own costs and expenses in establishing and conducting cooperation and all activities contemplated in this Letter of Intent. 6. This Letter of Intent shall be governed by and construed in accordance with the laws of Malaysia. The Parties shall use their best efforts to resolve any disputes and/or outstanding issues by consultation or negotiation between the Parties, or, in the event of a failure to resolve such disputes and/or outstanding issues by consultation or negotiation, by mediation. 7. This Letter of Intent embodies the entire understanding of the Parties and supersedes any prior promises, representations, Intents or implications. Any variation of this Letter of Intent shall be agreed by duly authorized representatives of all Parties and be evidenced in writing. 8. The Parties agree to bear their respective own costs and expenses in establishing and conducting cooperation and all activities contemplated in this Letter of Intent. 9. Neither party shall use the name, logo or certification marks nor the names of any member of each parties' staff, in any publicity, advertising or news release, publication in written form or by way of electronic media representing that the parties are partners or having collaborative arrangements in any way with each other without the prior written approval of the parties. 3 11. Universiti Malaysia Perlis (UniMAP) and HCMUTRANS agrees that the terms of this Letter of Intent and all information given, received or obtained by the parties relating to, arising from or in connection with the purposed collaboration between UniMAP and HCMUTRANS (whether or not reduced to writing) shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written approval of the other party. 12. UniMAP and HCMUTRANS will execute a formal Memorandum of Understanding or Memorandum of Agreement to incorporate same and the other terms and conditions as therein mutually agreed thereto within a reasonable time from the date hereof.
