LETTER OF UNDERSTANDING
Between Bergen Community College
And Drexel University Online
February 5. 2015
This Letter of Understanding is between BERGEN COMMUNITY COLLEGE located at 400 Paramus Road, Paramus, NJ 07652 and
Drexel University Online, located at 3001 Market Street, Suite 300, Philadelphia, PA 19104.
This Understanding covers specific responsibilities to be undertaken by BERGEN COMMUNITY COLLEGE and by Drexel University
Online,
The letter of understanding is divided into two sections. Section I is the basic understanding governing this specific project
undertaken by BERGEN COMMUNITY COLLEGE with Drexel University Online, Section II focuses on the financial arrangement
between BERGEN COMMUNITY COLLEGE and Drexel University Online. An addendum provides information on the various
bachelor and graduate degree and certificate programs covered under the agreement with the associated current tuition rate
and discount that will be applied. Students can access information on general course transferability on collegetransfer.net and
when applying for a Drexel University Online Program, students will have the opportunity to receive a more individualized
Transfer Credit Evaluation that provides specific information on how that student's individual courses will transfer to Drexel.
SECTION I: Roles of BERGEN COMMUNITY COLLEGE and Drexel University Online
Drexel University Online will:
• Waive the application fee for BERGEN COMMUNITY COLLEGE students applying to Drexel University Online.
• To serve as a basis for evaluation of the program, Drexel University Online will provide aggregate statistical information
regarding application, applicant credentials and admissions decisions, in additional to aggregated academic progress
data. This information will be shared annually with BERGEN COMMUNITY COLLEGE.
• Develop and maintain a web page specifically for the use of BERGEN COMMUNITY COLLEGE students, both current and
graduates, as well as employees and immediate family members, listing all online educational courses in this Letter of
Understanding that will be offered at a reduced tuition rate, as stated in this Letter of Understanding.
• Manage all course registrations placed through the BERGEN COMMUNITY COLLEGE Drexel University Online web
page.
• Produce at no cost to BERGEN COMMUNITY COLLEGE any marketing materials related to BERGEN COMMUNITY COLLEGE - Drexel University Online partnership. BERGEN COMMUNITY COLLEGE will:
• Do an initial announcement of the relationship with Drexel University Online to be prepared by Drexel University Online
and approved by BERGEN COMMUNITY COLLEGE.
• Work with Drexel University Online to promote courses and quarterly application deadlines, through whichever outlets
they (BERGEN COMMUNITY COLLEGE) see as fit.
• Work with Drexel University Online to schedule on-campus visits for Drexel University Online representatives to speak
with students and faculty about the partnership, and distribute information about these events and other Drexel

Term: This understanding shall commence upon date of final signature below and will remain in effect unless terminated with
written notice from either party. Changes to this document can be made in writing with mutual consent. This Letter of
Understanding will be evaluated for renewal every two (2) years. Should the partnership be terminated/dissolved for any
reason, all students enrolled in programs at that time will be entitled to continue to take advantage of the partnership benefits
through graduation, not to exceed five (5) years from the date of termination, however the partner page will be removed from
the website and no further marketing action will be taken.
Marketing: This document does not provide Drexel University Online the right to use any logos or trademarks of BERGEN
COMMUNITY COLLEGE or any of its organizational units for any purpose whatsoever. Approved usage of the BERGEN
COMMUNITY COLLEGE logos and trademarks must follow established and published guidelines for logo use with any use
approved in writing. Any questions concerning logo use must be referred to BERGEN COMMUNITY COLLEGE directly for
resolution.
This document does not provide BERGEN COMMUNITY COLLEGE the right to use any logos or trademarks of Drexel University or
any of its organizational units for any purpose whatsoever. Approved usage of the Drexel University logos and trademarks must
follow established and published guidelines for logo use with any use approved in writing. Any questions concerning logo use
must be referred to Drexel University Online directly for resolution.
Drexel University Online will produce marketing materials for BERGEN COMMUNITY COLLEGE approval prior to use. A joint
marketing plan will be approved and activities may include such items as: development of co-branded brochures, internal
communications materials, and articles in appropriate BERGEN COMMUNITY COLLEGE publications, mailings to employees, e­
mail communications, flyers, posters, and presentations at appropriate meetings or events. Each would be subject to prior
approval of BERGEN COMMUNITY COLLEGE.
General:
All activities of the parties hereunder shall be consistent with federal, state and local laws, including antitrust laws and Section
501{c) (3) of the Internal Revenue Code.
Neither party is authorized by the other party under this agreement to act on behalf of or in the name of the other party.
Neither party shall have the authority to bind the other in contract, debt or otherwise.
This document constitutes the entire understanding of the parties and supersedes all previous agreements entered into. This
document shall be construed in accordance with the laws of the Commonwealth of Pennsylvania and shall be deemed to have
been accepted in said state. It may not be changed orally. Any controversy or claim arising out of or relating to this document,
or the breach thereof, shall be settled by arbitration in Philadelphia, PA in accordance with the rules of the American
Arbitration Association, and judgment upon the award rendered by the arbitrator may be entered in any court having
jurisdiction thereof.

SECTION II: Financial Arrangement
Drexel University Online will provide a reduced tuition rate (Exhibit I) to any BERGEN COMMUNITY COlLEGE graduate, current
student, employee and employee's immediate family member who participates in online programs and courses offered through
this relationship.
Drexel University Online will provide students with the forms required by Drexel University for access to the deferred billing
program, which permits deferred payment of tuition until the first week of classes of the next term.
It is understood that no understanding has been entered into until this document has been fully completed and executed by an
authorized individual for each party. If the above terms and conditions are acceptable, please sign and return to:
