Terms and Conditions:
Shoppers Stop EOSS Exclusive Citibank Offer
Campaign Date: 28th Dec’15 to 08th Jan’16 (both dates inclusive hereinafter referred to as “Term”)
Partner: Shoppers Stop stores and Shoppers Stop operated Homestop and Mothercare stores (herein
after referred to as “Shoppers Stop Stores”) except for stores located at Durgapur, Vijayawada, Raipur,
Siliguri, Latur, Agra, Meerut and Kolhapur.
Details of the Offer:
Citibank N.A. (“Citibank”) and Shoppers Stop Stores are launching an Offer (hereinafter referred to as
“Offer”) for the Term. Details of the Offer extended to all individuals who are holders of First Citizen
Citibank Credit Cards issued in India (hereinafter referred to “Customer”) are detailed herein below.
5% additional cash back at Shoppers Stop stores with primary First Citizen Citibank Credit Cards during
the Offer term. The Offer is applicable on a minimum transaction of Rs 7500/-. Maximum cash back of
up to Rs 1500/- per card is applicable.
5% cash back amount will be calculated and will be credited on or before 31st March 2016 on best
effort basis (“Offer”) to only open and active Card Member’s account. The timeline provided for
effecting the credit is only indicative of expected period and may differ from actual date of credit
Offer Terms and Conditions:

The “Citibank Additional 5% cash back Offer" ("Offer") will be applicable to all primary First
Citizen Citibank Credit Card members (“Card Members”) during the Term of the Citibank Offer.

To avail of the Offer, Card Members need to pay with their First Citizen Citibank Credit Cards
issued in India by Citibank, for nett purchases made of Rs.7500/- or more per bill/transaction at
Shoppers Stop Limited (Shoppers Stop) stores across India including Shoppers Stop Airport
Stores, HomeStop Stores and Mothercare Stores (Shoppers Stop operated stores) (herein after
referred to as the “Stores” –except for stores located at Durgapur, Vijayawada, Raipur, Siliguri,
Latur, Agra, Meerut and Kolhapur

Only transactions completed during the period starting from 00:00 hrs on 28th -December, 2015
till 23:59 hrs on 08th January, 2016 shall be considered under this Offer (Term).

All Card Members will be provided a cash back of 5% on every eligible net bill/ transaction of Rs.
7,500 or more spent at the Stores. However, maximum cash back offered under this Offer shall
not exceed an amount of Rs 1500/- per First Citizen Citibank Credit Card .5% cash back amount
will be calculated and will be credited by Citibank on or before 31st March 2016 on best effort
basis to only open and active Card Member’s account. The timeline provided for effecting credit
is only indicative of expected period and may vary from actual date of credit.

The cash back will not be applicable on purchases made through any First Citizen Reward Points,
Shoppers Stop Gift Vouchers, Shoppers Stop Gift Cards, Shoppers Stop Electronic Gift Voucher
or any other gift voucher, Cash and Credit Note

The Offer will be provided on the nett value of each valid transaction.

To earn the cash back under the Offer the Citibank Credit Card will have to be swiped on
Citibank EDC machine only for net purchases made of Rs.7500/- or more per bill/ transaction in
all Stores. Card Members will not be credited any cash back if the transaction is swiped on a
Non-Citibank EDC machine.

The Offer is applicable on Shoppers Stop End of Season SALE (EOSS) STOCKS as well as FRESH
STOCKS which are not a part of Shoppers Stop’s EOSS.

The Offer is not valid for any purchases done at Crossword, www.crossword.in and at Shoppers
Stop’s website, i.e., www.shoppersstop.com

The Offer cannot be clubbed with any other ongoing offers at the Stores except for select
ongoing Citibank & Shoppers Stop Co-Brand card offers which shall be at the discretion of
Shoppers Stop and/or Citibank.

The offer is not valid for First Citizen Citibank Add on cards

Citibank and Shoppers Stop jointly reserve their right to add, alter, modify, change or vary,
extend or terminate any of the terms and conditions of the Offer at any point of time without
prior notice and without assigning any reason or giving any intimation whatsoever.

Shoppers Stop shall not be liable, in case, of any misuse or fraudulent use of First Citizen
Citibank Credit Cards and/ or if any Card Members defaults in paying the purchase amount to
Citibank, and Citibank agrees that Shoppers Stop shall not refund any of the remittance of
Citibank to Shoppers Stop relating to purchase transactions under the Offer.

The Offer is brought to the Card Members solely by Citibank. Any dispute regarding cash back
under the Offer must be addressed in writing, by the Card Members directly to Citibank and
Shoppers Stop will not entertain any communication in this regard. Any query/
contention/dispute raised by any Customer to Shoppers Stop with regards to the Offer shall be
forwarded to Citibank who shall be solely responsible for resolving such queries/
contentions/disputes within reasonable time.

Any dispute regarding delivery, service, suitability, merchantability, availability or quality of the
products/services in relation to the Products under the Offer must be addressed in writing, by
the Card Member directly to the Shoppers Stop. Citibank will not entertain any communication
in this regard. Terms & Conditions of Shoppers Stop shall also be applicable in addition to these
Terms & Conditions stated in here. Any query/ contention/dispute raised by any Customer to
Citibank with regards to the products shall be forwarded to Shoppers Stop who shall be solely
responsible for resolving such queries/ contentions/disputes within reasonable time.

Any issues of the Customers relating to the transactions arising under the Offer will have to be
supported by the original cash memo(s) to Citibank.

In the event of non-happening, cancellation or partial happening or delay or anything to be
done in respect of the Offer is prevented or delayed for reasons, circumstances or events
beyond the control of Citibank or Shoppers Stop or any other entity, including but not limited to
computer viruses, tampering, unauthorized intervention, interception, fraud, technical failures,
floods, fires, accidents, earthquakes, riots, explosions, wars, hostilities, acts of government or
other causes of like or similar or other character, then , neither Citibank or Shoppers Stop nor
their respective agents, sponsors nor their agent, successors or assigns shall be liable to any of
the Customers participating in the Offer for the same to the extent so prevented or cancelled or
delayed, and neither Citibank nor Shoppers Stop shall be liable for any consequences arising
thereafter.

By participating in the Offer, the Card Members shall be deemed to have accepted these Terms
and Conditions.

All other expenses, if any, including all taxes as may be applicable under the Indian Laws and all
local levies is to be borne by the Card Members participating in the Offer.

The Offer is valid only if the Card Members continue to be in good standing and payment
continues to reach Citibank before the payment due date.

Citibank or Shoppers Stop or their group entities, or affiliates, their respective directors, officers,
employees, agents, vendors, shall not be responsible for or liable for any actions, claims,
demands, losses, damages, costs, charges and expenses whatsoever that may be suffered, or for
any personal injury that may be suffered, , sustained or incurred to a Card Member, directly or
indirectly, by availing this Offer and/ or due to use or non-use of products/services availed of
under this Offer.

Citibank and Shoppers Stop jointly reserves the right at any time, to replace, wholly or in part,
this Offer by another offer, whether similar to this Offer or not, or to withdraw it altogether.

First Citizen Reward Points cannot be earned on discounted merchandise. However, First Citizen
Citibank credit card members will earn 2 Rewards Points per Rs. 100 spent during the Shoppers
Stop EOSS Period that will be given by Citibank, if the payment is done using the First Citizen
Citibank credit card.

Merchandise bought under the Offer will be exchanged during Shoppers Stop EOSS Period only.

System displayed price at the Stores will be the final price.

Merchandise bought at full price will earn First Citizen Reward Points that will be credited at the
end of the sale period which shall be as per the discretion of Shoppers Stop Ltd.

Neither anything contained in these terms & conditions, nor the running of this Offer to which
they apply, shall be construed as an obligation on Citibank or Shoppers Stop to continue the
Offer up to, on or after the Term or to conduct any such further offers.

The terms & conditions shall be governed by the Laws of India.

The terms & conditions of the Citibank Offer shall be in addition to & not in
substitution/derogation to the rules & regulations governing the use of the Citibank credit card
and/or the Citibank websites as stated above. Payment of fees/service charges/all other
amounts due from the Customer to Citibank from usage of First Citizen Citibank Credit Cards by
the Card Member under this Offer and/or otherwise will be governed by Citibank Terms &
Conditions and the Cardmember Terms and Conditions. Customer can view the Citibank
Cardmember Terms and Conditions as well as the complete terms and conditions on the online
portal http://www.citibank.com/india.

All of Citibank’s and Shoppers Stop’s actions shall be on a best efforts basis only.

Any disputes arising out of this Offer shall be subject to the exclusive jurisdiction of competent
courts in Mumbai only, irrespective of whether Courts in other areas have concurrent or similar
jurisdiction.
