Accept (Y/N) 1) 2) 3) Comments Quote Structure: Every quotation required for purchase and service and maintenance shall show line item list and net pricing Trade-In Credit: Should there be a trade-in credit involved in a purchase, proposer will include this in the formal quotation. Pricing: In the event WMC identifies that higher discounts for products, service, and/or maintenance have been offered to other consumers, vendor will offer WMC the same discounting or better. 4) 5) 6) Proposer will disclose at all times to WMC each promotional offer marketed by proposer Warranty: Proposer will provide an additional 24 months warranty post initial warranty at no charge, including all equipment is covered 100% during initial warranty. Rigging Costs: Proposer shall be responsible for all rigging costs associated with any equipment move from WMC loading dock to installation site. Installation: WMC's cost for installation by a subcontractor shall be marked up by no more than 5%. Accelerated or expedited installation shall be done at the request of WMC at no additional cost to WMC. Page 3 of 10 Strategic Business Alliance Attachment B Additional Pricing Provisions 7) 8) 9) 10) Acceptance: Upon complete installation, the equipment/system must demonstrate the vendor's performance specifications and all proposed response commitments. Upon completion of installation, operational verification data shall be taken, documented and presented to WMC prior to acceptance and first clinical utilization. All acceptances shall be in writing and "upon clinical acceptance." Return on Investment: Proposer shall provide an ROI on selected technology at the time of purchase. Delivery Date: Proposer shall furnish WMC with a delivery date from the date of issue of a valid purchase order. Failure to meet a delivery date, through no fault of WMC, shall result in WMC being compensated by an amount equal to one (1) percent of the purchase price for each 14-day period past the specified delivery date. New Models or Enhancements Prior to Delivery: WMC intends to purchase state-of-the-art equipment. Introduction of new models of equipment and accessories may occur after the acceptance of a purchase order. Proposer shall allow WMC the right to modify any purchase up to 90 days prior to delivery in order to obtain the latest model of a particular component or system in production at the time of shipment. Proposer shall submit new equipment announcements immediately, until installation date to allow WMC to evaluate any new technology. Page 4 of 10 Strategic Business Alliance Attachment B Additional Pricing Provisions 11) 12) 13) Proposer shall inform WMC in writing of any manufacturer's addition or modifications to equipment that is purchased as part of a package. Any of these additions or modifications developed or available for use after the date of the purchase order for the system in a package shall be made available to WMC at their option Obsolescence Protection Vendor must reveal any plans to introduce a new generation of a purchased system or significant upgrade to any purchased system up to 24 months after purchase. Vendor and WMC will agree on a predetermined option to upgrade and/or replace the purchased system with the new release. Performance Guarantees: Guarantees on equipment, materials, and workmanship shall not commence until acceptance by WMC. If installed equipment does not comply with the agreed upon performance specifications, Proposer shall upgrade the system to meet the agreed upon performance specifications within thirty days at no additional cost to WMC. Site and Utility Modifications: During the term of the contract, WMC may request equipment that will require site and utility modifications. Proposer agrees to provide complete disclosure of site and utility modifications necessary to install the equipment prior to purchase. If a site visit is necessary to prepare this disclosure accurately, it shall be the vendor's responsibility to visit the site. Please focus on incentives for replacing WMC's current HIS to enable WMC to migrate to the latest generation of state-of-the-art technology that WMC may normally not be able to implement, in near term, due to financial constraints. Accept Comments 1) Showcase Site As part of a SBA arrangement WMC is willing to serve as a Showcase Site for the selected proposer. As a showcase site WMC would permit the successful proposer to demonstrate the use and function of applicable technology to potential customers in a clinical setting. 2) Continuing Education Units WMC wishes to receive access to Continuing Education Credits. Proposer should offer a CEU package that will cover training across the breadth of their product areas, such as cardiology, radiology, pharmacy, lab, IT, nursing, etc. If proposer can provide CEUs, please indicate total amount of such credits or training services on Exhibit D. 3) Governance Committee The selected proposer must establish a Governance Committee consisting of vendor and WMC representatives to manage the SBA, assist with the implementation of the obligations of the parties as set forth in the agreement between the SBA vendor and WMC, and to make recommendations to WMC with respect to products and services offered under the SBA. The committee will also review future technologies, products and services that will be offered by the successful proposer. Quarterly Reviews WMC will meet quarterly with senior executives or representatives designated by the selected SBA vendor to review the performance of the SBA, provide an opportunity discuss WMC’s goals, requests and unresolved issues, to identify and present future business opportunities including new technologies, and to review achievement of pre‐determined SBA goals. 4) 5) 6) Reports Please provide sample maintenance reports, sample dashboard reports, and customer satisfaction survey results for competitive hospitals in the region. Training The successful proposer must provide training for all equipment purchased through the SBA arrangement at no cost to WMC. Page 10 of 10
