Confidentiality and Non-disclosure Agreement
THIS CONFIDENTIALITY AGREEMENT (the “Agreement”), dated
“Effective Date”), is entered into by XXX, (the “Recipient”).
WHEREAS, Kettering University has received

WHEREAS, Kettering University agrees to provide the Recipient certain confidential
information relating to the Project;
WHEREAS, Recipient agrees to receive information from Kettering University that may
be beneficial to meet the Project requirements;
WHEREAS, Kettering University is willing to share the Confidential Information with
Recipient and Recipient is willing to accept information from Kettering University,
provided that the Recipient acknowledges that the information furnished to it by
Kettering University constitutes highly confidential, trade secret information and agrees
to maintain the confidentiality of the Confidential Information;
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein
contained, and for other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the Recipient and Kettering University hereby agree as
follows:
1. Recipient will hold in strict confidence and not disclose, except to others who have
signed a corresponding confidentiality agreement with Kettering University related to
the same Project, all confidential and proprietary information that is provided by
Kettering University in trust and confidence and agrees that it shall be used only for
the contemplated purposes, shall not be used for any other purpose, or disclosed to
any third party.
2. No copies will be made or retained of any software, written information or prototypes
supplied without the permission of Kettering University.
3. Upon completion of the Project, or upon demand by Kettering University, the
Recipient will dispose of all Confidential Information provided to them by shredding,
deleting, or promptly returning all Confidential Information and all copies, extracts,
papers, presentations, notes, drafts and other media, objects or items in which it may
be contained or embodied.
4. Confidential information shall not be disclosed to any employee, consultant or third
party unless they agree to execute and be bound by the terms of this Agreement, and
have been approved by Kettering University.

5. The Recipient will promptly notify Kettering University of any loss, theft or
unauthorized release of the Confidential Information.
6. This Agreement is governed by the laws of the State of Michigan.
7. Recipient has read, understands, and agrees to be bound by the terms of this
Agreement as expressly stated above as the Effective Date.
