BRIEFING FOR POTENTIAL NEW BOARD MEMBERS Supporting, developing and representing the voluntary sector in Dundee Dundee Voluntary Action is an independent charity and company limited by guarantee. The organisation is governed by a Board of Directors who are also the Trustees of the Charity. Our Board members are volunteers who do not receive remuneration for their role. The Board delegates the operational management of the company to the Chief Executive Officer. DVA can have for up to 15 Board members and currently has 9. Board members stand down each year and are eligible for re-election. The next AGM will be held on 21 September 2015 If you have skills and experience to offer or indeed would want to learn more about third sector governance we would love to hear from you. We are particularly looking for skills and experience in HR, policy and strategy development, developing quality standards and current or past third sector involvement. TSI (Voluntary Gateway Dundee) provides a single point of access for support and advice for the third sector within Dundee. We strive to provide a strong coherent and cohesive representation of the third sector with clear links to Community Planning Partnerships and Single Outcome Agreements. TSIs are funded by Scottish Government to deliver the following four areas of activity across the whole local authority area: Volunteering development Social Enterprise development Supporting and developing a strong third sector (DVA) Building the third sector relationship with community planning (DVA) GOVERNANCE BOARD OF MANAGEMENT BoM (Meets 5 – 6 x per annum including AGM) Policy direction for all DVA’s activities – devolved where appropriate. Agreeing terms of devolved power and budgets for all management groups; agreeing annual operation plans. Approving annual report and approving audited accounts on the advice of the Finance & Staffing Committee Nominating representation to the Implementation Management Group (TSI Partnership Group) FINANCE & STAFFING F & S (Meets 5 x per annum) Advising BoM on all financial, staffing/ personnel policies and issues. Acting on the BoM’s behalf on these issues. Agreeing devolved budgets with the management groups. Developing and managing a funding strategy. Preparing and presenting annual business plan to BoM. Receive regular financial reports Undertake annual risk assessment THE ROLE OF DIRECTORS AS CHARITY TRUSTEES Act in the interests of the Charity. Seek, in good faith, to ensure that the Charity operates in a manner that is consistent with its objects or purposes. Act with the care and diligence that is reasonable to expect of a person who is managing the affairs of another person.
