Work Integrated Learning Agreement
Agreement Number or Other Tracking Info/ Effective Dates
This Work Integrated Learning Placement Agreement (“WIL Agreement”) made between:
THE BOARD OF GOVERNORS OF GRANT MACEWAN UNIVERSITY
(“MacEwan”)
and
________________________________________________________
(“Host Organization”)
(Collectively referred to as the “Parties”)
WHEREAS:
A.
MacEwan requires, as a part of its educational programs, Work Integrated Learning Placements [“WIL
Placement(s)”] for its students;
B.
The Host Organization operates one or more facilities at which WIL Placement(s) may be provided to
MacEwan students;
C.
MacEwan and the Host Organization agree to the terms and conditions of this WIL Agreement so that one or
more MacEwan students may benefit from WIL Placement(s) with the Host Organization.
MACEWAN AND THE HOST ORGANIZATION AGREE AS FOLLOWS:
1.
Integrated Structure of WIL Agreement
a)
MacEwan and the Host Organization acknowledge that the WIL Agreement integrates the following
documents:
i)
WIL Agreement (this document);
ii)
Notice of Work Integrated Learning Placement (Schedule “A” to the WIL Agreement);
iii) Work Integrated Learning Placement Activities (Schedule “B” to the WIL Agreement); and
iv) Confidentiality Agreement for MacEwan Students & Instructors (Schedule “C” to the WIL
Agreement”).
b)
The WIL Agreement, together with its Schedules, embodies the entire agreement between MacEwan
and the Host Organization. The WIL Agreement may only be amended in writing signed by both Parties.
2.
Completion of Schedules Prior to WIL Placement
MacEwan and the Host organization acknowledge that Schedules “A”, “B” and “C” shall be completed for
each MacEwan student prior to the commencement of each WIL Placement.

Host Organization Response to Schedules “A” & “B”
In the event that the Host Organization determines that it is unable to meet the requirements listed in either
Schedule “A” and/or Schedule “B” for a WIL Placement, the Host Organization shall advise MacEwan in
writing of such decision prior to the commencement of the WIL Placement.
4.
Host Organization Policies and Standards
a)
Prior to the commencement of a WIL Placement, the Host Organization shall advise MacEwan in writing
of Host Organization policies and standards applicable to a MacEwan student during WIL Placement.
b)
MacEwan shall use reasonable efforts to ensure that MacEwan student(s) and, as required, MacEwan
Instructors, are aware of the Host Organization’s policies and standards prior to the commencement of
WIL Placement(s).
5.
MacEwan Policies and Standards
Policy C2060 Work Integrated Learning applies to Work Integrated Learning Activities. During WIL
Placements, all students are governed by the policies and regulations of Grant MacEwan University and are
required to meet applicable policy and professional requirements of the Host Organization.
6.
Term of WIL Agreement
One-Time WIL Placement of a MacEwan Student(s) at Host Organization
a)
In the event that MacEwan and the Host Organization agree that a MacEwan student or students shall
benefit from a WIL Placement at the Host Organization but do not intend for the Host Organization to
host successive WIL placements of MacEwan student(s) (“One-Time WIL Placement”), the term of the
WIL Agreement shall be the duration of the One-Time WIL Placement as provided in Schedule “A”,
attached.
Multiple WIL Placements of MacEwan Students at Host Organization
b)
In the event that MacEwan and the Host Organization agree that multiple MacEwan students shall
benefit from successive WIL Placements at the Host Organization from time to time, the term of the WIL
Agreement shall be for ________ years commencing on ____________________ (the “Effective Date”)
as provided in Schedule “A”, attached.
7.
WIL Placement
a)
The Parties acknowledge and agree that WIL Activities shall be defined for each MacEwan student
undertaking WIL Placement. The Parties further acknowledge and agree that the WIL Placement
Activities for each WIL Placement shall include the elements as defined in Schedule “B”, attached.
8.
Termination of WIL Placement
a)
In the event of any of the following, the Host Organization, acting reasonably, may immediately
terminate a WIL Placement of a MacEwan student and remove such MacEwan student from the
premises of the Host Organization:

i)
damage to Host Organization property caused by the MacEwan student;
ii)
breach by the MacEwan student of his/her obligation to maintain confidential information in
confidence;
iii) actions and/or omissions by the MacEwan student that compromise the safety or security of the
Host Organization’s staff, patients, customers or members of the public.
b)
The Host Organization agrees to provide MacEwan with immediate notice in writing of such termination
of WIL Placement and the reasons for termination.
9.
Termination of WIL Agreement
MacEwan or the Host Organization may, for any reason, terminate the WIL Agreement accordance with the
following:
One-Time WIL Placement of MacEwan Student(s) at Host Organization
a)
Where the WIL Agreement is for a One-Time WIL Placement, by giving ______ days prior written notice
of termination to the other party.
Multiple WIL Placements of MacEwan Students at Host Organization
b)
Where the WIL Agreement is for Multiple WIL Placements, by giving ninety (90) days prior written notice
of termination to the other party
10.
Continuation of WIL Placement(s) After WIL Agreement Termination
Unless otherwise agreed in writing by the Parties, WIL Placement(s) at the Host Organization shall continue
to completion regardless of whether the WIL Placement(s) completion date(s) extends beyond the
termination date of the WIL Agreement.
11.
MacEwan Student Not Employee
At all times during a WIL Placement, a MacEwan student and, where applicable, a MacEwan Instructor,
shall remain students and employees of MacEwan and shall not be employees, workers or representatives
of the Host Organization.
12.
Indemnification
a)
MacEwan agrees to indemnify and save harmless the Host Organization, its employees, contractors,
agents and other representatives from any and all claims, demands, actions and costs whatsoever
arising from the negligent acts or omissions of a MacEwan student or MacEwan Instructor.
b)
The Host Organization agrees to indemnify and save harmless MacEwan, its students, instructors,
employees, agents and other representatives from any and all claims, demands, actions and costs
whatsoever arising from the negligent acts or omissions of the Host Organization, its employees,
contractors, agents and other representatives.

13.
Work Integrated Learning Agreement
Notice
a)
All notices to MacEwan and the Host Organization shall be in writing at the addresses below, or such
other address(es) as the Parties may advise.
b)
If delivered, the notice shall be deemed received on the date of delivery. If sent by facsimile, the notice
shall be deemed to be received on the next business day, provided there is a transmittal verification
statement. If sent electronically, it shall be deemed received on the date receipt is acknowledged by the
recipient. If sent by mail, the notice shall be deemed to be received within five (5) business days of the
mailing date, except that where there is a disruption in the ordinary post, the notice shall be delivered or
sent by facsimile:

Confidentiality, Freedom of Information and Protection of Privacy
The Parties agree to retain in strict confidence all information provided by one party to the other party
pursuant to this Agreement and its attached Schedules.
The Parties acknowledge that all information provided by one party to the other party pursuant to this
Agreement and its attached Schedules is subject to the Freedom of Information and Protection of Privacy
Act (Alberta) (“FOIPP”) as well as other privacy legislation in force in the Province of Alberta

Governing Law
This Agreement shall be governed by the laws of Alberta without reference to its conflict of laws rules.
